A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
ACCEPTING THE BID RECEIVED ON JULY 18, 2019, PURSUANT TO
INVITATION TO BID ("ITB") NO. 18-19-010-R, FROM EDFM CORPORATION, A
FLORIDA PROFIT CORPORATION ("EDFM"), THE LOWEST RESPONSIVE
AND RESPONSIBLE BIDDER, TO PROVIDE CONSTRUCTION SERVICES
FOR THE RIVERVIEW STORM SEWER PUMP STATION, EMERGENCY
GENERATOR, CARBON DIOXIDE ("CO2") FIRE SUPPRESSANT SYSTEM,
AND MAIN SWITCH DISCONNECT PROJECT NO. M -0127C ("PROJECT"), IN
THE AMOUNT OF ONE MILLION FOUR HUNDRED TWELVE THOUSAND
DOLLARS ($1,412,000.00), FOR THE SCOPE OF WORK, PLUS A TEN
PERCENT (10%) OWNER'S CONTINGENCY ALLOWANCE IN THE AMOUNT
OF ONE HUNDRED FORTY ONE THOUSAND TWO HUNDRED DOLLARS
($141,200.00), FOR A TOTAL NOT TO EXCEED AWARD VALUE OF ONE
MILLION FIVE HUNDRED FIFTY THREE THOUSAND TWO HUNDRED
DOLLARS ($1,553,200.00); ALLOCATING FUNDS FROM CITY OF MIAMI
("CITY") RESILIENCE AND PUBLIC WORKS DEPARTMENT ("PUBLIC
WORKS") PROJECT NO. M -0127C, AUTHORIZING THE CITY MANAGER TO
EXECUTE AN AGREEMENT WITH EDFM, CONSISTING OF THE ITB
DOCUMENTS AND ATTACHMENTS, ALL IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY ("AGREEMENT"); FURTHER AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE ALL OTHER DOCUMENTS,
INCLUDING ANY AMENDMENTS AND EXTENSIONS, SUBJECT TO ALL
ALLOCATIONS, APPROPRIATIONS, AND PRIOR BUDGETARY APPROVALS,
AND IN COMPLIANCE WITH ALL APPLICABLE PROVISIONS OF THE CODE
OF THE CITY OF MIAMI, FLORIDA, AS AMENDED ("CITY CODE"),
INCLUDING THE CITY'S PROCUREMENT ORDINANCE, ANTI -DEFICIENCY
ACT, AND FINANCIAL INTEGRITY PRINCIPLES, ALL AS SET FORTH IN
CHAPTER 18 OF THE CITY CODE, ALL IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY, AND IN COMPLIANCE WITH ALL APPLICABLE LAWS,
RULES, AND REGULATIONS, AS MAY BE DEEMED NECESSARY FOR SAID
PURPOSE.
WHEREAS, on May 31, 2019, the City of Miami ("City") Department of Procurement
("Procurement") issued Invitation to Bid ("ITB") No. 18-19-010-R for construction services for the
Riverview Storm Sewer Pump Station, Emergency Generator, Carbon Dioxide ("CO2") Fire
Suppressant System, and Main Switch Disconnect Project No. M -0127C ("Project"); and
WHEREAS, on July 18, 2019, the City's Office of the City Clerk received two (2) bids in
response to the ITB; and

WHEREAS, Procurement determined EDFM Corporation, a Florida profit corporation
("EDFM"), submitted the lowest responsive and responsible bid; and
WHEREAS, pursuant to the Bid Security List, EDFM's bid was in the amount of One
Million Four Hundred Twelve Thousand Dollars ($1,412,000.00); and
WHEREAS, the City Manager requests authorization to execute an agreement with
EDFM, consisting of the ITB documents and attachments, all in a form acceptable to the City
Attorney ("Agreement"), in the amount of One Million Four Hundred Twelve Thousand Dollars
($1,412,000.00) for the ITB Scope of Work, plus a ten percent (10%) Owner's Contingency
Allowance in the amount of One Hundred Forty One Thousand Two Hundred Dollars
($141,200.00), for a total not to exceed award value of One Million Five Hundred Fifty Three
Thousand Two Hundred Dollars ($1,553,200.00); and
WHEREAS, funds in the amount of One Million Five Hundred Fifty Three Thousand Two
Hundred Dollars ($1,553,200.00) are to be allocated from City Department of Resilience and
Public Works ("Public Works") Project No. M -0127C, and other legally available sources of
funding, subject to budgetary approval at time of need;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The bid received on July 18, 2019, pursuant to ITB No. 18-19-010-R, from
EDFM, the lowest responsive and responsible Bidder, to provide construction services for the
Riverview Storm Sewer Pump Station, Emergency Generator, CO2 Fire Suppressant System,
and Main Switch Disconnect Project No. M -0127C, in the amount of One Million Four Hundred
Twelve Thousand Dollars ($1,412,000.00), for the ITB scope of work, plus a ten percent (10%)
Owner's Contingency Allowance in the amount of One Hundred Forty One Thousand Two
Hundred Dollars ($141,200.00), for a total not to exceed award value of One Million Five
Hundred Fifty Three Thousand Two Hundred Dollars ($1,553,200.00), is accepted.
Section 3. Funds shall be allocated from City Public Works Project No. M-01 27C and
other legally available sources of funding, subject to budgetary approval at time of need.
Section 4. The City Manager is authorized' to execute the Agreement with EDFM,
consisting of the ITB documents and attachments, all in a form acceptable to the City Attorney.
Section 5. The City Manager is further authorized' to negotiate and execute all other
documents, including any amendments and extensions, subject to all allocations,
appropriations, and prior budgetary approvals, and in compliance with all applicable provisions
of the Code of the City of Miami, Florida, as amended ("City Code"), including the City's
Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as set forth in
Chapter 18 of the City Code, all in a form acceptable to the City Attorney, and in compliance
with all applicable laws, rules, and regulations, as may be deemed necessary for said purpose.
' The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.

Section 6. This Resolution shall become effective immediately upon its adoption and
signature by the Mayor.2

2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
