A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CONVEYANCE TO SOUTHEAST OVERTOWN/PARKWEST
COMMUNITY REDEVELOPMENT AGENCY, WITH PARCEL REVERTER
PROVISIONS, OF THE CITY OF MIAMI OWNED PARCELS OF LAND LOCATED AT
244 NORTHWEST 16TH STREET, 1900 NORTHWEST 2ND COURT,•1624
NORTHWEST IST COURT, AND 1611 NORTHWEST 3RD AVENUE, MIAMI
FLORIDA, AS LEGALLY DESCRIBED IN EXHIBIT "A", ATTACHED AND
INCORPORATED, FOR THE CONSTRUCTION OF AFFORDABLE HOUSING
PROJECTS; AUTHORIZING THE CITY MANAGER TO EXECUTE THE
NECESSARY DOCUMENTS, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY,
FOR SAID PURPOSE.
° WHEREAS, on May 18, 2005, Overtown Condominium, LLC assumed a City of Miami ("City")
mortgage on the properties located at 244 Northwest 16th Street, 1900 Northwest 2nd Court, 1624
Northwest 1st Court, Miami, Florida, and closed on an additional $1.2 million in State Housing Initiative
Partnership funds to construct twenty-six (26) residential townhomes; and -
WHEREAS, on September 19, 2008, the City de -obligated the remaining unspent funds and began
collection efforts which resulted in a deed -in -lieu of foreclosure for all the properties; and
WHEREAS, the Office of the City Attorney will continue to use all means at its disposal to collect
the remaining funds; and
WHEREAS, the Southeast Overtown/Parkwest Community Redevelopment Agency ("SEOPW
CRA") is willing to assist the City to complete this project to ensure that the funds already spent yield
the number of units of housing promised to the State of Florida and to complete this project; and
WHEREAS, the City also owns the site located at 1611 Northwest 3rd Avenue, Miami, Florida,
which was acquired through a foreclosure action on October 13, 1999; and
WHEREAS, all attempts to develop this property through request for proposals have not been
successful; and
WHEREAS, the properties will be conveyed subject to the following restrictions: (i) the number of
units to be constructed on the sites should represent the highest and best use possible under Miami
21, (ii) all residential units must be made available to families with incomes equal to or less than eighty
percent (80%) of area median income, as published annually by United States Department of Housing
and Urban Development ("HUD"), (iii) any commercial development must serve primarily the residents
of the community, and (iv) the project must be completed (all units constructed, issued Certificates of
Occupancy, and rented) within forty-eight (48) months of conveyance; and
WHEREAS, the City Administration recommends the conveyance to the SEOPW CRA, with parcel
reverter provisions, of the City -owned parcels of land located at 244 Northwest 16th Street, 1900

legally described in Exhibit "A", attached and incorporated, for the construction of affordable housing
projects;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as fully set forth in this Section.
Section 2. The conveyance to the SEOPW CRA, with parcel reverter provisions, of the City -owned
parcels of land located at 244 Northwest 16th Street, 1900 Northwest 2nd Court, 1624 Northwest 1 st
Court, and 1611 Northwest 3rd Avenue, Miami, Florida, as legally described in Exhibit "A", attached
and incorporated, for the construction of affordable housing projects, is authorized.
Section 3. The properties will be conveyed subject to the following restrictions: (i) the number of
units to be constructed on the sites should represent the highest and best use possible under Miami
21, (ii) all residential units must be made available to families with incomes equal to or less than eighty
percent (80%) of area median income, as published annually by HUD, (iii) any commercial

Section 4. The City Manager is authorized{1 } to execute the necessary documents, in a form
acceptable to the City Attorney, for said purpose,
Section 5. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited, to those prescribed by applicable City
Charter and Code provisions.
(2) If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10)
calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it
shall become effective immediately upon override of the veto by the City Commission.

THIS SPECIAL WARRANTY DEED, is made as of and effective the19t" day of
August, 2014, by Overtown Condominium, a Florida limited liability company whose address is
1023 NW 3'd Avenue Miami FL 33136; ("Grantor"), to the CITY OF MIAMI, a municipal
corporation of the State of Florida ("Grantee"), whose address for purposes of notice hereunder
is 444 SW 2nd Avenue, Miami, FL 33130.
WITNESSETH:
THAT THE GRANTOR, for and in consideration of the sum of Ten and No/100
Dollars ($10.00), in hand paid by Grantee, the receipt of which is hereby acknowledged, has
granted, bargained and sold to Grantee, and does hereby grant, bargain and sell to Grantee, its
successors and assigns forever, the following described lands, situate, lying and being in the
County of Miami -Dade, State of Florida (collectively "Property"), to -wit:

BY REFERENCE MADE A PART HEREOF,
TOGETHER WITH all of the improvements now or hereafter erected on the Property,
and all easements, appurtenances, and fixtures now or hereafter a part of the Property.
GRANTOR does hereby fully warrant the title to said lands and will defend the same
against the lawful claims of all persons claiming by, through or under Grantor, and against no
others. This conveyance is subject only to:
a. Ad valorem real estate taxes for the year 2014 and all subsequent years;
b. Easements, covenants, conditions, restrictions and reservations of record, reference to
which shall not operate to reimpose same;
c. Laws, codes, rules and regulations of any governmental authority having jurisdiction
over the Property; and

d. The Mortgages held by Mortgagee described herein.
Mortgagee reserves the right to maintain a foreclosure action against all lienors, claimants or
holders of any interest or encumbrance inferior and subject to the respective Mortgages.
GRANTOR DECLARES that this conveyance is the free and voluntary act of Grantor,
without duress or undue influence, and that this Special Warranty Deed represents an absolute
conveyance and is not intended by either party as additional security for payment of the
indebtedness secured by the aforesaid Mortgages, and that there are no other agreements or
understandings between the parties to the contrary. Each person signing this Agreement
represents and warrants that he or she is duly authorized and has legal capacity to execute and.
deliver this Agreement. Grantor represents and warrants to the other that the execution and
delivery of this conveyance has been duly authorized and that the conveyance is a valid and
legally binding on such party and enforceable in accordance with its terms.
