("Flagler"), please accept the enclosed application for approval of a new development agreement for an existing entity and property within the approved Miami Design District Retail Street Special Area Plan, 'Appendix F' to the Miami 21 Zoning Code (the "Design District SAP"). The Original Developer Partied and the City of Miami (the "C") entered into an Amended and Restated Development Agreement (recorded in Official Records Book 29314, at Page 1880), which was subsequently amended by the Partial Release and Amendment to the Amended and Restated Development Agreement (recorded in Official Records Book 30568, Page 918) (collectively the "Master Development Agreement"). Flagler was originally a Developer Party under the Master Development Agreement and owns the property located at 4218 NE 2"u Avenue (folio: 01-3124-024-0940; the "Property"), as described in Exhibit "A". The purpose of the companion application is to amend and release Flagler from the Master Development Agreement, as a Developer Party, on the condition that Flagler enter into a separate development agreement with the City ("Flagler Development Agreement"), in order to ensure that redevelopment of the Property is carried out in a fashion consistent with the goals and standards for the Miami Design District Retail Street.
