At it's regular Board Meeting of May 18, 2016, the Wynwood Business Improvement District (BiD)
affirmed its conditional support for the MANA SAP Development Agreement, Regulating Plan and
Concept Book subject to the following conditions:
1) that MANA fulfill its earlier commitment from March, 2016 to the BID Board and PZAB to
support the expansion of the BID boundaries. (See BID resolution attached- Section 4.g)
2) that MANA fulfill its earlier commitments from March, 2016 to the BID Board and PZAB to not
allow the operation of temporary food and beverage uses in the T5-0 parcels along NW 2nd
Avenue. (See BID resolution attached Section 3.f)
3) that MANA engage in an full discussion with the Wynwood BID regarding its existing rights
and operations under Special Events and Temporary Use Permits

RESOLUTION OF THE WYNWOOD BUSINESS on 06/23/2016, City Clerk
IMPROVEMENT DISTRICT BOARD RECOMMENDING
APPROVAL OF THE MANA WYNWOOD SPECIAL AREA
PLAN SUBJECT TO CERTAIN CONDITIONS.
WHEREAS, the Wynwood Business Improvement District Board ("BID") is authorized
pursuant to Ordinance 13404, adopted by the Miami City Commission on September 12, 2013,
to improve and strengthen the Wynwood Arts District through the promotion, management,
marketing and other similar services of the Wynwood Area;
WHEREAS, Mana Wynwood, by and through various holdings, filed an application with
the City of Miami for the approval of a Special Area Plan pursuant to Section 3.9 of Zoning
Ordinance 13114 ("Miami 21"), entitled Mana Wynwood Special Area Plan ("SAP") for a mixed
use development of approximately 23,483 acres of land located in the Wynwood Area;
NOW, THEREFORE, BE IT ADOPTED BY THE BOARD OF THE WYNWOOD
BUSINESS IMPROVEMENT DISTRICT:
Section 1. The recitals and findings contained above are adopted and incorporated as
fully set forth in this section.
Section 2. The BID recommended approval of the Regulating Plan and Concept Book
based upon compliance with the following conditions and amendments to the Regulating Plan
and Concept Book:
a. Regulating Plan modification to the Mana Wynwood SAP Public Benefits Section
3.14.6(5), to add a .provision requiring a cash contribution of $4 for each square
foot of Floor Area Bonus Height to the NRD-1 Public Benefits Trust Fund. The
BID seeks to promote Affordable/Workforce Housing within the Wynwood Area
and supports that such portion of such cash contribution consisting of 35%
pursuant to Section 62-645(d) of the City Code, to the NRD-1 Public Benefits
Trust Fund will be allocated to the Mana Wynwood SAP Affordable/Workforce
Housing development.
b. Regulating Plan modification. to provide that in the East Zone T6 -8B-0 Transect
Zone, any Building exceeding 25% residential Floor Area (excluding Lodging
and Affordable/Workforce Housing) of the building's total gross floor area, shall
be limited to 12 Stories maximum. Buildings containing less than 25% residential
Floor Area, shall be permitted to develop up to a maximum of 16 Stories.
C. Regulating Plan to maintain connectivity language as referenced in the February
15th, 2016 draft in Section 5.6. 10) which states:

i. West Zone: If the Frontage Line of a site is at any point more than three
hundred and forty (340) feet from a Thoroughfare intersection or existing cross -
Block passage or Paseo, the Building shall provide a cross -Block Pedestrian
Passage or Paseo. If the Frontage Line of a site is at any point six hundred and
fifty (650) feet from a Thoroughfare intersection, a vehicular cross -Block passage
shall be provided. Such a cross -Block Passage may be covered above the first
floor by a maximum of twenty-five percent (25%) of its length with Structures
connecting Buildings, such as a terrace, pedestrian bridge or vehicular bridge.
ii. East Zone: If the Frontage Line of a site is at any point more than three
hundred and forty (340) feet from a Thoroughfare intersection or existing cross -
Block passage or Paseo, the Building shall provide a cross -Block Pedestrian
Passage or Paseo. If the Frontage Line of a site is at any point more than four
hundred and fifty (450) feet from a Thoroughfare intersection or existing cross -
Block passage or Paseo, the Building shall provide a cross -Block Pedestrian
Passage or Paseo by SAP Permit with WDRC review and Planning Director
approval. If the Frontage Line of a site is at any point six hundred_ (600) feet from
a Thoroughfare intersection, a vehicular cross -Block passage shall be provided.
Such a cross -Block Passage may be covered above the first floor by a maximum
of twenty-five percent (25%) of its length with Structures connecting Buildings,
such as a terrace, pedestrian bridge or vehicular bridge.
d. Regulating Plan to maintain facade requirements as referenced in the February
15th, 2016 draft in Section 5.5.2 (1) and 5.6.2(1) which states:
Active Space shall be required along the entire length of the Building's Frontage
at the ground floor. Whenever active Space is not possible along Secondary
Frontages, Architectural Treatment or Streetscreens may be provided, except NW
23rd Street and NW 24th Street. Properties developed along NW 23rd Street and
NW 24d' Street shall comply with Section 1.7.2(d)(1) and (2) of NRD-1.
e. Regulating Plan to include in addition to those items listed in Section
7.1.2.11(b)(5) of the February 15, 2016 draft, all projects and signage to be
reviewed by the Wynwood Design Review Committee ("WDRC").
f. Regulating Plan to be revised to limit placement of Media Signs in Section 10.3.9
to a height not to exceed 50 feet. Furthermore, additional information regarding
Media Signs to be developed prior to final adoption regarding number of signs
and size of Media Signs.
g. Regulating Plan to be revised in Section 7.1.2.1, Mana Wynwood SAP Permit, to
provide additional courtesy notice to Wynwood BID Director of SAP Permit
applications.
Section 3. The BID recommended approval of the following changes to the most recent
draft of the Development Agreement (dated January 25, 2016) and will retain the right to review

and recommend approval or modification of any proposed changes to the Development
Agreement which may impact the Wynwood Area:
a. Development Agreement Section 19 in its entirety labeled Temporary/Special
Events. All Temporary/Special Events held within the Mana Wynwood SAP area
shall comply with the standards established in the City Code.
b. Development Agreement Section 18, in its entirety labeled Alcoholic Beverages
Sales, will not be modified to include provisions other than the Retail Specialty
Center provisions contained in the Development Agreement (dated January 25,
2016).
C. Development Agreement will not be modified to include provisions relating to
noise regulations as provided for in City Code Section 36-6.
d. Development Agreement to include a new section which correlates development
in the Mana Wynwood East ' Zone to the permitted building height in the Mana
Wynwood West Zone as follows:
i. As a condition precedent to issuance of a building permit for the
development of a Building located in the West Zone of the SAP exceeding 12
Stories and up to 16 Stories, MANA shall be required to have completed or
obtained a building permit for a minimum of 25% of the permitted Base FLR in
the East Zone.
ii. As a condition precedent to issuance of a building permit for the
development of a Building located in the West Zone of the SAP exceeding 16
Stories and up to 20 Stories, AI A shall be required to have completed or
obtained a building permit for a minimum of 30% of the permitted Base FLR in
the East Zone.
iii. As a condition precedent to issuance of a building permit for the
development of a Building located in the West Zone of the SAP exceeding 20
Stories and up to 24 Stories, MANA shall be required to have completed or
obtained a building permit for a minimum of 35% of the permitted Base FLR in
the East Zone.
iv. Transition plan for maximum allowed height of T6 -8B component of the
East Zone to be reviewed prior to First Commission hearing.
e. Development Agreement Section 15(d) to be modified as follows:
Following ten (10) years from the Effective Date, in the event the Project and/or
approved Public Benefit contributions have not been completed, the Director of
Planning and Zoning shall have the authority to abandon the Mana Wynwood

SAP Public Benefits Program and require the Developer to only participate in the
Wynwood NRD-1 Public Benefits Program for the provided Benefit Height.
f. Development Agreement to state that food and beverage sales within temporary
structures in the T5-0 parcels along NW 2nd Ave (up to approximately 100 feet
West of NW 2nd Ave) shall not be permitted unless otherwise approved by the
BID.
g. Development Agreement to be revised to limit residential unit development to a
maximum of 25% of the permitted residential density in the East Zone (excluding
Lodging and Affordable/Workforce Housing units) during the 7 year period from
the effective date, following the expiration of this time limitation no further
restrictions on residential development shall apply.
Section 4. Strategic Areas of Cooperation, BID and MANA will jointly cooperate with
respect to the following items which apply uniformly throughout the Wynwood Area:
a. Streetscape design standards
b. Temporary use permits
c. Wynwood Cafe District legislation
d. Capital improvements to NW 5th Ave, north of 24th Street
e. Burial of FPL transmission lines throughout NRD-1 area
f. Proposed I-95 exit & entrance ramp adjacent to NW 29th Street
g. Expansion of Wynwood BID boundaries West to I-95 and East to the FEC train
tracks
Section 5. This resolution is effective immediately upon adoption.
