(OCI) worked with the City of Miami Historic Preservation and Grants Administration staff to complete a grant application for $500,000 in funding from the State of Florida, Department of State, Division of Historical Resources (Division) Special Category Grant program to be matched by up to $1,000,000 in existing funds from the City of Miami (City) for "Olympia Theater Facade Restoration, Phase I" a project to begin restoration of the historic Olympia Theater and Office Building, WHEREAS, OCI filed the grant application, was ranked in the top 10 of applications submitted, and was recommended for $500,000 in funding, which was subsequently approved by the Florida State Legislature as part of the State's FY17/18 Budget appropriation, and WHEREAS: OCI was awarded the grant which requires a grant agreement, signed by OCI, and execution of a document of Restrictive Covenants (Covenants), approved by the City of Miami City Commission, in order to accept the award and commence the project, and WHEREAS, OCI has been made aware of the CITY's need to ensure that its interests are protected during and after the project, and NOW THEREFORE, in an effort to encourage execution of the required Covenants, OCI resolves to negotiate a legal agreement with the City of Miami, providing that: 1. OCI will implement the FLDOS Division of Historical Resources Olympia Theater Facade Restoration, Phase I Special Category Grant, as directed by the City of Miami, and the City shall assume responsibilities and liability. 2. If desired by the CITY, at any point during the project, OCI will petition the State of Florida to assign the grant to the CITY. 3. If desired by the CITY, OCI will petition the State of Florida to rescind the grant's restrictive covenant after successful completion of the project, and before the end of the 10 -year term. 4. All drawings, studies and work product from the project will be the property of the City of Miami In order for OCI to fulfill its obligations under any agreement(s) above, it will be necessary to amend the existing Management Agreement with the City as follows: • CITY may cancel the current Management Agreement at any time, without cause or reason, by giving one hundred eighty (180) days written notice to OCI prior to the effective date of the cancellation. (Inserting) Effective cancellation date shall not be earlier than September 30, 2020. • CITY will financially support OCI's creative and community programming during the remaining period. Nothing in any agreements or amendments here shall prevent the City or any other party from fully exploring all opportunities for future operations of the Olympia Theater and Office Building.
