Subject: Execute Joint Participation Agreement - DDA for Downtown Signage and
Wayfinding System
Purpose of Item:
To authorize the City Manager to execute a Joint Participation Agreement ("JPA")
between the City of Miami and Downtown Development Authority ("DDA") for the
Downtown Signage and Wayfinding System Project, 40-1330941 ("Project"). The DDA
wishes to support the City's efforts by providing additional funding in the amount of
$350,000 for a total not to exceed amount of $500,000.00. The City will be responsible
for the management and administration of the Project.
Background of Item:
The City and DDA wish to enhance the signage and wayfinding system for motorists,
pedestrians, bicyclists, and transit users within the Downtown Miami area. The Project
includes new vehicular, pedestrian and parking wayfinding signage, and improvements
to the right-of-way, such as the removal of repetitive and aging signs.
The City and DDA applied for and were awarded a grant in the amount of
$1,000,000.00 from the Florida Department of Transportation ("FDOT") for the
construction of the Project. The Local Agency Program Agreement ("LAP") between the
City and FDOT to accept the funds awarded and implement the Project was executed
on July 22, 2014. Furthermore, DDA contributed $150,000.00 towards the construction
of the Project, pursuant to Resolution R-13-0039 and as part of a JPA between the City
and DDA which was executed on October 18, 2013.
On July 26, 2018, the City Commission approved the construction contract awarded to
Florida Engineering and Development Corp. in the amount of $1,700,534.55. The City
will manage and administer the construction of the Project. The DDA wishes to further
support the City's efforts by providing additional funding in the amount of $350,000 for a
total not to exceed amount of $500,000.00, which funds will be appropriated by a
separate resolution.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A JOINT PARTICIPATION
AGREEMENT ("JPA"), IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE
CITY OF MIAMI ("CITY') AND THE MIAMI DOWNTOWN DEVELOPMENT
AUTHORITY OF THE CITY OF MIAMI, FLORIDA ("DDA") FOR THE DOWNTOWN
MIAMI SIGNAGE AND WAYFINDING SYSTEM PROJECT, PROJECT NO. 40-1330941
("PROJECT"); ACCEPTING AN ADDITIONAL CONTRIBUTION OF FUNDS FROM
THE DDA TOWARDS THE PROJECT IN AN AMOUNT NOT TO EXCEED THREE
HUNDRED FIFTY THOUSAND DOLLARS ($350,000.00) FOR AN AGGREGATE
TOTAL DDA FUNDING CONTRIBUTION IN AN AMOUNT NOT TO EXCEED FIVE
HUNDRED THOUSAND DOLLARS ($500,000.00) WITH SAID ADDITIONAL
CONTRIBUTION OF FUNDS TO BE APPROPRIATED BY A SEPARATE
RESOLUTION.
WHEREAS, the City of Miami ("City") and the Miami Downtown Development Authority of
the City of Miami, Florida ("DDA") wish to enhance the signage and wayfinding system for
motorists, pedestrians, bicyclists, and transit users within the Downtown Miami area; and
WHEREAS, the scope of the Downtown Miami Signage and Wayfinding System Project,
Project No. 40-1330941 ("Project"), includes, but is not limited to, new vehicular, pedestrian, and
parking wayfinding signage and other improvements to the public right-of-way such as the
removal of repetitive and aging signs; and
WHEREAS, the City and the DDA applied for and were awarded a federal grant in the
amount of One Million Dollars ($1,000,000.00) from the Florida Department of Transportation
(TDOT") for the completion of the Project; and
WHEREAS, the DDA previously contributed funds towards the Project in an amount not
to exceed One Hundred Fifty Thousand Dollars ($150,000.00) pursuant to an earlier Joint
Participation Agreement ("JPA") with the City dated October 18, 2013, which was approved by
the City Commission pursuant to City Resolution No. 13-0039 adopted January 24, 2013; and
WHEREAS, the attached current JPA has been negotiated between the City and the
DDA detailing an additional contribution of funds from the DDA towards the Project in an
amount not to exceed Three Hundred Fifty Thousand Dollars ($350,000.00) for an aggregate
total DDA funding contribution in an amount not to exceed Five Hundred Thousand Dollars
($500,000.00) with said additional contribution of funds to be appropriated by separate
resolution;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized' to execute the current JPA with the DDA, in
substantially the attached form, accepting an additional contribution of funds from the DDA
towards the Project in an amount not to exceed Three Hundred Fifty Thousand Dollars
($350,000.00) for an aggregate total DDA funding contribution in an amount not to exceed Five
Hundred Thousand Dollars ($500,000.00) with said additional contribution of funds to be
appropriated by a separate resolution.
Section 3. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to, those prescribed by applicable City Charter and
City Code provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10)
calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City Commission.
