WITNESSETH: NOW THEREFORE ,AND IN CONSIDERATION of the premises and the mutual covenants and conditions .contalned herein, the parties hereto agree as follows: 1. DESCRIPTION OF GIFT, PURPOSE OF GIFT The City grants, donates,, and gives to the CDC, an amount of $85,000.00 (the °Clfit"), as appropriated through Resolution R-160299, attached hereto as Exhibit "A" and made a part hereof. The Gift 'is solely, and excluslvely to be used for tourism klosks on Grand Avenu& In Coconut Grove for the Grand Avenue Kiosk project (`Pro}ect"), as described in the CDC letter to Mayor Thomas Regalado,, attached .hereto as Exhibit "13", and made a part hereof. Any other use of the Gift, except as descrlbed herein., is prohibited, The CDC agrees that if the 'tourism klosks are not purchased and Installed at the approximate locations on Grand Avenue, as Ilsted on Exhibit C, attached h-areto, or Project does not otherwise come into fruition. within one (1) year from the date of execution, the CDC will promptly return the full amount of the Gift tc the City: 2, NO PARTNERSHIP Nothing in this Agreement shal-I be construed to make the parties hereto partners, affiliates, or joint venturers or render olther of said parties liable far the debts, liabilities, or obligations of the other. 3. ENTIRE AGREF-MEN'T This Agreement with Its attachments referenced below embodies and constitutes the entire understanding between the City and CIRC concerning the Cift, and all prior or contemporaneous agreements, understandings, representations, and statements, oral or written with respect thereto are merged therein. The parties agree that there are no commitments, agreements,, or .understandings concerning the subject matter of this Agreement that are not contained In this Agreement, and that this Agreement contains the entire Agreement between the parties as. to all matters contained herein. Accordingly, It is agreed that no deviation from the terms hereof shail be' predicated upon any prior representations or agreements, whether oral or written. It is further agreed' that any oral representations or modifications concerning this Agreement shall be of no forco or effect. This Agreement may be modified, altered or -amended only by a written amendment duly executed by all parties hereto or their authorized representatives. The City Manager is authorized to amend or modify this Agreement as needed on behalf of the City- and In accordance with the aforementioned terms provided any arnendment involving an expenditure of City funds or resourcesmay require City Commission approval. CDC shall maintain - Insurance coverage(s) and, shall provide evidence of such €nsurari64' coverages and in such amounts,, as applicable, as may be required by the City's Department of Risk Management In Exh€bit 'D", attached hereto and Incorporated by this reference. 8. Title to. Kiosks; Respons.ibillty for Injuries. The title to; the klosks will be vested In CDC free and clear of ,any liens, security Interests or encumbrances, The City will not be liable for any personal injury or property loss or damage related I any manner to, the kiosks. CDC covenants not to sue the City for any such loss or damage or from any other action or claim related to the klosks or to this agreement. 9, Compliance with Codes. The. klosks to be purchased and Installed by CDC or Its agents will comply with all applloable laws, regulations, codes, approvals and permits as are required. 10. Third Party Beneficiaries. There are no third party beneficiaries to this Agreement. 11. Inspections and Audits The Inspection and audit provls€ons set forth In 18-100 to 1V02 of the City Code ,are applicable to this Agreement and are deemed as being incorporated by reference harem.
