A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY
FOUR-FIFTHS (4/5THS) AFFIRMATIVE VOTE, PURSUANT TO SECTION 18-92 OF
THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, AFTER AN
ADVERTISED PUBLIC HEARING, RATIFYING, APPROVING AND CONFIRMING
THE CITY MANAGER'S FINDING OF A SOLE SOURCE; WAIVING THE
REQUIREMENTS FOR COMPETITIVE SEALED BIDDING PROCEDURES AND
APPROVING THE PROCUREMENT OF THE NC4 STREET SMART APPLICATION
SYSTEM, SOFTWARE LICENSES, MANAGED SERVICES, AND MAINTENANCE
AND SUPPORT FROM NC4 INC., FOR UTILIZATION BY THE CITY OF MIAMI
POLICE DEPARTMENT ("MPD"), FOR AN INITIAL ONE (1) YEAR PERIOD, WITH
THE OPTION TO EXTEND FOR TWO (2) ADDITIONAL ONE (1) YEAR PERIODS;
ALLOCATING FUNDS FOR THE FIRST YEAR TERM FROM THE MPD'S GENERAL
FUND, ACCOUNT CODE NO. 00001.191501.664000.0000.00000, SUBJECT TO
THE AVAILABILITY OF FUNDS AND BUDGETARY APPROVAL AT THE TIME OF
NEED; AUTHORIZING THE CITY MANAGER TO EXECUTE THE LICENSE
AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, AND ANY
AMENDMENTS TO SAID AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, FOR SAID PURPOSE.
WHEREAS, the City of Miami Police Department ("MPD") needs technology-based tools to
equip its officers with real-time data to improve crime -fighting efficiency and better serve the residents,
visitors, and businesses of the City of Miami ("City"); and
WHEREAS, NC4 Inc., is the owner of the NC4 Street Smart software application ("Software"),
which is a unique and proprietary internet-based law enforcement application designed to integrate
newly acquired crime information with other existing MPD data sources to enhance the situational
awareness of officers patrolling the City; and
WHEREAS, the Software is a simplified application that leverages all available data from
multiple sources, crime databases, and historical records onto a single display which enables an
officer to quickly analyze relevant data, possible connections between data elements, and immediately
publish bulletins to all officers; and
WHEREAS, pursuant to Section 18-92 of the Code of the City of Miami, Florida, as amended
("City Code"), the Chief Procurement Officer has made a finding that NC4 Inc,, is the sole source
provider of the Software; and
WHEREAS, the finding of the Chief Procurement Officer has been approved and adopted as
the finding of the City Manager; and
WHEREAS, the City Manager and the Chief Procurement Officer recommend that the
requirements for competitive sealed bidding procedures be waived and that the procurement of the
Software from NC4 Inc., be approved; and

WHEREAS, the first year term of the agreement requires an initial one-time Software set up
fee, license fee, managed services fee, and maintenance and support fee;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. By a four-flfths (4/5ths) affirmative vote, pursuant to Section 18-92 of the City Code,
after an advertised public hearing, the City Manager's finding of a sole source is ratified, approved and
confirmed, the requirements for competitive sealed bidding procedures are waived, and the
procurement of the NC4 Street Smart software application, for utilization by the MPD, from NC4 Inc.,
the sole source provider of this service, is approved for a one (1) year period, with the option to extend
for two (2) additional one (1) year periods.
Section 3. Funds for the first year are to be allocated from the MPD's General Fund Account
Code No. 00001.191501.664000.0000,00000, with future years' funding, subject to the availability of
funds and budgetary approval at the time of need, are approved,
Section 4. The City Manager is authorized {1} to execute the License Agreement, in
substantially the attached form, and any amendments to said Agreement, after consultation with the
City Attorney.
Section 5. This Resolution shall become effective immediately upon its adoption and signature

Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be imposed
by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.
{2} This resolution shall become effective as specified herein unless vetoed by the Mayor within ten
(10) days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City Commission or upon the effective
date stated herein, whichever is later.
