A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A PUBLIC BENEFITS
AGREEMENT FOR FIRE STATION ("AGREEMENT"), IN SUBSTANTIALLY THE
ATTACHED FORM, BETWEEN THE CITY OF MIAMI ("CITY') AND BRICKELL CITY
CENTRE PROJECT LLC ("DEVELOPER"), FOR THE PROVISION BY THE
DEVELOPER OF A FIRE STATION LOCATED WITHIN THE VICINITY OF THE
BRICKELL CITY CENTRE SPECIAL AREA PLAN PROJECT ("PROJECT"), IN
ACCORDANCE WITH THE TERMS AND CONDITIONS OF THE AGREEMENT;
FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE
ALL OTHER NECESSARY DOCUMENTS, INCLUDING AMENDMENTS AND
MODIFICATIONS TO SAID AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, AS MAY BE NECESSARY TO EFFECTUATE THIS RESOLUTION.
WHEREAS, on March 27, 2014, the City Commission approved a Special Area Plan known as
the Brickell City Centre Special Area Plan ("SAP"), including specifically the Regulating Plan, Design
Guidelines and the Brickell City Centre Development Agreement; and
WHEREAS, the City of Miami ("City") wishes to lease approximately 6,500 square feet within
the Brickell City Centre Special Area Plan Project ("Project"), for a fire station, as described in the
Public Benefits Agreement for Fire Station ("Agreement"), in substantially the attached form; and
WHEREAS, the SAP as well as the surrounding development in the area has increased the
need for additional Fire Rescue services including a fire station; and
WHEREAS, as part of the SAP, Brickell City Centre Project LLC ("Developer") has agreed to
construct a fire station, at its sole cost and expense, within the SAP which will be leased to the City at
two dollars ($2.00) per square foot per year, with a one and a half percent (1.5%) increase per year
for the term of the Fire Station Lease Agreement, which is proposed for a term of fifty (50) years; and
WHEREAS, such intended terms of the lease of the Fire Station are outlined in Section 9 of
the Agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby
adopted by reference thereto and incorporated herein as if fully set forth in this Section.
Section 2. The City Manager is authorized {1} to execute the Agreement between the City and
the Developer, in substantially the attached form, for the construction and lease of a City Fire Station
located within the vicinity of the Project, in accordance with the terms and conditions of the
Agreement.

Section 3. The City Manager is further authorized {1 } to negotiate and execute all other
necessary documents, including amendments and modifications to said Agreement and a Fire Station
Lease Agreement, in a form acceptable to the City Attorney, as may be necessary to effectuate this
Resolution.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor. {2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
