HomeMy WebLinkAboutR-16-0253Vop City of Miami '"* Legislation < U R �O Resolution: R-16-0253 File Number: 16-00380 City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com Final Action Date: 5/26/2016 A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO EXECUTE A REVOCABLE LICENSE AGREEMENT ("AGREEMENT"), IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE CITY OF MIAMI ("CITY") AND ASPIRA OF FLORIDA, INC. AND ASPIRA PROPERTIES, INC. (COLLECTIVELY THE "LICENSEE"), FOR USE OF VEHICULAR PARKING SPACES ON CITY -OWNED PROPERTY LOCATED AT 150 NORTHEAST 19 STREET, MIAMI, FLORIDA, IN EXCHANGE FOR THE CITY'S USE OF LICENSEE'S FACILITY, LOCATED AT 1900 NORTHEAST MIAMI COURT, MIAMI, FLORIDA, FOR THE ESTABLISHMENT OF A NEIGHBORHOOD ENHANCEMENT TEAM OFFICE AND OTHER ANCILLARY USES, AS REFLECTED IN THE AGREEMENT. WHEREAS, the City of Miami ("City") is the owner of certain real property and thirty (30) on -grade parking spaces located at 150 Northeast 19 Street, Miami, Florida ("Parking Area"), as reflected in the Revocable License Agreement ("Agreement"), in substantially the attached form, that the City and Aspira of Florida, Inc. and Aspira Properties, Inc. (collectively the "Licensee") shall execute; and WHEREAS, the Licensee currently owns a facility situated next to the Parking Area, at 1900 Northeast Miami Court, Miami, Florida ("Licensee's Property"), as reflected in the Agreement; and WHEREAS, the Licensee needs to acquire additional parking spaces for the Licensee's Property; and WHEREAS, the City is seeking to establish a Neighborhood Enhancement Team ("NET") Office, and obtain access to the restrooms on the Licensee's Property during the Licensee's Permitted Events, as defined in the Agreement; and WHEREAS, the Licensee is constructing improvements on the Licensee's Property, which include restrooms and hallway access to the same ("Restroom Area") and an office, inclusive of a restroom and storage area ("NET Office"); and WHEREAS, the City is authorizing the Agreement with the Licensee, for the Licensee's use of the Parking Area for the sum of one dollar ($1.00) per year ("Parking Area License"), as defined in the Agreement; and WHEREAS, in exchange for the Licensee's use of the Parking Area, Licensee is authorizing, via the same said Agreement with the City, the City's use of the Restroom Area and the NET Office pursuant to the terms of the Agreement; and WHEREAS, pursuant to the terms of the Agreement, the Licensee shall be completely responsible for all parking space signage installation and maintenance thereof in the Parking Area, and the Parking Area shall be fully maintained and kept in good repair at Licensee's sole expense; City of Miand Page 1 of 2 File Id. 16-00380 (Version: 1) Printed On: 5/8/2018 File Number: 16-00380 Enactment Number: R-16-0253 and WHEREAS, the City's Department of Parks and Recreation ("Parks and Recreation") shall coordinate the opening, closing and cleaning of the Restroom Area during Licensee's Permitted Events; and WHEREAS, Parks and Recreation shall provide for security services during the Licensee's Permitted Events and shall clean the Restroom Area thereafter the same; and WHEREAS, the City shall equip, install, fully maintain and keep in good repair, all improvements in the NET Office at the City's sole expense; and WHEREAS, the Agreement shall be revocable at will in accordance with the terms and conditions included therein; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is hereby authorized {1} to execute the Agreement, in substantially the attached form, between the City and the Licensee, for the Licensee's use of vehicular parking spaces in the Parking Area, in exchange for the City's use of Licensee's Property for the establishment of a NET Office and other ancillary uses, as reflected in the Agreement. Section 3. This Resolution shall become effective immediately upon adoption and signature of the Mayor. {2} Footnotes: {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days from the date it was passed and adopted.
