Subject: Bid Waiver Authorizing the Second Amendment to the Participation Agreement -
Commercial Card Services (P -Card)
Purpose of Item:
It is respectfully recommended that the City of Miami Commission adopt the attached resolution, by a four-
fifths (4/5t") affirinative vote, after an advertised public hearing, ratifying, confirming and approving the City
Manager's written findings, pursuant to Section 18-85 of the Procurement Code of the City of Miami, Florida,
as amended, waiving the requirements of competitive sealed bidding methods for the provision of commercial
card services (P -card) for a period of twelve (12) months (April 1, 2016 — March 31, 2017); and further
authorizing the City Manager to execute the Second Amendment to the Participation Agreement between the
City of Miami and JPMorgan Chase Bank, N.A. (JPMorgan) in substantially attached form in conjunction with
such other incidental documents, terms and conditions as required by applicable laws, to allow for the
continuity of service with JPMorgan and sufficient time for the re -procurement of these services through a
competitive process. Estimated rebate of $27,000 to the City based on the volume of purchases made with the
P -card.

In accordance with Resolution No. 15-00188, the City executed the First Amendment to the
Participation Agreement with JPMorgan for a period of twelve (12) months (April 1, 2015 March
31, 2016) to allow for continuity of services while re -procurement functions were completed. During
the approved time period, it was the City's intent to issue a solicitation under full and open
competition for the P -card and Banking Services. In consultation with the Finance Department it was
determined that it is not in the City's best interest to procure both services under one solicitation.
Through this Second Amendment, the Participation Agreement would be extended for an additional
twelve (12) month period (April 1, 2016 — March 31, 2017) with JPMorgan to allow for the
unobstructed continuity of services while the City completes the re -procurement of services through
its full and open competitive solicitation process, in addition to effectuating a seamless transition of
financial provider, if necessary.
