A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING AN AMENDMENT TO THE AUTHORIZED EXPENDITURE LIMITS
AND RIDERSHIP CAPACITY OF THE PROFESSIONAL SERVICES AGREEMENT
WITH TRANSPORTATION AMERICA, INC. ("TRANSPORTATION AMERICA") FOR
THE PROVISION OF ON -DEMAND TRANSPORTATION SERVICES THROUGHOUT
THE CITY OF MIAMI FOR THE LOW INCOME ELDERLY AND/OR DISABLED,
INCREASING THE AUTHORIZED EXPENDITURE LIMITS AND RIDERSHIP
CAPACITY TO A NOT TO EXCEED AMOUNT OF $465,000.00 AND 25,000 TRIPS
FOR THE THIRD EXTENSION PERIOD APRIL 27, 2015 THROUGH APRIL 26, 2016,
AND A NOT TO EXCEED AMOUNT OF $580,000.00 AND 30,000 TRIPS FOR THE
FOURTH AND FINAL EXTENSION PERIOD, APRIL 27, 2016 THROUGH APRIL 26,
2017, FURTHER AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT
NO.1 TO THE AGREEMENT WITH TRANSPORTATION AMERICA, IN
SUBSTANTIALLY THE ATTACHED FORM, FOR SAID PURPOSES;
RETROACTIVELY APPROVING: A) AN INCREASE IN AUTHORIZED
EXPENDITURE LIMIT AND RIDERSHIP CAPACITY FOR THE SECOND
EXTENSION PERIOD, APRIL 27, 2014 THROUGH APRIL 26, 2015, FROM
$262,505.60 TO A NOT TO EXCEED AMOUNT OF $429,010.00 AND FROM 14,000
TRIPS TO 23,595 TRIPS RESPECTIVELY, AND B) THE THIRD EXTENSION
PERIOD EFFECTIVE AS OF APRIL 27, 2015; FOR A TOTAL CONTRACT AMOUNT
NOT TO EXCEED $1,979,970.00; ALLOCATING FUNDS FROM THE CHARTER
COUNTY TRANSPORTATION SYSTEM SURTAX FUNDS, SUBJECT TO
BUDGETARY APPROVAL AT THE TIME OF NEED.
WHEREAS, pursuant to Request for Proposals ("RFP") 274276, the City of Miami ("City")
authorized the execution of a Professional Services Agreement ("Agreement") with Transportation
America, Inc. ("Transportation America") for the provision of On -Demand Transportation Services
throughout the City for the low income elderly and/or disabled, in an amount not to exceed
$1,313,329.00; and
WHEREAS, the original contract ridership capacity of 14,000 annually has increased
considerably based on increased marketing efforts and community outreach; and
WHEREAS, ridership for the third extension is projected at approximately 25,000 (21,000
ambulatory and 4,000 non-ambulatory) and for the fourth and final extension period the projected
ridership is 30,000 (24,000 ambulatory and 6,000 non-ambulatory); and
WHEREAS, it is now necessary to enter into an Amendment No. 1 with Transportation
America, increasing the Agreement capacity of the authorized expenditure limits and ridership to a not
to exceed amount of $429,010.24 and 23,595 trips respectively, for the second extension period

(retroactive), $465,000.00 and 25,000 trips for the third extension period, April 27, 2015 through April
26, 2016, and a not to exceed amount of $580,000.00 and 30,000 trips for the fourth and final
extension period, April 27, 2016 through April 26, 2017, an increase by $666,641.24, for a total
contract amount not to exceed $1,979,970.00 (rounded to the nearest dollar); and
WHEREAS, funds are to be allocated from the Charter County Transportation System Surtax
Funds; and
WHEREAS, a verbal City Commission directive issued at the City Commission Meeting held
on February 9, 2012, requesting that extension options be subject to City Commission approval was
not included in the final resolution; and
WHEREAS, through inadvertence, the third extension period was not brought to the City
Commission for approval and authorization is being requested to retroactively approve the third
extension effective as of April 27, 2015;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. An increase capacity of the authorized expenditure limits and ridership to the
Agreement with Transportation America for the provision of On -Demand Transportation Services
throughout the City for the low income elderly and/or disabled, increasing the Agreement to a not to
exceed amount of $429,010.24 and 23,595 trips (retroactive) for the second extension period, April
27, 2014 through April 26, 2015, $465,000.00 and 25,000 trips for the third extension period, April 27,
2015 through April 26, 2016 and a not to exceed amount of $580,000.00 and 30,000 trips for the
fourth and final extension period, April 27, 2016 through April 26, 2017, for a total contract amount not
to exceed $1,979,970.00 (rounded to the nearest dollar), with the approval of the third extension
period, effective as of April 27, 2015; is authorized, with funds for said increases, allocated from the
Charter County Transportation System Surtax Funds.
Section 3. The City Manager is authorized {1 } to execute Amendment No. 1 to the Agreement,
in substantially the attached form, for said purpose.
Section 4. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor. {2}

{1 } The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including, but not limited to, those prescribed by applicable City
Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10)
calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, i
shall become effective immediately upon override of the veto by the City Commission.
