Subject: Approve Amendment No. 1 - ShotSpotter Service Agreement
Purpose of Item:
The nature of this item is to seek City Commission's approval, authorizing the City
Manager to execute Amendment No. 1 for Sole Source No. 13-14-007 to expand the
square mileage of the service area by ten (10) square miles for the implementation,
installation, and annual subscription fee of the Flex Gunfire Alert and Analysis Service
("Service"), and incorporating a five percent (5) Cost of Living Adjustment ("COLA") to
the annual subscription renewal fees for the original service area of four (4) square
miles. Allocating funding from the various sources of funds as required by the
Department of Police ("Police"), authorizing the City Manager to execute Amendment
No. 1, in the attached form. Further authorizing the City Manager to execute any other
documents, including any amendments, renewals, extensions, and modifications, to the
Agreement, subject to compliance with applicable laws and regulations, in a form
acceptable to the City Attorney, as may be necessary for said purpose.
Background of Item:
On June 13, 2013, pursuant to Resolution No. 13-0218, the City Commission directed
the City Manager to undertake actions necessary to procure and implement a Gunfire
Locator System ("System") in the City of Miami ("City"), in particular, a four (4) square
mile area, three (3) square miles in Liberty City, and Little Haiti, and one (1) square mile
in Overtown for the Department of Police ("Police"). Sole Source ("SS") No. 13-14-007
with ShotSpotter, Inc. was authorized by Resolution No. 14-0137 for the purchase of the
ShotSpotter Flex Gunfire Locator System. The total cost of the subscription based
system was $275,000 for the first year, and thereafter an annual service subscription
fee estimated at $185,000.
Police has indicated a need to expand the System to incorporate an additional five (5)
square miles in the North and Central areas of the City, hereinafter referred to as Phase
II, and an additional five (5) square miles in the Central, South, and Coconut Grove
areas of the City, hereinafter referred to as Phase III. The incorporation of Phases II and
III will increase the Service coverage area to a total of fourteen (14) square miles, and
combined, will address a total of 3667 "Shots Fired" calls (83% of city-wide total), 1,086
aggravated assaults (82.5% of city-wide total), and 137 murders (87.3% of city-wide
total).
Amendment No. 1 to SS No. 13-14-007, includes the expansion of the Services through
Phase II immediately, and Phase III by October 2018 in accordance with the
ShotSpotter expansion proposal (as itemized in Exhibit 1) attached hereto; at a cost
$325,000 annually for a period of three (3) years and an additional five (5) square miles
in the Central, South, and Coconut Grove areas of the City, hereinafter referred to as
Phase III, at a cost of $325,000 annually for a period of three (3) years, and
incorporates a five percent (5) Cost of Living Adjustment ("COLA") for annual service
subscription renewals for Phase I, for three (3) additional years.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
APPROVING AMENDMENT NO. 1 TO THE SHOTSPOTTER SERVICE AGREEMENT
FOR SOLE SOURCE CONTRACT NO. 13-14-007 ("AGREEMENT") WITH
SHOTSPOTTER, INC. ("SHOTSPOTTER") TO EXPAND SERVICES TO INCLUDE AN
ADDITIONAL FIVE (5) SQUARE MILES IN THE NORTH AND CENTRAL AREAS OF
THE CITY ("PHASE II") AT A COST OF $325,000.00 ANNUALLY FOR A PERIOD OF
THREE (3) YEARS, TO EXPAND SERVICES TO INCLUDE AN ADDITIONAL FIVE (5)
SQUARE MILES IN THE CENTRAL AND SOUTH AREAS INCLUDING COCONUT
GROVE ("PHASE III") AT A COST OF $325,000.00 ANNUALLY FOR A PERIOD OF
THREE (3) YEARS, AND PROVIDING FOR A FIVE PERCENT (5%) COST OF LIVING

FAVORED CUSTOMER" CLAUSE; PROVIDING FOR COMMUNITY OUTREACH
PRIOR TO EXPANSION OF THE SERVICE AREA PURSUANT TO AMENDMENT NO.
1; ALLOCATING FUNDS FROM VARIOUS SOURCES OF FUNDS SUBJECT TO
BUDGETARY APPROVAL AT THE TIME OF NEED; AUTHORIZING THE CITY
MANAGER TO EXECUTE AMENDMENT NO. 1 TO THE AGREEMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, WITH SHOTSPOTTER; FURTHER
AUTHORIZING THE CITY MANAGER TO EXECUTE ANY AND ALL OTHER
NECESSARY DOCUMENTS, INCLUDING ANY AMENDMENTS, RENEWALS,
EXTENSIONS, AND MODIFICATIONS, TO THE AGREEMENT, SUBJECT TO
COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS, IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, AS MAY BE NECESSARY FOR SAID
PURPOSE.
WHEREAS, at its June 13, 2013, pursuant to Resolution No. 13-0218, the City
Commission directed the City Manager to undertake actions necessary to procure and
implement a Gunfire Locator System in the City of Miami ("City") for a four (4) square mile area
including three (3) square miles in Liberty City and Little Haiti and a one (1) square mile area in
Overtown ("Phase I"); and
WHEREAS, at its April 10, 2014, pursuant to Resolution No. 14-0137, the City
Commission approved the City's award of Sole Source Contract No. 13-14-007 to ShotSpotter,
Inc. ("ShotSpotter") and authorized the ShotSpotter Service Agreement ("Agreement") for the
ShotSpotter Flex Gunfire Alert and Analysis Service for Phase 1 for a total amount not to
exceed $275,000.00, allocating $200,000.00 from the Law Enforcement Trust Fund and
$75,000.00 from the Southeast Overtown/Park West Community Redevelopment Agency, and
allocating funds for future annual subscription fees in the amount of $185,000.00 from the
various sources of funds, and subject to budgetary approval at the time of need; and
WHEREAS, the Miami Police Department ("MPD") desires to expand the current service
area and enter into Amendment No. 1 to the Agreement with ShotSpotter, expanding the current
service area to include an additional five (5) square miles in the North and Central areas of the
City ("Phase II") at a cost of $325,000.00 annually for a period of three (3) years, expanding the
current service area to include an additional five (5) square miles in the Central and South areas
of the City including Coconut Grove ("Phase III") at a cost of $325,000.00 annually for a period
of three (3) years, and further providing for a five percent (5%) Cost of Living Adjustment
("COLA") for the annual service subscription renewal for Phase I for three (3) additional years
for a cumulative total of $2,562,374.00 for three (3) years inclusive of annual subscription fees
for Phases I, II, and III; and
WHEREAS, the City Commission determined that Amendment No. 1 should include a
"Most Favored Customer' clause; and
WHEREAS, the City Administration will conduct community outreach before ShotSpotter
is expanded into a new service area pursuant to this Resolution and Amendment No. 1;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. Amendment No. 1 to the Agreement for Sole Source Contract No. 13-14-007
with ShotSpotter expanding the current service area to Phase II at a cost of $325,000.00
annually for a period of three (3) years, and expanding the current service area to Phase III at a
cost of $325,000.00 annually for a period of three (3) years, and providing for a five percent
(5%) COLA for the annual service subscription renewal for Phase I for three (3) additional years
for a cumulative total of $2,562,374.00 for three (3) years inclusive of annual subscription fees
for Phases I, II, and III, is approved.
Section 3. Amendment No. 1 shall include a "Most Favored Customer' clause.
Section 4. The City Manager is directed to conduct community outreach before
ShotSpotter is expanded into a new service area pursuant to this Resolution and Amendment
No. 1.
Section 5. Funds are to be allocated from various sources of funds, subject to budgetary
approval at the time of need.
Section 6. The City Manager is authorized' to execute Amendment No. 1 to the
Agreement, in substantially the attached form, with ShotSpotter.
Section 7. The City Manager' is further authorized to execute any and all other
necessary documents, including amendments, renewals, extensions, and modifications to the
Agreement, subject to compliance with all applicable laws and regulations, in a form acceptable
to the City Attorney, as may be necessary for said purpose.
Section 8. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2
APPROVED AS TO FORM AND CORRECTNESS:
' The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
