A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
APPROVING AMENDMENT NO. 1 TO THE SHOTSPOTTER SERVICE
AGREEMENT FOR SOLE SOURCE CONTRACT NO. 13-14-007
("AGREEMENT") WITH SHOTSPOTTER, INC. ("SHOTSPOTTER") TO EXPAND
SERVICES TO INCLUDE AN ADDITIONAL FIVE (5) SQUARE MILES IN THE
NORTH AND CENTRAL AREAS OF THE CITY ("PHASE II") AT A COST OF
$325,000.00 ANNUALLY FOR A PERIOD OF THREE (3) YEARS, TO EXPAND
SERVICES TO INCLUDE AN ADDITIONAL FIVE (5) SQUARE MILES IN THE
CENTRAL AND SOUTH AREAS INCLUDING COCONUT GROVE ("PHASE III")
AT A COST OF $325,000.00 ANNUALLY FOR A PERIOD OF THREE (3) YEARS,
AND PROVIDING FOR A FIVE PERCENT (5%) COST OF LIVING ADJUSTMENT
("COLA") TO THE ANNUAL SERVICE SUBSCRIPTION RENEWAL FOR
LIBERTY CITY, LITTLE HAITI, AND OVERTOWN ("PHASE I") FOR THREE (3)
ADDITIONAL YEARS FOR THE MIAMI POLICE DEPARTMENT FOR A
CUMULATIVE TOTAL OF $2,562,374.00 FOR THREE (3) YEARS INCLUSIVE OF
ANNUAL SUBSCRIPTION FEES FOR PHASES I, II, AND III; PROVIDING FOR A
"MOST FAVORED CUSTOMER" CLAUSE; PROVIDING FOR COMMUNITY
OUTREACH PRIOR TO EXPANSION OF THE SERVICE AREA PURSUANT TO
AMENDMENT NO. 1; ALLOCATING FUNDS FROM VARIOUS SOURCES OF
FUNDS SUBJECT TO BUDGETARY APPROVAL AT THE TIME OF NEED;
AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT NO. 1 TO
THE AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, WITH
SHOTSPOTTER; FURTHER AUTHORIZING THE CITY MANAGER TO
EXECUTE ANY AND ALL OTHER NECESSARY DOCUMENTS, INCLUDING
ANY AMENDMENTS, RENEWALS, EXTENSIONS, AND MODIFICATIONS, TO
THE AGREEMENT, SUBJECT TO COMPLIANCE WITH ALL APPLICABLE LAWS
AND REGULATIONS, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, AS
MAY BE NECESSARY FOR SAID PURPOSE.
WHEREAS, at its June 13, 2013, pursuant to Resolution No. 13-0218, the City
Commission directed the City Manager to undertake actions necessary to procure and
implement a Gunfire Locator System in the City of Miami ("City") for a four (4) square mile area
including three (3) square miles in Liberty City and Little Haiti and a one (1) square mile area in
Overtown ("Phase I"); and
WHEREAS, at its April 10, 2014, pursuant to Resolution No. 14-0137, the City
Commission approved the City's award of Sole Source Contract No. 13-14-007 to ShotSpotter,
Inc. ("ShotSpotter") and authorized the ShotSpotter Service Agreement ("Agreement") for the
ShotSpotter Flex Gunfire Alert and Analysis Service for Phase 1 for a total amount not to
exceed $275,000.00, allocating $200,000.00 from the Law Enforcement Trust Fund and
$75,000.00 from the Southeast Overtown/Park West Community Redevelopment Agency, and
allocating funds for future annual subscription fees in the amount of $185,000.00 from the
various sources of funds, and subject to budgetary approval at the time of need; and

WHEREAS, the Miami Police Department ("MPD") desires to expand the current service
area and enter into Amendment No. 1 to the Agreement with ShotSpotter, expanding the current
service area to include an additional five (5) square miles in the North and Central areas of the
City ("Phase II") at a cost of $325,000.00 annually for a period of three (3) years, expanding the
current service area to include an additional five (5) square miles in the Central and South areas
of the City including Coconut Grove ("Phase III") at a cost of $325,000.00 annually for a period
of three (3) years, and further providing for a five percent (5%) Cost of Living Adjustment
("COLA") for the annual service subscription renewal for Phase I for three (3) additional years
for a cumulative total of $2,562,374.00 for three (3) years inclusive of annual subscription fees
for Phases I, II, and III; and
WHEREAS, the City Commission determined that Amendment No. 1 should include a
"Most Favored Customer' clause; and
WHEREAS, the City Administration will conduct community outreach before ShotSpotter
is expanded into a new service area pursuant to this Resolution and Amendment No. 1;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. Amendment No. 1 to the Agreement for Sole Source Contract No. 13-14-007
with ShotSpotter expanding the current service area to Phase II at a cost of $325,000.00
annually for a period of three (3) years, and expanding the current service area to Phase III at a
cost of $325,000.00 annually for a period of three (3) years, and providing for a five percent
(5%) COLA for the annual service subscription renewal for Phase I for three (3) additional years
for a cumulative total of $2,562,374.00 for three (3) years inclusive of annual subscription fees
for Phases I, II, and III, is approved.
Section 3. Amendment No. 1 shall include a "Most Favored Customer' clause.
Section 4. The City Manager is directed to conduct community outreach before
ShotSpotter is expanded into a new service area pursuant to this Resolution and Amendment
No. 1.
Section 5. Funds are to be allocated from various sources of funds, subject to budgetary
approval at the time of need.
Section 6. The City Manager is authorized' to execute Amendment No. 1 to the
Agreement, in substantially the attached form, with ShotSpotter.
Section 7. The City Manager' is further authorized to execute any and all other
necessary documents, including amendments, renewals, extensions, and modifications to the
Agreement, subject to compliance with all applicable laws and regulations, in a form acceptable
to the City Attorney, as may be necessary for said purpose.
' The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.

Section 8. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
