SUBJECT: Memo finding -Waiver of Competitive Bidding per City
Charter Sec. 29-A (b) for a Sublease Agreement with NKMIA, LLC

This memorandum respectfully requests your approval and adoption of the below described findings
authorizing the waiver of competitive procurement procedures and authorizing a Sublease Agreement
with NKMIA, LLC ("Sublessee" or "NKMIA") for the use of a property leased by the City of Miami ("City")
from the Florida Department of Transportation ("FDOT") located underneath the NW 12 Avenue Bridge
("Property"). Specifically, for constructing, maintaining and improving surface parking and use of the
same, in conjunction with the Sublessee's operation of its corporate headquarters, a school facility and a
manufacturing facility on the adjacent County -owned property located in the City of Miami at 1175 NW
South River Drive ("County -owned Property").
FINDINGS:
Fashion designer Naeem Khan is relocating his New York -based corporate headquarters to the City,
specifically to the County -owned Property, and his company, NKMIA, LLC has executed a ninety (90) year
lease agreement with Miami -Dade County ("County") for said County -owned Property.
That NMKIA is willing to make certain economic investmehts in Miami -Dade County, including:
construction on the County -owned Property of a new 30,000 square foot facility with a minimum
construction budget of $6 million; repair and reconstruction of the seawall portion of the County -owned
Property; development of the Riverwalk along the waterfront portion of the County -owned Property
provision of public access along the Miami River, in accordance with the City of Miami, Miami River
Greenway Action Plan; and hiring fifty (50) new skilled full-time (or full-time equivalent) employees, who
reside in Miami -Dade County, with an average salary of $50,000.00, among other terms and conditions,
all as reflected in the proposed "Agreement to Lease" between the County and NKMIA pursuant to
Resolution R-1071-14 of Miami -Dade County as adopted by its Board of County Commissioners.
Therefore, the administration requests a waiver of the competitive bidding requirements to enter into a
sublease agreement between the City and NKMIA for the use of the Property, specifically, forthe purpose
of constructing, maintaining, improving surface parking, and use of the same, in conjunction with the
Sublessee's operation of its corporate headquarters, a school facility and a manufacturing facility, to
ensure the proper coordination of the on-going improvements along with the desired Riverwalk
Improvements, and as such approach is the most practical and advantageous to the City.
