A RESOLUTION ACCEPTING THE PROPOSAL OF MIAMA
RIVER GROUP, INC. SUBMITTED IN RESPONSE TO
THE REQUEST FOR PROPOSALS ENTITLED
"RESTAURANT OPERATIONS IN FT. DALLAS PARK AND
MAINTENANCE OF FT. DALLAS PARK PROPERTY",
SUBJECT TO AND CONTINGENT UPON SAID
PROPOSER'S SUBMITTAL OF A FINANCIAL PLAN
ACCEPTABLE TO THE CITY WITHIN THIRTY DAYS;
FURTHER AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND EXECUTE A MANAGEMENT AGREEMENT,
IN A FORM ACCEPTABLE TO THE CITY ATTORNEY,
BETWEEN THE CITY OF MIAMI AND MIAMA RIVER
GROUP, INC., BASED UPON THE ATTACHED REQUEST
FOR PROPOSAL AND SAID PROPOSER'S SUBMITTALS
THERETO.
WHEREAS, the development of the property known as Ft. Dallas
Park, located at 60-64 SE 4th Street, is nearing completion; and
WHEREAS, the master plan for said park, as approved by
Resolution 81-581, adopted June 25; 1981, included restaurant
operations; and
WHEREAS; the City Commission, via Resolution No. 87-909,
adopted October 22, 1987, authorized the issuance of a Request
is for Proposals entitled "Restaurant Operations in Ft. Dallas Park
and Maintenance of the Ft. Dallas Park Property"; and
WHEREAS, pursuant to public notice, one (1) sealed proposal
was received by the City Clerk; and
WHEREAS, an informal selection committee, comprised of staff
from Property & Lease Management, Public Works, Minority and
Women Procurement, Internal Audits and Review, Finance, Parks,
Recreation and Public Facilities and the City Manager's Office
reviewed the proposal of Miama River Group, Inc.; and
WHEREAS, said committee recommends that said proposal be

of an acceptable financial plan for such operations; and
WHEREAS, said proposal meets all other requirements
stipulated in the Request for Proposals, including provisions for
capital improvements, compensation to City and minority

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The proposal of Miama River Group, Inc.,
submitted in response to the City's Request for Proposals
entitled "Restaurant Operations in Ft. Dallas Park and
Maintenance of Ft. Dallas Park Property" is hereby accepted.
Section 2. Said acceptance is hereby subject to and
contingent upon said proposer's submittal of a financial plan for
said operations within thirty days, which shall be subject to the
City Manager's acceptance and approval.
Section 3. The City Manager is hereby authorized to
negotiate and execute an agreement, in a form acceptable to the
City Attorney, between the City of Miami and Miama River Group,
Inc., for Restaurant Operations in Ft. Dallas Park and
Maintenance of Ft. Dallas Park Property, for a period of ten (10)
years with two (2) five year options, with a minimum annual
guarantee to the City of $30,000, based upon the attached Request
for Proposals and submittals thereto by the Miami River Group,
Inc.

REQUEST FOR PROPOSALS: A RESTAURANT OPERATION IN FT. DALLAS PARK
AND MAINTENANCE OF FT. DALLAS PARK PROPERTY
This advertisement cancels and supercedes City of Miami Ad No.
4609 published October 30, 1987.
The City of Miami (the "City") is seeking qualified proposers to
manage and operate concessions on approximately 4125 square feet
of real estate, situated in Ft. Dallas Park (the "Property"),
located at 60-64 SE Fourth Street, Miami, (see Exhibit I) for a
ten year period. Maintenance of the entire 3/4 acre property and
public access for use of the remaining park areas are additional
requirements and are conditions of any subsequent contract based
on this Request for Proposals.
The use of the designated Property shall be for the purpose of
operating a food and beverage concession (the "Restaurant").
(Sales of alcoholic beverages may be permitted, pending adoption
of appropriate legislation by the City Commission.)
Proposal packets can be obtained from the Parks, Recreation and
Public Facilities Department, 1390 N.W. 7th Street, Miami,
Florida 33125 or City of Miami Clerk, 3500 Pan American Drive,
Miami, Florida 33133.
Sealed proposals shall be submitted to the Office of the City
Clerk of the City of Miami located on the first floor of the
Miami City Hall, 3500 Pan American Drive, Dinner Key, Miami,
Florida 33133 on or before 2:00 PM, December 15 1987.
Any interested party that has already submitted a proposal to the
office of the City Clerk may request the return of said proposal
and may submit a new proposal on or before 2:00 p.m. December 15,
1987.
Any questions pertaining to this Request for Proposals may be
directed to Susan McKay or Dianne Johnson, Parks, Recreation and
Public Facilities Department, 1390 NW 7 Street, Miami, Florida
33125 or by telephoning (305) 579-6900.
Prospective proposers are alerted to the provisions of Ordinance
No. 10062 which established a goal of awarding 51% of the City's
total dollar volume of goods and services to Black, Hispanic and
Women Business Enterprises on an equal basis.
The City Manager of the City of Miami, Florida, reserves the

SECTION VI: AGREhre.NT TERMS (continued)
INDEMNIFICATION
Concessionaire covenants and agrees that it shall indemnify, hold
harmless, and defend the City, its agents, officers and employees
from and against any and all claims, suits, action, damages or
causes of action arising during the term of the agreement for any
personal injury, loss of life, or damage to property sustained in
or about the premises, by reason of or as a result of. the
Concessionaire's occupancy thereof, and from and against any
orders, judgments or decrees which may be entered thereon, and
from and against all. cast, Attorney's fees, expenses and
liabilities incurred in and about the defense of any such claim
and the investigation thereof.
DAMAGES OR LOSS TO LESSEE'S*PROPERTY
Concessionaire releases the City from any and all liability, cost
or expenses for damage, or loss to the Concessionaire's property
for any cause whatsoever.
UTILITIES
Concessionaire shall pay for all utilities consumed on the
property as well as connection and installation charges thereof,
and waste collection, if. any.

ASSIGNMENT AND SUBLETTING OF PREMISES
Concessionaire shall not, at any time during the term of the
agreement, sublet**any part of the premises, or assign the
agreement or any portion or part thereof, except and by virtue of
written authorization granted by the City Manager to the Lessee.
EXAMINATION OF PREMISES
Concessionaire agrees to permit the City Manager or his designee
to enter upon the premises at any time for any purpose thn CITY
deems necessary to, incidental to, or connected with the
performance of the CITY's duties and obligations hereunder or in
the exercise of its rights or. functions.
RULES AND REGULATIONS
Concessionaire agrees that it will abide by any and all rules and
regulations pertaining to the use of the premises which are not
in effect, or which may at any time during the term of the
agreement be promulgated.
* CITY ATTORNEY'S NOTE: This term is an erroneous reference to the
Concessionaire, 1/14/88.
** CITY ATTORNEY'S NOTE: These terms are incorrectly used for "trans-
ferring" and "transfer" since no leasehold interest is to be
vested in the Concessionaire, 1/14/88.

Concessionaire acknowledges that It has been furnished a copy of
Ordinance No. 10062, the Minority and Women Business Affairs
Procurement Program Ordinance of the City of Miami, and agrees to
comply with all applicable substantive and procedural provisions
therein, including any amendments thereto.
COMPLIANCE WITH FEDERAL, STATE AND LOCAL LAWS
Both parties shall comply with all applicable laws, ordinances
and codes of federal, state and local governments.
GROSS RECEIPTS
The term "gross receipts" as used herein shall mean all monies
paid or payable to Concessionaire for sales made or services
rendered at or from the premises or from any other source related
directly or indirectly to this restaurant operation, whether
collected or uncollected, whether for cash or credit, provided
however that any sales taxes imposed by local, county, state or
federal law and paid by purchaser on any item sold by
Concessionaire or any other authorized service or activity of
Concessionaire directly payable to a taxing authority shall be
excluded from the computation of gross receipts.
All cash shortages are to be absorbed by Concessionaire and are
not to be deducted from gross receipts. Had debts, returned
checks and charges for same are also not to be deducted from
gross receipts. Other items such as reimbursements, refunds,
purchase discounts or rebates, and employee loan repayments are
not'to be included as gross receipts or comingled with records of
gross receipts.
_ Any sales made by Concessionaire at cost or gratuities received
by Concessionaire may be excluded from the computation of gross
receipts only if substantiating documentation is provided.
Further, any "sales at cost" must have the prior approval of the
DIRECTOR and required documentation must include the invoice
issued by LESSEE*to the purchaser.
AUDIT RIGHTS
Concessionaire shall provide CITY a letter from an independent
Certified Public Accountant which establishes that Concessionaire
internal controls are adequate Lo safeguard its assets and
