RESOLUTION NO. V3-14
A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXTEND THE EXISTING PROFESSIONAL SERVICES
AGREEMENTS WITH THE FIRMS OF WILLIAM S.
TEASDALE, P.E. AND ELLIS-SNYDER-ASSOCIATES,
INC. FOR ADDITIONAL WORK WITHIN THE ORIGINAL
SCOPE OF SERVICES IN CONNECTION WITH THE
CONSTRUCTION PHASE OF THE DINNER KEY MARINA
RENOVATION AND EXPANSION PROJECT; ALLOCATING
FUNDS FOR SAID ADDITIONAL WORK IN AN AMOUNT
NOT TO EXCEED $160,000 TO BE EXPENDED AS
PROVIDED FOR WITHIN SAID AGREEMENTS FOR EXTRA
SERVICES; WITH MONIES THEREFOR ALLOCATED FROM THE CAPITAL IMPROVEMENTS ORDINANCE NO. 103479 -
PROJECT NO. 414005.
WHEREAS, the City Commission, by Resolution No. 85-835,
adopted July 25, 1985, authorized the City Manager to execute an
Agreement with the firms of William S. Teasdale, P.E., and Ellis -
Snyder -Associates, Inc. for the completion of construction plans
for the Dinner Key Marina Renovation and Expansion project
started by Greenleaf -Tel esca, a firm that went into bankruptcy
and ceased doing business as of February 8, 1985; and
WHEREAS, professional services agreements were executed
with the firm of William S. Teasdale, P.E. on November 4, 1985
and with the firm of Ellis -Snyder -Associates, Inc. on November 8,
1985, and these agreements provided for professional design
services up to the award of the construction contract and
provided for the City to authorize additional work within the
original scope of the project as extra services for all
professional services required during the construction phase
including checking of shop drawings, consultation and/or
inspection and any additional design work to be paid for at an
agreed upon fixed fee or hourly rate; and
WHEREAS, the City Commission by Resolution 86-609,adopted
July 24, 1986, ratified, approved and confirmed the City
Manager's employment of Ellis -Snyder -Associates, Inc. for
additional professional services within the original scope of

services to provide additional design and plans and to make
substantial changes in the existing plans at additional
compensation in order to effect substantial cost savings to the
City during the construction phase; and
WHEREAS, the City Commission by Resolution 86-6741 adopted
September 11, 1986, ratified, approved, and confirmed the City
Manager's employment of William S. Teasdale, P.E., for additional
professional services within the scope of services to provide
additional design and plans, and to make substantial changes in
the existing plans at additional compensation in order to effect
substantial cost savings to the City during the construction
phases; and
WHEREAS, based on said consultant's plans, the City
received bids in July 1987 totaling about $8 million for Dinner
Key Marina pier construction and utility equipment; and
WHEREAS, the City Commission by Resolution No. 87-1028
adopted November 19, 1987, accepted the bid of Misener Marine
= Construction, Inc. in the amount of $7,412,088 for the Dinner Key
Marina Redevelopment - Pier Construction project; and
WHEREAS, the project will soon be under construction and
it is in best interests of the City to continue the services of
William S. Teasdale, P.E., and Ellis -Snyder -Associates, Inc.
during construction phase of the project and to provide
additional work necessary to complete the required landside
improvements and equipment;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The City Manager is authorized to extend the
existing professional services agreements with the firms of
William S. Teasdale, P.E., and Ellis -Snyder -Associates, Inc. for
additional work within the original scope of services in
connection with the construction phases of the Dinner Key Marina
Renovation and Expansion project.

Section 20' To cover the costs of the additional work as
provided within said Agreements for extra services, an amount not
to exceed $160,000 is hereby allocated from the Capital
Improvements Ordinance No. 10347, Project No. 414005.

It is respectfully recommended that the City Commission adopt a
resolution authorizing the City Manager to extend the existing
Professional Services Agreements with the firms of William S.
Teasdale, P.E., and Ellis -Snyder -Associates, Inc. for additional
work in connection with the construction phase of the Dinner Key
Marina Renovation and Expansion Project and to allocate an amount
not to exceed $160,000 to cover the costs of the extra services
as provided in these agreements.
BACKGROUND:
The Department of Public Works recommends that the services of
William S. Teasdale, P.E. and Ellis -Snyder -Associates, Inc. be
continued during the construction phase of the Dinner Key Marina
Renovation and Expansion project until the work is completed and
that up to $160,000 be allocated to cover the costs of the extra
services required by the City which includes consultation,
inspection, checking of shop drawings, and any additional design
work necessary to complete the construction work.
In November 1982, the City Commission authorized the City Manager
to execute an agreement with the firm of Greenleaf-Telesca,
Planners, Engineers, and Architects to provide professional
services for the planning and design of the proposed Dinner Key
Marina Renovation and Expansion. Before the construction plans
were complete, that firm went into bankruptcy and ceased doing
business as of February 8, 1985. At that time the plans were
believed to be 95% complete but none of the principals or
subconsultants were willing to finish the plans.
The engineering firms of William S. Teasdale, P.E. (structural)
and Ellis -Snyder -Associates, Inc. (mechanical and electrical)
expressed an interest in completing the construction plans and in
July 1985 the City Commission authorized the City Manager to
execute agreements with these firms to complete the plans for the
project.

Professional Services Agreements with these firms were executed

of the Greenleaf -Telesca design, plans, and specifications, to
complete the construction documents, to seal the plans, and to
report any changes of a substantial nature that are necessary or
desirable from the original consultant's design so that permits
could be obtained and the project put under construction.

The resolutions authorizing the agreements allocated funding for
the basic services but did not allocate funds for the additional
services which were also within the original scope of services.
The City Commission approved some funds for extra services to
Ellis -Snyder -Associates, Inc. in July 1986 and to William S.
Teasdale, P.E. in September 1986 to make some substantial design
changes in order to save the City money on the new pier
construction. The consultants successfully completed the
construction plans and the City received bids on the pier
construction and utility equipment in July 1987 which total about
$8 million. They also provided design services for the Paving and
Landside Utilities project which is nearing completion and are
providing some design services for the future baywalk.
On November 19, 1987 the City Commission accepted the bid of
Misener Marine Construction in the amount of $7,412,088 for the
Dinner Key Marina - Pier Construction project. In addition, the
City will be purchasing pier utility equipment and security
equipment which is designed and/or specified by the consultants.
There is also a need for additional work to complete the required
landside improvements, marina equipment and any unforeseen
conditions.
It is recommended and normal practice for the consultants who
prepared and sealed the construction plans, to provide continuing
professional services through the completion of construction.
This is provided for in the existing Agreements but not the
funding. The purpose of this Resolution is to provide the
funding of up to $160,000 to continue and extend the existing
professional services agreements with William S. Teasdale, P.E.
and Ellis -Snyder -Associates, Inc. Funding is available from the
C.I.P. Funds appropriated for the Dinner Key Marina
Renovation/Expansion Project.
