MEMORANDUM OF GROUND LEASE
THIS MEMORANDUM OF GROUND LEASE (this "Memorandum") is made by THE CITY OF MIAMI
("Landlord") for the benefit of SG LITTLE HAVANA, LLC, a Florida limited liability company ("Tenant").
1. Landlord and Tenant entered into a Ground Lease dated July 10,2026 (the "Lease"), for that certain
real property located in Miami -Dade County, Florida, legally described on Exhibit 1 hereto (the "Property").
2. Subject to termination for default, the Lease has a term of ninety-nine (99) years, which may be
extended by Tenant for an additional 99 years pursuant to the terms of the Lease.
3. Upon the scheduled expiration or early termination of the Lease as provided for therein, Tenant shall
promptly execute, in recordable form, and deliver to Landlord a Termination of Lease. In the event Tenant fails to
provide the foregoing Termination of Lease within thirty (30) days after Landlord's written request therefor, City
shall be entitled to execute the same for and on behalf of Tenant and Tenant hereby appoints C ity as attorney in fact
for the limited purpose of execution of such Termination of Lease.
This Memorandum is not a complete summary of the Lease. Provisions in this Memorandum shall not be
used to interpret the provisions of the Lease, and, in the event of conflict between this Memorandum and the Lease,
the Lease shall control.
