RECITALS WHEREAS, the Owner is the fee simple title holder to the assemblage of land located at 645 NE 64 Street et al., as more particularly described in Exhibit A; and WHEREAS, the Owner has applied for a Tree Permit under Process No. BD25-009418- 001 (the "Tree Permit") in order to facilitate development of a mixed -use residential project (the "Project"); and WHEREAS, Sierra Club Miami Group (the "SCMG") appealed the Intended Decision of the City's Environmental Resources Division with respect to the Tree Permit (the "Intended Decisions") to the Historic and Environmental Preservation Board (the "HEPB") pursuant to Section 17-8 of the City Code of Ordinances (the "Code"); WHEREAS, the HEPB unanimously accepted the Owner's proffered modification of additional mitigation and commitments made at the hearing held on July 21, 2026 resulting in a denial in part of the SCMG's appeal; WHEREAS, the SCMG thereafter appealed the Intended Decision and the proffered modification to the City Commission which unanimously denied the SCMG's appeal on September 10, 2026; and WHEREAS, following final disposition of the SCMG's appeals by the City Commission in favor of the Owner, the Owner seeks to obtain the Tree Permit; and WHEREAS, following the City Commission's final disposition of SCMG's appeal, the SCMG may file a petition for writ of certiorari within thirty (30) days of rendition of the resolution 1 to reviewed in the Eleventh Judicial Circuit Court of Florida in and for Miami -Dade County (the "Circuit Court") in accordance with Florida Rule of Appellate Procedure Rule 9.100; WHEREAS, Florida Rule of Appellate Procedure 9.190(e)(1) provides that a petition for writ of certiorari seeking review of a quasi-judicial decision does not operate as a stay of the ruling of the quasi-judicial board, except in limited circumstances not applicable to proceedings governing the appeal of the Intended Decision of Tree Permit; and WHEREAS, pursuant to Florida Rule of Appellate Procedure 9.190(e)(3) the lower tribunal retains continuing jurisdiction to issue a stay of administrative action, which may be conditioned upon a bond, other conditions, or both, and in this case the lower tribunal, the City Commission, has not issued any stay on issuance of the Tree Permit following its decision to deny SCMG's appeal on September 10, 2026; and WHEREAS, Owner desires to enter into this agreement to allow Owner to obtain the Tree Permit prior to the deadline for filing of a petition for writ of certiorari challenging the decision of the City Commission of denial of SCMG's appeal; and WHEREAS, pursuant to this Agreement, the Owner agrees to defend, indemnify and hold harmless the City for any liability arising out of or in connection with issuance of the Tree Permit, as well as provide for a remedy in the event it is determined that issuance of the Tree Permit did not comply with the requirements of Chapter 17 of the City Code; and NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated herein and made a part hereof, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the City and the Owner agree as follows: 1. Recitals. The recitals above are incorporated into this Agreement as if fully enforceable terms. 2. Tree Permit. The Tree Permit for the Project may be issued to Owner as conditioned by this Agreement. The Owner acknowledges that if Owner obtains the Tree Permit during the deadline for filing a petition for writ of certiorari to the Circuit Court or prior to the final resolution of any pending appellate matter, Owner will be proceeding at its own risk. Owner agrees that the issuance of the Tree Permit prior to the final resolution of any pending appellate matter would not be a grant of any vested right whatsoever to the Owner to occupy the Project prior to the final resolution of any pending appellate matter. As used in this Agreement, "final resolution of any pending appeal" means final resolution of any pending appellate matter (including a petition for writ of certiorari), whether filed or to be filed in the future, disposed of by judgment, dismissal, settlement, or otherwise. Notwithstanding, if a petition for writ of certiorari to the Circuit Court is filed, an administrative stay shall be in place pursuant Section 17-8(d) until such time as Owner seeks relief from the Circuit Court. 3. Regulatory Authority. The Owner acknowledges that the City, in its regulatory capacity, reserves the right to evaluate all applications for building permits, including the Tree Permit, for compliance with all existing laws, ordinances, and regulations controlling the issuance of building permits for construction within the City. The Owner acknowledges that nothing in this Agreement shall prejudice the City's right to impose conditions on 2 approval of the Tree Permit which are required by state, county, and/or City plat ordinances and zoning regulations or are otherwise necessary to ensure the public health, safety, and welfare of the citizens of the City; nor shall the City be stopped from enforcing the terms of this Agreement by reason of its issuance of building permits. 4. Certificate of Occupancy/Temporary Certificate of Occupancy. The Owner acknowledges that a Temporary Certificate of Occupancy or Certificate of Occupancy shall not be issued, unless and until final resolution of any pending appeal in favor of Owner. 5. Hold Harmless. The Owner expressly acknowledges that issuance of the Tree Permit shall not serve as the basis for equitable estoppel or any other claim or defense against any violation, claim, or penalty resulting from impacts to tree resources prior to obtaining the required permits and approvals in accordance with Chapter 17 of the City Code. 6. Indemnification. The Owner agrees to indemnify, defend (at the Owner's expense), save, and hold harmless the City, its officials, assigns, and employees, from any claims, demands, liabilities, losses, causes of action of any nature whatsoever arising out of or in connection with this Agreement, the granting of any building permits, including the Tree Permit, or any part thereof, from and against all costs, fees, expenses, liabilities, any orders, judgments or decrees which may be entered and from and against all costs, attorneys' fees, expenses, and liabilities incurred in the defense of such claim or in the investigation thereof. This indemnity shall survive the issuance of a Certificate of Occupancy for the project. Notwithstanding the foregoing, the Owner shall not be obligated to indemnify, defend, or hold harmless the City for (i) the costs, attorneys' fees, or expenses the City incurs if named as the appellee/respondent in a petition for writ of certiorari challenging the City Commission denial of the appeal filed by SCMG; or (ii) any claims, liabilities, losses, or damages to the extent caused by the negligence, gross negligence, or willful misconduct of the City or its officials, employees, or agents. 7. Remedy Upon Unfavorable Disposition of Appeal. In the event that an appeal of the City Commission's denial of the appeal of the Intended Decision is filed in the Circuit Court, the Circuit Court quashes, sets aside, or otherwise resolves the appeal in favor of the appellant/petitioner, and it is determined the Tree Permit cannot be issued in accordance with Chapter 17 of the City Code, the Owner agrees that any issued tree permit shall be deemed null and void, and any impacts to tree resources conducted in accordance with the Tree Permit shall be deemed to be violations of the City Code of ordinances, subject to all fines, penalties, and enhanced mitigation, or other requirements applicable to violators of Chapter 17 of the Code. 8. City Remedies. Nothing in this Agreement shall be construed to limit or restrict the City's regulatory or enforcement powers, including the ability to issue stop work orders, revoke permits, or pursue any remedies available under applicable law. The rights and remedies set forth herein are cumulative and in addition to all other powers and remedies of the City. 9. Covenant Running with the Land. It is expressly understood and agreed that this instrument shall be binding upon Owner and also upon the heirs, successors in interest, and assigns of 3 Owner, and shall be a condition implied in any conveyance or other instrument affecting the title to the aforesaid Property or any portion thereof 10. Severability. If any provision of this Agreement is declared invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. 11. Election of Remedies. All rights, remedies and privileges granted herein shall be deemed to be cumulative and the exercise of any one or more shall neither be deemed to constitute an election of remedies, nor shall it preclude the party exercising the same from exercising such other additional rights, remedies or privileges. 12. No Entitlement or Obligation. Except as otherwise set forth in this Agreement, this Agreement does not obligate the City to approve the Tree Permit or any related building permit or development approval and shall not be construed to confer upon the Owner any vested right or entitlement to such approval. The City, its boards and departments expressly retain their full discretion to deny or approve any application, in whole or in part. 13. Enforcement. Enforcement shall be by action against any parties or persons violating, or attempting to violate, any term, covenant, condition, or provision of this Agreement and shall be filed in Miami -Dade County. This enforcement provision shall be in addition to any other remedies available at law, in equity or both 14. Counterparts. This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, and such counterparts shall together constitute but one and the same Agreement. The Parties shall be entitled to sign and transmit an electronic signature of this Agreement (Whether by facsimile, PDF, or other electronic transmission), which signature shall be binding on the party whose name is contained therein. 15. Modification, Amendment, Release. This Agreement may be modified, amended, or released as to the Property, or any portion thereof, by a written instrument executed by the then-owner(s) of the Property, including joinders of all mortgagees, if any, provided that the same is also approved by the City.
