HANNON ATTESTED DATE 7/12/2022 DATE RECEIVED FROM ISSUING DEPT. 7/19/2022 NOTE AMENDMENT NO. 1 TO THE EMERGENCY RENTAL ASSISTANCE (ERA) PROGRAM 2 IMPLEMENTATION AGREEMENT This First Amendment to the Emergency Rental Assistance (ERA) Program 2 Implementation Agreement ("Amendment") is entered into the day of , 2022 between the City of Miami, a municipal corporation of the State of Florida ("City") and Sunshine for All, Inc., a Florida not for profit corporation ("Provider"). RECITALS WHEREAS, the Emergency Rental Assistance ("ERA") Program 2 was established by the American Rescue Plan Act of 2021, Pub. L. No. 117-2 (March 11, 2021), and by the Miami City Commission through Resolution No. 21-0443 ("R-21-0443"); and WHEREAS, on May 4, 2022, the City and Provider entered into the Emergency Rental Assistance (ERA) Program 2 Implementation Agreement ("Agreement") so that Provider would provide a wide range of activities related to determining and documenting applicant and/or participant eligibility, income, rent and contractual relationships with owners in support of the Emergency Rental Assistance Program operations using written administrative policies and procedures; and WHEREAS, R-21-0443 describes that the funding for the Agreement, which is provided by the United States Department of the Treasury, would be conditionally allocated in two tranches of funds, where the second tranche of funds would be conditioned on the City's ability to spend the first tranche of funds in a timely manner; and WHEREAS, the City has spent the aforementioned first tranche of funds in a timely manner and has received the second tranche of funds, and therefore, the parties hereto need to amend the Agreement to increase the Agreement's funding from fifty thousand dollars ($50,000.00) to a total of one hundred.twenty-five thousand dollars ($125,000.00); and NOW, THEREFORE, in consideration for the covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. All of the above recitals are true and correct in all respects and are incorporated by reference herein as though set forth in full herein. 2. Page 1 of the Agreement is amended to reflect the AMOUNT as follows: $125,000.00. 3. Section 1.2 is amended as follows: ERA Funds: The $125,000.00 paid to PROVIDER in exchange for PROVIDER completing the activities described in the Scope of Services set forth in Exhibit B. Page 1 of 3 4. EXHIBIT C, Section A. is amended as follows: A. The CITY shall pay the Sub -Recipient as maximum compensation for the services required pursuant to this Agreement the sum of`S125.000.00. 5. The Itemized Budget Narrative in the Agreement is replaced with the Itemized Budget Narrative attached to this Amendment as Attachment A. 6. Except as modified herein, all terms and conditions of the Agreement shall remain in full force and effect. 7. This Amendment may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Amendment. The parties shall be entitled to sign and transmit an electronic signature of this Amendment (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Amendment upon request. 8. This Amendment may not be amended, suspended, superseded or otherwise modified except by a written instrument, expressly identifying the modifications made and signed by the authorized representative of each of the parties.
