The Agreement is hereby amended as follows: RECITALS WHEREAS, pursuant to Resolution No. 18-0124, the City entered into the Agreement with Marsh Clearsight LLC, a Delaware limited liability company authorized to conduct business in Florida; and WHEREAS, Amendment No. 1 was executed April 2, 2018, amending the cost of annual services for Years 2 and 3, respectively, to Eighty -Six Thousand Two Hundred Eighty Eight Dollars ($86,288.00) per year and further defining the Agreement effective date as April 2, 2018. WHEREAS, Amendment No. 2 was executed on September 4, 2019, amending the company name from Marsh Clearsight LLC to Riskonnect LLC due to a merger on December 31, 2018, with no change to the company structure or Federal Employer Identification Number ("FEIN"); and WHEREAS, it has been determined that specific current Riskonnect services are not needed, however, Riskonnect services providing the required level of payment processing and data analysis with detailed information of the annual finance transactions and reports are needed; and WHEREAS, an updated Riskonnect Platform Statement of Work was provided and approved by the City's Department of Risk Management, attached as Exhibit "A" to this Amendment; NOW THEREFORE, in consideration of the foregoing, the parties hereby amend the Agreement as follows: 1 DocuSign Envelope ID: 30E4EEDA-4833-40F0-B7A3-B2726D4E40DD The Exhibit "A," Amended and Restated Statement of Work, attached herein, has been added to the Agreement's original scope of work deliverables.
