A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE SOUTHEAST
OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY
("SEOPW CRA"), RESCINDING RESOLUTION NO. CRA-R-25-0028, ADOPTED
ON JUNE 17, 2025, IN ITS ENTIRETY ("PURPOSE"); DIRECTING THE
EXECUTIVE DIRECTOR AND STAFF OF THE SEOPW CRA TO TAKE ANY AND
ALL ACTIONS NECESSARY IN FURTHERANCE THEREOF; DEALLOCATING
FUNDS FROM ACCOUNT NO. 10050.920101.662000.00000.0000 — "LAND";
PROVIDING FOR THE INCORPORATION OF RECITALS AND AN EFFECTIVE
DATE.
WHEREAS, the SEOPW CRA wished to acquire the real properties abutting land, owned by
Shirlene Ingraham, as Trustee under the Shirlene Ingraham Family Trust, and J.E.J. Properties, Inc.
(collectively, the "Seller"), located at 942 Northwest 3rd Avenue and 950 Northwest 3rd Avenue, Miami,
Florida 33136 (Folio No. 01-3137-035-0010) (collectively, the "Properties"); and
WHEREAS, through Resolution No. CRA-R-25-0028, adopted on June 17, 2025, the Board of
Commissioners authorized the Executive Director to negotiate and execute a purchase and sale
agreement, in a form acceptable to Counsel, between the SEOPW CRA and Seller for the acquisition of
the Properties for a total purchase price not to exceed its appraised value, contingent upon the SEOPW
CRA receiving a written appraisal from a licensed Florida appraiser ("Project"); and
WHEREAS, no actions were taken in furtherance of Resolution No. CRA-R-25-0028 and the
authorization requested is no longer required ("Purpose"); and
WHEREAS, the Board of Commissioners finds that adopting this Resolution would further the
redevelopment goals and objectives of the SEOPW CRA;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE
SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. Resolution No. CRA-R-25-0028, adopted on June 17, 2025, is hereby
rescinded in its entirety.
Section 3. The Executive Director and SEOPW CRA staff are hereby authorized to take any
and all actions necessary in furtherance of the Purpose stated herein.
Section 4. The funds associated with this Project are hereby deallocated from Account No.
10050.920101.662000.00000.0000 — "Land."
Section 5. The Executive Director is directed to return these funds to the SEOPW CRA's
unrestricted fund balance.

Section 6. This Resolution shall become effective immediately upon its adoption.
