A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE SOUTHEAST
OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY
("SEOPW CRA"), RESCINDING RESOLUTION NO. CRA-R-23-0062 ADOPTED
ON DECEMBER 14, 2023, IN ITS ENTIRETY ("PURPOSE"); DIRECTING THE
EXECUTIVE DIRECTOR AND STAFF OF THE SEOPW CRA TO TAKE ANY AND
ALL ACTIONS NECESSARY TO TERMINATE THE REVOCABLE LICENSE
AGREEMENT, IF ANY, BETWEEN THE SEOPW CRA AND DUNNS-JOSEPHINE,
INC., AND CEASE ANY FURTHER NEGOTIATIONS; PROVIDING FOR THE
INCORPORATION OF RECITALS AND AN EFFECTIVE DATE.
WHEREAS, Dunns-Josephine, Inc., a Florida For -Profit Corporation ("Dunns-Josephine"),
submitted a request for the temporary use of a portion of SEOPW CRA property, located at 316
Northwest 11th Street and 324 Northwest 11th Street, Miami, Florida 33136 (the "CRA Lots"); and
WHEREAS, through Resolution CRA-R-23-0062, adopted on December 14, 2023, the Board of
Commissioners authorized the Executive Director to negotiate and execute a Revocable License
Agreement, subject to review and approval by the General Counsel and Director of Risk Management,
without further approval of the Board of Commissioners for the purpose stated above; and
WHEREAS, the SEOPW CRA would like to move into a new direction regarding the use of the
CRA Lots and rescind the previous resolution, in its entirety, thereby terminating all negotiations and any
agreement(s), if any, with Dunns-Josephine ("Purpose"); and
WHEREAS, the Board of Commissioners finds that adopting this Resolution would further the
redevelopment goals and objectives of the SEOPW CRA.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE
SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. Resolution No. CRA-R-23-0062, adopted on December 14, 2023, is hereby
rescinded in its entirety.
Section 3. The Executive Director and SEOPW CRA staff is hereby authorized to take any
and all actions necessary to terminate any license agreement(s), if any, with Dunns-Josephine for the
Purpose stated herein.
Section 4. The Executive Director is further authorized to terminate all further negotiations
with Dunns-Josephine for said Purpose.
Section 5. This Resolution shall become effective immediately upon its adoption.
