Local Hiring Commitment for Construction Jobs Up to 25% of all construction jobs will be set aside for residents of the City of Miami with first priority to residents of Little Haiti. Up to 40% of all construction jobs will be set aside for Miami -Dade County residents. Local Hiring Commitment for Permanent Jobs Up to 10% of the permanent jobs with the Owner will be set aside for residents of Little Haiti. Commercial tenants will be encouraged to hire up to 10% of their labor from within Little Haiti. A r`c,., " COMMUNITY BENEFIT AGREEMENT -PROPOSED MATERIAL TERMS Summarized below are the proposed material terms (these "Material Terms") of the draft COMMUNITY BENEFIT AGREEMENT (the "Agreement") by and between Eastside Ridge LLC, a Florida limited liability company ("Developer") and Concerned Leaders of Little Haiti, a Florida unincorporated association ("Coalition"), in respect of the Agreement to be prepared by Developer and Coalition regarding the Developer's proposed project known as the Eastside Ridge Special Area Plan ("Eastside Ridge SAP"). Developer and Coalition are hereinafter referred to as the "Parties". Before the first (1st) reading of the Eastside Ridge SAP before the City Commission (the "Commission") of the City of Miami (the "City"), the Parties intend to enter into a binding Agreement providing for the following Material Terms. These Material Terms are nonbinding as to the Parties unless and until such definitive Agreement is entered into by the Parties. Item Proposed Terms Affordable Housing: Fifteen percent (15%) of total dwelling units on -site shall be designated as affordable housing (defined as: at or below sixty percent (60%) of Miami Dade area median income ("AMI")). Workforce Housing: Ten percent (10%) of the total dwelling units on -site shall be designated as workforce housing (defined as: between sixty-one percent (61%) and one hundred twenty percent (120%) of Miami Dade AMI). Jobs: Developer hereby agrees that the following requirements shall apply to construction contracts and employment created by the Eastside Ridge SAP, whether part-time or full-time: (a) At least twenty-five percent (25%) of on -site construction jobs shall be set aside for residents of the City's Little Haiti neighborhood, defined as the following zip codes: 33137, 33138, 33150 and 33127 ("Little Haiti"); (b) Ten percent (10%) of all subcontracts for construction and construction -related materials, supplies, and fixtures related to the Eastside Ridge SAP shall be awarded to firms predominately owned and controlled by Little Haiti residents; and (c) Thirty percent (30%) of all permanent jobs created by the Eastside Ridge SAP shall go to residents of Little Haiti. Developer shall, and it shall require its contractors to, use good faith, best efforts to meet the requirements outlined above. First Source Hiring Policy. Developer shall, and shall require its contractors to, implement a first source hiring policy under which Developer shall for a minimum of two (2) months, use good faith, best efforts to fill open employment positions within the project site with residents of Little Haiti. First Source Referral Policy. Developer shall engage a qualified employment agency approved by the Coalition (the "Agency") as its first source for external referral of qualified applicants for all job openings on the project site. The Coalition and the Agency will be promptly notified of each available job opportunity as it becomes available. Employment Policies. Developer shall omit questions related to a potential applicant or job applicant's arrests or convictions for minor or insignificant non-violent offenses for all temporary and permanent job applications. Outreach. Developer shall contract with Haitian radio and television stations and local churches to advertise open employment and contracting opportunities and conduct hiring outreach in Little Haiti. Developer will provide job -training opportunities for the Little Haiti community through the Little Haiti fund. Developer will continue to use its good faith efforts to comply with the jobs provisions in the Agreement with the Coalition. Little Haiti Fund: Developer or its affiliates will provide or secure funding for a Little Haiti Fund administered by the Miami Foundation for community benefits in the amount of Twenty Five Million Dollars and 00/100 ($25,000,000.00). The payments will be as follows: (a) Three Million Dollars and 00/100 ($3,000,000.00) within six (6) months of final adoption of the Eastside Ridge SAP by the City Commission; (b) Two Million Dollars and 00/100 ($2,000,000.00) within twelve (12) months of final adoption of the Eastside Ridge SAP by the City Commission; and (c) Thereafter, Two Million Dollars and 00/100 ($2,000,000.00) annually for a period of ten (10) years. The Little Haiti Fund will have a seven (7) member board, three (3) of which will be appointed by Developer and its affiliates, three (3) of which will be appointed by Coalition, and one (1) of which will be appointed by mutual agreement of' Developer and Coalition. Education/ Resiliency & Wellness: Developer shall partner with a post -secondary educational institution of the Coalition's choice to offer educational and skills based training programs for youth, residents and business owners in Little Haiti. Designate space on site of project for community based social and health service organizations to continue servicing current residents. Master Plan & Comprehensive Studies: Conduct a master plan and comprehensive study of project and impact on Little Haiti neighborhood, including but not limited to the areas of traffic, resiliency and affordable housing. Signage/Name of Project: Developer shall include in the final name of the Eastside Ridge SAP the name "Little Haiti" within all signage and branding relating to the Eastside Ridge SAP. Local Economic Development: Developer shall establish a pipeline/internship program for young Haitian and minority professionals to obtain professional careers and employment within the organizations of Developer and its affiliates. Developer shall set -aside thirty-five percent (35%) of the total commercial retail space on -site for local long-term Little Haiti businesses identified by the Coalition at a reduced rental rate. Developer shall establish a Little Haiti Business Incubator on site of the project. Arts and Culture Developer shall collaborate with the Coalition to identify local Haitian artists to display or perform their art in the Project's public spaces. No less than thirty percent (30%) of the public art provided through the City's Art in Public Places program will reflect the influence of Haitian or Haitian -American art and culture. Designate a space on site of project for a Haitian Heritage and Art Museum. Impact Fees Developer hereby agrees to collaborate with the Coalition to have impact fees due to the County reinvested into improvements within or directly serving Little Haiti. Enforceability The terms of this agreement will operate as a covenant running with the land. Developer will face financial penalties for non-compliance with this agreement. Reginald Jean -Mary Pastor, Notre Dame D'Haiti Catholic Church 110 NE 62 Street Miami, Florida 33138 tiyogann@yahoo.com Submitted Into The Record 330 ) G Re: Letter of Agreement regarding Eastside Ridge Special Area Plan proposed for Property at 5035, 5135, and 5175 NE 2 Avenue in Miami, Florida Dear Little Haiti Stakeholder: As you know, Eastside Ridge, LLC and SPV Realty, LLC (collectively, "Eastside Ridge") have applied to the City of Miami (the "City") for approval of an amendment of the comprehensive plan map and zoning designations (the "Applications") for the properties at 5035, 5135, and 5175 NE 2 Avenue in Miami, Florida (collectively, the "Properties"). If approved, the Applications would allow redevelopment of the Property pursuant to a "Special Area Plan." In connection with the Applications, the City requires submission of a set of conceptual architectural drawings (a "Concept Book"), a set of proposed development guidelines (a "Regulating Plan"), and a "Development Agreement" between the Eastside Ridge and the City regarding the Properties' future redevelopment (the "Project"). In an effort to alleviate community concerns regarding the Applications and the Project, my colleagues acting on behalf of Eastside Ridge have conferred with you, and the other undersigned stakeholders in Little Haiti (collectively, the "Undersigned Stakeholders") on multiple occasions over the course of the last eighteen months. This letter agreement (the "Agreement") memorializes the terms of Eastside Ridge and the Undersigned Stakeholders' agreement. Thank you for your tireless efforts to promote Little Haiti and bring its needs to our attention. Your input has dramatically improved our vision for this Project. With its commitment to creating opportunities for employment, housing, education, the promotion of Haitian -American culture, and an investment of up to $10 million, the terms of our agreement create an opportunity for to leave a lasting positive change in Little Haiti. With this Agreement, our Project can work for Little Haiti in a way that similar project in other communities have not. That said, your work and ours is not over. The Project can work for Little Haiti in a way that similar projects in other communities have not. To make those opportunities a reality, we must continue working together. In the immediate term, that work will require you and your colleagues to tell City officials that this Project must be approved and the terms of this Agreement must be -1- June 14, 2018 made a part of it. In the longer term, that work will require each of us to work hand -in -hand so that the Project's growth lifts all of Little Haiti. We look forward to turning our dialogue into a partnership and promoting lasting positive change in Little Haiti. 1. In consideration of the terms of this Agreement, Eastside Ridge agrees as follows: a. Investing in Little Haiti's Civil Society Capital Contribution. Eastside Ridge acknowledges that Little Haiti's community faces a series of economic and social challenges including a pressing need for affordable housing, educational opportunities, small business growth, and assistance with immigration services to preserve unity. Eastside Ridge wishes to invest in Little Haiti's residents and its civil society so that they can confront the above challenges. Accordingly, Eastside Ridge agrees to invest up to $10,000,000 (the "Capital Contribution") for use by Little Haiti's non-profit civil society organizations subject to the following terms. ii. Use of Capital Contribution. Use of the Capital Contribution will be governed by an initial charter overseen by a board made up of community leaders, subject to the terms of this paragraph. The purposes for which the Capital Contribution may be used will be limited to the following categories: 1. Affordable Housing. Up to $7 million of the Capital Contribution will be set aside as a revolving fund to help build or renovate affordable housing in Little Haiti. This revolving fund will provide loans to non-profit affordable housing developers at the lowest rates possible to retain non-profit status under Federal and State law, and subject to other terms to allow continued reinvestment in Little Haiti. 2. Advancing Educational Opportunities. A portion of the Capital Contribution will promote job training, continuing adult education, and pre-K through college opportunities, including but not limited to: support for existing community programs for seniors, daycare, and after -school programs; providing children's books and promoting literacy through the Little Haiti Book Fair; and scholarships. 3. Promoting Haitian -Owned & Operated Business. Community leaders have expressed a strong interest in fostering Haitian owned and operated small businesses in Little Haiti. A portion of the Capital Contribution may advance this goal by creating a small -2- June 14, 2018 business incubator for Haitian owned and operated businesses. Such an incubator could provide rent assistance, business development training, marketing opportunities, seed funding, and other benefits. Alternatively, these same and similar forms of business assistance may be provided without the need of establishing a business incubator. 4. Promoting Haitian Culture, Art, and Language. Little Haiti has a rich culture that should be celebrated. A portion of the Capital Contribution will do so by providing financial sponsorship for various artists, art groups and art programs including, but not limited to, Arts Beat Miami, the Haitian Heritage Museum, and the Little Haiti Cultural Center. 5. Immigration and Naturalization Assistance. A portion of the Capital Contribution may be used to establish or to contribute to existing revolving funds for the payment of fees for naturalization, adjustment of status and TPS applications. Capital Contribution funds may not be used for political purposes including campaigning or seeking policy changes, or for any other uses that would jeopardize non-profit status under Federal or State law. iii. Potential Reduction of Capital Contribution. Eastside Ridge's Capital Contribution will be reduce based on the total number of dwelling units that the City's approval of the Special Area Plan. The Special Area Plan proposes a maximum of 3,370 dwelling units. If City Commission's approval of the Special Area Plan allows 3,300 units, then Owner and Developer shall contribute $10,000,000 consistent with the terms of this agreement. If the City Commission's approval allows a smaller number of units, then the total contribution will be reduced as follows: • By $1,500 per unit for each unit below a total of 3,300 units • By $2,000 per unit for each unit below a total of 3,000 units • By $4,500 per unit for each unit below a total of 2,800 units • By $7,375 per unit for each unit below a total of 2,300 units iv. Installments. For purposes of this subsection, "Development Approval" shall mean any approval for a specific building or set of building submitted after SAP approval. The Capital Contribution shall be made in installments as follows: 1. SAP Approval. $500,000 or 5% will be paid after the City Commission approved the proposed Comprehensive Plan, SAP and Development Agreement, and all applicable appeal periods expire. -3- June 14, 2018 2. Phase 1 Development Approval. $500,000 or 5% will be paid after the City issues necessary development approvals for Phase 1 construction and applicable appeal periods expire. 3. Phase 1 Building Permit. $750,000 or 7.5% will be paid after the City issues a Building Permit for construction of Phase 1 and applicable appeal periods expire. 4. Phase 1 Certificate of Occupancy. $1,000,000 or 10% will be paid after the City issues final Certificate of Occupancy for construction of Phase 1 and any applicable appeal periods expire. 5. Phase 2 Development Approval. $500,000 or 5% will be paid after the City issues necessary development approvals for Phase 2 construction and applicable appeal periods expire. 6. Phase 2 Building Permit. $750,000 or 7.5% will be paid after the City issues a Building Permit for construction of Phase 2 and applicable appeal periods expire. 7. Phase 2 Certificate of Occupancy. $1,000,000 or 10% will be paid after the City issues final Certificate of Occupancy for construction of Phase 2 and any applicable appeal periods expire. 8. Phase 3 Development Approval. $500,000 or 5% will be paid after the City issues necessary development approvals for Phase 3 construction and applicable appeal periods expire. 9. Phase 3 Building Permit. $1,000,000 or 10% will be paid after the City issues a Building Permit for construction of Phase 3 and applicable appeal periods expire. 10. Phase 3 Certificate of Occupancy. $1,000,000 or 10% will be paid after the City issues final Certificate of Occupancy for construction of Phase 3 and any applicable appeal periods expire. 11. Phase 4 Development Approval. $500,000 or 5% will be paid after the City issues necessary development approvals for Phase 4 construction and applicable appeal periods expire. 12. Phase 4 Building Permit. $1,000,000 or 10% will be paid after the City issues a Building Permit for construction of Phase 4 and applicable appeal periods expire. 13. Phase 4 Certificate of Occupancy. $1,000,000 or 10% will be paid after the City issues final Certificate of Occupancy for construction of Phase 4 and any applicable appeal periods expire. -4- June 14, 2018 v. Community Leadership. The use of Capital Contribution funds will be directed and supervised by a seven -member board. The board will consist of the following individuals: 1. An appointee of a non-profit organization with an established track record of providing social services in Little Haiti for no less than 10 years. Ideally, this appointee will be the chief executive or other leader of such non-profit organization. 2. An appointee of a non-profit organization with an established track record of providing social services, civic engagement, and/or arts and culture enrichment in Little Haiti for no less than 10 years. Ideally, this appointee will be the chief executive or other leader of such non-profit organization. 3. An appointee from within Little Haiti's leading religious institutions. Ideally, this appointee will be one of the religious institution's leaders. 4. An appointee from within the downtown Little Haiti business community. This individual must have operated a business in Little Haiti for at least five years. The individual may be appointed by a leading business organization such as a chamber of commerce or business improvement district, or may be an individually selected. 5. An individual with experience in developing and managing affordable housing in Miami for no less than 10 years. 6. An appointee of Eastside Ridge. 7. An appointee of the City Commissioner for Little Haiti. This appointee should be an individual who has lived or owned and operated a business in Little Haiti for no less than ten years. To serve on the governing board, all individuals must (1) demonstrate an active involvement in promoting the social and economic welfare of the Little Haiti Community; and (2) live or have a place of business in Little Haiti. With the exception of the board appointee selected by the City Commissioner, the Owner and Developer will appoint the members of the -5- June 14, 2018 seven -member board. Vacancies on the foundation's governing board will be filled by majority vote of the Board's remaining members. vi. Management. To ensure that the Capital Contribution is efficiently managed and to encourage transparency and accountability, daily management and supervision of the Capital Contribution shall be managed by an established community foundation serving Miami such as the Miami Foundation, or an organization of similar repute. vii. Within City Limits. Use of funds will be limited to projects located within City of Miami limits and residents of the City. viii. Operating Costs. The costs of forming the board, creating and recording governing documents, establishing contracts with a community foundation (such as the Miami Foundation or the Knight Foundation), and all future operations of the seven -member board's management of the Capital Contribution shall be paid out of the Capital Contribution. ix. Contributions by Others. The Capital Contribution may be augmented by contributions from others provided, however, that the initial Capital Contribution remain subject to all terms of this paragraph 1(a) including its subsections. x. The draft of the Development Agreement submitted to the City Commission for its review, possible amendment, and final approval will include all the terms of this paragraph 1(a) including its subsections. b. Workforce Housing i. No less than 10% of all residential units constructed as part of the Project will be set aside as Workforce Housing. ii. Additionally, no fewer than 25% of those set -aside units will be constructed in each of the Project's four phases. iii. The draft of the Development Agreement submitted to the City Commission for its review, possible amendment, and final approval will include all the terms of this paragraph 1(b) including its subsections. c. Relocation Assistance i. For at least 12 months prior to the demolition of any residential building located on the Properties, Eastside Ridge will stop leasing rental units existing on the Properties as they are vacated. Those vacated units will be reserved for and offered to residents of those buildings proposed to be demolished in connection with construction of Project Phase 1. -6- June 14, 2018 ii. Vacated rental units will be made available to said residents at the same terms of their existing rental agreement. iii. Eastside Ridge will provide moving assistance to those residents of Design Place that opt to relocate to vacated units elsewhere on the Properties. That assistance will include helping them to move their personal belongings to their new rental unit. iv. When construction of Project Phase 1 is completed, relocated residents would be given a first opportunity to relocate to Phase 1 of the Project. Eastside Ridge will allow residents who decide to relocate to lease in the new Project at their existing rent for two years. Eastside Ridge will again assist residents in moving their personal belongings to their new rental unit. v. The process described in paragraph 1(b)(i)-(iv) above will be repeated for each phase of the Project's construction. vi. The draft of the Development Agreement submitted to the City Commission for its review, possible amendment, and final approval will include all the terms of this paragraph 1(c) including its subsections. d. Jobs Construction Jobs. Eastside Ridge's hiring goal will be to hire no less than 25% of all construction jobs from within Little Haiti. 1. If after one month of seeking laborers in Little Haiti Eastside Ridge finds that it cannot meet the 25% goal, it will widen its search to include Overtown and Park West. 2. If after two weeks, Eastside Ridge finds it cannot meet the 25% goal, it will then widen its search to include disadvantaged zip codes surrounding Little Haiti, Overtown, and Park West, and West Coconut Grove. 3. If after two weeks, Eastside Ridge finds it cannot meet the 25% goal, it will then widen its search to include all of the City of Miami. 4. If after two weeks, Eastside Ridge finds it cannot meet the 25% goal, it will then widen its search to include all of Miami -Dade County. ii. Subcontractors. Eastside Ridge's hiring goal for subcontractors will be to hire no less than 5% of all subcontractors from within Little Haiti subject to the same schedule listed in paragraph 1(c)(i) above. iii. Permanent Jobs -7- June 14, 2018 1. Eastside Ridge's hiring goal for permanent jobs in connection with operation and management of the Properties will be 10% from within Little Haiti subject to the same schedule listed in paragraph 1 (c)(i) above. 2. Eastside Ridge will encourage each of its tenants to set a hiring goal for permanent jobs of no less than 10% from within Little Haiti. iv. Hiring Outreach. Eastside Ridge will contract with an organization experienced in communicating job opportunities, implementing local job preference opportunities, and in conducting job fairs and similar outreach efforts within low-income and disadvantaged communities. Eastside Ridge will require that that organization engage with Little Haiti's existing community organizations and leaders to maximize the organization's effectiveness in reaching out to Little Haiti and Haitian - Americans throughout Miami -Dade County. Eastside Ridge will further require that the organization's outreach personnel are hired from within the Haitian community. v. At least two such events will be conducted for construction jobs, and at least two such events will be conducted for permanent jobs. vi. Job Training. Eastside Ridge will offer job training opportunities for all of its construction and permanent employees. vii. Employment Policies. Eastside Ridge will implement and will instruct all tenants to implements non-discriminatory employment policies. Eastside Ridge will not use a job applicant's criminal record as an automatic bar to hiring or recruitment (provided, however, that Eastside Ridge will retain the right not to hire or to fire individuals with records of felony conviction involving violence). viii. The draft of the Development Agreement submitted to the City Commission for its review, possible amendment, and final approval will include all the terms of this paragraph 1(d) including its subsections. e. Arts and Culture. Arts Programming. Eastside Ridge will collaborate with local arts groups, including but not limited to the Miami -Dade College of Music, the Haitian Heritage Museum, Libreri Mapou, and similar entities to identify year- round opportunities for local artists to display or perform their art in the Project's public spaces. ii. Art Contributions in Downtown Little Haiti. Eastside Ridge agrees that the draft of the Development Agreement submitted to the City -8- June 14, 2018 Commission for its review and approval will provide that properties fronting NE 2nd Avenue from the NE 54th Street north to NE 64th Terrace (the "Art Corridor") will be considered part of the SAP Development Site for the limited purpose of satisfying the requirements of the City's Art in Public Places Program. Eastside Ridge further agrees that at least 15% of value of the art contribution required by the Art in Public Places Program will allocated to public art located within the Art Corridor. iii. Haitian Art in Public Places. The draft of the Regulating Plan submitted to the City Commission for its review and approval will provide that no less than 30% of the public art provided through the City's Art in Public Places Program will reflect the influence of Haitian or Haitian -American art and culture. iv. The draft of the Development Agreement submitted to the City Commission for its review, possible amendment, and final approval will include all the terms of this paragraph 1(e) including its subsections. f. Welcome Signage. If a location for such signage is identified and the design is approved and permitted by all relevant government authorities, then Eastside Ridge will pay the reasonable costs of construction and/or installing signage welcoming visitors to Little Haiti. The draft of the Development Agreement submitted to the City Commission for its review, possible amendment, and final approval will include all the terms of this paragraph 1(f) including its subsections. g• Impact Fees. County and City laws require new development to pay "road impact fees" to offset its impact on existing roadways and public transportation infrastructure. Miami -Dade County, which manages road impact fees collected within the City of Miami, typically disburses impact fees collected to a broad area which means that impact fees collected in one neighborhood may never pay for improvements in that same neighborhood. Eastside Ridge agrees to collaborate with the Undersigned Stakeholders petition Miami -Dade County and the City of Miami to have impact road impact fees due to the County pursuant to the County's Road Impact Fee Ordinance reinvested solely into improvements within or directly serving Little Haiti. h. Run with the Land. As noted above, Eastside Ridge will include the terms of paragraphs 1(a) through 1(f) (including their subsections) in its draft Development Agreement submitted to the City Commission for the Commission's review and approval. The Undersigned Stakeholders agree to collaborate with Eastside Ridge to secure the placement of a train station and passenger rail service at the Properties. e. Collaboration contemplated in paragraphs (2)(c) and (d) shall include, upon request by Eastside Ridge, each of the following: i. Instructing one or more of Undersigned Stakeholders' officers to submit a written statement of support to the City on behalf of the Undersigned Stakeholder. ii. Asking that the Undersigned Stakeholders' members or agents each submit a written statement of support to the City on each members' individual behalf. Eastside Ridge acknowledges that the Undersigned Stakeholders can request but cannot force their individual members to submit such letters. Accordingly, failure to obtain these letters shall not invalidate this agreement provided that the Undersigned Stakeholders make a good faith effort to obtain such statements of support from their members. iii. The undersigned individuals shall personally attend all City hearings related to the Project, including but not limited to meetings of the Planning, Zoning, and Appeals Board and the City Commission. That said, Eastside Ridge also acknowledges that schedule conflicts may arise. If such conflicts arise, the undersigned individuals shall contact Eastside Ridge as soon as the scheduling conflict arises. The undersigned individuals shall then designate a representative capable of properly expressing the undersigned individual's views at said meeting. Requiring that at least 50 of the Undersigned Stakeholders' members or agents appear at all public meetings at which the Applications will be considered by the City, including but not limited to, any meetings of the Planning, Zoning , and Appeals Board, and the City Commission. Those attendees will be asked to state their personal support for the Applications (including the Concept Book, Regulating Plan, and Development Agreement). The requirement that at least 50 persons attend such meetings may be satisfied by any one of the Undersigned Stakeholders or by them collectively. Eastside Ridge is striving to make positive impact on its community but it cannot do it without the Undersigned Stakeholders and the input they and their members can provide. v. Instructing one or more of Undersigned Stakeholders' officers or agents to make public statements of support to the media on behalf of Undersigned Stakeholders. f. The Undersigned Stakeholders agree to collaborate with Eastside Ridge in the petitioning the City of Miami and Miami -Dade County to ensure that road impact fees paid in connection with the Project are reinvested solely in Little Haiti. 3. The terms of this Agreement are contingent upon the approval of the Applications by the City of Miami. 4. The Parties agree that the terms of this Agreement are confidential and exclusive to the Parties herein.
