Dear Mr. Garcia -Pons:
This law firm represents SPV Realty, LC (the "Applicant") in
connection with the Sabal Palm Village (formerly Eastside Ridge)
Special Area Plan and the properties located at 5175 NE 2 Avenue,
5035 NE 2 Avenue and 5125 NE 2 Court (the "Property"). The
Property is the subject of Planning Zoning Appeals Board File ID
Nos. 3306 and 3307. This letter shall serve as the letter of intent in
support of the accompanying, updated Special Area Plan land use
and zoning applications for the Property.
Property. The Property is located between NE 2 Avenue and
the Florida East Coast (FEC) Railroad Corridor, just south of NE 54
Street. See Figure 1, Location Map. The site is just east of the
Miami Jewish Health Systems SAP and south of the Magic City SAP.
The property is currently improved with two-story garden -style
apartment complex currently known as the "Design Place". The
complex was originally constructed in 1948 as "Sabal Palm Village"
and includes 516 rental units. The Property is approximately
twenty-three (23) acres in size and has remained apart from the
surrounding communities for several decades.

Sabal Palm Village Narrative Description. The Sabal Palm Village at Flagler Trail Special
Area Plan (the "SAP") is a proposed mixed -use project in the City of Miami envisioned as the
architectural and cultural connection between the Little Haiti, Buena Vista, and Design District
neighborhoods. The SAP, consisting of a Concept Plan, Regulating Plan and Development
Agreement, embraces the culturally diverse character of these three distinct areas to embrace an
entirely unique identity for this ideally situated, quintessential Miami site.
The redevelopment's objective is to seamlessly reintegrate the approximately twenty-
three (23) acres of prime real estate into the public sphere through a series of visual cues and
physical connections prioritizing view corridors, dedicated park spaces, and functional bicycle,
pedestrian, and vehicular access to create a sustainable multi -modal hub that elevates creative
collaboration and culturally -inspired economic development to benefit the surrounding area.
The visionary architecture, hardscape, and landscape design draws inspiration from the site's
majestic specimen trees and fuses elements from the iconic Little Haiti, Buena Vista and Design
District neighborhoods. The architecture and urban design respectfully draw the most active
areas towards the center of the site transitioning into the much -needed green spaces for respite
and recreation at exterior portions of the site.
Sabal Palm Village encourages cultural exploration and exchange through recreation and
innovation. The dedication and construction of a new two -acre City public park at the site's
western connection point to NE 2 Avenue at NE 51 Street invites residents, visitors and patrons
into the site through a nostalgic Jardin Botanique, a series of cohesive public open spaces with
lush native sub -tropical flora inspired by the tropical botanical gardens of Haiti. Visual cues in
the form of curated butterfly gardens, fish ponds, spice and fruit trees, and sculptures by local
and Caribbean artists will provide visual corridors to pedestrian paseos.

These paseos will be activated through a mix of uses including mixed -in
hotel, office and retail uses that welcome pedestrians to the Village's heart, the Ka
Katye Green is envisioned as a central park surrounded by a sustainable commerc
primed to support local entrepreneurship through a start-up technology incubator as well as
robust community programming in coordination with community organizations and strategic
partnerships. Specifically, the SAP proposes to sponsor a collaborative co -working space for
existing area businesses and provide resources for new local businesses and start-ups through
coordination with community organizations and strategic partnerships. The SAP also proposes
to curate the Katye Green as a destination for cultural innovation and exchange through
community programming elevating local and Caribbean art, dance, music and food. Regular
event programming will embrace the organic vibrancy of Miami and provide an inviting platform
for display of locally sourced products and services. Through pedestrian paseos lined with retail
and restaurants, the Katye Green will connect to the Flagler Trail, the long -planned north -south
leg of the Miami -Dade Transportation Planning Organization's "rails -to -trails" project known as
"The Miami LOOP".
The FEC Railroad Corridor, once a physical and visual barrier between people and
neighborhoods, is the subject of enthusiastic anticipation with the advent of a passenger rail
station to the south of the property. Sabal Palm Village proposes to implement its namesake,
the Flagler Trail, a dedicated bicycling and walking path parallel to the FEC Railroad Corridor and
the north -south connector of the Miami LOOP. The Flagler Trail has the potential to foster
pedestrian and bicyclist connectivity from the employment center of the Flagler District in
Downtown Miami through the neighborhoods of Overtown, Wynwood, Midtown, Design District,
and Buena Vista to create a sense of arrival at Little Haiti's NE 54 Street gateway, a designated
Priority Corridor in the adopted City of Miami Bicycle Master Plan. This SAP aims to serve the
community as a sustainable multi -modal hub facilitating north -south physical connections to
and from Little Haiti through a proposed realignment of NE 3 Avenue for vehicles and
implementation of the Flagler Trail for pedestrians and bicyclists.
The Flagler Trail's connection of the Brightline's Downtown Miami Grand Central Station
through the SAP to Brightline's Aventura Station will improve the health, equity and inclusion for
the surrounding area. Sabal Palm Village's emphasis culturally -inspired public open spaces,
local -centric economic development and curated community programming will create a
destination that celebrates the diverse character of Miami for locals and tourists alike.
Sabal Palm Village Proposal. In response to significant community input, the SAP has
been reimagined and reinvented from the ground up. As noted in the SAP Narrative section of
this letter, the proposed design has been modified to embrace and serve as a gateway between

• Increased pedestrian and cyclist mobility throughout the site and surrounding area in
support of the City's Bicycle Master Plan.
• Implementation of the first segment of the Flagler Trail linear pedestrian and bicycle
pathway.
• Realignment of NE 3 Avenue through the SAP.
• Creation of public green spaces that welcome the surrounding community and
celebrate the cultural heritage of the area.
• Requests of a land use plan map amendment to Recreation and rezoning to CS- Civic
Space, to accommodate the dedication and construction of a new two -acre City public
park at the site's western connection point to NE 2 Avenue at NE 51 Street (Jardin
Botanique).
• Curation of the SAP's central plaza (Katye Green) as a destination for cultural
innovation and exchange through community programming elevating local and
Caribbean art, dance, music and food.
• Elimination of request for additional height around the perimeter of the Property,
• Modification of the Development Agreement to provide: promotion of local
businesses, community outreach and employment, Workforce Housing, traffic
improvements, community space

significant reductions in intensity and density. See Table 1. Development Program Comparison.
The proposed redevelopment represents a decrease of 80 net new A.M. peak hour trips and a
decrease of 199 net new P.M. peak hour trips compared to the previously reviewed
redevelopment program. See enclosed Trip Generation Statement.

The SAP previously earned a positive staff recommendation; the propo
the plans preserve the elements of the project that the City's professional staff fo
while modifying elements to implement items discussed with area stakeholders.
Requests. At this time, in order to realize this thoughtfully redesigned SAP, the Applicant
respectfully requests approval of:
1) Pursuant to Policy LU-1 6.4 of the Miami Comprehensive Neighborhood Plan: a Land
Use Plan Map Amendment for a Large Scale Amendment to classify the Property as
Recreation and Restricted Commercial, instead of the existing Medium Density
Multifamily Residential.
2) Pursuant to Article 3, Section 3.9, and Article 7, Section 7.1.2.8 of Miami 21: A rezoning
from T5-O and T5-R to Sabal Palm Village SAP CS, T5-O, T6-8, and T6-12 transects.
This request includes requests to approve the accompanying Regulating Plan and
Design Guidelines.
3) Pursuant to Chapter 163, Florida Statutes: a Development Agreement to memorialize
the rights and obligations of the Applicant as it relates to development of the SAP.
Approval of these requests will facilitate responsible, culturally sensitive development, served by
existing infrastructure and transit, inclusive of significant public benefits, on site that will serve
as a gateway between the diverse characters of the abutting Little Haiti, Buena Vista, and Design
District neighborhoods.

ACKNOWLEDGEMENT BY APPLICANT
1. The Department of Resilience and Public Works, Transportation, Coordinated Review Committee and other City
and County agencies review zoning public hearing requests and provide input, which may affect the scheduling
and outcome of my hearing. These reviews may require additional hearings before other City and County
boards, which may result in the modification of plans, studies and/or the proffering of agreements to be
recorded. The submission and acceptance of a request for public hearing means that the application is ready to
be scheduled for public hearing. I am also aware that I must comply promptly with any City or County conditions
and notify the Hearing Boards (Hearing Boards) in writing if my public hearing application will be withdrawn.
2. Filing fees may not be the total cost of a hearing. Some requests require notices to be mailed to property
owners up to a mile from the subject property and I am responsible for paying the additional radius mailing
costs. In addition to mailing costs, I am responsible for additional fees related to application changes, plan
revisions, deferrals, re -advertising, etc. that may be incurred. I understand that fees must be paid promptly. The
only fees that will be refunded after the submission and acceptance of an application for public hearing has
occurred will be the surcharge fees related to appeals, as expressly listed in Chapter 62 of the City Code
(Code).
3. Requests for public hearing will be scheduled by the Hearing Boards in accordance with the scheduling timeline
set forth in the Code and the Zoning Ordinance of the City of Miami (Miami 21), as applicable. I must submit any
requests to reschedule, continue or defer my hearing date to the attention of the decision -making body for its
consideration and vote at the public hearing on which my application is scheduled to be heard. I understand that
any requests by the applicant to reschedule, continue or defer the hearing date that are granted shall incur a
$1,000.00 fee, as per the Code.
4. Applicable Florida Building Code requirements, or other applicable requirements, may affect my ability to obtain
a building permit even if my zoning application is approved; and a building permit will probably be required. I am
responsible for obtaining any required permits and inspections for all structures and additions proposed, or built,
without permits. In addition, a Certificate of Use (C.U.) must be obtained for the use of the property after it has
been approved at a zoning public hearing. Failure to obtain the required permits and/or C.U., Certificates of
Completion (C.C.), or Certificate of Occupancy (C.O.) will result in an enforcement action against any occupant
and owner. Submittal of the zoning public hearing request may not forestall enforcement action against the
property.
5. If my request is denied, deferred, or otherwise not approved, I understand that I will not be reimbursed for any
fees paid.
6. Any requests by the applicant to reschedule, continue or defer the hearing date that are granted shall incur a
$1,000.00 fee, as per the Code.
7. Any covenant to be voluntarily proffered must be submitted in word format to the Planning Department and to
the Office of the City Attorney through ePlan for review and comments from the Planning Department, Office of
the City Attorney, and any other City departments as deemed necessary. The covenant will be reviewed in
ePlan and the applicant will be notified of any necessary changes, corrections or comments through ePlan.
Once the covenant receives a recommendation of approval from the Planning department and as to legal form,
Hearing Boards staff will extract the approved covenant directly from ePlan to include as part of the agenda.
The applicant is responsible to submit to the Hearing Boards the signed covenant with a current Opinion of Title
no later than two (2) weeks prior to the initial public hearing. I understand that any requests by the applicant to
reschedule, continue or defer the hearing date that are granted shall incur a $1,000.00 fee, per instance, as per
the Code.

financial relationship with the Mayor, any member of the City Commission, any member of a City board, the
City Manager or a member of the City staff before whom he/she lobbies or intends to lobby. Attach separate

Owner agrees to invest Ten Million dollars ($10,000,000) (the "Capital Contribution
outlined below, (Exhibit D) to this Development Agreement and subject to the terms of
Section 13 of the Development Agreement. The Capital Contribution shall be made to
the individual community organizations identified in the line items below.
1. Co -working Space and Business Incubator — Owner commits to $2.5 million to
fund a co -working site and technology improvements either on -site at Sabal Palms
Village and/or an alternative site as determined with the Miami -Dade Chamber of
Commerce and the Haitian American Chamber of Commerce. The co -working
space will include a business incubator program. The first partial payment of
$1,000,000 shall be prior to the City's issuance of a vertical building permit for
Phase 1 of the Project. The second payment of $1,000,000 shall be paid prior to
the City's issuance of the first vertical construction permit for Phase 3 of the Project.
The third and final payment of $500,000 shall be paid prior to the City's issuance
of the first vertical construction permit for Phase 4 of the Project.
2. Residential and Business Beautification and Renovation Grants — The Owner
commits to a total funding commitment of $1.5 million ($750,000 for Residential
Grants and $750,000 for Business Grants) for weatherization, painting, roofing,
code violation, building recertification, storefront beautification, or electrical and
plumbing upgrades and repairs. The Residential Grant program shall be
administered by for single family homes located in zip codes . The
Business Grant program shall be administered by Lkay Ma'Man, Inc for businesses
located within zip codes . The first $750,000 payment shall be paid
with $375,000 to each organization within 10 days following the issuance of the
first vertical construction permit for Phase 1. The balance of $750,000 shall be
contributed with $375,000 to each organization prior to the issuance of the first
vertical construction permit for Phase 3 of the Project.
3. Education — Owner commits to $800,000 for College and Vocational Training
Scholarships to be administered by the Miami -Dade Chamber of Commerce and
the SantLa. $400,000 of said scholarship monies shall be allocated for non -creole
speaking students residing within zip codes and administered by the
Miami -Dade Chamber of Commerce and $400,000 of said scholarship monies shall
be allocated to SantLa for creole speaking students within zip codes of
The scholarship annual amount, per student amount, and scholarship criteria will
be determined by the Miami -Dade Chamber and SantLa, respective
funds shall be paid prior to the issuance of the first Certificate of
Phase 1, and 50% shall be paid upon the issuance of a final Certificate o
for Phase 2. No more than 20% said monies allocated to each
organization shall be used to administer the program.

4. Little Haiti Arts Program — Owner commits to $400,000 to support community
arts and theatre programming at the Little Haiti Cultural Center. $100,000 shall be
contributed within 10 days following the expiration of all appeal periods relative to
the City Commission's approval, and signature of by Owner and the City, of the
proposed Comprehensive Plan, SAP and Development Agreement. The balance of
$300,000 shall be paid in ten equal annual payments of $30,000 thereafter to be
used for arts and theatre capital improvements or programming, with the first
annual payment taking place prior to the City's issuance of the first Certificate of
Occupancy for Phase 1.
5. Little Haiti Soccer Program (Little Haiti FC)— Owner agrees to a total of $500,000
to support Little Haiti FC, consisting of an up -front payment $100,000 being made
within 10 days following the expiration of all appeal periods relative to the City
Commission's approval, and signature of by Owner and the City, of the proposed
Comprehensive Plan, SAP and Development Agreement, with such payment to be
used to purchase a van, uniforms, and equipment and for operating expenses for
the program, The balance of $400,000 shall be paid in ten equal annual support
payments of $40,000 for coaching, uniforms, insurance, equipment and travel
expenses, with the first annual payment taking place prior to the City's issuance of
the first Certificate of Occupancy for Phase 1.
6. Community Support Services — Owner shall contribute $1,000,000 to support the
deliver of social services in the Haitian American community within zip codes
. Said Funds shall be administered by Sant La and shall be used to
provide naturalization assistance, educational attainment and advocacy, language
literacy, financial literacy, tax preparation, parenting support, and tax preparation.
$100,000 shall be contributed at the time of the first vertical building permit is
issued for Phase 1 of the Project and $100,000 each year thereafter for 9 years.
7. Healthcare — Owner agrees to a one-time grant amount to the Providence Community
Health Center of a total of $250,000. Said contribution shall be made prior to the issuance
of the first vertical construction permit for Phase 3.
8. Citizens Patrol — Owner commits to $100,000 in a one-time paym
the purchase of vehicles (or electric golf carts), uniforms, radios, equi
Little Haiti Citizens Patrol. Said payment shall be made prior to the iss
first vertical construction payment for Phase 1.

9. Post -project business and Workforce development — Owner shall contribute
$2,000,000 towards Post -project business and workforce development. $1,000,000
of said funds shall be contributed to the Miami -Dade Chamber of Commerce to
establish and administer a small business revolving loan fund to provide working
capital for local small businesses in zip codes . $500,000 of said funds shall
be contributed to the Black Prosperity Alliance to establish and administer an on-
going workforce training program to serve residents within zip codes
$200,000 of said funds shall be contributed to Our Miami Promise, Inc to establish
a program to train high school students in zip codes to apply for College
Pell Grants and establish a college tuition completion grant program for students
residing in zip codes and receiving public or private college scholarship
grants and in need of additional funding to complete a 2-year or 4-year degree at
a College located in Miami -Dade County. $300,000 shall be contributed to Lkay
Maman to provide business support services for local businesses within zip codes
. $500,000 shall be contributed to the Miami -Dade Chamber,
$250,000 to the Black Prosperity Alliance, $100,000 to Our Promise, and $150,000
to LKay Maman prior to the issuance of the first Certificate of Occupancy of Phase
2. $500,000 shall be contributed to the Miami -Dade Chamber, $250,000 to the Black
Prosperity Alliance, and $100,000 to Our Promise and $150,000 to Lkay Maman prior
to the issuance of the first Certificate of Occupancy for Phase 4.
10. Palm Grove Neighborhood Association — Owner shall contribute $750,000 to
address neighborhood concerns related to beautification, public safety, on -street
and off-street parking improvements, and activation of idle land. Said funds shall
be contributed as follows: $375,000 at the time of issuance of the first civil site work
permit for Phase 1, $375,000 at the time of issuance of the first vertical construction
permit for Phase 2.
11. Little Haiti Feeding Program — Owner shall contribute $300,000 to the Little Haiti
Feeding Program administered by Curley's House of Style, a not -for -profit
company, to feed Seniors in the Little Haiti Community. Said contribution shall
take place with a contribution of $60,000 upon the issuance of the first vertical
building permit for Phase 1 and $60,000 each year thereafter for 4 years. The
feeding program will feed seniors residing in the following Little Haiti Senior

The consultant has provided valid responses and/or addressed our comments submitted in June 20th,
2016. The revised traffic impact study report shows that the roadway segments and intersections near the
proposed development are anticipated to operate within the LOS standards established in the City of
Miami Comprehensive Plan with the exception of the two-way stop -controlled intersection at NE 54th
Street and NE 3rd Avenue. The consultant proposes to signalize the intersection at NE 54th Street and NE
3rd Avenue and construct a westbound left -turn lane and an eastbound right -turn lane pending the results
of an 8-hour signal warrant analysis that is planned to be completed in the near future.
Please note that the applicant has proposed to undertake Transportation Control Measures (TCMs) to
reduce the impact of project traffic on the surrounding roadways and intersections and should be held
responsible for implementing the following measures: implementation of bicycle lanes, and short-term
and long-term bicycle parking. We recommend that the proposed TCMs become part of the final
development order for this project. The consultant has also proposed to coordinate with the Tri-Rail
coastal Link train station.
We would like to proceed issuing this sufficiency letter with the understanding that the consultant will
complete and discuss the results of the signal warrant analysis with the City and implement the proposed
TCMs.
