The CITY and SUBRECIPIENT may each be individually referred to as a "Party" or collectively be referred to as the "Parties." RECITALS WHEREAS, on February 9, 2022, the CITY and SUBRECIPIENT entered into an ARPA Funding Agreement to set forth the terms and conditions relating to the use of the ARPA Funds for the SUBRECIPIENT's Workforce Development Training Program, attached and incorporated herein as Attachment "A" (hereinafter, "ARPA Funding Agreement"); and WHEREAS, the Parties believes it is in their best interests to amend this Agreement as it relates to ARPA guidelines and reporting requirements; and WHEREAS, the CITY wishes to execute this Amendment No. 1 with the SUBRECIPIENT to set forth the terms and conditions relating to ARPA guidelines and d reporting requirements; NOW, THEREFORE, in consideration of the mutual covenants and promises herein, the. Parties agree as follows: 1. The recitals are true and correct and hereby incorporated in andmade a part of this Amendment No. 1. 2. Section V. AUDIT REQUIREMENTS is amended to add the following provisions: 5.04 Programmatic Reporting Requirements. SUBRECIPIENT agrees to comply with the Programmatic Reporting Requirements identified in Exhibit "B," attached and incorporated herein by this reference. Failure to comply with the Programmatic Reporting Requirements shall constitute an event of default. 3. SUBRECIPIENT shall complete and submit to the CITY a Risk Assessment ona form provided by the City within 20 calendar days from the date of execution of this Amendment No. 1. 4.
