ACCESS AGREEMENT
WHEREAS, Anvil 1893 Entertainment, Inc. ("Producer"), 6800 Owensmouth. Avenue Suite 310 Los Angeles, CA 91303, is a production
company which produces unscripted/documentary-style television series; and
WHEREAS, Producer is interested in developing and producing a potential unscripted/documentary-style program and/or series
(jointly and severally, the "Program") with the participation of the City of Miami following the activities and experiences of the men
and women of the City of Miami's Department of Fire -Rescue ("City of Miami Department of Fire -Rescue") c/o Fire Chief Robert Hevia,
1151 NW 7th Street, Miami, FL 33136; and
WHEREAS, the City of Miami Department of Fire -Rescue wishes to provide access to Producer in connection with the development
and production of the Program as further set forth herein;
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the City of
Miami through the City of Miami Department of Fire -Rescue and Producer hereby enter into this Access Agreement ("Agreement"),
dated as of ,as follows:
1. Term. The City of Miami with the City of Miami Department of Fire -Rescue hereby grants to Producer the rights, access and
resources set forth in this Agreement for an initial period commencing as of the date of Producer's execution of this Agreement as
reflected below and continuing for an initial period of twelve (12) months (the "Initial Period"), for the purposes of engaging in
customary development activities in connection with the Program, including, without limitation, creating a presentation, sizzle reel or
the like for the Program ("Demo") and submitting the Program and Demos to third parties (each a "Third Party") for consideration in
connection with the financing, development, production, distribution and/or exploitation thereof. If Producer is negotiating an
agreement (the "Third Party Agreement") with a Third Party for the financing, development, production, distribution and/or
exploitation of the Program on the date that the Initial Period would otherwise expire, the Initial Period shall be automatically
extended for a period of up to sixty (60) days solely for the purposes of concluding the Third Party Agreement. The initial Period,
together with any extension thereof, shall be referred to herein as the "Term."
2. Options. Producer shall have the option (the "Initial Cycle Option") to extend the Term for the purposes of producing and
delivering an initial cycle of the Program episodes (the "Initial Cycle") to the applicable Third Party. The foregoing option shall be
exclusive and irrevocable; provided, however, that Producer shall ❑nly have the right to exercise the Initial Cycle Option if Producer
has received a production order for the Initial Cycle from a Third Party pursuant to the terms of the applicable Third Party Agreement.
If Producer exercises the Initial Cycle Option, the Term shall be extended until the date that is nine (9) months and two (2) weeks
following completion and delivery by Producer of the last episode of the Initial Cycle. If the Initial Cycle Option is exercised, then for a
period of no more than five (5) years following the date that the last episode of the Initial Cycle is completed and delivered by Producer,
Producer shall have successive, exclusive, irrevocable options (each, an "Additional Cycle Option") to extend the Term for additional
cycles (each, an "Additional Cycle") of the Program. Each Additional Cycle Option may be exercised by Producer in its sole discretion
at any time prior to the expiration of the Term and, if exercised, shall have the effect of extending the Term through and including the
date that is nine (9) months and two (2) weeks following completion and delivery by Producer of the last episode of the applicable
cycle. Notwithstanding anything to the contrary in the foregoing, Producer shall only have the right to exercise an Additional Cycle
Option if Producer has received a written production order for the applicable Additional Cycle pursuant to the terms of the applicable
Third Party Agreement.
3. Rights Granted.
a. During the Term, the City of Miami grants Producer the irrevocable right to videotape, film, and otherwise record
City of Miami Department of Fire -Rescue ("MFR Personnel" as defined below) in connection with their day-to-day activities, together
with their names, voices and likeness, in connection with the Program, to the extent such activities are mutually approved by the City
of Miami Department of Fire -Rescue. As used herein, "MFR Personnel" shall mean the officers, employees and other personnel
engaged by the City of Miami Department of Fire -Rescue. The City of Miami also grants to Producer the perpetual, non-exclusive and
worldwide right and irrevocable license to use the name, logo(s) and trademarks associated with the City of Miami Department of
Fire -Rescue (collectively, the "MFR Marks") in connection with the development, production, exhibition, advertising, publicity,
promotion, and other exploitation of the Program. For the sake of clarity, nothing in the foregoing shall grant Producer the right to

videotape, film or record any activities, facilities, or locations that are not approved by the City of Miami Department of Fire -Rescue.
Producer shall be responsible for securing any appearance releases that Producer deems legally necessary from any MFR Personnel
appearing on -camera, and the City of Miami Department of Fire -Rescue shall use reasonable best efforts to assist Producer in securing
such releases from the MFR Personnel. Producer and the City of Miami Department of Fire -Rescue shall mutually approve the title of
the Program from a list of titles prepared by Producer in its sole discretion; provided, however, that the City of Miami Department of
Fire -Rescue acknowledges and agrees that any Third Party shall have the right to change the Program's title in its sole discretion and
provided further that notwithstanding the foregoing, the Third Party shall not have the right to utilize the full names, logos, or
trademarks of the City of Miami Department of Fire -Rescue (or any other department of the City of Miami) as a part of the title of the
Program without the City of Miami Department of Fire -Rescue's express prior written approval.
b. During the Term, Producer shall have the right to enter onto such mutually agreed portions of facilities and related
locations used by City of Miami Department of Fire -Rescue (each, a "Location") and to film, photograph and record such Locations in
connection with the Program. Upon request from Producer, the City of Miami Department of Fire -Rescue agrees to execute a
customary location agreement with respect to the foregoing for any applicable Location. In connection with the foregoing, the City of
Miami Department of Fire -Rescue shall be entitled to receive a fee of $1,200 per each original episode (e.g., excluding any compilation,
highlight, clips shows, or the like) of the Program in which one or more Location(s) recognizably appears (i.e., such episodic fee shall
be $1,200 whether one or more Locations appears in such original episode).
c. Producer agrees that Producer and its employees) will at all times follow the instructions of any City of Miami
Department of Fire -Rescue officer made for health, safety, security, or operational reasons. In connection with the foregoing, the City
of Miami Department of Fire -Rescue shall assign MFR Personnel to act as a liaison between the City of Miami Department of Fire -
Rescue's Fire Chief/Assistant Chiefs and Producer. The City of Miami Department of Fire -Rescue's approval over Producer's production
activities contemplated under this Section 3 shall be deemed given to the extent such activities are consistent with the instructions of
.the City of Miami Department of Fire -Rescue liaison.
4. Right to Review. The City of Miami Department of Fire -Rescue shall have a right to screen a rough cut of each episode of the
Program prior to such episode's initial public exhibition solely for the purposes of providing notes to Producer regarding the methods
and operations depicted in the applicable episode. The City of Miami Department of Fire -Rescue shall provide any notes within 48
hours of being provided such rough cut, otherwise the rough cut will be deemed approved. Without limiting the foregoing, Producer
agrees that neither the Program nor the promotion, publicity or advertising thereof will intentionally be untruthful, derogatory,
disparaging or defamatory with respect to the City of Miami, the City of Miami Department of Fire -Rescue, or each of their operations,
services or personnel, and will not intentionally hold any of the foregoing up to ridicule, nor will Producer include any material in the
Program that is intended primarily to expose any of the foregoing to any third party claims for damages, which claims would not
otherwise have been made but for the inclusion of such material in the Program. For clarity, nothing in the foregoing shall interfere
with Producer's obligations to comply with and make any necessary disclosures as required by law or court order.
5. Material. Any and all information that the City of Miami Department of Fire -Rescue (which shall include any MFR Personnel)
supplies or may supply, including by electronic media (such as biographical information, photographs and videotapes of MFR
Personnel), voice and sound effects in connection with the Program, and the results and proceeds of the City of Miami Department of
Fire -Rescue's participation in the Program as filmed and recorded by Producer, shall be referred to as the "Material." The Material,
including the copyrights and all other rights herein, heretofore or hereafter created or contributed by the City of Miami, the City of
Miami Department of Fire -Rescue or MFR Personnel which in any way relate to the Program or to any of the material on which the
Program will be based, whether or not actually used by Producer in or in connection with the Program, are and shall be deemed to be
works -made -for -hire specially ordered or commissioned by Producer and shall be the sole and exclusive property of Producer. If under
any applicable law the fact that the Material is a work -made -for -hire is not effective to place authorship and ownership in Producer
of the Program, the Materials, and all rights therein, then to the fullest extent allowable and for the full term of protection otherwise
accorded to the City of Miami Department of Fire -Rescue under applicable law, the City of Miami Department of Fire -Rescue hereby
assigns and transfers to Producer any and all rights of any nature, including, without limitation, the copyright, and, in connection
therewith, any and all right title and interest of in the Program and any other works now existing or hereafter created containing the
Material. The Material may be used, broadcast, exhibited, distributed, advertised, publicized, promoted or otherwise exploited.
(including, without limitation, for ancillary purposes such as merchandising and publishing, and any and all other commercial and non-
commercial purposes) in any and all media, any and all forms and versions, whether now known or hereafter devised, throughout the
universe, in perpetuity, in any and all languages and markets, at any time and from time to time, and for any purpose, solely in
connection with the Program and related programming (unless otherwise approved in writing by the City of Miami Department of
Fire -Rescue). Notwithstanding anything to the contrary herein, any Material provided to Producer by the City of Miami Department
of Fire -Rescue that constitutes written, electronic or other materials that are the property of the City of Miami Department of Fire -
Rescue and constitute pre-existing materials not created in connection with the production of the Program, including, without
limitation, the MFR Marks (collectively, the "City Property") shall remain the sole property of the City of Miami Department of Fire-

Rescue and Producer shall not retain any rights in the City Property other than the non-exclusive right to exploit them as part of the
Material as set out above.
6. Producer Obligations.
a. If the Program is produced by Producer, Producer shall produce and deliver the Program to the applicable
Third Party pursuant to the terms of the applicable Third Party Agreement. In such event, Producer shall remain responsible for
obtaining any necessary releases from third parties that may be legally required to use any third party elements (including locations
and materials) not covered under this Agreement.
b. In connection with the production of the Program, Producer agrees to use commercially reasonable
efforts to use vendors that are local to the City of Miami.
c. Producer shall cause the applicable Third Party to enter into a license agreement with City of Miami
Department of Fire -Rescue pursuant to which City of Miami Department of Fire -Rescue shall be granted a non-exclusive royalty -free
license to use selected portions of the Material approved by the Third Party ("Select Footage") in connection with internal (non-public)
training of MFR Personnel.
d. Subject to the policies of the applicable Third Party and any required legal disclosures, Producer shall use
commercially reasonable efforts to identify opportunities to organically include the City of Miami Department of Fire -Rescue's "Junior
Cadet Program" and the "Maurice L. Kemp (MLK) EMS Cadet Program" in specific episodes of the Program. Producer shall meaningfully
consult with the City of Miami Department of Fire -Rescue with respect to the specific elements of such inclusion, it being understood
that Producer shall have final control over all creative decisions with respect to the Program.
e. During the Term, Producer agrees to produce and deliver to the City of Miami Department of Fire -Rescue
one (1) public service announcement centered around the "Junior Cadet Program" pursuant to such terms as the parties may mutually
agree in good faith.
7. City of Miami Department of Fire -Rescue Obligations. During the Term, the City of Miami Department of Fire -Rescue agrees
to reasonably assist and cooperate with Producer in connection with the development and/or production of the Program including,
without limitation, by providing Producer with reasonable access granted by City of Miami Department of Fire -Rescue to vehicles, air
and other transportation, MFR Personnel, activities, and emergency situations in which the City of Miami Department of Fire -Rescue
is involved. The parties acknowledge and agree that they intend for Producer's personnel to travel with and observe and record first-
hand MFR Personnel prior to, during and after such active situations for inclusion in the Program and exploitation as set forth herein.
8. Exclusivity. During the Term, the City of Miami Department of Fire -Rescue shall not itself nor permit any third party to
develop, produce and/or exploit audiovisual programming with a subject matter substantially similar to the Program.
9. insurance. At all times that Producer is engaged in filming the Program in the City of Miami or Program related production
activities pursuant to this Agreement, Producer shall obtain and have in effect the insurance requirements contained in 'Exhi bit A' to
this Agreement and incorporated by reference herein. See Exhibit 'A.'
10. Representations and Warranties. Each party represents, warrants and covenants that: (i) it has all necessary right, power and
authority to enter into, deliver and perform this Agreement, which has been duly and validly authorized by all necessary action and
constitutes the valid, binding and enforceable obligation of such party; {ii} the execution and performance of this Agreement will not
conflict with or result in a material breach of the terms of any other agreement to which it is a party; and (iii) in performing this
Agreement such party shall comply with all federal, state and local laws, regulations and orders.
11. Confidentiality; Publicity. The City of Miami Department of Fire -Rescue agrees that it will not disclose the terms of this
Agreement subject to the provisions and consistent with Chapter 119, Florida Statutes, or issue a public statement, press release or
other publicity about this Agreement or the Program to any third party other than to the extent required by law. In the event that the
City of Miami Department of Fire -Rescue is required to disclose any information related to the Program pursuant to Chapter 119,
Florida Statutes, Producer shall be notified and kept reasonably apprised as to such disclosures.
12. No Obligation. Notwithstanding any other provision of this Agreement, Producer shall have no obligation to produce, release,
distribute or otherwise exploit the Program, or to use the Material, and the City of Miami shall not be deemed to have acquired any
right, title or interest in or to any materials prepared by or an behalf of Producer in connection with the Program (including any Demo),
and Producer shall own all such material in perpetuity.

13. limitation of Remedies. The City of Miami's sole remedy in connection with this Agreement, including, without limitation, in
the event of any breach by Producer, shall be an action at law for money damages, if any, actually suffered by the City of Miami
Department of Fire -Rescue and/or MFR Personnel, and the City of Miami Department of Fire -Rescue shall not have any right to
terminate any of the rights granted herein, or to interfere with, restrain, enjoin or otherwise impair the production, exhibition,
distribution, advertising, promotion, exploitation or use of the Program, or any part or portion of the foregoing, or to recover
consequential, incidental, special and/or punitive damages.
14. Indemnification. Producer shall indemnify, defend and hold harmless the City of Miami/ Department of Fire -Rescue and its
officials and employees (collectively referred to as "Indemnitees") and each of them from and against all third party loss, costs,
penalties, fines, damages, claims, expenses (including reasonable outside attorney's fees) or liabilities (collectively referred to as
"Liabilities") by reason of any injury to or death of any person or damage to or destruction or loss of any property to the extent arising
out of, resulting from, or in connection with (i) the negligent performance or non- performance of the services contemplated by this
agreement (whether active or passive) of Producer or its employees or subcontractors (collectively referred to as "Producer Parties")
but not to the extent any such Liabilities are caused, in whole or in part, by any act, omission, default or negligence (whether active or
passive or in strict liability) of the Indemnitees, or any of them (including, without limitation, any MFR Personnel), or (ii) the failure of
the Producer Parties to conform to statutes, ordinances, or other regulations or requirements of any governmental authority, local,
federal or state in connection with the performance of this Agreement. Producer further agrees to indemnify, defend and hold
harmless the Indemnitees from and against (i) any and all Liabilities imposed on account of the violation of any law, ordinance, order,
rule, regulation, condition, or requirement, related directly to Producer's negligent performance under this Agreement, compliance
with which is left by this Agreement to Producer, and (ii) any and all third party claims and/or suits arising out of the development,
production, distribution, exhibition or other exploitation of the Program. Producer's obligations to indemnify, defend and hold
harmless the Indemnitees shall survive the termination/expiration of this agreement. Producer understands and agrees that any and
all liabilities regarding the use of any subcontractor for providing services related to this Producer shall (unless. Producer was required
to use such subcontractor by the City of Miami Department of Fire -Rescue) be borne solely by Producer throughout the duration of
this agreement and that this provision shall survive the termination or expiration of this agreement, as applicable. Notwithstanding
the foregoing, Producer shall not be obligated to defend, indemnify or hold any of the Indemnitees harmless from claims, demands,
suits and expenses arising out of or resulting from the following: (1) any third party claim which, if proven, would constitute a breach
by the City of Miami Department of Fire -Rescue's representations, warranties or obligations; (2) any claim by a third party of a breach
of an actual or implied contract between a third party and any of the Indemnitees; or (3) the intentionally tortious or negligent acts of
any of the Indemnitees and/or the intentionally tortious or negligent acts by any agent, employee, guest or invitee of any of the
Indemnitees subject to the provisions and limitations set forth in section 768.28, Florida Statutes. Nothing in this Agreement is
intended to, nor shall it be construed to, waive or modify any immunity from, or limitation of, liability that is available to City, its
officials, employees, or agents under the doctrine of sovereign immunity or under section 768.28, Florida Statutes, or any other
applicable law.
15. Termination. The City of Miami Department of Fire -Rescue and Producer may terminate this agreement in the event of any
material breach by the other party which is not cured within thirty (30) days of Producer's receipt of written notice of such breach.
16. Amendments. Any alterations, amendments, variations, modifications, extensions or waivers of provisions of this agreement
shall only be valid when they have been reduced to writing, duly approved and signed by all Parties hereto. Approval of any substantial
amendment, alteration, variation, modification, extension or waiver of provisions by the City of Miami Department of Fire -Rescue can
only be affected by duly enacted resolution of the City Commission of the City of Miami.
17. More Formal Agreement. Producer and the City of Miami Department of Fire -Rescue may enter into a more formal
agreement incorporating the terms set forth in this Agreement and standard terms and conditions customary to such engagements
but unless and until such more formal agreement is executed, the terms and conditions of this Agreement shall apply and be binding
on the parties in connection with the City of Miami Department of Fire -Rescue's participation in connection with the Program.
18. Dispute Resolution. Any disputes among the parties shall be resolved as follows: In the event of a dispute, the parties shall
use their best efforts to informally resolve their dispute. If the parties cannot informally resolve the dispute, either party may request
non -binding mediation, which mediation shall be attended by representatives of both parties with a certified mediator chosen by the
parties. If the mediator declares an impasse, after a full- day of mediation, either party may then exercise the termination rights
provided in this Agreement. The parties expressly waive their right to litigate their disputes in court.
19. Miscellaneous. This Agreement contains the full understanding of the parties and supersedes all prior understandings
whether written or oral with respect to the subject matter hereof and may not be modified except in writing signed the party(ies) to

be bound. This Agreement shall be governed and construed in accordance with the laws of the State of Florida. This Agreement may
be executed in any number of counterparts and may be transmitted by facsimile or PDF copy, each of which shall constitute an original
and, when taken together, shall constitute a single instrument. For the avoidance of doubt, to the extent any rights are granted by or
obligations are undertaken hereunder by the City of Miami Department of Fire -Rescue alone (as opposed to with or by the City of
Miami), such terms will also be binding on the City of Miami to the extent necessary to avoid frustrating the purposes of this
Agreement.

Counterparts and Electronic Signatures. This Agreement may be executed in any number of counterparts, each of
which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and

The company must be rated no less than "A-" as to management, and no less
than "Class V" as to Financial Strength, by the latest edition of Best's Insurance
Guide, published by A.M. Best Company, Oldwick, New Jersey, or its
equivalent. All policies and /or certificates of insurance are subject to review and
verification by Risk Management prior to insurance approval.
