For the purposes of the content license agreement referenced below, the "Services" provided under this order form include the delivery of the Content through pitchbook.com, Icdcomps.com, and any applications PitchBook may make available, or through communications with PitchBook employees or agents. Automatic Renewal The agreement will not renew for a subsequent term unless Licensee and PitchBook agree to a renewal term in writing. License Agreement By executing this order form, the parties agree to the terms of PitchBook's content license Agreement, signed on June 10, 2024. Limits Authorized Users may not print, download, or export more than 10,000 rows of deal, fund, people or entity data per month. Licensee may not use printing and downloading rights to compile a quantity of data that has significant commercial value. Additional Terms • Licensee represents that all of its Authorized Users are sophisticated professionals who are able to assess the merits of PitchBook, their own information needs, and the adequacy of the information provided to them. Ratings • Licensee must not use ratings or Work Product derived from ratings to sell securities to retail investors. "Benchmarks Regulation" means Regulation 2016/101 1 of the European Parliament and of the Council as amended or superseded from time to time (the "EU Benchmarks Regulation"), and, in respect of UK, as the EU Benchmarks Regulation was retained in the UK law after 31 December 2020. • Authorized Users must not regularly, systematically, automatically, or otherwise frequently forward any credit news alerts to individuals who are not Authorized Users under this Agreement. Anti -Human Trafficking. Pitchbook confirms and certifies that it is not in violation of Section 787.06, Florida Statutes, and that it does not and shall not use "coercion" for labor or services as defined in Section 787.06, Florida Statutes. Pitchbook shall execute and submit to the Sublandlord an Affidavit, of even date herewith, in compliance with Section 787.06(13), Florida Statutes, attached and incorporated herein as Exhibit "A". If Pitchbook fails to comply with the terms of this Section, the Licensee may suspend or terminate this Agreement immediately, without prior notice, and in no event shall the Licensee be liable to Pitchbook for any additional compensation or for any consequential or incidental damages. Counterparts: Electronic Signatures. This Agreement may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute one and the same Agreement. The Parties shall be entitled to sign and transmit an electronic signature of this Agreement (whether by facsimile, PDF or other email transmission), which signature shall be binding on the Party whose name is contained therein.
