The extension with Minnesota Life includes a fifteen percent (15.00%) reduction on Basic Life coverage for active employees and retirees, and a nine and three-quarters percent (9.75%) reduction on Supplemental Life Coverage. Total dollar amounts are dynamic due to promotions/demotions and salary increases/decreases, but the anticipated annual savings for the City is approximately $41,092.55. 10. WHEN DOES THE CURRENT CONTRACT EXPIRE? April 4, 2026 was the scheduled date for expiration. 11. WHAT WAS THE PREVIOUS SPEND ON THE CURRENT CONTRACT? The City paid $278,437.84 for Basic Life and AD&D in 2025. 12.WHAT IS THE METHOD OF AWARD (Group, Item by Item etc.)? On December 11, 2014, pursuant to RFP No. 469353 and Resolution No. 14-0479, the City entered into a Professional Services Agreement ("PSA") with Minnesota Life for the provision of AD&D Plans to City Employees. The City has agreed to subsequent 120-day extensions after the expiration of the initial term, the additional options to renew, and Amendment No. 1 to the PSA. The PSA was set to expire on April 4, 2026, and it is in the best interest of the City to extend this Agreement with the Provider through December 31, 2028. On April 2, 2026, the City Manager approved the emergency purchase from Minnesota Life to avoid the expiration of the PSA. The Amendment also provides for a fifteen percent (15%) reduction on basic coverage for active employees and retirees and a nine and three-quarters percent (9.75%) reduction on Supplemental coverage. The PSA shall cease upon the completion of a new solicitation to secure the Services and the completion of the City's insurance open enrollment period. Pursuant to Chapter 215.473, Florida Statutes, the Florida State Board of Administration is charged with maintaining a complete list of scrutinized companies. Scrutinized companies are judged according to whether they meet the following criteria: Sudan: 1. Have a material business relationship with the government of Sudan or a government -created project involving oil related, mineral extraction, or power generation activities, or 2. Have a material business relationship involving the supply of military equipment, or 3. Impart minimal benefit to disadvantaged citizens that are typically located in the geographic periphery of Sudan, or 4. Have been complicit in the genocidal campaign in Darfur. Iran: 1. Have a material business relationship with the government of Iran or a government -created project involving oil related or mineral extraction activities, or the energy, petrochemical, financial, construction, manufacturing, textile, mining, metals, shipping, shipbuilding, or port sectors of Iran, or 2. Have made material investments with the effect of significantly enhancing Iran`s petroleum sector. The SBA is not responsible for compliance with Chapter 287.135, Florida Statutes. The SBA's responsibilities are solely focused on the Protecting Florida's Investments Act and Chapter 215.473 as it relates to the identification of "Scrutinized Companies" that have prohibited business operations in Sudan or Iran. The Agreement is hereby amended as follows: RECITALS WHEREAS, pursuant to Resolution No. 14-0479, adopted by the City Commission on December 11, 2014, the City and the Provider entered into a PSA to provide Employee Benefit Life and Accidental Death and Dismemberment ("AD&D") Plans ("Services), for the Department of Risk Management ("Risk"), in accordance with RFP 469353, Employee Benefit Life and Accidental Death AD&D Plans, subject to the availability of funds for the Term and Scope of Work included in the PSA; and WHEREAS, the City has agreed to subsequent 120-day extensions after the expiration of the initial term, the additional options to renew, and Amendment No. 1 to the PSA; and WHEREAS, the PSA currently -expires on April 4, 2026, and it is in the best interest of the City to extend the PSA with the Provider through December 31, 2028; and WHEREAS, the PSA expires on April 4, 2026 and it is not practicable or advantageous for the City to procure the Services pursuant to the Code of the City of Miami, Florida, as amended ("City Code "), before the expiration of the PSA; and WHEREAS, the Provider has offered to extend the PSA through December 31, 2028, including a fifteen percent (15.00%) reduction on Basic Life coverage for active employees and retirees, and a nine and three-quarters percent (9.75%) reduction on Supplemental Life Coverage; and WHEREAS, the current extension shall cease upon the completion of a new solicitation to secure the Services and the completion of the City's insurance open enrollment period; and WHEREAS, the continuation of life insurance and AD&D coverage for City employees is essential to the health, welfare, and benefit of City personnel, and an interruption in such coverage would be detrimental to the City and its employees; and WHEREAS, pursuant to the City Manager's emergency findings, certifying a valid public emergency, it is most advantageous for the City to waive the competitive sealed bidding requirements, pursuant to Section 18-90 of the City Code. 1 City of Miami Professional Services Agreement No. RFP 469353 NOW THEREFORE, for the considerations hereinafter as set forth, the parties agree to as follows: TERMS 1. Section 31 of the Agreement, titled "Counterparts; Electronic Signatures" is hereby added with the following language: This Agreement may be executed in counterparts, each of which shall be an original as against either party whose signature appears thereon, but all of which taken together shall constitute but one and the same instrument. An executed facsimile or electronic scanned copy of this Agreement shall have the same force and effect as an original. The parties shall be entitled to sign and transmit an electronic signature on this Agreement (whether by facsimile, PDF, or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Agreement upon request 6. Section 32, titled "E-Verify Employment Verification" is hereby added to the agreement with the following language: By entering into this Agreement, Third Party Administrator and its subcontractors are jointly and severally obligated to comply with the provisions of Section 448.095, Florida Statutes, as amended, titled "Employment Eligibility." Third Party Administrator affirms that (a) it has registered and uses the U.S. Department of Homeland Security's E-Verify system to verify the work authorization status of all new employees of Third Party Administrator; (b) it has required all subcontractors to this Agreement to register and use the E-Verify system to verify the work authorization status of all new employees of the subcontractor; (c) it can obtain an affidavit from all subcontractors to this Agreement attesting that the subcontractor does not employ, contract with, or subcontract with, unauthorized aliens; and (d) it shall maintain copies of any such affidavits for the duration of the Agreement. If the City has a good faith belief that Third Party Administrator has knowingly violated Section 448.09(1), Florida Statutes, then City shall terminate this Agreement in accordance with Section 448.095(5)(c), Florida Statutes. In the event of such termination, Third Party Administrator agrees and acknowledges that it may not be awarded a public contract for at least one (1) year from the date of such termination and that Third Party Administrator shall be liable for any additional costs incurred by the City because of such termination. In addition, if City has a good faith belief that a subcontractor has knowingly violated any provisions of Sections 448.09(1) or 448.095, Florida Statutes, but Third Party Administrator has otherwise complied with its requirements under those statutes, then Third Party Administrator agrees that it shall terminate its contract with the subcontractor upon receipt of notice from the City of such violation by subcontractor in accordance with Section 448.095(5)(c), Florida Statutes. Any challenge to termination under this provision must be filed in the Circuit or County Court by the City, Third Party Administrator, or subcontractor no later than twenty (20) calendar days after the date of said termination. 7.
