WITNESSETH: WHEREAS, the College has offered to provide Workforce Development Training Program, on a non-exclusive basis, that shall conform to the requirements of this Agreement; and WHEREAS, pursuant to City Resolution R-21-0352, the City desires to provide a grant to the College for the delivery of Workforce Development Training Program, in accordance with the terms and conditions of this Agreement; NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the Parties hereto agree as follows: I. COLLEGE The College will offer educational training in various career -focused credentials in emerging technology -related programs of study; upskilling and retooling; early engagement for middle school and high school students, and build a sustainable talent pipeline. College will have three components for City of Miami residents: 1) College & Adult Learners skilling and upskilling 2) K-12 Student Pathways 3) Tech Pitch Competitions & Ecosystem Building Additional details and budget are outlined in Exhibit A, which is attached hereto and incorporated herein ("Program"). The College shall carry out the services and activities as prescribed in Exhibit A in a manner that is lawful, and satisfactory to the City, and in accordance with the written policies, procedures, and requirements as prescribed in this Agreement.. II. CITY RESPONSIBILITIES - Subject to the terms and conditions contained in this Agreement, and at the time of execution of this Agreement, the City shall make available to the College an amount not to exceed Two Million Dollars ($2,000,000.00) in funds. The City shall issue payments in the amounts and pursuant to the schedule below: DocuSign Envelope ID: DC985244-3E04-46DB-80AA-E329EE0403A9 First Payment: Amount - $666,666.67, no later than February 1, 2022; Second Payment: Amount - $666,666.67, no later than February 1, 2023; Third Payment: Amount - $666,666.66, no later than February 1, 2024. The First Payment, Second Payment, and Third Payment shall be collectively referred to as "Agreement Payment". In no event shall the total of all Agreement Payments to the College exceed Two Million Dollars ($2,000,000.00), nor shall funds be used in any manner inconsistent with the terms, conditions, obligations, and requirements contained herein. The City's funding for this project is Coronavirus State and Local Fiscal Recovery Funds established under the American Rescue Plan Act. The use of these funds shall be subject to and in compliance with all applicable laws, rules, regulations, as may be amended from time to time, governing these funds including, but not limited to, the American Rescue Plan Act of 2021 ("ARPA"), sec. 9901, Public Law 117-2, codified at 42 U.S.C. 802 et seq. and 31 CFR Part 35 ("Final Rule"). III. TERM, TERMINATION, AMENDMENT 3.01 Term. The Agreement shall become effective on the date of the Parties' execution, whichever is later, and shall continue through November 30, 2024. The City may extend this Agreement for up to an additional one hundred -eighty (180) calendar days beyond the current Agreement period and will notify the College in writing of the extension. This Agreement may be extended beyond the initial one hundred -eighty (180) calendar day extension period by mutual agreement between the City and the College, upon approval by the Miami City Commission (the "Commission"). Notwithstanding the foregoing, pursuant to the Final Rule, the funds must be expended by December 31, 2026 and therefore this Agreement shall not be extended beyond said date. The term of this Agreement may be amended, modified, or subject to termination in the event that ARPA, the Final Rule, and any other applicable, federal, state, or local laws, rules, and regulations amends the timeframe for which the funds must be expended. 3.02 Amendments. The terms of this Agreement may be amended at any time by formal written amendment to this Agreement, executed by both parties. 3.03 Event of Default 3.03.1 An "Event of Default" is a material breach of this Agreement by the College, and includes but is not limited to the following: 3.03.1.1 The College has refused or failed to supply enough properly skilled staff personnel materially impacting its provision of services and activities required herein; 3.03.1.2 The College has failed to make prompt payment without justification to Subcontractors or suppliers for any Services; 3.03.1.3 The College has become insolvent (other than as interdicted by the bankruptcy laws), or has assigned the proceeds received for the Page 2 of 12 DocuSign Envelope ID: DC985244-3E04-46DB-80AA-E329EE0403A9 benefit of the College's creditors, or the College has taken advantage of any insolvency statute or debtor/creditor law or if the College's affairs have been put in the hands of a receiver; 3.03.1.4 The College has failed to provide "adequate assurances" as required under subsection 3.03.2 below; 3.03.1.5 The College has failed in the representation of any warranties stated herein; or 3.03.1.6 The College has failed to comply with the legal requirements and limitations for the use of the Funds pursuant to ARPA, the Final Rule, and any other applicable, federal, state, or local laws, rules, and regulations. 3.03.2 When reasonable grounds for uncertainty exist with respect to the College's ability to perform the Work or any portion thereof, the City may request that the College, within the reasonable timeframe set forth in the City's request, provide in writing adequate assurances to the City of the College's ability to perform in accordance with the terms of this Agreement. In the event that the College unjustifiably fails to provide to the City the requested assurances within the prescribed timeframe, the City may: 3.03.2.1 Treat such failure as a repudiation and/or material breach of this Agreement; and 3.03.2.2 Resort to any remedy for breach provided herein or at law. 3.04 Recapture of Funds. Pursuant to the provisions herein, the City reserves the right to recapture funds in the event that the College fails to provide the services and activities required under in this Agreement. However, the City shall be limited to recapture only those funds directly associated with the services and activities not provided. 3.05 Remedies for Noncompliance. The City retains the right to terminate this Agreement at any time prior to the completion of the services required pursuant to this Agreement without penalty to the City in the event the College fails to timely cure a material breach of this Agreement after written notice received by the College as provided for in Section 3.05.1 or 3.05.2. Any such termination shall terminate any course offerings not yet started and will otherwise be effective after the conclusion of all courses which have already started. Any such notice of termination of this Agreement shall be in writing to the College. The College shall be entitled to retain monies from any Agreement Payment which are supported by appropriate documentation. The College shall return to the City within 30 calendar days of the effective date of termination any Agreement Payment, or portion thereof, which is not supported by appropriate documentation. In no case, however, shall the City pay the College an amount in excess of the total sum provided by this Agreement. 3.05.1 If the College fails to comply with any material obligation of this Agreement, the City may take one or more of the following courses of action after providing the College written notice identifying the material obligation which is in noncompliance and an opportunity to cure the noncompliance of not less than forty-five (45) calendar days: Page 3 of 12 DocuSign Envelope ID: DC985244-3E04-46DB-80AA-E329EE0403A9 3.05.1.1 Temporarily withhold future Agreement Payments pending correction of the deficiency by the College, or such more severe enforcement action as the City reasonably determines is necessary or appropriate. 3.05.1.2 Disallow for all or part of the cost of the activity or action not in compliance. 3.05.1.3 Intentionally left blank. 3.05.1.4 Intentionally left blank. 3.05.1.5 Take any and all such other remedies that may be legally available. 3.05.2 Notice of Default and Opportunity to Cure. Before the City may move to terminate the Agreement or recapture any funds, the City shall notify the College (the "Default Notice"), specifying the basis for such action which constitute a default, and advising the College that such default must be cured immediately, or this Agreement with the City may be terminated. Notwithstanding, the City shall allow the College to rectify the default to the City's reasonable satisfaction within a period of not less than forty- five (45) calendar days. The City may grant an additional period of such duration as the City shall deem appropriate without waiver of any of the City's rights hereunder, so long as the College has commenced curing such default and is effectuating a cure with diligence and continuity during such cure. The Default Notice shall specify the date the College shall discontinue any work in furtherance of the Program upon the Effective Termination Date. IV. NOTICES All notices required or peiiiiitted under this Agreement shall be in writing and shall be deemed sufficiently served if delivered by: (i) Registered or Certified Mail, with return receipt requested; (ii) personally by a courier service; (iii) Federal Express Corporation or other nationally recognized carrier to be delivered overnight; or (iv) via facsimile or e-mail (if provided below) with delivery of hard copy pursuant to (i), (ii), or (iii) in this paragraph. AUDIT REQUIREMENTS 5.01 As a necessary part of this Agreement, the Subrecipient shall adhere to the following audit requirements: 5.01.1 If the Subrecipient expends $750,000 or more in federal funds during its fiscal year, which is July 1 to June 30, it shall have a Single or a Program -Specific Audit conducted for that year. Such Audit must be conducted in accordance with General Accepted Government Auditing Standards (GAGAS.) 5.01.1.1 Single Audit. A single audit must be conducted in accordance with 2 CFR 200.514 "Scope of Audit", except when the Subrecipient elects to have a Program -Specific Audit conducted in accordance with paragraph b) of this section. 5.01.1.2 Program -Specific Audit. When a Subrecipient expends federal awards under only one federal program and the federal program's statutes, regulations, or the terms and conditions of the federal award do not require a financial statement audit of the Subrecipient, the Subrecipient may elect to have a Program -Specific Audit conducted in accordance with 2 CFR 200.507 "Program -Specific Audits". Page 5 of 12 DocuSign Envelope ID: DC985244-3E04-46DB-80AA-E329EE0403A9 The auditor must: (i) Perform an audit of the financial statement(s) for the Federal program in accordance with GAGAS; (ii) Obtain an understanding of internal controls and perform tests of internal controls over the Federal program consistent with the requirements of 2 CFR 200.514(c) to ensure compliance with procedures; (iii) Perform procedures to determine whether the Subrecipient has complied with Federal statutes, regulations, and the terms and conditions of Federal awards that could have a direct and material effect on the Federal program consistent with the requirements of 2 CFR 200.514(d). (iv) Follow up on prior audit findings, perform procedures to assess the reasonableness of the summary schedule of prior audit findings prepared by the Subrecipient in accordance with the requirements of 2 CFR 200.511 "Audit findings follow-up", and report, as a current year audit finding, when the auditor concludes that the summary schedule of prior audit findings materially misrepresents the status of any prior audit finding; and (v) Report any audit findings consistent with the requirements of 2 CFR 200.516 "Audit findings". 5.01.1.3 The auditor's report(s) must state that the audit was conducted in accordance with this 2 CFR 200.507 "Program -Specific Audits" and include the following: (i) An opinion (or disclaimer of opinion) as to whether the financial statement(s) of the Federal program is presented fairly in all material respects in accordance with the stated accounting policies; (ii) A report on internal control related to the Federal program, which must describe the scope of testing of internal control and the results of the tests; (iii) A report on compliance which includes an opinion (or disclaimer of opinion) as to whether the Subrecipient complied with laws, regulations, and the terms and conditions of Federal awards which could have a direct and material effect on the Federal program; and (iv) A schedule of findings and questioned costs for the Federal program that includes a summary of the auditor's results relative to the Federal program in a format consistent with 2 CFR Page 6 of 12 DocuSign Envelope ID: DC985244-3E04-46DB-80AA-E329EE0403A9 200.515 "Audit reporting", paragraph (d)(1) and findings and questioned costs consistent with the requirements of 2 CFR 200.515 "Audit reporting", paragraph (d)(3). 5.02 If the Subrecipient expends less than $750,000 in federal funds during its fiscal year, it is exempted from federal audit requirements for that fiscal year and consequently the audit cost is not a reimbursable expense. The City, however, may request the Subrecipient to have a limited scope audit for monitoring purposes. These limited scope audits will be paid for and arranged by the City and address only one or more of the following types of compliance requirements if provided for in this Agreement: activities allowed or unallowed; allowable costs/cost principles; eligibility; matching, level of effort, earmarking; and reporting. All reports presented to the City shall, where applicable, include sufficient information to provide a proper perspective for judging the prevalence and consequences of the findings, such as whether an audit finding represents an isolated instance or a systemic problem. Where appropriate, instances identified shall be related to the universe and the number of cases examined and quantified in terms of dollar value. 5.03 Financial Accountability. The City reserves the right to audit the records of the College directly related to this Agreement at any time during the performance of this Agreement and for a period of five (5) years after its expiration/termination. The College agrees to make available to the City all applicable financial and other records and documentation of services provided under this Agreement. VI. INSURANCE The College is self -insured subject to the limitations and provisions of Section 768.28, Florida Statutes. VII. INDEMNIFICATION The College shall indemnify, hold harmless, and defend the City, its officers, agents, directors, and/or employees, from liabilities, damages, losses, judgments, and costs, including, but not limited to reasonable attorney's fees, to the extent caused by the negligence, recklessness, negligent act or omission, or intentional wrongful misconduct of the College and persons employed or utilized by the College in the performance of this Contract. The College shall, further, hold the City, its officials and/or employees, harmless for, and defend the City, its officials and/or employees against, any civil actions, statutory or similar claims, injuries or damages arising or resulting from the permitted work, even if it is alleged that the City, its officials and/or employees were negligent. These indemnifications shall survive the term of this Agreement. In the event that any action or proceeding is brought against the City by reason of any such claim or demand, the College shall, upon written notice from the City, resist and defend such action or proceeding by counsel satisfactory to the City. The College expressly understands and agrees that any insurance protection required by this Agreement or otherwise provided by the College shall in no way limit the responsibility to indemnify, keep and save harmless and defend the City or its officers, employees, agents and instrumentalities as herein provided. Page 7 of 12 DocuSign Envelope ID: DC985244-3E04-46DB-80AA-E329EE0403A9 The indemnification provided above shall obligate the College to defend, at its own expense, to and through appellate, supplemental or bankruptcy proceeding, or to provide for such defense, at the City's option, any and all claims of liability and all suits and actions of every name and description which may be brought against the City whether performed by the College, or persons employed or utilized by the College. The College's indemnification obligations under this Agreement shall be subject to the terms, limits, and limitations of Section 768.28, Florida Statutes, as may be amended. Nothing herein shall act to waive the College's sovereign immunity except as provided for by Florida law. This indemnity will survive the cancellation or expiration of the Agreement. VIII. MISCELLANEOUS 8.01 No Third -Party Beneficiaries. Nothing in this Agreement, express or implied, is intended or shall be construed to confer upon any person, firm, or corporation other than the parties hereto and their respective successors or assigns, any remedy of claim under or by reason of this Agreement or any term, covenant or condition hereof, as third party beneficiaries or otherwise, and all of the terms, covenants and conditions hereof shall be for the sole and exclusive benefit of the parties hereto and their permitted successors and assigns. 8.02 Assignability. The College shall not assign, transfer, convey or otherwise dispose of this Agreement, including its rights, title, or interest in or to the same or any part thereof without the prior written consent of the City, which may be withheld in the City's sole discretion. 8.03 Contingency Clause. Funding pursuant to this Agreement is contingent on the availability of funds and continued authorization for ARPA eligible activities and is also subject to amendment or termination due to lack of funds or authorization, reduction of funds, and/or changes in regulations. 8.04 Conflict of Interest. 8.04.1 The College is aware of the conflict -of -interest laws of the City of Miami (City of Miami Code Chapter 2, Article V), Dade County, Florida (Dade County Code Section 2-11-1), the State of Florida (Chapter 112, Florida Statutes), and the conflict of interest provisions in 2 C.F.R. 200.317 and 200.318, and agrees that it shall not violate in all respects the terms of the same. 8.05 Employees of the College. All employees of the College shall be, at all times, employees of the College under its sole direction and not employees or agents of the City. College employees providing any service under this agreement shall be competent to perform the required services. 8.06 Mutual Obligations. This Agreement, including attachments and appendices to the Agreement, shall constitute the entire Agreement between the Parties with respect to the subject matter hereto and supersedes all previous communications and representations or agreements, whether written or oral, unless acknowledged in writing by the duly authorized representatives of the Parties. Nothing in this Agreement shall be construed for the benefit, intended or otherwise, of Page 8 of 12 DocuSign Envelope ID: DC985244-3E04-46DB-80AA-E329EE0403A9 any third party that is not a parent or subsidiary of a party or otherwise related (by virtue of ownership control or statutory control) to a party. In those situations where this Agreement imposes an indemnity obligation on the College, the City may, at its own expense, elect to participate in the defense if the City should so choose. Furthermore, the City may at its own expense defend or settle any such claims if the College fails to diligently defend such claims, and thereafter seek indemnity for such permissible and reasonable defense or settlement costs from the College. 8.07 Record Keeping. The College shall maintain complete and accurate records to substantiate compliance with the requirements set forth in the Agreement. The College shall retain such records, and all other documents relevant to the Work furnished under this Agreement for a period of three years from the expiration date of this Agreement and any extension thereof. 8.08 Severability. If this Agreement contains any provision found to be unlawful, the same shall be deemed to be of no effect and shall be deemed stricken from this Agreement without affecting the binding force of this Agreement as it shall remain after omitting such provision. 8.09 Construction of Agreement. This Agreement shall be construed and enforced according to the laws of the State of Florida. 8.10 Venue, Jurisdiction, Attorneys' Fees. Venue shall be in a court of competent jurisdiction sitting in Miami -Dade County, Florida. For any dispute between the parties arising out of this Agreement, each party shall bear its own respective attorney's fees and costs. 8.11 Waiver of Jury Trial. Neither Party, nor any assignee, successor, heir or personal representative of a party, nor any other person or entity, shall seek a jury trial in any lawsuit, proceeding, counterclaim or any other litigation procedure based upon or arising out of any of the Agreement and/or any modifications, or the dealings or the relationship between or among such persons or entities, or any of them. Neither party, nor any other person or entity will seek to consolidate any such action in which a jury trial has been waived with any other action. The provisions of this paragraph have been fully discussed by the parties hereto, and the provisions hereof shall be subject to no exceptions. No party to this Agreement has in any manner agreed with or represented to any other party that the provisions of this paragraph will not be fully enforced in all instances. 8.12 Florida Public Records Laws: The parties acknowledge and agree that this Agreement, and any related records or documents, regardless of the physical form, are public records within the meaning of Florida Public Records laws. Should the City receive a request to copy or inspect a public record that the City does not possess, but the City believes the College may possess, the City shall forward such public records request to the College in writing and the parties shall work together expeditiously to determine whether the College possesses such public record and if so to comply with the request; provided, that should the College believe (1) that any public records request is subject to an exemption for the College under the Florida Public Records laws, or (2) that the Florida Public Records laws do not apply to the College with respect to the public records request, the College shall so notify the City in writing. If the City disagrees with the position of the College then the City may take such further action as it deems necessary to enforce production of the document or other record in question. Under no circumstances shall the College, without the express written consent of the City: 8.15.1 Issue or permit to be issued any press release, advertisement or literature of any kind which refers to the City, or the Work being performed hereunder, unless the College first obtains the written approval of the City. Such approval may be withheld in the City's sole discretion; and 8.15 Survival. The Parties acknowledge that some of the obligations in this Agreement will survive the term, termination, and cancellation hereof. Accordingly, the respective obligations of the College and the City under this Agreement, which by their nature would continue beyond the termination, cancellation, or expiration thereof or are specifically provided to survive, shall survive the termination, cancellation, or expiration hereof. 8.16 Counterparts and Electronic Signatures: This Agreement may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same instrument. Based on internal discussions, our framework was that MDC will be servings as a subrecipient for our Federal Funds and therefore the entire program is federalized and must follow Federal Guidelines CFR 200; we can discuss further. Through our Opportunity Center, we would like to house 1 or 2 MDC funded staff persons for outreach and job placement. Further, we would like to connect our summer jobs connect group (alums) that we have assisted for the past 7 years with training and employment opportunities; many still reside in Miami and are not in college. To enhance outreach efforts, further engage community stakeholders and reduced perceived and real barriers for trainee/student participation, we would like the program to lease, at market rate, City facilities and facilities of our community partners. Program proximity, particularly for the K-12 Pathways program participants, will enhance the likelihood of participation for the targeted population and the following locations have been identified for discussion: Opportunity Center; City parks, such as Hadley, Jose Marti, Moore Park which have computer labs; Overtown Youth Center; Big Brothers/Big Sisters; Cuban National Council; and Little Haiti Cultural Center. Finally, the allocation of the ARPA was contingent upon "match" funding from an NGO. In reviewing the budget, we believe "the spend" within the City should total $4 million versus the $2 million itemized. Because ARPA funding was provided by the federal government to respond to pandemic needs, fill revenue shortfalls and support communities and populations hardest -hit by the COVID-19 crises, for any participant not meeting the criteria, we would like to apply, in lieu of our funding, proceeds from the Knight Foundation.
