This agreement ("Agreement") is made and entered into as of September
20, 2021, by and between the following entities (sometimes referred to as "Party" or
"Parties"): Public Allies Inc, a nonprofit corporation incorporated under the laws of State
of Wisconsin, authorized to conduct business in the State of Florida, with its principal
place of business at 735 N Water ST, Suite 550. Milwaukee, WI 53202; and the City of
Miami ("Partner Organization"), a municipal corporation under the laws of the State of
Florida, with its principal place of business at 444 SW 2nd Ave Miami, FL. 33130.
The terms of this agreement apply in relation to any and all Public Allies Members
placed at the City of Miami, beginning on the date above and terminating subject to
Section IV(A).
WITNESSETH
WHEREAS, Public Allies, Inc. has established the Public Allies
Apprenticeship Program ("Program"), an AmeriCorps program partially funded by the
Corporation for National and Community Service (AmeriCorps) and subject to the
provisions and regulations of AmeriCorps (see Appendix A), the purpose of which is to
recruit and select individuals (collectively, the "Members"; individually, a "Member") for
training and placement in public interest groups, community -based organizations,
government agencies and other organizations volunteering for community impact; and
WHEREAS, the Member is a resource being provided to the Partner
Organization in fulfillment of an AmeriCorps grant; and
WHEREAS, the Member is an AmeriCorps volunteer and shall not be
considered to be an employee of the Partner Organization receiving assistance under
the national service laws (42 U.S.C. 12511(30) (B)) through which the Member is
engaged in service; and
WHEREAS, Partner Organization has indicated that it:
(a) is committed to diversity, equity, and inclusion, staff development
and effective management; and
(b) has a clearly defined AmeriCorps service position ("Position")
suitable for a prospective Member, expected to have a duration of
ten months from (September 20, 2021 through July 29, 2022)

following commencement of service (such months constituting the
"Term"); and
(d) will provide a close formal relationship with one or more qualified
Members, which Public Allies Site will furnish to Partner
Organization, and Partner Organization will accept, for full-time
AmeriCorps placement by Partner Organization for volunteer
purposes;
(e) has read and understands the Public Allies Policies and Procedures
for Direct Supervisors of Public Allies AmeriCorps Members (Exhibit
A); and
understands its obligation under the Corporation for National and
Community Service Grant to Public Allies Site (Exhibit B);
NOW, THEREFORE, in consideration of the foregoing and of the recitals,
representations and warranties set forth below and upon the terms and conditions
contained in this Agreement, the Entities agree as follows:
(f)
I. Duties and Responsibilities of the Entities.
A. Duties and Responsibilities of Public Allies Site.
Public Allies Site shall:
Use its best efforts to recruit and select Members for the
Program, and to provide information regarding certain Members to Partner Organization
in sufficient detail to permit it to evaluate their suitability for the Position;
ii. Work with Partner Organization on training a Member
applicable to the Position, and use its best efforts to train Member both during the initial
7-day core training phase and during four full days (all of which will be a regular business
day) of every month of the Term; and
Pay each Member a stipend of exactly $2,020.00 gross per
month during the Term of the Program in the form of semi-monthly payroll checks paid
directly to the Member. This is a monthly living allowance (also referred to as "stipend").
It is not an hourly wage and will not be disbursed as an hourly wage. The regularly paid
stipend amount will remain constant and be paid throughout the entire term, resulting in
a gross total stipend of $20,200.00, unless an extension of the agreed upon Member
term becomes necessary, at which point this agreement will be amended per Section
V(L);

iv. Pay the Member stipend and associated taxes semi-monthly
on the 15th and the last day of the month in accordance with Public Allies policies;
v. Deduct from the Member stipend FICA taxes as applicable
under Federal law and issue W-2 Forms after the conclusion of each calendar year;
vi. Cover the Member with workers' compensation insurance
and pay unemployment insurance as required by state law;
vii. Make available to the Member health insurance that meets
or exceeds the standards for Minimum Essential Coverage as defined by the Patient
Protection and Affordable Care Act or provide information on health insurance options
should the Member decline the health insurance plan offered by the Site.
B. Duties and Responsibilities of Partner Organization.
Partner Organization shall:
Pay a partnership fee to Public Allies in the form, amount, and
on the schedule outlined in Appendix C. Payment not made in a timely manner will result
in the Member(s) covered under this agreement being removed from service until proper
payment is made.
ii. Accept from Public Allies Site information regarding potential
Members, evaluate their suitability for the Position in good faith and, after evaluating a
reasonable number of Members, use its best efforts to select a Member for the Position
for the Term;
For so long as Member remains with Partner Organization,
permit Member to attend off -site training for one business day every week of the Term
as well as other AmeriCorps or Public Allies Site required events, including, but not
limited to core, mid -year and year-end retreats as outlined on the program year calendar;
iv. Provide Public Allies Site with a clear, AmeriCorps-compliant
position description that describes capacity building activities;
v. Use the agreed -upon position description in providing initial
orientation to the Member during his/her first week at the Partner Organization;
vi. Provide the Member with a Supervisor or functional
equivalent ("Supervisor") that will provide ongoing guidance and coaching for Member in
fulfilling duties of the Position and use its best efforts, with the aid of the Public Allies

Site, to give necessary skills training applicable to the Position, and communicate with
the public Allies Site in a timely and ongoing manner;
vii. Ensure that the Supervisor attends two Supervisor meetings
(including Partner Organization Orientation) and completes all required Public Allies Site
paperwork in a timely manner;
viii. Ensure that signage displaying the AmeriCorps logos
indicating "AmeriCorps Program" and "AmeriCorps Members are serving here" are
displayed on -site near the organization's front door and on the organization website, as
well as in press releases that relate to the grant, Member activities and program
outcomes; also ensure that AmeriCorps Prohibited Activities are posted in the Member's
work area; and
ix. In light of the partnership's aim to develop the Member's
leadership potential, use its best efforts to retain Member for the Term, even in the event
of disputes, in which case Partner Organization shall seek the assistance of Public Allies
Site as described in Section 11(0).
II. Additional Agreements of the Parties.

B. Non -Exclusive Agreement. Public Allies Site and Partner
Organization understand that this Agreement is non-exclusive, and that each of them
may enter into a similar arrangement with other organizations.
C. Entire Amount Payable Under Agreement. Other than any amount
payable by the Partner Organization to Public Allies Site pursuant to Sections I(B)(i) and
Appendix C or payable by Public Allies Site to Partner Organization under Appendix C,
neither shall be entitled to payment from the other under this Agreement.
D. Incorporation. The Partner Organization agrees to abide by the
terms of the Public Allies Policies and Procedures for Direct Supervisors of Public Allies
AmeriCorps Members, as amended, which are incorporated by reference into this
Agreement. The Partner Organization also agrees to be bound by the terms of the
AmeriCorps provisions and regulations, as applicable to the Partner Organization,
outlined in Appendix A.
E. Monitoring Visits, Requests for Additional information, and the
Maintenance of Records. In addition to any evaluation data taken by Public Allies Site
or Public Allies, Inc. during the course of the Program, Public Allies Site or Public Allies,
Inc. or the AmeriCorps may elect, during regular business hours, to make announced or

unannounced visits to the site of the Partner Organization or to any location where
records pertaining to the Program may be found. Partner Organization shall comply with
all reasonable requests made by Public Allies Site or Public Allies, Inc. for additional
information, clarification or documentation on the service at the Partner Organization,
whether in connection with any evaluation or reports, monitoring visits, or otherwise.
Partner Organization shall at all times maintain appropriate records pertaining to the
Program at a location that will afford Public Allies Site or Public Allies, Inc. reasonable
access thereto during a monitoring visit. For compliance with AmeriCorps regulations,
Partner Organization should maintain all supporting financial paperwork, including payroll
registers, on file for a period of seven years.
F. Evaluation. Partner Organization shall participate as necessary with
relevant Public Allies Site or Public Allies, Inc. evaluation efforts. This includes but is not
limited to: defining and gathering specific data, including reporting procedures, quality
control, analysis and interpretation, and other elements necessary and appropriate for
the evaluation of the Program. Partner Organization Supervisor will evaluate each
Member's individual performance at the mid-term and end of each term as part of a
complete program evaluation.
G. Fiscal Recording/Reporting Requirements. The financial
management systems employed with respect to the Program shall be structured to
provide for accurate, current and complete disclosure of relevant financial information.
Furthermore, Partner Organization shall keep such additional records as Public Allies
Site or Public Allies, Inc. may require, to permit the tracing of funds to ensure that they
have not been spent contrary to this Agreement or unlawfully. Partner Organization will
provide Public Allies Site or Public Allies, Inc., upon request, time logs or other relevant
data regarding the performance of the Member or Members placed with Partner
Organization, to gather information on the achievement of AmeriCorps performance
measures. In addition, Partner Organization will promptly notify Public Allies Site if a
placed Member exhibits erratic attendance, is injured, alleges harassment or stops or
quits reporting to work.
H. The City of Miami is self -insured in accordance and subject to the
limitations and provisions as set forth in Section 768.28 of the Florida Statutes.
I. Nondiscrimination. In carrying out its part of the Program,
Public Allies or the Partner Organization shall not discriminate against any Member or
applicant because of race, color, religion, sex, sexual orientation, gender, national
origin, disability, age, political affiliation, or any other characteristic protected by local,
State or Federal law. It is also unlawful to retaliate against any person who, or
organization that, files a complaint about such discrimination. In addition to filing a
complaint with local and state agencies that are responsible for resolving discrimination
complaints, a Member or applicant may bring a complaint to the attention of the
AmeriCorps Equal Opportunity Program. For more information, contact:

J. Reasonable Accommodations and Accessibility. Partner
Organization will provide reasonable accommodation to the known mental or physical
disabilities of any otherwise qualified Member and will operate in compliance with the
Americans with Disabilities Act and its implementing regulations.
K. Non -displacement and non -duplication. Partner Organization shall
not displace any volunteer, employee or position, including partial displacement such as
through a reduction in hours, wages or employment benefits, as a result of the assistance
available to the Partner Organization through any Member. No activity that enables any
Member to perform meaningful and constructive service in agencies, institutions and
situations where the application of human talent and dedication may help to meet
human, educational, linguistic, public safety and environmental community needs shall
infringe in any manner on the promotional opportunity of an employed individual or a
volunteer.
o No Member shall perform a service or duties, or engage in
activities, that would otherwise be performed by an employee as part of the assigned
duties of such employee or by a volunteer. Program activities shall not involve the
performance of services that would supplant the hiring of employed workers or volunteers
or would otherwise be performed by an employee or volunteer, including an employed
worker who recently resigned or was discharged, an employee who is subject to a
reduction in force, an employee who is on leave (terminal, temporary, vacation,
emergency or sick), or an employee who is on strike or is being locked out.
o Partner Organization shall not use the Member to duplicate
an activity that is already available in its locality. Unless the requirements above are met,
the Partner shall not use the Member to conduct activities that are the same or
substantially equivalent to activities provided by a State or local government agency in
which the Partner Organization resides.
L. Hiring members as permanent staff. Partner Organizations agree
not to hire Members into permanent staff positions until the term of service is complete.
Hiring a Member prior to the end of service will result in the member not receiving the
AmeriCorps education award, and the Partner Organization will be charged a penalty of
the full hosting fee for the member.
M. Suspension. If Public Allies Site believes that Partner Organization
has failed to comply with any material term, condition, representation or warranty of this
Agreement or with applicable administrative rules or regulations, Public Allies Site may,

upon written notice to the Partner Organization, delay further payments or prohibit such
Partner Organization from incurring additional obligations of the Program pending
corrective action by the Partner Organization, or Public Allies Site may decide to
terminate this Agreement in accordance with the relevant provisions herein. A
suspension of payments under this Agreement may also occur as a remedy of grievances
under Section II(M). If the Partner organization is delinquent or past due in payment of
the partnership fee, the Public Allies Site or Public Allies, Inc. may take such action, up
to and including suspension of the Member, termination of the agreement, and other
legal recourse.
N. US Armed Forces Reserves. Generally, the Reserves of the US
Army, US Navy, US Air Force, US Marine Corps, US Coast Guard, the Army National
Guard, and the Air National Guard require reservists to serve one weekend a month plus
12 to 15 days a year (hereafter referred to as the two -week active -duty service). To the
extent possible, Public Allies Site and the Partner Organization should seek to minimize
the disruption in members' AmeriCorps service as a result of discharging responsibilities
related to their reservist duties. If members have a choice of when to fulfill their annual
two -week active -duty requirement, they should do so when it will not disrupt their
AmeriCorps service. In instances where the dates of active duty are inflexible and conflict
with AmeriCorps service, members should be granted a leave of absence for the two -
week period of active duty service in the Reserves.

o Partner Organization will continue to pay the Member's stipend
for the two -week period of active duty.
O. Grievance Procedure. Public Allies has a grievance procedure
outlined in its policies to resolve disputes concerning the program. Aggrieved parties
may file a grievance in accordance with the procedures outlined in the Policies and
Procedures Handbook.
P. Termination. Subject to Section IV(A), this Agreement shall terminate
upon the expiration of the Term following the commencement of service with Partner
Organization of Member/Members, and may be terminated:
By either Party upon 60 days' written notice if, at the time such
notice is provided, no Member is placed with the Partner Organization.
ii. By either Party upon 60 days' written notice, due to changes
in the Partner Organization's mission.
iii. By either Party upon 60 days' written notice, due to loss of
funds necessary to fulfill, in full or in part, the terms of this agreement.
iv. At any time by Public Allies site if it reasonably determines
that Partner Organization has been involved in any illegal, improper or similar act which
may adversely affect Public Allies Site or the Program;

v. By either Party at any time upon material breach of this
Agreement by the other Entity.
vi. Within 30 days as a remedy for grievance as provided in

despite agreed -upon efforts, it is not satisfied with the performance of Member/Members.
Rights and obligations created by or arising under this Agreement shall terminate
automatically upon termination of this Agreement, except as otherwise expressly
provided.
III. Certifications, Representations and Warranties.
A. By its execution of this Agreement, Partner Organization certifies
under the penalty of perjury, the following:
Section II(M);
Program; and

i. Partner Organization shall ensure that all Allies serving with
Partner Organization are provided with a drug -free workplace in accordance with the
Drug -Free Workplace Act, 41 U.S.C. Sec. 701 et seq.
ii. Partner Organization shall utilize Member's services on a
full-time basis.
iii. Partner Organization is financially capable of retaining a
Member for the Term and Partner Organization's signing of this Agreement shall serve

as Partner Organization's valid, written and binding obligation to contribute the agreed -
upon partnership fee, as described in Appendix C.

B. Each Party represents and warrants that it has all necessary power
and authority to enter into this Agreement, that its execution thereof has been duly and
validly authorized by all necessary corporate or other action on its part, that it has
obtained all required governmental and other third Entity consents necessary for it to enter
into this Agreement, and that this Agreement constitutes a valid and binding obligation
on its part, enforceable against it in accordance with the terms hereof.
IV. Public Records.
A. Pursuant to the provisions of Section 119.0701
Florida Statutes, Public Allies Site or Public
Allies, Inc., ("Public Allies") must comply with the
Florida Public Records Laws, specifically Public
Allies must:
• Keep and maintain public records that
ordinarily and necessarily would be
required by the public agency in order to
perform the service.
• Provide the public with access to public
records on the same terms and conditions
that the public agency would provide the
records and at a cost that does not
exceed the cost provided in this chapter of
the Florida Statutes or as otherwise
provided by law.
• Ensure that public records that are
exempt or confidential and exempt from
public records disclosure requirements
are not disclosed except as authorized by
law.
• Meet all requirements for retaining public
records and transfer, at no cost, to the
Partner Organization all public records in
possession of Public Allies upon
termination of the contract and destroy
any duplicate public records that are
exempt or confidential and exempt from
public records disclosure requirements.
• All records stored electronically must be
provided to the Partner Organization in a
format that is compatible with the
information technology systems of the
Partner Organization.

V. Miscellaneous Provisions.
AmeriCorps
A. Term of Agreement. This Agreement shall remain in effect until a I I
of its terms and conditions have been satisfied, including compliance with any requests
for additional information clarification or documentation under the provisions hereof.
B. Entire Agreement. This Agreement contains the entire understanding
between the Entities hereto, supersedes any prior written or oral agreement by the
Parties hereto or by operation of law; provided, however, that Public Allies may from
time to time modify the provisions of the Policies and Procedures for Direct Supervisors
of Public Allies AmeriCorps Members. Any modifications shall be considered to be
incorporated into, and be part of, this Agreement, as fully as if set forth herein, and the
Agreement shall continue in full force and effect.
C. Waiver. No term or condition of any term, condition, representation or
warranty of this Agreement shall be deemed to have been waived, nor shall there be any
estoppel against the enforcement of any provision of this Agreement, except by written
instrument of the Party charged with such waiver or estoppel. No such written waiver
shall be deemed a continuing waiver unless specifically stated therein, and each such
waiver shall operate only as to the specific term, condition, representation or warranty
waived and shall not constitute a waiver of such for the future or as to any other that is
not specifically waived.
D. Severability. If, for any reason, any provision of this Agreement or its
application to any Party, entity (entities) or circumstance(s) is held invalid by any court of
competent jurisdiction, this invalidity shall not affect any other provision or application
which can be given effect without the invalid provision or application.
E. Captions. Any captions of articles, sections, subsections, paragraphs
or subparagraphs of this Agreement are solely for the convenience of the Entities and
are not a part of this Agreement or to be used for the interpretation of this Agreement
or any provision thereof.
F. Notices. Any notice required to be given under this Agreement will
be deemed to have been duly given if in writing and delivered by hand delivery, email or
certified mail, return receipt requested, in each case effective upon receipt, to the address
of the Party set forth after their respective signatures below (or such other address
as a Party may designate by written notice under this paragraph).
G. Counterparts and Electronic Signature. This Agreement may be
executed in any number of counterparts, each of which so executed shall be deemed to
be an original, and such counterparts shall together constitute but one and the same
Agreement. The parties shall be entitled to sign and transmit an electronic signature of
this Agreement (whether by facsimile, PDF or other email transmission), which signature

electronic signature agrees to promptly execute and deliver to the other parties an original
signed Agreement upon request.
H. No Third Entity Beneficiary Rights. Nothing in this Agreement shall
create any third Entity beneficiary in any person or entity not a Party hereof.
Non -Assignability. Neither this Agreement nor any right or interest
hereunder shall be assignable by any Party without the prior written consent of all other
Parties.

J. Gender and Number. All pronouns shall be deemed to refer to the
masculine, feminine, neuter, singular or plural as the identity of the entity, person or
persons referred to may require.
K. Applicable Law. This Agreement shall be constructed, interpreted
and enforced in accordance with the laws of the State of Florida. Venue in all proceedings
shall be in Miami -Dade County, Florida and the Parties explicitly agree to the use of this
venue. The term "proceedings" shall include, but not be limited to, all meetings to resolve
the dispute, including voluntary arbitration, mediation, or other alternative dispute
resolution mechanism. The Parties both waive any defense that venue in Miami -Dade
County is not convenient. In any civil action or other proceedings between the parties
arising out of this Agreement, each Party shall bear its own attorney's fees.
L. Amendments to this Agreement. This agreement may be changed or
revised by written consent by both Parties.
M. Entire Agreement: This Agreement represents the total agreement
between the Parties. All other prior agreements between Public Allies, Inc. and the City,
either verbal or written, are superseded by this Agreement and are therefore no longer
valid.
IN WITNESS WHEREOF, the Parties, through their proper officials,
thereunto duly authorized, have executed this Agreement as of the date of year first
written above. By signing, all Parties agree to uphold all of the terms herein.

Payment Schedule
The following outlines the amount, form, and schedule of payments of the agreed -upon
partnership fee.
• Base Partnership Fee. The base Partner Organization contribution is $16,000.00 for
each Member's term of service.
• Payment Schedule. Please select one payment schedule.

2021-22 Policies and Procedures for Direct Supervisors
of Public Allies AmeriCorps members
These Policies and Procedures are incorporated into the 2021-22 Public Allies Partner Organization
Agreement (Contract) between Public Allies and the Partner Organization.
These Policies and Procedures provide further details of the obligations outlined in the contract. You are our
partner in developing the uncommon and untapped human assets of our communities, and these policies are
designed to ensure the optimal experience for your organization and each Public Allies AmeriCorps member
(Ally).
You are responsible for understanding each of the policies and procedures outlined below. Please review this
document carefully, even if you've read prior versions.
1. Partner Organization Supervisor Expectations
Over the course of the Public Allies Program, Public Allies expects direct supervisors of each Ally to act as a
partner in developing the leadership assets of the Ally.
The commitments made by you as a Partner Organization Supervisor include, but are not limited to the
following:
A. Provide each Ally a minimum of 1,300 service hours at your organization. Public Allies will provide
400 hours of professional and leadership development, including training days, mandatory retreats,
and Team Service Projects.
B. Provide hands-on supervision, training and coaching for each Ally in developing baseline professional
working skills needed to carry out their service.
C. Support and challenge each Ally to meet their service objectives and Public Allies Program graduation
requirements.
D. Provide appropriate office space and communication tools for each Ally.
E. Provide a thorough orientation and any training necessary for each Ally to provide capacity building
services to your organization.
F. Complete all evaluations requested by Public Allies.
G. Review, provide feedback and approve each Ally's semi-monthly timesheet and monthly Ally Service
Reflection online in the Leadership Journal (Public Allies' proprietary database) within 4 business
days of the end of the reporting period.
H. Communicate any concerns about Ally performance to the Ally's Program Manager in a timely
fashion.
I. Consult with each Ally's Program Manager before changing each Ally's position description.
I.
Provide formal feedback to each Ally on their performance at least twice during the Public Allies
Program year. You must use Public Allies performance evaluation tools and are free to use any
additional tools your organization may use. These A11y Performance assessments are due at the
midpoint and at the end of the Public Allies Program year.

2. A11y Eligibility
In order to serve in the Public Allies AmeriCorps program, individuals must meet the following criteria:
A. Is at least 17 years of age by the start date;
B. Is a U.S. citizen, U.S. national or lawful permanent resident of the United States;
C. Has a high school diploma or equivalent;
D. Has a complete application on file,
E. Satisfactorily completed a previous term of service if there is one; and
F. Passes a National Service Criminal History Check.
History Checks: As a part of the National Service Criminal History check, Public Allies conducts a search of
the National Sex Offender Public Website (NSOPW), statewide criminal history search, and FBI fingerprint
check. Each of these checks must be initiated and the results must be verified and documented prior to the
Ally beginning their term of service. Any additional criminal history check your organization chooses to
perform is at its own cost.
Statement of Non -Discrimination: In carrying out the Public Allies Program, Public Allies or the Partner
Organization shall not discriminate against any Ally or Public Allies Program applicant because of race, color,
religion, sex, sexual orientation, national origin, disability, age, political affiliation, or any other characteristic
protected by local, State or Federal law. It is also unlawful to retaliate against any person who, or organization
that, files a complaint about such discrimination. In addition to filing a complaint with local and state

3. A11y Expectations
A. Each Public Allies AmeriCorps member/Ally has entered into a "Member Contract" that clearly outlines the
expectations, code of conduct and graduation requirements for each Ally. As a direct supervisor of an Ally, it
is essential that you read, understand and uphold those policies. Should you have any questions, please
contact your Public Allies contact person right away.
B. Each Ally is expected to provide capacity building services to your organization. As a general rule, capacity
building activities are indirect services that enable organizations to provide more effective direct services.
Intended results of capacity building include: the support or enhancement of a program delivery model;
increasing, expanding or enhancing services; and enabling the organization to provide a sustained level of
more or better direct services after an A11y's term of service has ended. In general, capacity building activities
are not intended to support the administration or operations of the organization, or activities that increase
capacity during the Ally's term of service, but are not sustained when the Allyleaves.

C. In addition, the Ally is expected, at all times while acting in an official capacity as an AmeriCorps member
and Public Ally, to:
i. Demonstrate respect towards others
ii. Direct concerns, problems, and suggestions to their Public Allies Program Manager or
appropriate staff member
iii. Not engage in any activity that is illegal under local, state, or federal law and
iv. Not engage in activities that pose a significant safety risk to others
4. Identification as an AmeriCorps member
The Public Allies Program is an AmeriCorps program and each AmeriCorps member placed at your
organization is a resource being provided by an AmeriCorps grant. As such, your organization is a beneficiary
of resources provided by AmeriCorps.
The Partner Organization Supervisor must ensure that each Ally identifies themselves as Public Allies
AmeriCorps members during public speaking opportunities. AmeriCorps signage with the new AmeriCorps
logo should be visible at each Ally's workstation. Ally business cards should identify the individual as a
"Public Allies AmeriCorps Apprentice."
5. AmeriCorps Prohibited Activities
The Ally is expected at all times, while acting in an official capacity as an AmeriCorps member and Public Ally,
not to engage in any of the following AmeriCorps Prohibited Activities:
• Attempting to influence legislation, including but not limited to lobbying for your program, or state or
local ballot initiatives, or organizing a letter -writing campaign to Congress;
• Organizing or participating in protests, petitions, boycotts, or strikes;
• Assisting, promoting, or deterring union organizing;
• Conducting or assisting with a voter registration drive;
• Impairing existing contracts for services or collective bargaining agreements;
• Engaging in partisan political activities, or other activities designed to influence the outcome of an
election to any public office;
• Participating in, or endorsing, events or activities that are likely to include advocacy for or against
political parties, political platforms, political candidates, proposed legislation, or elected officials;
• Engaging in religious instruction, conducting worship services, providing instruction as part of a
program that includes mandatory religious instruction or worship, constructing, or operating
facilities devoted to religious instruction or worship, maintaining facilities primarily or inherently
devoted to religious instruction or worship, or engaging in any form of religious proselytization;
• Providing a direct benefit to:
o A business organized forprofit;
o A labor union;
o A partisan political organization;
o A nonprofit organization that fails to comply with the restrictions contained in section
501(c) (3) of the Internal Revenue Code of 1986 related to engaging in political activities or
substantial amount of lobbying;

o An organization engaged in the religious activities described above, unless AmeriCorps
assistance is not used to support those religious activities;
• Conducting a voter registration drive or using AmeriCorps funds to conduct a voter registration drive;
• Providing abortion services or referrals for receipt of such services; and
• Such other activities as AmeriCorps may prohibit.
In addition to the above activities, the below activities are additionally prohibited:
• Census Activities. AmeriCorps members and volunteers associated with AmeriCorps grants may not
engage in census activities during AmeriCorps service hours. Being a census taker during AmeriCorps
service hours is categorically prohibited. Census -related activities (e.g., promotion of the Census,
education about the importance of the Census) do not align with AmeriCorps State and National
objectives. What Allies and volunteers do on their own time is up to them, consistent with Public
Allies Program policies about outside employment and activities.
• Election and Polling Activities. AmeriCorps members may not provide services for election or polling
locations or in support of such activities.
AmeriCorps members may not engage in the above activities directly or indirectly by recruiting, training, or
managing others for the primary purpose of engaging in one of the activities listed above.
A copy of the Prohibited Activities should be posted at each Ally's work station.
Individuals may exercise their rights as private citizens and may participate in the activities listed above on
their initiative, on non-AmeriCorps time, and using non-AmeriCorps funds. Individuals should not wear the
AmeriCorps logo while engaging in any of the above activities on their personal time.
Any hours spent engaging in prohibited activities will not be counted toward completion of an AmeriCorps
term of service.
Fundraising Guidelines: The Ally cannot assist Public Allies or your organization with major fundraising
efforts such as proposal writing, financial campaigns, endowment drives, solicitation of gifts and bequest, or
similar activities designed for the sole purpose of raising general operating capital.
Under no circumstances can the Ally assist with the preparation or submission of any grants to AmeriCorps
or any other federal agency. The A11y cannot raise funds to support the cost of their own position.
However, the Ally is permitted to raise funds or in -kind resources for a project that they are working on that
provides immediate and direct support to a specific service objective.
* Any fundraising activities must be discussed with and pre -approved by the Public Allies Program
Manager.
* The A11y may not spend more than 10% of their total hours on pre -approved fundraising activities.
6. Documenting Time and Activities in the Leadership Journal
Public Allies requires you to review and approve each Ally's semi-monthly timesheets and Monthly Service
Reflections as submitted in the Leadership Journal, within 4 business days following the end of the
reporting period. Your organization's reimbursement from Public Allies may be delayed and an Ally's stipend
payment might be held if you do not approve each Ally's timesheets and reflections in a timely manner.

Each Ally must complete a minimum of 1700 hours of capacity building service (in combination with Public
Allies' events such as Training/Team Service Days, retreats, etc.) during their term of service in order to
receive a full Segal Education Award. Public Allies must keep exact and strict documentation on the number
of hours an Ally is performing service. Each Ally is responsible for submitting the forms in the Leadership
Journal online system within 2 business days following the end of the reporting period.
Public Allies requires each Ally to maintain accurate records of attendance and timeliness. Absenteeism and
tardiness may be grounds for release from the Public Allies Program.
7. Public Allies Attendance Policy
Public Allies has instituted the following policy to ensure that each Ally earns at least 1700approved
hours of service, including service at a Partner Organization and leadership development training.
Retreats - Attendance is mandatory at all retreats. All time in attendance at retreats, including
evenings, is Public Allies time. Compliance with Public Allies' policies is required throughout the
period of each retreat.
Absences - Allies are allowed a total of 22 absences during their term of service. Absences fall
into one of two categories: unexcused absences and excused absences. All absences —including
holidays —must be recorded in the Leadership Journal time log.
• Unexcused Absences - An unexcused absence is one in which proper absence notification is
NOT GIVEN to your Partner Organization supervisor and/or your Program Manager. Forany
unexcused absence, you will be subject to termination.
• Excused Absences - An excused absence is one in which proper absence notification is given
to your Program Manager and/or Partner Organization supervisor.
Holidays - In addition to the holidays listed below, you are permitted 14 excused paid absences.
This allotment includes absences at both your Partner Organization and Training/Team Service
Days. These absences can be used when you are sick or need to attend to personal business.
Public Allies recognizes the following (8)holidays during your term ofservice:
1. Thanksgiving Day
2. The Friday following Thanksgiving
3. December 24th
4. December 25th
5. New Year's Day
6. Memorial Day
7. Juneteenth
8. Fourth of July

As a part of the Public Allies Program, you are not eligible to participate in your Partner
Organization's vacation structure. In the case that your Partner Organization does not recognize
one or more of the Public Allies recognized holidays, you have the option of exchanging any of the
above dates with another date during the program year. For example, if a Partner Organization does
not observe the Friday following Thanksgiving as a holiday, the Ally may serve with their Partner
Organization on the Friday following Thanksgiving and use that day off later in the program year
following Public Allies absence request procedures. Should your Partner Organization observe a
holiday that Public Allies does not observe, you will be required to take that date as one of your
personal days. Special situations will be handled on a case -by -case basis by Public Allies staff.
Absence Notification Procedure
Illness and emergency situations
If you are going to be absent from your Partner Organization or from Training/Team Service Day
due to illness or emergency, you must speak with your Partner Organization supervisor and/or
Program Manager at least a half hour before the start of the workday. Once you have returned to work,
you must promptly submit a completed absence request form to your Program Manager. Should
you not speak with your Partner Organization Supervisor and/or Program Manager prior to the start
of that workday, you will be charged with an unexcused absence which is cause for dismissal.
Other Absences
When using one of your allotted personal days for a planned absence from the Partner Organization,
an Absence Request form must be completed and submitted for approval to your Partner
Organization Supervisor and Public Allies Program Manager at least two days in advance of your
absence. Absence requests not submitted at least two days in advance may be denied by either Public
Allies or your Partner Organization. If either party does not approve the absence request, the absence
is considered denied. Absence requests for Training/Team Service Days must be completed and
submitted for approval to your Public Allies Program Manager at least two days in advance of your
absence. Absence requests not submitted at least two days in advance may be denied by Public Allies.
Absences without prior approved documentation will be considered unexcused unless due to illness
or emergency situations (see "Illness and emergency situations" section above). Any unexcused
absence may be grounds for termination.
Jury Duty
Absences for jury duty are paid absences and hours serving as a jury member count towards the
1700 hours that are required to graduate from the Public Allies Program. Approved absence request
documentation should still be submitted following the above procedures; however, these days will
not be deducted from your excused absence allotment.
Non -Public Allies Training Opportunities
You may use up to two Training/Team Service Days to pursue alternate training opportunities,

retreats or conferences that are sponsored or supported by your Partner Organization. The
following restrictions apply:
• An A11y may not miss more than a total of four Training/Team Service Days for any reason
• The alternate training opportunities may only be used on regularly scheduled Training/Team
Service Days; they may not be used to miss any part of a Public Allies retreat
• The event you choose to attend must be relevant either to your service at your Partner
Organization or to the outcomes of the Public Allies program
• You must give your Program Manager at least one week's notice. Your Program Manager will
use their discretion to either approve or deny the Alternate Training Opportunity. If the
request is denied and the Ally does not attend Public Allies Training & Learning session, it
will be considered an unexcused absence. Any unexcused absence is grounds for termination
from Public Allies
• Alternate training days are not subtracted from your excused absence allotment
• Public Allies will not cover any costs or fees associated with these events
• Missing any part of a Training/Team Service Day for an alternate training opportunity will
count as an entire alternate training day (ie: no Yz alternate training days will be recorded.)
• Lunch Breaks - Allies cannot count time spent on lunch breaks in time logs. Allies are
expected to follow the lunch break policies of the Partner Organization, with at least a 30-
minute lunch break during the day.
8. Office Space and Remote Service Tools
You must provide each Ally with an appropriate office space. This should include:
❑ a desk
❑ a telephone
❑ internet access
❑ necessary office supplies
❑ a place to keep work, and
❑ any other office arrangements that will allow an Ally to provide service toward their service
objectives.
In the case that the local threat from the COVID-19 global pandemic increases, your organization
will provide each Ally with the tools they need in order to complete their service remotely, including
but not limited to:
❑ email, word processing and web browsersoftware
❑ computer terminal or laptop
9. Orientation to Partner Organization
You must provide each Ally with an orientation to your organization. An orientation is important in
ensuring a proper understanding of your organization's philosophy, policies and procedures. Atthis

time, you must outline your expectations for each Ally. In addition, introduce each Ally to your
coworkers and explain the Public Allies Program.
Partner Organizations are expected to provide any training necessary for the Ally to complete their
service objectives. Each Ally's Public Allies Program Manager may be able to provide supportwith
many training topics.
10. Ally -Staff Relations
You are required to maintain a professional relationship with each Ally. You may not consume
alcohol or drugs with an Ally (regardless of their age), and you may not engage in anysexual
behavior with an Ally.
11. Release from the Public Allies Program
In light of the partnership's aim to develop the Ally's leadership potential, the PartnerOrganization
is expected to use its best efforts to retain the Ally for the term.
Public Allies uses a progressive discipline policy, except where the Ally has been charged with or
convicted of a violent felony, possession, sale or distribution of a controlled substance during the term
of service, or in cases where the Public Allies Site Director determines that the seriousness of the
offense warrants distinct action.
As soon as a concern with an Ally arises, please contact the Ally's Program Manager. Public Allies
Program Managers can provide support to an Ally that can address manyconcerns.
If necessary, the progressive discipline policy will be carried out in the following fashion:
• In the first instance, a Public Allies staff member will issue a verbal warning to the Ally.
• In the second instance, a Public Allies staff member will issue a written warning and reprimand
the Ally.
• In the third instance, the Ally may be put on probation, with any subsequent instances resulting
in immediate release from the Public Allies Program.
• In the fourth instance, the Ally may be released from the Public Allies Program for cause.
If you decide to release an Ally from service with your Partner Organization, you are required to:
• Submit a letter to Public Allies outlining the reasons an Ally was dismissed;
• Return any unused money that Public Allies has paid your organization toward the Ally
stipend; and
• Complete all required evaluations.

If an Ally is released from the Public Allies Program or leaves the Public Allies Program for any
reason before they graduate, the Partner Organization may not hire or continue employing the Ally
for a period of six months after they are released from the Public Allies Program.
Public Allies is not required to consult with a Partner Organization when determining whether an
A11y will be released from the Public Allies Program.
12. Special Events
On occasion, each Ally will be asked to represent the Public Allies Program at special events and
other activities. Public Allies plans to provide each Ally with at least two days notice before the
scheduled event. It is each Ally's responsibility to obtain permission from their Partner
Organization Supervisor. If they attend the event without your approval, their absence will be
counted as an unexcused absence.
13. Grievance Procedure
A. Public Allies has established a grievance procedure to resolve disputes concerning the
suspension, dismissal, service evaluation, proposed service assignment, or any decision that
materially limits, denies or terminates an Ally's participation in the Public Allies Program.
This procedure is also extended to resolve disputes for any persons or entities impacted by
the Public Allies Program, including Partner Organizations. Informal efforts to resolve the
dispute should be pursued before a formal grievance is initiated. A formal grievance may be
filed in accordance with the Public Allies Program's grievance procedure as set forth below.
A Partner Organization wishing to file a grievance against the Public Allies Program should
contact the Public Allies Site Director.
A Partner Organization wishing to file a grievance against a Public Allies staff member other
than the Site Director should contact the Public Allies Site Director.
A Partner Organization wishing to file a grievance against the Public Allies Site Director
should be filed with the Site Director's supervisor.
B. Time Limitations
Except for a grievance that alleges fraud or criminal activity, a grievance must be made no
later than one year after the date of the alleged occurrence. If a hearing is held on a
grievance, it must be conducted no later than 30 calendar days after the filing of such
grievance.
C. Alternative Dispute Resolution (ADR)
The person or organization with a grievance may seek resolution through an informal,
alternative means of dispute resolution (ADR) such as mediation or facilitation. ADR
proceedings must be initiated within 45 days of the date of the alleged occurrence.

If the party chooses to proceed with ADR, a neutral party designated by the Public Allies
Program will attempt to facilitate a mutually agreeable resolution. At the initial session of
ADR, the neutral party must provide the person or organization with a grievance with a
written notice of their right to file a formal grievance and right to arbitration. The neutral
party may not compel a decision.
If the matter is resolved, the terms of the resolution must be recorded in a written
agreement, and the person with a grievance agrees not to file any further grievance on the
matter under consideration. Any decisions made by/with the neutral party is informal and
non -binding unless both parties agree.
The proceedings must be informal and rules of evidence will not apply. With the exception of
a written and agreed -upon ADR, the proceeding is confidential. If the grievance is not
resolved within 30 days of initiation, the neutral party must inform the aggrieved partyof
their right to file a formal grievance.
D. Formal Grievance Proceeding
If someone is filing a grievance after participating in ADR, the neutral party may not
participate in the formal grievance process. In addition, no communications or proceedings
of the ADR may be referred to or introduced into evidence at the grievance and arbitration
proceeding.
A person or organization with a grievance may request a grievance hearing if (1) ADR fails to
facilitate a mutually agreeable resolution, or (2) they choose to proceed directly to the
hearing without participating in ADR. Except for a grievance that alleges fraud or criminal
activity, a request for grievance must be made within one year after the date of the alleged
occurrence. A grievance hearing must be held no later than 30 days after the filing of such
grievance, and a written decision must be made no later than 60 days after filing.
E. Binding Arbitration
A person or organization with a grievance may request binding arbitration if a grievance
hearing decision is adverse or if no decision has been reached after 60 days of the filing of
the grievance. The arbitrator must be jointly selected and must be independent of the
interested parties. If the parties cannot agree on an arbitrator, AmeriCorps will appoint one
within 15 days of receiving a request from one of the parties. An arbitration proceeding
must be held no later than 45 days after the request for arbitration, or no later than 30 days
after the appointment of an arbitrator by AmeriCorps. An arbitration decision must be made
no later than 30 days after the commencement of the arbitration proceeding. The cost of
arbitration must be divided evenly between the parties unless the aggrieved party prevails,
in which case the Public Allies Program will pay the total cost of the proceeding as well as
attorney's fees of the prevailing party.
If the grievance is regarding a proposed participant placement, the placement must not be
made unless it is consistent with the resolution of the grievance.

F. Remedies
The remedies for a grievance filed under the above procedures may include:
a. Termination of an Ally's placement at a Partner Organization;
b. Suspension or termination of payments under the AmeriCorps grant allowing placement
of the Ally; and
c. In cases where there is a violation of non -duplication or non -displacement requirements
and the employer of the displaced employee is a Public Allies Site or Partner Organization
• Reinstatement of the employee to the position they held prior to the displacement;
• Payment of lost wages and benefits;
• Re-establishment of other relevant terms, conditions and privileges of
employment; and
• Any other equitable relief that is necessary to correct any violation of the
non -duplication or non -displacement requirements or to make the displaced
employee whole.
G. Enforcement
Suits to enforce arbitration awards under this section may be brought in any district court of
the United States having jurisdiction of the parties, without regard to the amount in
controversy and without regard to the citizenship of the parties.

safe during the global pandemic, we are proud to work with your organization to protect the safety of you
and your team, our Public Allies AmeriCorps Members and the communities we serve.
All Public Allies Partner Organizations are required to acknowledge that you have read and agree to
adhere to the requirements in this document.
The AmeriCorps grant that supports the Public Allies Program requires that Partner
Organizations provide necessary safeguards that are sufficient to ensure the safety
of Allies and volunteers. Allies may not participate in projects that pose undue
safety risks.
Before your Public Ally may begin their service, complete all sections of this plan and return it to Public
Allies.
Until there is near -zero spread of the virus, Public Allies will not return to full in person operations. In the
meantime, Public Allies provides these requirements for protecting safety and health. In addition, please
review guidance and orders from the US Centers for Disease Control and Prevention (CDC), the
Occupational Safety and Health Administration (OSHA), and your state government and local
municipalities. This policy does not supersede more restrictive guidance that protects individuals from
COVID issued by city, county or state authorities.
In addition, the Partner Organization must not require any Allies to sign waivers, releases, or similar legal
documents that claim to shift responsibility for COVID-19 exposure from the Partner Organization to the

1.Conditions for In -Person Service
In light of the COVID-19 pandemic throughout the United States and around the world, each Public Ally
should engage in remote service for their protection and the protection of those they serve.
Exceptions may be made in cases where an Ally is providing direct service that can only be performed
in -person and provides relief and/or recovery to communities from the effects of COVID-19. Allies will
not begin in -person service at a Partner Organization without express prior approval from Public Allies.
Public Allies will use public health data to determine whether and when it is safe for Allies to serve
in -person at the Partner Organization based on the US Centers for Disease Control and Prevention's
CDC COVID Data Trackerwebpage.
Before your Public Ally can begin in -person service
you will be required to share your organization's
written pandemic preparedness and prevention plan
with your Ally and with Public Allies Staff.
Because there continue to be surges of coronavirus transmission across the US and around the world,
Public Allies reserves the right to determine that remote service is the only safe option, and/or to overrule
any proposed exceptions. In that case, the Partner Organization is responsible for facilitating a remote
service plan, providing remote supervision and providing any technology required for remote service.
2. Safe Workspace Practices
Below is a non -exhaustive list of practices that Partner Organizations should implement and encourage
to help reduce the spread of COVID-19, especially while indoors:
• Encourage frequent handwashing for 20 seconds
• Provide hand sanitizer containing at least 60% alcohol and other disinfectants readily available in
multiple locations.

• Require face coverings for everyone in the workspace, and require them to cover their coughs
and sneezes
• Offer virtual options for meetings, even when in the office
• Promote of physical distancing, including signage on the floor showing 6' apart, and training on
physical distancing scenarios
• Increase ventilation by circulating outdoor air as much as possible
• Provide tissues, paper towels, and face coverings
• Establish and implement procedures to notify everyone in the workspace of known cases of
COVID-19, and illnesses with COVID-19 symptoms or exposure to COVID-19, while maintaining
confidentiality
• Limit sharing of phones, computers and other items
• Post signage promoting the importance of everyday protective measures to prevent the spread of
germs in common areas (including entrances, restrooms, and meeting rooms)
• Identify someone in your office responsible for responding to COVID-19 concerns and how
everyone in the office should contact this person
• Restrict nonessential visitors
• Limit face-to-face interactions by encouraging virtual meetings and considering other measures,
such as Plexiglass partitions
3. Cleaning and Disinfecting Workspaces
First, please confirm that your organization has a written pandemic preparedness and prevention plan,
which includes cleaning and disinfecting your workspaces in alignment with the Centers for Disease
Control's Guidance for Cleaning and Disinfecting Public Spaces, Workplaces, Businesses, Schools, and
Homes.
Please summarize the section of your organization's written pandemic preparedness and prevention plan
that includes cleaning and disinfecting your workspaces, including updated cleaning schedules. Specify
cleaning and disinfection schedules for frequently touched surfaces, such as shared desks, shared
phones, door handles, railings, light switches and communal spaces (such as restrooms).

4. Identify Colleagues that Carry the Coronavirus and
Ensure They Stay Home
A key element in protecting your Ally at your workspace is to encourage colleagues that carry the
coronavirus to stay at home without fear of job loss or other consequences.
The CDC recommends that workspaces implement screening procedures, such as symptom checking
and workplace -based COVID-19 screening testing to identify people that may not experience symptoms
of COVID-19 but are contagious.
At a minimum, these procedures should include refusing anyone who reports symptoms of COVID-19, is
under evaluation for COVID-19, or who was potentially exposed to COVID-19 from entering the site.
Partner Organizations should also have privacy protections in place to encourage individuals to
self -report symptoms and to ensure compliance with the equal protections laws with their written
pandemic preparedness and prevention plan.
Partner Organizations must have a process in place for individuals to self -report if they tested positive for
COVID-19, have symptoms of COVID-19, or were exposed to someone with COVID-19 or potentially
exposed others at the workplace.
If an Ally is at particularly high risk of complications if infected with the coronavirus or if the Public Ally
does not feel safe serving in -person, the Partner Organization will provide alternative means to serve.
Under no circumstances will a Partner Organization require an Ally to serve in -person when the Ally is
not confident of their safety.
If your Ally becomes ill with a fever or other symptoms of COVID-19, tested positive or is awaiting test
results for COVID-19 and/or had any exposure to COVID-19 within the previous 14 days, the Ally will
follow the Public Allies absence notification procedures to alert the Partner Organization Supervisor and
their Public Allies Program Manager.
Please describe your organization's plan to identify colleagues carrying the coronavirus and to ensure
colleagues carrying the coronavirus do not come to work in -person.

5.Technology
Partner Organizations are required to provide all tools necessary to conduct their service remotely.
We recognize that there is a digital divide in our country that privileges some of us unfairly when it comes
to access to and use of technology. Please list the tools you will provide to your Ally to need in order to
serve remotely, including a laptop and broadband internet connection, as well as any training in using
devices and software (including and not limited to any software, and maintenance and repairs).
6. Supervision
The Partner Organization Supervisor will provide supervision remotely, including, but not limited to:
• weekly check -in meetings
• co -creating and approving Ally's weekly/monthly remote service plans
• guidance for the best ways and times to connect with Partner Organization Supervisor in between
scheduled meetings.

7. Remote Service Plans
AmeriCorps policy requires that each Ally serving remotely must have a pre -approved description of the
activities they will be engaged in before an Ally can count service hours that were completed remotely.
Each remote service plan:
• describes activities that the Ally will be engaged in for the upcoming week or month
• includes an estimate for how much time each activity will take
• is completed and approved by the Partner Organization Supervisor before the next week or
month begins
In contrast, each Ally's monthly service reflection (MSR) provides a summary of overall activities and the
Ally's impact for the month in the Leadership Journal. Remote service plans include much more detail
than MSRs.
Every week or month, each Ally should "make a copy" of the Public Allies Remote Service Plan with
Partner Organization v2.0 (master) and "share" the new document with their Partner Organization
Supervisor

Organization Supervisor
❑ The Partner Organization Supervisor pre -approves the Remote Service Plan before the Ally

As a representative of the Partner Organization, I acknowledge and agree to adhere to the requirements
listed above and to provide all necessary safeguards to protect the health and safety of our Public Ally.
Our Partner Organization's Ally will be serving in -person. Before my AIIy begins serving in -person, I
will provide a written copy of our Organization's pandemic preparedness and prevention plan to the Ally
and to Public Allies Staff.
The Public Ally will not begin in -person service until our Partner Organization's pandemic preparedness
and prevention plan has been approved by the Ally and by Public Allies Staff.
I acknowledge that, because there continue to be surges of coronavirus transmission across the US and
around the world, Public Allies reserves the right to determine that remote service is the only safe option,
and/or to overrule any proposed exceptions. In that case, the Partner Organization is responsible for
facilitating a remote service plan, providing remote supervision and providing any technology required for
remote service.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, Public Allies (we, us or Company) may be required by law to provide to you
certain written notices or disclosures. Described below are the terms and conditions for providing
to you such notices and disclosures electronically through the DocuSign system. Please read the
information below carefully and thoroughly, and if you can access this information electronically
to your satisfaction and agree to this Electronic Record and Signature Disclosure (ERSD), please
confirm your agreement by selecting the check -box next to `I agree to use electronic records and
signatures' before clicking `CONTINUE' within the DocuSign system.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available
electronically to you by us. You will have the ability to download and print documents we send
to you through the DocuSign system during and immediately after the signing session and, if you
elect to create a DocuSign account, you may access the documents fora limited period of time
(usually 30 days) after such documents are first sent to you. After such time, if you wish for us to
send you paper copies of any such documents from our office to you, you will be charged a
$0.00.per-page fee. You may request delivery of such paper copies from us by following the
procedure described below.
Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time
change your mind and tell us- thatthereafter you want to receive required notices and disclosures
only in paper format. How you must inform us of your decision to receive future notices and
disclosure in paper format and withdraw your consent to receive notices and disclosures
electronically is described below.
Consequences of changing your mind
If you elect to receive required_ notices and disclosures only in paper format, it will slow the
speed at which we can complete certain steps in transactions with you and delivering services to
you because we will need first to send the required notices or disclosures to you in paper format,
and then wait until we receive back from you your acknowledgment of your receipt of such
paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to
receive required notices and consents electronically from us or to sign electronically documents
from us.
All notices and disclosures will be sent to you electronically
Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through the DocuSign system all required notices, disclosures,
authorizations, acknowledgements, and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as
described below. Please also see the paragraph immediately above that describes the
consequences of your electing not to receive delivery of the notices and disclosures
electronically from us.

To let us know of a change in your email address where we should send notices and disclosures
electronically to you, you must send an ernail message to us at elyssec@publicallies.org and in
the body of such request you must state: your previous email address, your new email
address. We do not require any other information from you to change your email address.
If you created a DocuSign account, you may update it with your new email address through your
account preferences.
To request paper copies from Public Allies
To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must send us an email to ElysseC@PublicAllies.org and in the
body of such request you must state your email address, full name, mailing address, and
telephone number.
To withdraw your consent with Public Allies
To inform us that you no longer wish to receive future noticesand disclosures in electronic
format you may:
i. decline to sign a document from within your signing session, and on the subsequent page,
select the check -box indicating you wish to withdraw your consent, or you may;
ii. send us an email to ElysseC@PublicAllies.org and in the body of such request you must state
your email, full name, mailing address, and telephone number.. .
Required hardware and software

Acknowledging your access and consent to receive and sign documents electronically.
To confirm to us that you can access this information electronically, which will be similar to other electronic notices and disclosures that we will provide to you, please confirm that you have

your future reference and access; or (ii) that you are able to email this ERSD to an email address
where you will be able to print on paper. or save it for your future reference and access. Further,
if you consent to receiving notices and disclosures exclusively in electronic format as described
herein, then select the check -box next to `I agree to use electronic records and signatures' before
clicking `CONTINUE' within the DocuSign system.
