RESOLUTION NO. 73-225
A RESOLUTION AUTHORIZING AND DIRECTING
THE CITY MANAGER OF THE CITY OF MIAMI
TO EXECUTE AN AGREEMENT BETWEEN THE CITY
OF MIAMI AND METROPOLITAN DADE COUNTY
FOR THE TRANSFER OF THE OPERATIONS OF
THE DEPARTMENT OF WATER AND SEWERS TO
SAID METROPOLITAN DADE COUNTY; A COPY
OF SAID AGREEMENT IS ATTACHED HERETO AND
MADE A PART HEREOF.
WHEREAS, by Resolution Number 41300, the City Commission
of The City of Miami urged the Metropolitan Dade County Commission
to utilize the existing City of Miami Department of Water and
Sewers Board and Department of Water and Sewers, as now consti-
tuted, as the agency to develop and administer a county -wide
water and sewer system; and
WHEREAS, the City Commission of The City of Miami has
reaffirmed its expressed policy that the Department of Water
and Sewers of The City of Miami should become an authority for
the purpose of providing water and sewer service for all of Dade
county; and
WHEREAS, the City Commission of The City of Miami,
by Resolution Number 72-398, urged Metropolitan Dade County to
place on its election ballot at the earliest possible date the
question of whether or not a Water and Sewer Authority should
be created for the Metropolitan Dade County area; and
WHEREAS, such election was held at which election the
majority of those voting voted in favor of such county -wide
Water and Sewer Authority; and

WHEREAS, an Agreement providing for the terms and
conditions under which such an Authority shall be created and
providing for the transfer of Water and Sewer properties,
facilities, funds and obligations to this Authority is neces-
sary; and
WHEREAS, such an Agreement entitled AGREEMENT BETWEEN
THE CITY OF MIAMI AND DADE COUNTY, FLORIDA AND THE MIAMI-DADE
WATER AND SEWER AUTHORITY FOR TRANSFER OF ALL WATER AND SEWER
PROPERTIES, FACILITIES, FUNDS AND OBLIGATIONS TO THE MIAMI-DADE
WATER AND SEWER AUTHORITY has been presented to the members of
the City Commission of The City of Miami; and
WHEREAS, The City Manager of the City of Miami
recommends the adoption of said Agreement as it was presented
to the City Commission of The City of Miami on this 22nd day of
March, 1973; and
WHEREAS, The Water and Sewers Board of The City of
Miami and the Director of the Department of Water and Sewers has
recommended the adoption of said Agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION
OF THE CITY OF MIAMI, FLORIDA:
Section 1. The City Manager of The City of Miami is
authorized and directed to execute an Agreement between The City
of Miami and Metropolitan Dade County for the transfer of the
operations of The Department of Water and Sewers to said
Metropolitan Dade County; a copy of said agreement is attached
hereto and made a part hereof.

FACILITIES, FUNDS AND OBLIGATIONS
TO
THE MIAMI-DADE WATER AND SEWER AUTHORITY
THIS AGREEMENT made and entered into this day of
, 1973, by and between the CITY OF MIAMI, a
municipal corporation of the State of Florida (hereinafter
sometimes referred to as the CITY), party of the first part,
and METROPOLITAN DADE COUNTY, a political subdivision of the
State of Florida, acting by and through its Board of County
Commissioners (hereinafter sometimes referred to as the
COUNTY), party of the second part, and the MIAMI-DADE WATER
AND SEWER AUTHORITY, an agency and instrumentality of
Metropolitan Dade County, Florida, (hereinafter sometimes
referred to as the AUTHORITY), party of the third part;
W I T N E S S E T H:
WHEREAS, Section 4.08 (B) of the Dade County Charter
has been amended to authorize the Board of County Commissioners
to provide for the expansion of the City of Miami Water and
Sewer Board to an agency countywide in scope and authority,
with the power to acquire, construct and operate water and
sewer systems within the incorporated and unincorporated
areas of Dade County, and

WHEREAS, Dade County Ordinance No. 72-94 repealed
Article VI of Chapter 32 of the Dade County Code, thereby
abolishing the Metropolitan Dade County Water and Sewer
Authority, and
* WHEREAS, the City is contributing funds and properties
with current replacement value exceeding $400,000,000, and

WHEREAS, Dade County Ordinance No. 72-94 repealed Chapter
22-A of the Charter of the City of Miami, thereby abolishing
the Department of Water and Sewers of the City of Miami, and
WHEREAS, Dade County Ordinance No. 72-94 amended the
Dade County Code by providing for a Chapter 32A thereof, said
Chapter 32-A providing for the expansion of the Water and
Sewer Board and the Department of Water and Sewers of the
City of Miami to an agency countywide in scope and responsibility,
said agency to be known as the Miami -Dade Water and Sewer
Authority, and
WHEREAS, the City of Miami entered into a Trust Indenture
agreement with the Chase National Bank of New York City, now
known as the Chase Manhattan Bank, National Association,
dated December 1, 1940, securing City of Miami Water Revenue
Bonds, of which some remain outstanding, and
WHEREAS, the City of Miami Commission adopted Ordinance
No. 4573 on August 6, 1952, authorizing and securing City
of Miami Sewer Revenue Bonds of which some remain outstanding,
and
WHEREAS, Section 4 of Dade County Ordinance No. 72-94
amends the Code of Metropolitan Dade County, Florida, by
adding Sections 32A-7 and 32A-13 which recognize and fully
protect the rights of water and sewer revenue bond holders
referred to herein, and
WHEREAS, Section 7 of Ordinance 72-94 provides as
follows:
"The provisions of this ordinance shall
become effective January 1, 1973. Operation
of the authority shall commence on or about
January 1, 1973, or at such later time as

WHEREAS, the Authority recognizes that the City is proceeding
with a program for completion of all sanitary sewers within the City
by 1990, and
and
the transfers of the respective property, funds
and employees from Metropolitan Dade County, the
Metropolitan Dade County Water and Sewer Authority,
the Department of Water and Sewers, and the City
of Miami have been accomplished. Such transfers
shall take place no later than April 1, 1973.
Existing budgets shall remain in effect through
June 30, 1973."
WHEREAS, the Department of Water and Sewers of the City
of Miami and Metropolitan Dade County have entered into many
contracts with other parties in the respective conduct of
public business on water and sewer matters, such contracts
applying to the cost participation in water and sewer utility
construction, the purchase and sale of water and sewer
services, the construction and purchase of water and sewer
facilities, the financing of water and sewer facilities, and
the employment of professional consultants, and
WHEREAS, the City of Miami adopted Ordinance No. 8050
on April 7, 1972, increasing sewer service charges for all
Department of Water and Sewers' customers within the City
of Miami to 140 percent of the water bill, in order to
provide sufficient sewer revenues to finance future expansion
of sewage treatment plant facilities, and the extension of
the ocean outfall and for the operating and maintenance
costs of the sanitary sewer collection system of the City
of Miami, said increase in sewer service charges were
placed into effect on July 1, 1972, and

WHEREAS, the Board of County Commissioners adopted
Ordinance No. 67-3 on January 10, 1967, authorizing the
issuance of Sewer Revenue Bonds for the construction of
sewage disposal facilities in the Sunny Isles area, of
which some remain outstanding, and
WHEREAS, the Board of County Commissioners adopted
Ordinance No. 70-3, as amended, on January 28, 1970, authorizing
and securing Special Obligation Capital Project Bonds supported
by non -ad valorem tax revenue accruing solely from the revenue
of the State Cigarette Tax in the amount of $50,000,000, of
which a part has been designated for water and sewer purposes;
NOW, THEREFORE, IN EXECUTION OF THE DIRECTIVES CONTAINED
IN THE CHARTER AND ORDINANCES REFERRED TO ABOVE, AND IN
CONSIDERATION OF THE MUTUAL COVENANTS HEREIN STATED, the
parties hereto agree as follows:
SECTION I
TRANSFER BY THE CITY OF ALL WATER AND SEWER PROPERTIES,
FUNDS, AND OBLIGATIONS TO THE MIAMI-DADE
WATER AND SEWER AUTHORITY
The intent of this Section is to transfer to the Authority,
in the manner hereinafter set forth,
all water and sewer land, structures, improvements, equipment,
funds, other assets, liabilities and contractual obligations
held by the former Department of Water and Sewers of the
City of Miami, and/or the City of Miami, on January 1, 1973,
and any additions, less any deletions, thereto prior to the
execution of this agreement or April 1, 1973, whichever occurs
except the Hialeah Lower Well Field Golf Course, Deed Nos. 11
first. and 12, which shall be retained by the CITY and easements
granted to the AUTHORITY by the CITY.
Accordingly, the CITY does hereby remise, release, quit
claim, assign and transfer unto the AUTHORITY, its successors
and assigns, the following described property, contracts,
liabilities and obligations

In addition to the above listed real property, all grants of
easement made to the City of Miami and the former Department
of Water and Sewers of the City of Miami and used or useful
by said Department as of April 1, 1973, are hereby transferred
to the Miami -Dade Water and Sewer Authority.
The real estate hereinabove set forthis more particularly
described in Schedule A attached hereto and made a part hereof.

The CITY shall grant Quit Claim Deeds to AUTHORITY.
The CITY shall grant deeds to the AUTHORITY subject to
inclusion of the following reverter clause:
The CITY grants all of the above described real property
to the AUTHORITY so long as the AUTHORITY remains in existence
and so long as said property is needed in connection with the
operation of the waterworks system and/or the sanitary sewer
system of the AUTHORITY. If the AUTHORITY ceases to exist,
then all of said property shall automatically revert to the
CITY, its successors and assigns. If at any time, in the
discretion of the AUTHORITY, any or all of the above described
parcels of real property are not needed in connection with the
operation of the waterworks system and/or the sanitary sewer

system of the AUTHORITY, then the parcel or parcels not so
needed shall automatically revert to the CITY, its successors
and assigns.
(3) The CITY shall retain the property and shall grant
appropriate easements to the AUTHORITY for all areas
occupied by the AUTHORITY'S wells, well houses, underground
power lines, and raw water transmission mains.

An agreement between the County Commissioners and Inter -
American Center Authority (Interama) dated Feb. 25, 1972, was
entered into covering the purchase of 80 acres of Interama land
at $30,000.00 per acre for location of the County's Waste Water
Treatment Facilities.
As of August 5, 1971, the County paid $375,000.00 towards
the acquisition of this property and at the date of the above
agreement (2-25-72) made an additional payment of $25,000.00,
or a total payment of $400,000.00.

The following specified expenditures, either direct or
indirect, for construction of water and sewer facilities shall
not be an obligation for repayment by the AUTHORITY either
to the CITY or to the COUNTY:
(a) Construction of water, sewer, and sewage
disposal facilities by the CITY, exclusive
of the former Department of Water and Sewers
of the CITY.
(b) A11 proceeds of the issuance of City of Miami
General G'aiigation Sewer Bonds of 1953 in the
amount of $16,000,000 for construction of the
Sewage Disposal Project.
(c) tali proceeds o:: the issuance of City of Miami
Genera. Cobligation Bonds for the construction
of sanitary sewers and related facilities.
(d) All expenditures by the COUNTY for the
construction of water and sewer projects,
and related work, exclusive of the proceeds
of sewer revenue bonds.
It is the intent of this Section to exclude financial
obligations required by the three revenue bond Trust Indentures,
incomplete construction contracts, contracts for professional
services, contracts for Water and Sewer Improvement Special
Taxing District, and agreements between the former Department
of Water and Sewers of the City of Miami, the former
Metropolitan Dade County Water and Sewer Authority and other
parties.

PROVISIONS TO BECOME EFFECTIVE UPON RETIREMENT OF
OUTSTANDING CITY OF MIAMI SEWER/REVENUE BONDS OF 1953
ISSUED UNDER TERMS OF CITY OF MIAMI ORDINANCE NO. 4573
DATED AUGUST 6, 1952
It is intended that the AUTHORITY Will prepare a plan
of long range financing for wastewater treatment facility
construction which will include refunding, purchase or
redemption of outstanding City of Miami Sewer Revenue Bonds
on July 1, 1973, /
of 1953. Upon the retirement of said Sewer Revenue Bonds,

void and the prohibition against raking expenditures from
sewer revenues for operation and maintenance of the sanitary

AUTHORITY as kept by the AUTHORITY'S Treasurer pursuant to

Section 32A-11 of the Code of Metropolitan Dade County,
Florida, are hereby declared sufficient to comply with
applicable legal requirements pertaining to Metropolitan
Dade County budgets, funds and accounts. The Finance
Director of Metropolitan Dade County shall not be required
to keep any records relating to the budgets, funds and
accounts of the AUTHORITY.
