BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. That it does hereby approve in principle
a Lease Agreement between the City of Miami and the State
of Florida Department of Transportation for land known as
"At.halie Range Under -Expressway PLr': .o. 2", coriprising the
area under the North -South Expressway between N. W. 73rd
Street and N. W. 75th Street, in the City of Miami.
Section 2. That the City Manager is hereby authorized
and directed to execute saic Lease Agreement cn beralf of the,
City of Miami and to forward said Lease Agreement and other
necessary documents to the State of Florida Department of
Transportation.

T_lIS AGREEMENT, made and entered into this day
of , 1973, by and between the STATE OF FLORIDA
DEPARTMENT O_ TRANSPORTATION, a component agency of the State
of Florida, hereinafter called the "Department", and the
CITY OF MIAMI, FLORIDA, hereinafter called the "City";
W I T N E S S E T H:
WHEREAS, the Department is owner of certain rights of way
for Interstate Highway 1-95 within the City, including air space
above and below the grade line of the highway facility; and
WHEREAS, there are certain areas in the vicinity of N. W.
73rd Street under an elevated section of Interstate Highway
I-95 which are adequate for the construction of recreational
areas; and
WHEREAS, the Dade County Highway Multiple Use Committee
has conducted a study which determined that the use of said
areas for recreational purposes is congruent with the Master
Land Use Plan and such use will provide the greatest contribution
to community needs; and
WHEREAS, the proposed use will not impair the full use
and safety of the highway, or require or permit vehicular access
to such space directly from the established grade line of said
highway, or interfere with the free • f lo:a of traffic on said
highway, or will not result in violation of Part 626 of the

2. That the term of this lease shall be for a period of
forty (40) years from the date of the execution hereof, unless
sooner terminated as hereinafter provided, for use as a recreation
facility, and the City shall pay therefor the annual rental of
$1.00 per annum, the first payment thereof being clue and payable
on or before July 1, 1973, and succeeding payments will be due on
or before the anniversary date o4oteach succeeding year thereafter
during the term hereof.
3. The Department reserves the right of ingress to, over
and across said property for the purpose of maintenance or recon-
struction of its highway and adjacent facilities, and the City
agrees that the design and construction of the recreational facil-
ity will not impair access for this purpose, and in the event that
additional highway facilities, due to the construction and operation
of the recreational facility, are required for the proper operation
and maintenance of the Highway, they shall be provided without cost
to the Department or Federal Government.
4. The Department reserves the right to approve any and all
improvements and facilities, including modifications to previously
approved facilities which are placed on said property by City, such
as paving, curbs, drains, lights, signs, booths, fences, buildings
and driveway entrances or similar items. Plans attached hereto and
made a part hereof as Exhibit "A" reflect the work which the City
proposes to perform. The City shall contract for and construct all
the facilities as shown in Exhibit "A" including any and all facili-
ties as may be determined necessary. The cost of the completed park
shall be borne by the City and the City shall be responsible for such
recreational programs as it may conduct. The City agrees not to
encroach on any fills or other construction features of the
Department's highway facility.
5. The proposed use of the air space below the highway
will not interfere with the free and :safe flow of traffic on
said highway; or permit vehicular access directly from the
establ? shed grade of said highway; or include any feature or
structure that will extend vertically above the described
Limits of the air space, or permit hazardous or unreasonably
objectionable smoke, fumes, vapor or odors to rise above the
grade line of the highway.
6. Structures authorized to.occupy the air space will
be of fireproof construction as designed by the provisions of
applicable building codes, and will not be used for the manu-
facture of inflammable materials, or for any storage of materials
or other purposes deemed by the Department or the Bureau of
Public Roads to be potential fire or other hazards to the
highway, and the operation and maintenance of the space will
be subject to regulation by the Department to protect against
fires or other hazards impairing the use, safety and appearance
o. the highway. No vehicle shall be allowed to park on the
premises containing materials which shall constitute a potential
fire hazard to the Department's facility.
7. On premises signs, displays or devices shall be
'restricted to those indicating ownership and type of activity
being conducted in the facility to occupy the air space and
shall be subject to reasonable restrictions with respect to
number, size, location and design by regulation of the Depart-
ment subject to approval by the Bureau of Public Roads.

8. The City Shall maintain the .recreation facility in
such a manner that will assure that structures and the area
within the rightecaf-way boundaries will ba ':cot in good con-
dition both as to safety and appearance, and will present to
the Department and Bureau of Public Roads details of advance
arrangements for emergency maintenance procedures. The
Department shall have access to inspect the facilities per-
mitted under the terms of this Agreement.
9. The City hereby agrees not to sublease or assign the
air space herein, or any portion thereof, except upon prior
approval in writing by both the Department and the .Bureau of
Public Roads.
10. The Department hereby reserves the right to terminate
this lease, without liability, in the event the Department
determines in the future that the City is not making use of
the same for the purpose herein stated, or if it fails to
adequately maintain and protect the same, or it violates any
of the conditions of this Agreement, or if the Department
determines that it is necessary to widen the elevated structure,
- or if said property shall be needed for highway purposes, and
the continuance of said recreation facility would reasonably
interfere with such purposes. Should it be determined by the
Department that any of these covenants have been violated or
that such property is needed for its purposes, then, in such
an event, this lease shall cease and terminate, upon the Depart-
ment's giving to the City a ninety (90) day notice in writing
of its intentions to so terminate.

for work thereof, and the City, for itself, successors in
interest and assigns, as a part of the consideration thereof,
does hereby covenant and agree as a covenant running with the
land that:
(a) No person, on the ground of race, color or
national origin shall be excluded from
participation in, be denied the benefits of,
or be otherwise subjected to discrimination
in the use of said facilities.
(b) That in connection with the construction of
any improvements on said lands and the
furnishing of services thereon, no discrimin-
ation shall be practiced in the selection of
emalo ees and contractors, by contractors in
the selection and retention of first -tier -
subcontractors, and by first -tier subcon-
tractors in the selection and retention of
second -tier subcontractors.
(c) That such discrimination shall not be practiced
against the public in its access to and use of
facilities and services provided for public
accommodations (such as eating, sleeping,
rest, recreation and vehicle servicing)
constructed or operated on, over, or under
the space of the right-of-way; and
(d) That the City shall use the premises in compli-
ance with all other requirements imposed
pursuant to Title 15, Code of Federal Regulations,
Commerce and Foreign Trade, Subtitle A, Office
of the Secretary of Transportation, Part 8
(15 C.F.R., Part 8) and as said regulations
may be amended.
12. The City does hereby covenant and agree to indemnify,
defend, save and hold harmless the Department from any claims,
demands or liabilities of any nature whatsoever arising out of
or because of this Agreement, and from any and all damages to
the roadway structures or by fire or other accident or casualty.
The City shall provide necessary safeguards to protect the public
and the highway.
13. It is understood and agreed that this Agreement
is subject to approval by t.h•- Bureau of Public Roads.
