This Amendment No. 1 ("Amendment") to the Professional Services Agreement dated May 1, 2018 ("Agreement") by and between the City of Miami, a municipal corporation of the State of Florida, whose address is 444 S.W. 2nd Avenue, 10th Floor, Miami, Florida 33130 ("City"), and Geotechnical Marine Corp., a Florida profit corporation whose principal address is 9939 NW 89 Avenue, Bay #1, Medley, FL 33178, hereinafter referred to as ("Contractor") is 26th entered into this as follows: day of October , 2021. The Agreement is hereby amended RECITALS: WHEREAS, pursuant to Resolution 18-0087, adopted on March 08, 2018, the City and Contractor entered into a Sole Source (No. 16-17-084) Service Agreement dated May 1st 2018, to provide Hydro -Cartridge Storm Drain Filtration System Maintenance and Parts for the City's Department of General Services Administration's ("GSA") in order to be compliant with Miami - Dade County's Regulatory and Economic Resources Department ("RER") formerly known as the Department of Environment Resources Management ("DERM"). WHEREAS, the City's Solid Waste Department ("Solid Waste") has acquired six (6) additional Hydro -Cartridge storm drains located in the Solid Waste parking area, in order to maintain compliance with the RER; and 1 DocuSign Envelope ID: 8CF6D7AB-C268-4F7E-8590-C95713C2DCF7 City of Miami, Florida WHEREAS, Contractor provided a quote for maintenance of the additional six (6) Hydro - Cartridge Storm Drains located at Solid Waste at a total monthly cost of $881.00 to be added to the Exhibit "B" Compensation of the Agreement; and NOW, THEREFORE, in consideration of the foregoing, the parties hereby amend the Agreement as follows: 1. EXHIBIT "B" Compensation is hereby amended for inclusion of the following language: Per Amendment No. 1 to this Agreement, the amount of compensation payable by the City to the Contractor, for each of the additional six (6) Hydro -Cartridges storm drain filters inspected annually, the City agrees to pay the amount of Eight Hundred Eighty - One Dollars ($881.00) monthly per Hydro -Cartridge storm drain filter unit inspected, for a total of Ten Thousand Five Hundred Seventy Two Dollars ($10,572.00) per year for the maintenance of the drains, inclusive of all the optional terms set forth in Exhibit "A" of the Agreement. 2. Section 29, titled COUNTERPARTS, is hereby deleted and replaced with: COUNTERPARTS, ELECTRONIC SIGNATURES: This Amendment may be executed in counterparts and all such counterparts taken together shall be deemed to constitute one and the same instrument, each of which shall be an original as against either party whose signature appears thereon, but all of which taken together shall constitute but one and the same instrument. An executed facsimile or electronic scanned copy of this Amendment shall have the same force and effect as an original. The parties shall be entitled to sign and transmit an electronic signature on this Amendment (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein.
