of Miami"), as mortgagee under that certain Leasehold Mortgage and Security Agreement (CPF)
for 5215 Flagler Street, LLC made by 5215 Flagler Street, LLC, a Florida limited liability
company, to City of Miami, dated July 2, 2025, recorded July 11, 2025, in Official Records Book
34843, Page 2357, of the Public Records of Miami -Dade County, Florida, covering the property
described in the foregoing Covenant in Favor of Miami -Dade County relating to Exemption from
Educational Facilities Impact Fee for Elderly Housing (the "Covenant"), does hereby acknowledge
that the terms of the Covenant are and shall be binding upon the undersigned and its successors in
title and interest.
