DIRECTOR OR DESIGNEE ACM/Advisor Si gnatu-r'e Signature Date ern Date a '3 Date Rec.by Mgr's. 0ff.: Date signed by Mgr.: 3 Attested by City Clerk: Returned to dept/office: ORIGINAL TO CITY CLERK: REV. 9/20/91 G d27/ ed-x-S �te iic'�� 1 S/G AGREEMENT FOR PROFESSIONAL SERVICES: EXECUTIVE DIRECTOR THIS AGREEMENT made and entered into this 1st day of July, 1992, by and between THE SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM, State of Florida, a Consortium formed under the Florida Interlocal Cooperation Act of 1969, Section 163.01 et seq., Florida Statutes 1977 and Metropolitan Dade County Home Rule Charter, hereinafter called the "SFETC," as party of the first part, and JOSEPH ALFANO, hereinafter called "Employee," as party of the second part, to wit: WITNESSETH: WHEREAS, the SFETC desires to employ the services of said Employee as Executive Director of the SFETC as provided by the South Florida Employment and Training Consortium Agreement of July 1, 1990, and WHEREAS, it is the desire of the SFETC to provide certain benefits, establish certain conditions of employment, and to set forth working conditions of said Employee; and WHEREAS, it is the desire of the SFETC to: 1. secure and obtain the services of Employee, and to provide inducement for him to remain in such employment; 2. make possible full work productivity by assuring Employee's morale and peace of mind with respect to future security; 3. provide a just means for terminating Employee's services at such time as he may be unable to fully discharge his duties due to disability or when the SFETC may desire to otherwise terminate his employ; and x 7D---;7c WHEREAS, Employee desires to accept employment as Executive Director of said SFETC. NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties hereto agree as follows: SECTION I. Duties. • SFETC hereby agrees to employ said Employee as Executive Director of said SFETC to perform the functions and duties specified in the Consortium Agreement of July 1, 1990, as attached hereto, and to perform such other duties and functions as the SFETC shall from time to time assign. SECTION II. Term. (a) Employee agrees to remain.in the employment of SFETC until the 30th day of June, 1993. (b) The SFETC retains the right to terminate, by majority vote of the permanent members of the SFETC, the services of Employee at any time, subject only to the provisions set forth in Section III (a), III (b), and VI (a) of this Agreement. (c) The Employee retains the right to resign from his position at any time prior to the expiration of this Agreement but shall give the SFETC thirty (30) days written notice of said resignation. (d) The Agreement shall be automatically extended on the same terms and conditions herein provided on a month -to -month basis until Employee is terminated in accordance with Section III hereof, or until a new agreement is negotiated and executed, unless written notice is given by either party to the other at least ninety (90) days prior to the. end of the term of the Agreement. SECTION III. Termination and Severance Pay. (a) In the event Employee is terminated by the SFETC before ex- piration of the term of employment, and; during such time that Employee is willing and able to perform the duties of Executive Director, then and in that event, the SFETC agrees to pay Employee a lump sum cash payment equal to the balance of the contract provided that such payment shall not be less than three (3) months' aggregate salary nor more than six (6) months' aggregate salary, provided however, that in the event Employee is terminated for cause then and in that event, SFETC shall have no obligation to make any severance payments to Employee. Employee agrees to accept the severance pay set,forth herein in lieu of making any other claim for damages under this Agreement except as provided in paragraphs VI and VII (b) hereof. (b) Nothing in this Agreement shall prevent, limit, or otherwise interfere with the Employee's right to a public hearing before the SFETC upon termination. SECTION IV. Salary. (a) The SFETC agrees to pay Employee for his services a maximum compensation per contract period not to exceed a salary of $86,803.35, payable in equal installments at the same time as other employees of the SFETC are paid. For payroll purposes, the Employee shall continue to be paid through Metropolitan Dade County in order to ensure continuity of insurance, leave and retirement benefits. Payment of salary and other benefits by Metropolitan Dade County is for the convenience of the SFETC and the Employee. (b) The SFETC agrees to perform an annual review of the Employee's base salary, in accord with the review of the operating budget of the SFETC, and to provide increases in the Employee's base salary by agreement of the majority of the permanent members of the SFETC. (c) The SFETC agrees to provide benefits to the Employee under the Metropolitan Dade County Executive Benefit Program. -3 J SECTION V. Professional Development. (a) SFETC agrees to budget and pay a reasonable amount, as determined by the members of the SFETC, of travel and subsistence expenses of Employee for professional and official travel, meetings, and other occasions to continue the professional development of Employee, and to allow Employee to adequately pursue necessary official and other functions for the SFETC including national, region- al, state, and local government groups and committees on which Employee serves as a member; in accordance with Administrative Order #6.1 of Metropolitan Dade County concerning out of town travel on official business. Approval for said travel and related expenditure reimbursement to employee shall be submitted to and provided by the Chairman of the Consortium Board or his/her designee. - (b) SFETC agrees to budget and pay a reasonable amount, as determined by the members of the SFETC, of travel and subsistence expenses of Employee for short courses, institutes, and seminars necessary for professional development and for the good of the SFETC. SECTION VI. Other Terms and Conditions of Employment. (a) Employee shall be entitled to receive accrued vacation and payment therefore as well as accumulated sick leave and payment therefore due to Employee, using Metropolitan Dade County regulations as a non -binding guide, upon termination of employment in addition to severance pay set forth herein. Employee may request and receive Administrative Leave at termination to substi- tute for any vacation leave in excess of 400 hours Employee may have lost due to inability to use leave time accrued and/or for sick leave accrued for which the County payroll system cannot pay. Employee shall also be entitled to a vehicle to be used on a 24-hour basis, or to a car allowance. -4 SECTION VII. General Provisions." (a) The text herein and attachments hereto shall constitute the entire Agreement between the parties. Modifications to this text shall not be allowed unless such modifications are provided in writing and are agreed to, in writing, by both parties. (b)In the event of the Employee's death, all leave benefits and outstanding wage payments which are due to the Employee shall be provided to the benefit of the heir -in-law and the executors of Employee.
