FIRST AMENDMENT AND EXTENSION
TO THE
USE AGREEMENT BETWEEN CITY OF MIAMI
AND KIWANIS CLUB OF LITTLE HAVANA, INC.

This First Amendment 'tothe March 6, 1990. j- Agreement,
entered into on the �aO day of 1993, by
and between the City of Miami, a Florida Municipal corporation -.
(hereinafter the "CITY") and Kiwanis Club of Little Havana, Inc.,
a corporation registered in the State of Florida (hereinafter the
"USER").
Now, therefore, the City and USER have agreed to amend the
March 6, 1990 Agreement between the parties in the following
paragraph as set out below, and the parties further agree that
every paragraph, covenant, term and condition of the Use
Agreement dated March 6, 1990, between the City and USER, not
herein amended shall continue in operative force and effect
throughout the extended term of the Agreement.
I. AGREEMENT TERM/EVENT DATES
Paragraph 1 Agreement Term/Event Dates, is amended in
the following particulars:
User shall be allowed to conduct up to three four such
annual events during the term of this agreement,
covering the period commencing on January 1, 1990 and
terminating on et.laber 31, 1992 March 7, 1993.

IN WITNESS WHEREOF, the parties hereto have caused
this First Amendment and Extension to the Use Agreement
by and between the City of Miami- and Kiwanis Club of
Little Havana, Inc. to be executed by their respective
duly authorized officers on the day and year first above
written.

CORPORATE RESOLUTION
WHEREAS, the Board of Directors of Kiwanis Club of Little
Havana, Inc. desires to amend and extend the March 6, 1990 Use
Agreement with the City of Miami; and
WHEREAS, the Board of Directors of KIWANIH CLUB OF LITTLE
HAVANA, INC. has examined terms, conditions and obligations of
the proposed First Amendment and Extension to said Use Agreement
with the City of Miami; and
WHEREAS, the Board of Directors at a duly held corporate
meeting has considered the matter in accordance with the By -Laws
of the corporation;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS of
Kiwanis Club of Little Havana, Inc. that the President ( ) of
Vice-president ( ) or Secretary ( ) (please check one) is
hereby authorized and instructed to enter into an Amendment and
Extension to the March 6, 1990 Use Agreement with the City of
Miami in the name of and on behalf of this corporation in
accordance with the contract documents furnished by the City of
Miami, and for the price and upon the terms and payments
contained in the proposed First Amendment and Extension submitted
by the City of Miami,
