AMENDMENT #1

This Amendment #1 made this L2 day
1993, to an Agreement dated March 12, 1992, by and bet en the
City of Miami, a municipal corporation of the State of Florida,
hereinafter referred to as "CITY", and South Florida.Pet Shows,
Inc. , a Florida for profit corporation hereinafter referred to
as "USER."
RECITAL
WHEREAS, South Florida Pet Shows, Inc. contracted with the
CITY for a period of three (3) years for the purpose of hosting
Pet Shows at the Coconut Grove Convention Center., and
WHEREAS, Schedule A referred to in Agreement for use of the
Coconut Grove Convention Center. between CITY and USER provided
for a Pet Show to be held in 1994 on the dates of March 16-21
(inclusive of move -in and move -out dates), and
WHEREAS, USER is desirous of changing his 1994 show dates to
May 19-23 (inclusive of move -in and move -out dates);
NOW THEREFORE, CITY AND USER, for the considerations
hereinafter set forth, agree to amend the Agreement as follows:
1. Schedule A to Agreement To. 91-120 dated March 12, 1992 shall
be amended to reflect the new dates for. the South Florida Pet
Shows, Inc. in 1994.
2. The Agreement entered into between CITY and USER dated March
12, 1992, shall remain in full force and effect and shall not be
deemed to be modified except as modified herein.

corporate officials, executed this Amendment #1, the day and year

CORPORATE RESOLUTION
WHEREAS, the Board of Directors of South Florida Pet Shows,
Inc., has examined the terms, conditions and obligations of the
proposed amendment of its contract with the City of Miami
("CITY") for an amended Schedule A between USER
and CITY; and
WHEREAS, the Board of Directors of South• Florida Pet Shows,
Inc., at a duly held corporate meeting have considered the matter
in accordance with the by-laws of said corporation; and
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
South Florida Pet Shows, Inc. that the President and Vice -
President of South Florida Pet Shows, Inc. are hereby authorized
and instructed to enter into a contract in the name of, and on
behalf of this corporation, with the City of Miami for an
amendment of the Schedule A in the agreement between South
Florida Pet Shows, Inc. and the CITY in accordance with the
contract documents furnished by the City of Miami, and for the
price and upon the terms and payments contained in the proposed
contract submitted by the City of i'1iami.
