FIRST AMENDMENT TO ANTI -POVERTY INITIATIVE
FUNDING AGREEMENT BY AND BETWEEN THE
CITY OF MIAMI,
FLORIDA AND
RER Consulting Enterpris LLC
This First Amendment to the Anti -Poverty Initiative Funding Agreement ("First
Amendment") by and between the City of Miami, Florida, a municipal corporation of the
State of Florida, located at 444 SW 2ndAvenue, Miami, FL 33130 ("CITY"), and
RER Consulting Enterpris LLC , a Florida Limited Liability Compan:, located at
1335 NW 172 Terrace, Miami Gardens, FL 33169 ("RECIPIENT") is entered into as of this
12 day of July , 20 21 . The CITY and RECIPIENT may
each be referred to as a "Party" and may collectively be referred to as the "Parties."
RECITALS:
WHEREAS, the CITY, pursuant to Resolution No. 20-0013 , the City
approved providing Anti -Poverty Initiative ("API") Funds to the RECIPIENT in the not to
exceed amount of Fifteen Thousand Dollars ($ 15,000.00 );
and
WHEREAS, the CITY and RECIPIENT, on 3/23/20 , entered into
an Anti -Poverty Initiative Funding Agreement ("API Agreement") to set forth the terms
and conditions relating to the use of the Funds for the term of
January 23, 2020 to January 23, 2021 ; and
WHEREAS, the City of Miami ("City") declared a State of Local Emergency on
March 12, 2020; and
WHEREAS, pursuant to the State of Local Emergency, the City has taken all prudent
actions necessary to protect the health, safety, and welfare of the community; and
WHEREAS, the aforementioned Recipient has experienced unforeseen delays in
their programming created by the COVID-19 pandemic; and
WHERAS, the City wishes to extend the term of the agreement for one year, to allow
the Recipient time to complete their programming/services per their Scope of Work and
terms of the agreement with the City and no additional funds will be allocated; and
NOW, THEREFORE, in consideration of the mutual covenants and promises
herein, the Parties agree as follows:
1. The recitals are true and correct and are hereby incorporated into and made a part of
this First Amendment.
2. Paragraph 2 of the API Agreement entitled Term is amended to continue
until January 23, 2022
3. Page 1, Terms (2), will be updated to reflect the new Term end date.

Counterparts and Electronic Signatures. This Agreement may be executed in any number of counterparts, each of which so executed shall
be deemed to be an original, and such counterparts shall together constitute but one and the same Agreement. The parties shall be
entitled to sign and transmit an electronic signature of this Agreement (whether by facsimile, PDF or other email transmission), which
signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly
execute and deliver to the other parties an original signed Agreement upon request.
IN WITNESS WHEREOF, the Parties hereto have caused this First Amendment to be
executed by their respective officials thereunto duly authorized on the date above written.

CITY OF MIAMI
ANTI -POVERTY INITIATIVE
FUNDING AGREEMENT
This ANTI -POVERTY INITIATIVE AGREEMENT ("Agreement") is entered into
this 23 day of March 20 20 by and between the CITY OF MIAMI, a
municipal corporation of the State of Florida, located at 444 SW 2ndAvenue, Miami, FL 33130
("CITY"), and RER Consulting Enterprise LLC , a Florida not for profit corporation, located at
1335 NW 172 Terrace, Miami Gardens, FL 33169 ("RECIPIENT"). The CITY and the RECIPIENT may each
be referred to as a "Party" and may collectively be referred to as the "Parties."
WHEREAS, the City created the Anti -Poverty Initiative ("API") to address poverty based
on a strategy of focusing the provision of support towards the City's residents achieving self-
sufficiency; and
WHEREAS, the RECIPIENT submitted a Request for API Funding to the City; and
WHEREAS, the CITY adopted Resolution No. R- 20 _ 0013 on January 23 , 20 20 ,
wherein the CITY approved providing funds to the RECIPIENT in the not to exceed amount of
Fifteen Thousand dollars ($ 15,000 .00) ("Funds"), attached
and incorporated as Exhibit "A", as applicable; and
WHEREAS, the CITY agrees to enter into this Agreement with the RECIPIENT to set
forth the terms and conditions relating to the use of the Funds by the RECIPIENT.
NOW, THEREFORE, in consideration of the mutual covenants and promises herein
contained, the Parties agree as follows:
TERMS
1. RECITALS: The recitals are true and correct and are hereby incorporated into and made
a part of this Agreement.
2. TERM: The term of this Agreement shallcommence on January 23 , 20 20 and
shall continue until January 23 , 20 22
3. GRANT OF FUNDS: Subject to the terms and conditions set forth herein and
RECEIPIENT' S compliance with all of its obligations hereunder, the CITY hereby agrees to make
available to the RECIPIENT the Funds to be used for the purpose(s), program(s), initiative(s), and
activity(ies) (as defined in Exhibit "B"), and as disbursed in the manner hereinafter provided.
