AUTHORIZING THE BAYFRONT PARK MANAGEMENT TRUST EXECUTIVE
DIRECTOR TO EXECUTE THE NEGOTIATED REVOCABLE LICENSE AGREEMENT,
WITH EVENT ENTERTAINMENT GROUP, INC., IN SUBSTANTIALLY THE
ATTACHED FORM, AND IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR
THE ULTRA MUSIC FESTIVAL AT BAYFRONT PARK; FURTHER WAIVING THE

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE BAYFRONT PARK MANAGEMENT TRUST EXECUTIVE
DIRECTOR TO EXECUTE THE NEGOTIATED REVOCABLE LICENSE AGREEMENT,
WITH EVENT ENTERTAINMENT GROUP, INC., IN SUBSTANTIALLY THE
ATTACHED FORM, AND IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR
THE ULTRA MUSIC FESTIVAL AT BAYFRONT PARK; FURTHER WAIVING THE
REQUIREMENTS OF SECTION 38-113 OF THE CODE OF THE CITY OF MIAMI,
FLORIDA, AS AMENDED.
WHEREAS, pursuant to Resolution No. R-22-0174, adopted on May 12, 2022, the City
of Miami ("City") Commission approved a Revocable License Agreement ("2022 RLA") with
Event Entertainment Group, Inc. ("Licensee" or "EEG") for the presentation of an annual Ultra
Music Festival ("Event") at Bayfront Park ("Park") on the terms and conditions, including use fee,
use period, and other terms set forth in the 2022 RLA, and authorized the Executive Director of
the Bayfront Park Management Trust ("Trust") to execute the 2022 RLA with the Licensee for
the Event; and
WHEREAS, pursuant to Trust Resolution No. 26-05, adopted on January 20, 2026, the
Trust Board directed and authorized the Trust's Chairperson and Executive Director to negotiate
a new revocable license agreement with the Licensee for the Event ("2026 RLA"); and
WHEREAS, the City Commission desires for the Trust, the City's managing and
operating agency of the Park, to oversee and manage the Event; and
WHEREAS, Licensee submitted concessions which were read into the record and
accepted by the City; and
WHEREAS, the City Commission finds it is in the best interests of the City to waive
Section 38-113 of the Code of the City of Miami, Florida, as amended ("City Code"), for the
Event;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. The Executive Director of the Trust is hereby authorized' to execute the 2026
RLA, in substantially the attached form, and in a form acceptable to the City Attorney, between
the Trust and EEG for the purpose of producing the Event at the Park.
1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed including, but not limited to, those prescribed by applicable City Charter and City Code
provisions.
Section 3. The requirements set forth in Section 38-113 of the City Code are hereby
waived for the Event at the Park.
Section 4. This Resolution shall become effective immediately upon adoption.
