The Department of Economic Innovation and Development ("EID") seeks to enter into a Reference Solutions Agreement ("RSA") with InfoUSA for a license to download 97,500 records over the term of one (1) year. InfoUSA's Database is compiled and verified through proprietary processes resulting in an ever - evolving warehouse of business, consumer and residential data from over 5,000 sources. EID will use this data to support its core economic development functions of Business Attraction/ Retention & Expansion, Market Analysis & Strategic Planning, Business Outreach & Engagement, and Geographical Information System ("GIS") Integration. InfoUSA is the only data provider that offers a combination of Business, Consumer and Residential data compiled and verified using these proprietary processes. There are other firms that offer access to business and consumer data, but the compilation and verification processes employed by InfoUSA generate data that best meets the current needs of EID. Accordingly, pursuant to Section 18-92 (a) (1) and (b) of the Code of the City of Miami, it is recommended that these findings be approved: InfoUSA is the sole source compiler, publisher and licensor of its US Business Database; and approving the purchase of a license to download up to 97,500 records from the Database, within your delegated authority of $25,000. The Department of Economic Innovation and Development ("EID") has a need to access the Database to develop information that will be distributed to City of Miami businesses and their stakeholders. Research Conducted: InfoUSA's Database compiles consumer and residential data from 5,000 unique sources, using a proprietary compilation and verification process. The data generated from these processes generate rich business profiles, which can include more than 400 attributes such as contact details, employee count, revenue estimates, key personnel/decision-makers and others, which can provide an in-depth view of each business. Unique factors of this process include: • Extensive phone verification conducted by over 300 full-time researchers that make verification calls to ensure that business data is current and accurate. • A proprietary specialized computer model to assign business credit ratings that incorporates factors such as industry stability, years in business and employee count, among others. • Real-time, continuously updated business intelligence for all businesses within the City of Miami and nationwide, including firmographic, industry, geographic, and executive -level data. The information generated from the data provided by InfoUSA is essential to EID's core economic development functions, including: • Business Attraction/Retention and Expansion; • Market Analysis and Strategic Planning; • Business Outreach and Engagement; and • Geographic Information System ("GIS") Integration. There are other companies that offer access to business/commercial and residential data, such as Zoominfo, Duns & Bradstreet, Database USA, among others, but none offer the tailored business information needed by EID, that is resultant of InfoUSA's proprietary compilation process. Comparable Contracts: InfoUSA has contracts with several governmental and quasi -governmental entities, including: • City of Nashville, TN - Solicited through an RFP process — InfoUSA was the only responsive Proposer. • Tampa Bay Economic Development Council — Not competitively solicited; a single proposal was submitted, then negotiated by the agency. • Tallahassee -Leon County Office of Economic Vitality — Not competitively solicited; a single proposal was submitted, then negotiated by the agency. Each of these entities uses records from the Database for research and/or to further their organizational goals. Pricing for each agreement varies depending upon the type of entity (city, county, state, regional) and access volume. Recommendation: The cost to download the estimated 97,500 records from the Database is $8,795.00. Procurement recommends that the City enter into a Reference Solutions Agreement ("RSA") for the sole source purchase, pursuant to Section 18-92 (a) and (b) of the Procurement Code, for access to the Database, compiled and published by InfoUSA. The sole source documentation from InfoUSA and RSA are attached. Finally, the terms and conditions of the RSA, including price, have been negotiated in the best interestof the City. (a subsidiary of Data Axle, Inc.) ("Data Axle") and City of Miami Economic Innovation and Development ("Client" or "City"). Data Axle provides access to its database(s) through its reference website and research products. The data accessed via the reference website and research products shall be considered "Licensed Data" hereunder. The Licensed Data, reference website and research products are collectively the "Products." Client desires that Data Axle provide Client with access to the Products as set forth herein, on the terms and conditions described in this Agreement. Data Axle and Client agree as follows: 1. Term: The Term of this Agreement shall begin on the Effective Date and shall extend for one (1) year(s) (the "Initial Term"), unless renewed or earlier terminated in accordance with the Agreement. This Agreement may be renewed upon mutual written agreement by the parties' authorized representatives for additional periods of one (1) year each (a "Renewal Term") following the conclusion of the Initial Term and each Renewal Term, if any, thereafter, unless earlier terminated in accordance with the Agreement. The Initial Term and Renewal Term shall collectively be referred to as the "Term." 2. Use of the Products: Data Axle grants Client a limited, non-exclusive, non -transferable, non-sublicensable right to access and use the Products during the tern of this Agreement for research and reference purposes in accordance with all applicable federal, state and local laws, statutes, rules, regulations and ordinances ("Laws"). Client covenants, represents and warrants that it and all of its Users will use the Products in strict compliance with all Laws and further acknowledges that it is Client's sole responsibility to determine the applicability of such Laws. Client covenants, represents and warrants that it will not, and that it will cause any and all users who are authorized or permitted by Client to access or use any Product ("Users") to not, (i) sublicense or resell the Products; (ii) use or allow third parties to use the Products for the purpose of compiling, enhancing, verifying, supplementing, adding to or deleting from any mailing list, geographic or trade directories, business directories, classified directories, classified advertising, or other compilation of information which is sold, rented, published, furnished or in any manner provided to a third party; (iii) use the Products in any manner not specifically authorized in this Agreement or offer it through any third party; (iv) disassemble, decompile, reverse engineer, modify or otherwise alter the Products or any part thereof; or (v) print, download, reproduce, copy or scrap data from the Products, except as permitted by the printing or downloading commands of the Products as specified on Schedule A. Client shall cause all Users to comply with all of Client's obligations under this Section 2. Client acknowledges that the Products may be accessed through linkage to the Data Axle's reference web site, and that all Users accessing the reference website do so subject to the terns and conditions stated therein. Data Axle reserves the right to modify the terms and conditions located on the reference website at any time. Data Axle reserves all rights not expressly granted to Client in this Agreement. Except for the limited rights expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Client or any third party any intellectual property rights or other right, title, or interest in or to any Data Axle intellectual property. A. Client acknowledges that the Licensed Data may contain email addresses. Client shall hold Data Axle harmless from any loss, liability, claim, or cause of action arising out of or related to Client's inappropriate use of email addresses. B. Client acknowledges that the Licensed Data may include wireless telephone numbers. Client agrees and acknowledges that: (i) Data Axle has not acquired consent in any form from the owners of the wireless telephone numbers to be contacted by Client in any manner; (ii) it is Client's sole responsibility to ensure that any of the wireless telephone numbers included in data derived from the Licensed Data is compliant with all Laws; (iii) Client shall only use the data derived from the Licensed Data in strict compliance with all federal, state, and local laws, rules, regulations, and ordinances, including but not limited to those concerning telephone solicitation, privacy, and direct marketing; (iv) it is Client's sole responsibility to determine the applicability of all laws, rules, regulations, and ordinances to the data derived from the Licensed Data; and (v) Client shall hold Data Axle harmless from any loss, liability, claim, or cause of action arising out of or related to Client's inappropriate use of wireless telephone numbers. 3. Fees. Client shall pay Data Axle the non-refundable annual subscription fees ("Fees") listed in Schedule A attached hereto. For any Renewal Term, Client shall pay the Fees listed in Schedule A to Data Axle within thirty (30) days of the anniversary of the Effective Date of each Renewal Term. The Fees due for Renewal Terms are subject to change. 4. Termination: Either party may terminate the Agreement if the other party materially breaches any term or condition of the Agreement and fails to remedy such breach within thirty (30) days after written notice of such breach; or becomes subject to any receivership, insolvency, bankruptcy, moratorium or similar proceeding for more than thirty (30) days. Data Axle may immediately terminate this Agreement if Client causes or facilitates any unauthorized use or distribution of the Products or any component thereof. Upon termination of this Agreement for any reason Client shall cease any and all use of the Products and ensure that all copies of the Products and any related data and information is deleted from its computers and, if applicable, returned to Data Axle no later than five (5) days after termination of this Agreement. The City, acting by and through its City Manager, shall have the right to terminate this Agreement, in its sole discretion, and without penalty, at any time, by giving written notice to Data Axle t at least thirty (30) calendar days prior to the effective date of such termination. In such event, the City shall pay to Data Axle compensation for Services rendered and approved expenses incurred prior to the effective date of termination. In no event shall the City be liable to Data Axle for any additional compensation and expenses incurred, other than that provided herein, and in no event shall the City be liable for any consequential or incidental damages. Warranty; Limitation of Liability; Indemnification. NEITHER DATA AXLE NOR ANY OF ITS AFFILIATES, INFORMATION OR SERVICE PROVIDERS ASSURES OR WARRANTS OR ASSUMES ANY LIABILITY FOR THE CORRECTNESS, COMPREHENSIVENESS OR COMPLETENESS OF ANY PRODUCT. DATA AXLE MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, TO CLIENT OR TO ANY THIRD PARTY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES REGARDING THE MERCHANTABILITY, SUITABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE, OR RESULTS TO BE DERIVED FROM THE USE OF ANY LICENSED DATA, PRODUCTS, SOFTWARE OR OTHER MATERIALS PROVIDED UNDER THIS AGREEMENT. NEITHER DATA AXLE NOR ANY OF ITS AFFILIATES, INFORMATION OR SERVICE PROVIDERS SHALL BE LIABLE TO CLIENT OR TO ANY THIRD PARTY FOR ANY LOSS OF PROFITS, LOSS OF DATA, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES OR "COSTS OF COVER" (INCLUDING, WITHOUT LIMITATION, COSTS OF PROCURING SUBSTITUTE PRODUCTS) WHICH ARISE OUT OF OR RELATE TO THIS AGREEMENT OR THE PURCHASE, SALE AND/OR USE OF THE PRODUCTS, INCLUDING, WITHOUT LIMITATION, ANY OF SUCH DAMAGES ARISING OUT OF OR IN CONNECTION WITH MISTAKES, OMISSIONS, INTERRUPTIONS, DELAYS, ERRORS, DEFECTS, LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATORY PROFITS, WHETHER SUCH DAMAGES ARE ASSERTED IN AN ACTION BROUGHT IN CONTRACT, IN TORT OR PURSUANT TO SOME OTHER THEORY AND WHETHER THE POSSIBILITY OF SUCH DAMAGES WAS MADE KNOWN OR WAS FORESEEABLE. CLIENT FURTHER ACKNOWLEDGES AND AGREES THAT DATA AXLE'S MAXIMUM AGGREGATE LIABILITY TO CLIENT UNDER ANY LEGAL THEORY (INCLUDING NEGLIGENCE) ARISING DIRECTLY OR INDIRECTLY OUT OF THIS AGREEMENT, THE RIGHTS GRANTED HEREIN AND/OR USE OF TIIE PRODUCTS WILL NOT IN ANY EVENT EXCEED ONE HUNDRED FIFTY THOUOUSAND AND 00/100 DOLLARS ($150,000.00); PROVIDED, HOWEVER, THAT THIS LIMITATION SHALL NOT APPLY TO : (1) CLAIMS ARISING FROM FRAUD OR WILLFUL MISCONDUCT; (2) DATA AXLE'S INDEMNIFICATION OGLIBATION FOR THIRD -PARTY INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS; OR (3) CLAIMS ARISING FROM UNAUTHORIZED ACCESS TO OR DISCLOSURE OF CITY DATA. Data Axle shall indemnify, hold and save harmless, and defend (at its own cost and expense), the City, its officers, agents, directors, and/or employees, from all liabilities, damages, losses, judgements, and costs, including, but not limited to, reasonable attorney's fees, to the extent caused by the negligence, recklessness, negligent act or omission, or intentional wrongful misconduct of Data Axle and persons employed or utilized by Data Axle in the performance of this Contract. Data Axle shall further, hold the City, its officials and employees, indemnify, save and hold harmless for, and defend (at its own cost), the City its officials and/or employees against any civil actions, statutory or similar claims, injuries or damages arising or resulting from the permitted Work. In the event that any action or proceeding is brought against the City by reason of any such claim or demand, the Data Axle shall, upon written notice from the City, resist and defend such action or proceeding by counsel satisfactory to the City. The Data Axle expressly understands and agrees that any insurance protection required by this Contract or otherwise provided by the Data Axle shall in no way limit the responsibility to indemnify, keep and save harmless and defend the City or its officers, employees, agents and instrumentalities as herein provided. The indemnification provided above shall obligate Data Axle to defend, at its own expense, to and through trial, administrative, appellate, supplemental or bankruptcy proceeding, or to provide for such defense, at the City's option, any and all claims of liability and all suits and actions of every name and description which may be brought against the City, whether performed by Data Axle, or persons employed or utilized by Data Axle, These duties will survive the cancellation or expiration of the Agreement. This Section will be interpreted under the laws of the State of Florida, including without limitation and interpretation, which conforms to the limitations of Sections 725.06 and/or 725.08, Florida Statutes, as applicable and as amended. Data Axle shall require all sub -contractor agreements to include a provision that each sub -contractor will indemnify the City in substantially the same Language as this Section. Data Axle agrees and recognizes that the City shall not be held liable or responsible for any claims which may result from any actions or omissions of Data Axle in which the City participated either through review or concurrence of Data Axle's actions. In reviewing, approving or rejecting any submissions by Data Axle or other acts of Data Axle, the City, in no way, assumes or shares any responsibility or liability of Data Axle or sub -contractor under this Agreement. 6. Confidentiality/Public Records 6.1 Data Axle acknowledges that the City is a public entity subject to Chapter 119, Florida Statutes. The City retains sole authority to determine, in its discretion and consistent with applicable law, whether any record must be disclosed, redacted, withheld, or produced as confidential or exempt. Data Axle shall additionally comply with Section 119.0701, Florida Statutes, including without limitation: (1) keep and maintain public records that ordinarily and necessarily would be required by the City to perform this service; (2) if required, provide the public with access to public records on the same terms and conditions as the City would at the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law; (3) ensure that public records that are exempt or confidential and exempt from disclosure are not disclosed except as authorized by law; (4) meet all requirements for retaining public records and transfer, at no cost, to the City all public records in its possession upon termination of this Agreement and destroy any duplicate public records that are exempt or confidential and exempt from disclosure requirements; and, (5) provide all electronically stored public records that must be provided to the City in a format compatible with the City's information technology systems. Confidential Information includes, without limitation, the Products, financial statements, business and marketing plans, customer/client transactions customer/client lists, pending or threatened litigation, prospective contractual relations, collection, tabulation and analysis of data, proprietary information, computer programming methods, source code, object code, designs, specifications, plans, drawings, programs, databases, intellectual property, inventions (whether or not eligible for legal protection under patent, trademark, or copyright laws), research and development, and work in progress. The terms of this Agreement will also be deemed Confidential Information. Confidential Infornation does not include information that: (i) is publicly available as of the Effective Date or becomes publicly available thereafter through no fault of the Receiving Party provided, however, that the Products will remain Confidential Information notwithstanding any portion of the Products being sourced from the public domain; (ii) the Receiving Party rightfully possessed the information before it was received from the Disclosing Party; or (iii) is subsequently furnished to the Receiving Party by a third -party without restrictions on disclosure. Notwithstanding these provisions, Products is always Data Axle Confidential Information. 6.2 Use of Confidential Information. Each Party retains all ownership rights in and to its Confidential Information. The Receiving Party must use the Disclosing Party's Confidential Information only to perform its obligations under this Agreement, and for no other purpose. The Receiving Party must keep confidential the Disclosing Party's Confidential Information using the same degree of care it uses to keep confidential its own Confidential Information, but in no event less than reasonable care. The Receiving Party further agrees not to disclose or permit any other person or entity access to the Disclosing Party's Confidential Information, except such disclosure or access of the Disclosing Party's Confidential Information will be permitted to a Representative of the Recipient that requires access, with any such access limited only to the extent necessary in order to perform his or her employment or services as they relate to the Receiving Party's performance of its obligations under this Agreement. The Receiving Party must ensure that such Representatives sign confidentiality agreements with the Receiving Party containing protections not materially less protective of the Confidential Information than those in this Agreement. The Receiving Party must immediately notify the Disclosing Party in writing of all circumstances which the Receiving Party becomes aware of surrounding any possession, use, or knowledge of Confidential Information by any person or entity other than those authorized by this Agreement. Subject to the limitations set forth in this Agreement, the Receiving Party is fully responsible and liable for any breach of this Section by any of its Representatives. Permitted uses pursuant to this Section are subject to all additional restrictions in the Agreement. 6.3 Required Disclosures; Notification. If the Receiving Party is compelled by law, governmental regulation, court order, or other legal process to disclose any Confidential Information of the Disclosing Party, it may do so if: (i) it provides the Disclosing Party with prompt prior notice of such compelled disclosure (to the extent legally permitted); and (ii) it provides the Disclosing Party with reasonable assistance, at the Disclosing Party's reasonable expense, if the Disclosing Party determines in its sole discretion to contest the disclosure. 6.4 Return of Confidential Information. Upon the expiration or termination of this Agreement or upon request of the Disclosing Party during the term of this Agreement, the Receiving Party shall return or irretrievably destroy all Confidential Information of the Disclosing Party then in its possession or control. In the case of destruction, the Receiving Party must certify such destruction to the Disclosing Party within thirty (30) days following the expiration or termination of this Agreement or the Disclosing Party's request. The Receiving Party shall comply with the return and destruction of Confidential Information only to the extent that such actions are in compliance with applicable record retention laws. The Receiving Party may retain copies of Confidential Information as required by applicable law, including but not limited to, records that must be retained under statutory document retention policies. The Receiving Party shall continue to be bound by the terms and conditions of this Agreement with respect to any retained Confidential Information. 7. My Jobs Library Specific Terms. This Section 7 applies only if Client has purchased access to My Jobs Library. Client understands and acknowledges that the subscription to My Jobs Library was obtained through Data Axle, who is acting as an authorized reseller of Geographic Solutions Inc. ("Provider"). Client's access to and use of My Jobs Library are contingent upon Client's acceptance of the Provider's terns of use. These terms must be agreed to by Client on Provider's website or through another user agreement between Client and Provider. Data Axle shall not be liable for any claims, losses, or damages arising from Client's agreement with Provider. 8. Governing Law. The validity and effect of this Agreement shall be governed by and construed in accordance with the laws of the State of Florida without regard to its conflict of laws rules. All legal proceedings relating to the subject matter of this Agreement shall be maintained in the state or federal courts sitting in Miami -Dade County, Florida and each party agrees that jurisdiction and venue for any such legal proceedings shall lie exclusively with such courts. Each party shall bear its own attorney's fees. To the maximum extent permitted under Law, each party waives its rights to a trial by jury in connection with any and all disputes, claims or proceedings arising from or relating to this Agreement. Notwithstanding the foregoing, Data Axle acknowledges that governmental entities are governed by the laws of the state in which they are organized. Neither party may assign this Agreement, or any rights granted to it herein, without prior written consent of both parties. Notwithstanding anything to the contrary in Section 8 of this Agreement, Data Axle acknowledges that if Client is a qualified public educational or government institution, the governing law and venue shall be of the state in which Client is a qualified public educational or government institution. 12. Counterparts/Electronic Signatures. This Agreement and any amendments hereto may be executed in counterparts and all such counterparts taken together shall be deemed to constitute one and the same instrument, each of which shall be an original as against either party whose signature appears thereon, but all of which taken together shall constitute but one and the same instrument. An executed facsimile or electronic scanned copy of this Agreement shall have the same force and effect as an original. The parties shall be entitled to sign and transmit an electronic signature on this Agreement (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Agreement upon request. 13. Vendor Lists/Scrutinized Companies Lists. The following lists are maintained by the Florida Department of Management Services and are available at https://www.dms.myflorida.com/. By accepting this Agreement, Contractor affirms it is not included in any of the following lists. Placement on any prohibited list constitutes a material breach. Convicted Vendor List. Anti -Human Trafficking. Data Axle confirms and certifies that it is not in violation of Section 787.06, Florida Statutes, and that it does not and shall not use "coercion" for labor or services as defined in Section 787.06, Florida Statutes. The Advisor shall execute and submit to the City an Affidavit, of even date herewith, in compliance with Section 787.06(13), Florida Statutes, attached an incorporated herein as Exhibit "F." If the Advisor fails to comply with the terms of this Section, the City may suspend or terminate this Agreement immediately, without prior notice, and in no event shall the City be liable to Advisor for any additional compensation or for any consequential or incidental damages. 15. E-Verify. By entering into this Agreement, Data Axle and its subcontractors are jointly and severally obligated to comply with the provisions of Section 448.095, Florida Statutes, as amended, titled "Employment Eligibility." Data Axle affirms that (a) it has registered and uses the U.S. Department of Homeland Security's E-Verify system to verify the work authorization status of all new employees of Data Axle; (b) it has required all subcontractors to this Agreement to register and use the E-Verify system to verify the work authorization status of all new employees of the subcontractor; (c) it has an affidavit from all subcontractors to this Agreement attesting that the subcontractor does not employ, contract with, or subcontract with, unauthorized aliens; and (d) it shall maintain copies of any such affidavits for the duration of the Agreement. If City has a good faith belief that Data Axle has knowingly violated Section 448.09(1), Florida Statutes, then City shall terminate this Agreement in accordance with Section 448.095(5)(c), Florida Statutes. In the event of such termination, Data Axle agrees and acknowledges that it may not be awarded a public contract for at least one (1) year from the date of such termination and that Data Axle shall be liable for any additional costs incurred by the City because of such termination. In addition, if City has a good faith belief that a subcontractor has knowingly violated any provisions of Sections 448.09(1) or 448.095, Florida Statutes, but Data Axle has otherwise complied with its requirements under those statutes, then Data Axle agrees that it shall terminate its contract with the subcontractor upon receipt of notice from the City of such violation by subcontractor in accordance with Section 448.095(5)(c), Florida Statutes.
