(hereinafter "Brouss" or "Brouss Elevator") is dedicated to delivering at Little Haiti Soccer Stadium (hereinafter "Purchaser") the safest, highest quality vertical transportation solutions. I am pleased to present this customized Proposal (the "Proposal") in the amount of $56,000.00 (USD) plus any applicable sales tax to modernized the Elevator(s) Equipment described in the pages that follow at the above referenced location. This Proposal shall remain in effect for the sixty (60) days unless it is revoked earlier by BROUSS in writing. The price above is subject to escalation — even after Purchaser's acceptance of this Proposal — under certain circumstances including the possibility that BROUSS may be subjected to increased charges by it's suppliers for any of the applicable materials and/or components due to the imposition of new or increased taxes, tariffs, or other charges imposed by applicable governmental authorities or the possibility that the work described in this Proposal is not completed by . BROUSS ELEVATORS further represents and warrants that the scope of work shall include all materials and labor reasonably necessary for the complete modernization of the Elevator(s) - including but not limited to scope as set forth herein. BROUSS ELEVATORS shall obtain and be obligated to pay for all inspections necessary for release of the elevators to work in optimum condition and ready for use, shall obtain and pay for all municipal, county and State permits necessary for the execution of the elevator work. DOOR ENTRANCES(Retained) • All door entrances will be retained Date: 8/21/2025 Partial Modernization CURTAIN OF LIGHT The elevator car shall be equipped with an electronic protective device extending the full height of the car. When activated, this sensor shall prevent the doors from closing or cause them to stop and reopen if they are in the process of closing. The doors shall remain open as long as the flow of traffic continues and shall close shortly after the last person passes through the door opening. PUMPER UNIT -(Retained) Submersible Driving unit will be retained. • New Hydraulic Fluid. Hydro Traction Cables High -strength, steel -wire hoist ropes designed specifically for hydro -roped elevator applications. These cables provide the necessary support and lifting capacity for the elevator car, ensuring safe and reliable operation. The ropes meet or exceed all current ASME A17.1/CSA B44 safety code requirements and are selected for optimal performance, durability, and ride quality. As part of the modernization, all traction cables will be replaced with new, certified ropes to restore proper safety margins and extend the service life of the equipment. BROUSS ELEVATO Date: 8/21/2025 Partial Modernization ALPHA HYDRO CONTROLLER (Non -Proprietary) -NEW A new microprocessor -based control system shall be provided to perform the functions of safe elevator motion. Included shall be all the hardware required to connect, transfer and interrupt power, and to protect the motor against overloading. Each controller cabinet containing memory equipment shall be properly shielded from line pollution. The microcomputer system shall be designed to accept reprogramming with minimum system down time. All high voltage (110V or above) contact points inside the controller cabinet shall be protected from accidental contact in a situation where the controller doors are open. The microprocessor based control system shall utilize on -board diagnostics for servicing, troubleshooting, and adjusting without requiring the use of an outside service tool. Note: New Control Panels to be selected by owner from provided catalog. HOIST WIRING -NEW Brouss Elevators will provide and install new piping and wiring for all relevant electronic devices associated with the elevator equipment. This includes the provision of grounding and bonding, as well as protective grommets, bushings, and anti -shorts in all conduit and cabling runs. When conductors are routed through enclosures, junction boxes, or ducts, protective grommets or bushings will be employed to safeguard the wiring. TRAVELING CABLE -NEW The traveling cables will feature a flame -retarding and moisture -resistant outer cover, ensuring flexibility and suitable suspension to relieve strains in individual conductors. Each set of traveling cables will include at least one shielded cable. Additionally, a minimum of 15% of the wires within the traveling cables will be designated as spares for future use. Installation of the traveling cables will be direct from the elevator to the controller located in the machine room. IMPORTANT: Brouss Elevators will clean and paint all metal in pit area including, but not limited to, rails, brackets, buffers, buffer supports, pit channel, platen plate, car sling and ladder. CAR SIGNAL FIXTURES 2019 CODE 1. Refurbish and install per elevator(s), one (1) new Car Operating Panels meeting ADA and Code requirements with the following features: engraved capacity, universal no smoking sign with the words no smoking under symbol, illuminating buttons, door open, door close, alarm bell, emergency light, light/fan key switch, independent service, digital position indicator, fire service instructions, call cancel, fire service Phase II complete, certificate frame, and integral telephone. 2. Per code, refurbish and install One (1) new Fire Status Panel with Digital Position Indicators, Elevator Fire Recall and Emergency Power Key Switches with indictor lights, and a phone to communicate to the elevators. 3. Refurbish and install one (1) new Car Riding Lanterns one per elevator as needed to be installed within the jamb of the of the elevator cab per ADA requirements. All to be in Stainless Steel #4 finish. BROUSS ELEVATO Date: 8/21/2025 Partial Modernization LINE OIL PIPING (Retained) We will retain the existing oil piping. All piping shall meet or exceed current ASME code requirements and if it's necessary we provide any additional support or replacement. PIT EQUIPMENT -NEW • Furnish and install Pit Switch(s). HYDRAULIC PISTON (Retained) o Note: Any other repair on or related to the piston is not included. SIGNALIZATION Brouss will provide New car & hall signalization to the whole unit. GUIDES -(Retained) Elevator guides will be retained including rollers or guides shoes. LAYOUT DRAWINGS (if applicable) Brouss Elevators Inc. shall, after receiving structural and architectural drawings from Purchaser, prepare drawings showing the general arrangement and loads of the elevator equipment. These drawings shall be approved and the hoistway size guaranteed by Purchaser prior to processing, fabrication, and installation of the elevator. Work by Others The following "work by others" is not included in the base price of this proposal: • Fire alarm system and smoke sensors are not included. • Elevator AC unit for machine room is not included. If customer required this service a separate proposal will follow. • Electrical Scope of work for machine room and elevator pit is not included. If customer required this service a separate proposal will follow. BROUSS ELEVATO Date: 8/21/2025 Partial Modernization WARRANTY Brouss Elevators Inc. provides a Five (5) year warranty, effective from the date of installation, ensuring that all parts and equipment installed are free from defects in materials under normal use and service, excluding reasonable wear and tear. Proof of installation date is required to establish the warranty period, with the start date being the shipping date of the materials if installation date proof is unavailable. To maintain the effectiveness of the warranty, a corresponding maintenance contract for Five (5) years is required. The warranty does not cover Elevator units subjected to misuse, neglect, accidents, modifications, fire, lightning, water damage, or violations of provided instructions. Additionally, units repaired or altered by unauthorized personnel are not covered. The warranty excludes service work, oiling, cleaning, maintenance, and minor adjustments required periodically. Brouss Elevators Inc.'s liability under this warranty is limited to repair and/or replacement only, with transportation and labor charges not covered. Brouss Elevators assumes no responsibility for any loss or damage resulting from equipment use or misuse, whether direct, indirect, or consequential. All other express or implied warranties, statutory or otherwise, are expressly excluded. PERMITS Brouss Elevators will handle the application process for all necessary municipal, county, and state permits. However, it is explicitly stated that we will be responsible for covering all associated permit fees. INSPECTIONS BROUSS ELEVATORS shall obtain and be obligated to pay for all necessary inspections for the release of the elevators to work in optimum conditions. If any elevator inspection fails due to other reasons not related to the elevator scope, then the ownership/project will bear the responsibility for any additional city fees incurred as a result. CODE All work will adhere to the latest revised edition (as of the date of this proposal) of the United States of America Standard Safety Code for Elevators, Escalators, and Dumbwaiters, the National Electrical Code, and/or any applicable State and Local Codes. In the event of subsequent changes to any code after the date of this Agreement, or if rulings by code enforcement authorities extend the code's application, the necessary work and materials to bring the installation into compliance with such changes will be an additional cost to the contract price. MAINTENANCE To ensure continuous warranty coverage, a mandatory maintenance contract is required. This contract spans three years, commencing upon the completion of the modernization process and the successful passage of the final inspection. The first year of maintenance service is included at no additional cost. Thereafter, the monthly payment for the continued maintenance service will be $200 per month. This proactive approach aims to preserve the optimal performance and longevity of your elevator system while ensuring compliance and minimizing downtime. BROUSS ELEVATO INVESTMENT AND TERMS OF PAYMENT Date: 8/21/2025 Partial Modernization PRICE OVERVIEW: Proposal pricing is based on the scope of work as defined herein. Any additional work required will be performed only upon purchaser's approval of a mutually agreeable change proposal. Any other deficiencies revealed in the progress of the work will be promptly reported to the purchaser with recommendations and cost for corrective action. Brouss Elevators Inc. proposes to supply and modernize the specified equipment in this proposal (One (1) hydraulic passenger elevator) for the net sum of $56,000.00 This price encompasses Permits, Material Fabrication, shipping, Installation, Test, Inspections, a Two -Year Warranty (subject to a preventive maintenance agreement). Each Elevator Final Price ... $56,000.00 Total Sales Price: $56,000.00 Pricing Condition: This Offer is Valid for 60 Days. TERMS & PAYMENT SCHEDULE: As per City of Miami Protocols 30 Days Net pay as per invoices. BROUSS ELEVATO Date: 8/21/2025 Partial Modernization TITLE AND OWNERSHIP Brouss Elevators Inc. retains title to all equipment it supplies under this Agreement and a security interest therein, (which, it is agreed, can be removed without material injury to the real property) until all payments under the terms of this Agreements, including deferred payments and any extensions thereof, are made. In the event of any default by Purchaser on any payment, or any other provision of this Agreement, Brouss Elevators Inc. may take immediate possession of the equipment and enter upon the premises where it is located (without legal process) and remove such equipment or portions thereof, irrespective of the manner of its attachment to the real estate or the sale, mortgage, or lease of the real estate. Pursuant to the Uniform Commercial Code, and at Brouss Elevators Inc. request, Purchaser agrees to execute any financial or continuation statements which may be necessary for Brouss Elevators Inc. security interest in such equipment. ACCEPTANCE OF PROPOSAL Purchaser's acceptance of this Agreement and its approval by an executive officer of Brouss Elevators Inc. will constitute exclusively and entirely the Agreement. All other prior representations or agreements, whether written or verbal, will be deemed to be merged herein and no other changes in or additions to this Agreement will be recognized unless made in writing and properly executed by both parties. Should Purchaser's acceptance be in the form of a purchase order or other similar document, the provisions of this Agreement will govern in the event of a conflict. This proposal is hereby accepted in its entirety, and shall constitute the entire Agreement as contemplated by the Purchaser and Brouss Elevators Inc.
