PURPOSE OF ITEM (DETAILED SUMMARY): Approval of the Findings & Recommendation Memo for Miami For
Everyone (MFE) District 2 Applicant: The Ace Theater Foundation, Inc. The organization proposes to rehabilitate the historic
theater property (3664 Grand Avenue) owned by the Ace Development Company, Inc. The Foundation will use the funding for
elevator installation, plumbing/insultation repairs, and ADA improvements. This funding will allow the theater to reopen as a
safe, ADA-accessible venue. The restored space will: support employment opportunities for artists, offer training programs for
youth and young adults, offer accessible cultural programming, and contribute to the economic revitalization of local
community.

Allocation of $200,000.00 to Ace Theater
oundation, Inc.
BACKGROUND
The City of Miami ("City") created the Miami For Everyone ("MFE") Program to assist communities facing
the long-term complications resulting from declared emergencies and to address the specific needs of the
most vulnerable residents and businesses, through a strategy of focusing the provision of support towards
priority areas of need that will further stabilize economic conditions within City Districts.
Ace Theater Foundation, Inc. ("ACE Foundation"), is a not -for -profit organization whose purpose is to
preserve, restore, and activate the historic ACE Theater ("ACE") located at 3664 Grand Avenue as a
multipurpose cultural arts and events facility. (Sunbiz.org, attached as Exhibit "A").
The ACE Theater is an Art Deco commercial structure constructed circa 1930 in the Coconut Grove
neighborhood. In 2014, the City of Miami designated the ACE as a historic site, and on June 13th, 2026, the
building was added to the National Register of Historic Places. Today, the ACE is one of the last remaining
cultural landmarks in Coconut Grove's historic African American and Bahamian community. (ACE
Foundation Website, attached as Exhibit "B").
The ACE Theater is owned by ACE Development Company, Inc, a Florida for profit corporation, headed by
Dr. Denise Wallace. The ACE Development Company, Inc, leases the Theater to the ACE Foundation.
(Miami Dade Property Appraiser, Sunbiz.org, ACE Theater Lease, Reference Article, attached as
Exhibit "C").
The ACE Foundation proposes to install an elevator, plumbing for restrooms, and selective insulation of
restrooms and mezzanine. Funding for the ACE will allow this landmark to immediately reopen as a safe,
ADA-accessible venue for artists to rehearse, perform, teach, and regain critical income pathways. The
restored space will support:
• Paid work for artists and creative workers who have lost employment due to venue closures.
• Training for youth and young adults, providing new pathways into creative and technical careers.
• Accessible cultural programming for seniors, families, and people with disabilities.
• Preservation of a historic landmark, strengthening cultural identity in District 2.
• Economic revitalization through cultural tourism, public events, and small business activation.
Reopening the ACE will help restore Miami's cultural infrastructure, ensuring that artists can sustain their
livelihoods while the community regains access to year-round arts and cultural engagement.
The organization has submitted a completed MFE Application to the Office of Management and Budget
along with statement of need, proposed budget, and scope of services. (attached as Exhibit "D").

ACE Foundation has requested MFE funds in the amount of Two Hundred Thousand and 00/100 Dollars
($200,000.00). The funds will be used for construction costs of the above -described project.
RECOMMENDATION
The City's District 2 Commissioner ("Commissioner") has reviewed the MFE Application attached and
wishes to provide grant funds from the Commissioner's share of MFE funding in an amount not to exceed
Two Hundred Thousand and 00/100 Dollars ($200,000.00) on a reimbursement basis to Ace Theater
Foundation, Inc.
In light of the foregoing, approval of a waiver of the formal requirements of competitive sealed bidding is
required, as such requirements are not practicable or advantageous to the City pursuant to Section 18-85(a)
of the City Code of Ordinances, as amended. Accordingly, affirmation of these written findings and their
transmittal to the City Commission for ratification by a four -fifths vote are respectfully requested.

GROUND LEASE AGREEMENT
THIS GROUND LEASE AGREEMENT (this "Lease") is entered into a, of the 8'1' day
November 2021 (the "Effective Date") between ACE DEVELOPMENT CO., C., a Florida
corporation ("Landlord") and ACE THEATER FOUNDATION, INC, Florid not -for -profit
corporation ("Tenant").
RECITALS
A. Landlord desires to lease to Tenant, and Tenant desires to lease fro

3. Rent. During the Tenn, Tenant covenants and agrees to pay Landlord ren as follows:

(a) Annual Base Rent Beginning on the Commencement Date an on the First day
of every Lease Year thereafter, Tenant shall pay to Landlord annual base rent n the amount of
$100 per Lease Year (the "Base Rent"), which Landlord will waive during th renovation and
restoration of the Building_
4_ Right to Rehabilitate and/or Renovate the Buildin:- and Construct the Pr ect. During the
Term, Tenant shall have the right to rehabilitate and/or renovate the Building and othe ise construct the
Project on the Leased Premises subject to Section 5 below. Landlord and Tenant ackno ledge and agree
that Landlord shall be the owner of all improvements constructed on the Leased Pre ises during the
Tenn, and as such, shall be entitled to all depreciation deductions, or other benefits for income tax
purposes relating to said improvements. Tenant shall utilize the Grant funds, to Renov: to the Building,
and agree to comply with all conditions and requirements associated with acceptance and use of the Grant
funds.
5. Landlord's Ri ht to Al,; 'rove of Tenant's Plans and Professionals. Ten at shall provide
Landlord with all draft contracts, proposals, statements of work, etc. for every third p rty that Tenant
intends to retain to renovate the Building and/or otherwise construct the Project (coilecti ely, the "Third
Party Contracts"). Landlord agrees that Tenant has the right under the terms of the rant to secure
competitive bids for all construction and professional services as set forth in the aforeme «tinned Grant to
stabilize the Building. Landlord, as owner of the Building, shall have the right to retain, t its own costs,
a professional consultant to ensure that the Tenant's contractors are rehabilitating and/o renovating the
Building in accordance with the Grant's guidelines for historic buildings. Landlord s . 1 also have the
right to approve or disapprove, in its sole discretion, all of Tenant's structural, architec ural, electrical,
roofing and door repairs renovation plans as listed in the Addenda to Article 6 of the G ° t, which shall
be presented to Landlord prior to any action being taken by Tenant or any third party. 1 andlord's shall
provide approval of the renovation plans within forty-five (45) days after receipt of said pi ns.
6. Taxes_ During the Term, Landlord shall (a) be liable for the payment of all real estate
taxes, special assessments, and any other taxes, levies, or impositions charged by an ap ropriate taxing
authority with respect to the Leased Premises. if the State of Florida or any othe governmental
authorities assesses or levies a tax against Landlord on the Base Rent payable under his Lease, and
Landlord is not exempt from such tax, however, Tenant shall pay and discharge such taxe levied against
Landlord.
7. Utilities. During the Term, Tenant shall pay the cost of all utilities use , provided, or
supplied upon, or in connection with, the development, construction, and operation f the Project,
including, but not limited to, all charges for gas, electricity, telephone and other communi ation services,
water and sewer service charges, and all sanitation fees or charges levied or charged aga nst the Leased
Premises. Landlord may waive this provision during the renovation and restoration of the wilding.
8. Defaulthti Tenant. The following shall constitute an "Event of Default" b Tenant under
this Lease:
(a) failure of Tenant to timely pay the Base Rent or any other charge ue hereunder,
and such default continues for ten (10) days after written notice from Landlord; or
(b) failure of Tenant to comply with the material terms, conditions, o covenants of
this Lease that Tenant is required to observe or perform (other than the none ry obligations
referenced in Section 3(a) above) and such breach continues for a period of thirty 30) days after
written notice thereof from Landlord; provided, however, that if the cure cannot reasonably be
effected within such thirty 30-day period, the cure period shall be extended for s ch additional

time as may be required for Tenant to cure such breach (but in no event longer t
twenty (120) days after written notice of the breach from Landlord to Tenant) s
has commenced cure actions during the initial 30-day cure period and diligently
but during the extended cure period; or
(c) this Lease or the Leased Premises or any part thereof are taken u
by other process of law directed against Tenant, or are taken upon or subjected ti
by any creditor of Tenant or claimant against Tenant, and such attachment i-
within ninety (90) days after its levy; or
(d) Tenant shall file a voluntary petition in bankruptcy or a vo
seeking reorganization, or to affect a plan or an arrangement with or for the be
creditors; or
(e) Tenant shall apply for a consent to the appointment of a rec
conservator for any portion of Tenant's property, or such appointment shall b
Tenant's consent, and shall not be removed within ninety (90) days.
9. Remedies. If Tenant fails to cure an Event of Default within the time pr
Landlord shall have the right to terminate this Lease, at which point the Tenn shall be
expired, Tenant's right to possession of the Leased Premises and the Building will cease

The historic Ace Theater
on Grand Avenue in

be restored and reopened
with grant support from
the National Park Service.
In the days of segregation, the Ace
Theater on Grand Avenue in Coconut
Grove was the Black community's
showplace for movies and entertainment
events.
With an auditorium that seated more than
300 people, the historic venue staged live
performances, hosted high school
graduations and proms, and screened
Hollywood movies from the 1930s until
1978, when its doors closed a final time.

The theater even served as a designated
fallout shelter during the Cuban missile
crisis in 1962.
Built, owned and operated by Wometco
Enterprises as a "colored only" theater, the
Ace is owned today by Dorothy M. Wallace
and her daughter Denise Wallace.
The Wallace women have been active in
the community for decades. Denise, an
attorney, became the first co-chair of the
Coconut Grove Village Council in 1992.
Dorothy was one of two black women to
integrate the University of Miami's School
of Education in 1963. For many years, she
served as the administrator of the COPE
Center South in Richmond Heights, a
school for pregnant teens and teen
parents which was renamed the Dorothy
M. Wallace Cope Center in her honor in
1997.
Dorothy's late husband, Harvey Wallace,
bought the Ace from Wometco in 1979 for
$50,000 with the hope of reopening it as a
center of community life in the West
Grove.

More than 40 years later, that dream is
moving closer to reality, with grant funding
from the National Park Service and two
historic designations. The theater was
registered as a historical site by the City of
Miami in 2014, and then added to the
National Register of Historic Places two
years later in 2016.
A report to the National Register describes
the theater as a rare repository of shared
memories from Coconut Grove's
segregated past.
"Although the ACE's genesis began in the
days of legally sanctioned segregation,
people's memories of the ACE are as rich
and colorful as the Technicolor pictures
that once lighted its screen," the report
states.

the City of Miami's Historic and

captures some of those memories.

"The Ace Theater was the community
theater," Grove resident Renita Ross is
quoted as saying. "Friday evening, after
school, my cousin and I couldn't wait to
walk from my grandparent's home on
Florida Avenue to the Ace."
The National Park Service recognized the
significance of the theater in June 2021
when it awarded a grant of $398,199 to
Ace Theater Foundation to rehabilitate the
structure as part of its History of Equal
Rights program. Three years later, owner
Denise Wallace said renovation plans are
close to being finalized with the National
Park Service.
Next, permits must be secured from the
City of Miami, which Wallace said has been
"wonderful partners" in working with the
foundation. Wallace said the foundation
hopes to begin actual brick -and -mortar
work later this year.
"It's been slow, but it's coming together,"
she said. "I'm anxious to continue the work,
and the city is anxious to see it happen, so
we're working on it."
Wallace said she hopes the renovated Ace
will serve as a small venue to provide
cultural arts programming for students,
children and adults. She envisions that,
once renovated, the updated facility will
accommodate a variety of events thanks
to the planned removal of fixed seating,
along with updated bathrooms and
improvements that comply with the
Americans with Disabilities Act.
She predicts the Ace's resurgence will be
similar to the reopening of this historic
Lyric Theater in Overtown, a "colored
playhouse" built in 1913.
Wallace can't wait for the Ace to open its
doors once again.
"I went to the movies in that theater and I'II
be glad to see the marquee lit, and when
the ACE speaks again, because right now
it's silent," she said. "There are so many
stories people have about the theater and
right now it's not speaking."

Program Guidelines
Background:
On April 13th 2023, the Miami City Commission approved Resolution No. R-23-0178 establishing the
Miami For Everyone ("MFE") program. The following Miami For Everyone guidelines were adopted in
said Resolution R-23-0178, to ensure the accountability and utilization of the program funds meets the
intent of the MFE Program. Funding for the MFE Program will be allocated by the City Commission.
Purpose:
The purpose of the Miami For Everyone program is to assist communities facing the long-term
complications resulting from declared emergencies and to address the specific needs of the most
vulnerable residents and businesses, through a strategy of focusing the provision of support towards
priority areas of need that will further stabilize economic conditions within City District(s). The City of
Miami created the Miami For Everyone program to address the needs of the most vulnerable residents
who continue to experience hardships due to a declared emergency (pandemic, natural disaster, etc.).
Miami For Everyone focuses on projects and programs providing services directly benefitting City of
Miami residents in the following priority areas:
• Affordable Housing'
• Mortgage Replacement Program2
• Educational Programs for children, youth and adults
• Elderly meals, direct financial assistance, transportation, recreational and health/wellness related
activities
• Direct financial assistance, food assistance (gift card programs, voucher programs)
• At -risk youth or youth summer job programs
• Transportation services and programs
• Job development, retention and training programs
• Homeless Services
• Food Distribution programs
• Necessary climate and resiliency improvements in compliance with program purpose and
guidelines
• Essential supplies, during a State of Emergency, natural disaster, or economic
crisis.
• Necessary infrastructure improvements in compliance with program purpose and guidelines
The expenditure of Miami For Everyone funds allocated under this Initiative shall only be expended to
benefit the interest of disadvantaged residents of the City of Miami.

("HCD") and subject to compliance with HCD's applicable rules, guidelines, processes, and procedures, including but not limited
to, relevant funding agreements.

Eligible Entities and Organizations:
Miami For Everyone fund recipients must be an active and registered State of Florida entity:
(1) For Profit3; (2) Not -for profit organizations {501(3)(c)}; (3) Governmental units; (4) Educational
and academic institutions; (5) City of Miami departments, Offices of City Elected Officials, agencies,
or boards; (6) Eligible City Residents who have applied and met all requirements of the Miami For
Everyone Mortgage Replacement Program4.
Additional Program Guidelines and Requirements
• Any organization considered for or selected to receive Miami For Everyone funds must comply
with any and all local, state and federal laws, rules, regulations, or guidelines associated with the
programs funded, and such allocations may be revoked at the sole discretion of the City
Commission.
• Organization must complete a Miami For Everyone funding request form.
• MFE programs are subject to funding availability.
• MFE fund recipients will use funds for a program or initiative that reaches a significant number of
individuals and/or significantly mitigates the impacts of a declared emergency.
• Recipients will be required to enter into a grant agreement with the City of Miami prior to any
funding being disbursed. Said agreement shall include program/activity information and
language regarding:
o Resolution stating who is authorized to execute agreement with City of Miami
o Scope of Services including but not limited to number of residents being served, City of
Miami District/Location where services are being provided, program focus/priority area,
frequency of service, performance measures and any other performance metric deemed
relevant to the program priority area
o Budget detailing how funding will be utilized to provided services to City/District residents
as described in the Scope of Services
o Invoicing for activities and services provided and residents assisted or served
o Conflict of Interest
o Insurance as required by the City of Miami, which said requirements may be amended by
the City's Department of Risk Management ("Risk") and approved by Risk, which may be
withheld in the City's sole discretion.
o Any other material terms deem applicable to ensure appropriate use of public funds
• If an agreement is not executed in six (6) months from the date of Commission approval, the
recipient will be recommended for de -obligation.
• Unless otherwise approved or extended by City Commission, the agreement term will end a year
following contract execution.
• Recipients will be required to complete an end of program close-out report certifying the services
provided, performance metrics, location of services, timeline for the provision of MFE related
services and a narrative of the overall accomplishments of the program. The City, from time to

time, may conduct on -site monitoring and/or audits of the MFE funded program/activity/service.
• Funds cannot be used to pay expenditures such as:
o Lobbying Activities
o Traveling for non -program participants
o Meals for non -program participants
o Defense and prosecution of criminal and civil proceedings
o Donations or fund raising activities
o Individual or Personal expenses
o Pay same expense charged to other funding source (e.g. CDBG funds)
o Sponsorship of events and activities
o Any other expenditures deemed ineligible by the City of Miami
Organizations that discriminate based on race, color, sex, religion, national origin, age or
disability
will not be recommended for funding. Administrative/Indirect expenses cannot exceed 1O% of the
budget allocation.
• These guidelines are further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City
Code provisions.
• The attached Funding Request Form (pages 1-6) must be completed in its entirety by the applicant. The
completed form must besubmitted to the Office of Management and Budget before the entity may
added to the Commission Agenda for approval.

The City of Miami recognizes that there is a severe shortage of arts spaces, reduced employment for creative workers, and limited training opportunities
for youth and emerging talents. Local artists --Black, Caribbean, Latino, and working class creatives--have been impacted by the loss of venues.
MFE funding will assist in providing a venue for artists to teach, perform and for residents to hosts meetings, receptions and cultural arts events.

Ace Theater Foundation, Inc., Request
Miami for Everyone Request for Funding
The City of Miami has long considered the ACE Theater, located in "Colored Town, West
Grove," and now "Little Bahamas," as the centerpiece to redevelopment for this corridor of
Grand Avenue and Douglas Road (SW 37th Avenue). The ACE, originally built, owned and
operated by Wometco Enterprises as a "Colored" movie theater, served weekly doses of Tom
and Jerry cartoons, Westerns, Hercules movies, closed circuit boxing matches, Gospel and R&B
shows along with mouthwatering popcorn and sausage sandwiches. During the Cuban Missile
Crisis, the ACE was a designated Fallout Shelter for the Black community. People held their
proms, graduations and other gatherings at the ACE.
Over the years, he ACE, one of the last Art Deco theaters in Miami, has fallen into disrepair. But
with help from the National Park Service, repairs and renovations are now in progress to
preserve and reactivate the ACE. In 2014, the City of Miami designated the ACE as a historic
site and in 2016, the ACE was listed on the National Register of Historic Places.
Of course, preserving a building such as the ACE is huge task, which the Ace Theater
Foundation, Inc., has undertaken with great pride. However, as with all preservation efforts,
unforeseen conditions exist. Construction is underway to correct the deficiencies of the City of
Miami's mandated 40 Year Recertification process. As a result of the deficiencies set forth in the
40 Year Certification Report, the theater is listed as an "unsafe structure." To preserve the ACE
and to make it a viable facility, the Foundation will rehabilitate, renovate and make an adaptive
reuse of the building. The City of Miami's Historic Preservation Division has worked very
closely with the Foundation's architect of record to ensure that the rehabilitation, renovation and
adaptive reuse comply with City's Historic Design Guidelines.
The Foundation seeks funding for the ACE Theater, a National Register of Historic Places
landmark, to install an elevator, plumbing for restrooms, and selective insulation of restrooms
and mezzanine.
Miami is experiencing a significant arts emergency marked by the loss of affordable cultural
venues and diminishing opportunities for local artists to earn income or maintain stable careers.
Musicians, filmmakers, designers, actors, dancers, and teaching artists have been displaced due
to venue closures and rising operational costs, leaving them without rehearsal rooms, stages,
classrooms, or paid work. The ACE's restoration directly addresses this crisis by reopening a
historic community venue capable of providing immediate employment, training, and
performance opportunities for artists. Once restored, the ACE will serve as a year-round cultural
and workforce hub offering performances, film screenings, creative workforce training, youth
programs, and intergenerational arts activities that support Miami's creative economy.

Funding for the ACE will allow this landmark to immediately reopen as a safe, ADA-accessible
venue for artists to rehearse, perform, teach, and regain critical income pathways. The restored
space will support:
• Paid work for artists and creative workers who have lost employment due to venue
closures.
• Training programs for youth and young adults, providing new pathways into creative
and technical careers.
• Accessible cultural programming for seniors, families, and people with disabilities.
• Preservation of a historic landmark, strengthening cultural identity in District 2.
• Economic revitalization through cultural tourism, public events, and small business
activation.
Reopening the ACE will help restore Miami's cultural infrastructure, ensuring that artists can
sustain their livelihoods while the community regains access to year-round arts and cultural
engagement.
Facility & Restoration Outcomes
