Pursuant to Chapter 215.473, Florida Statutes, the Florida State Board of Administration is charged with maintaining a complete list of scrutinized companies. Scrutinized companies are judged according to whether they meet the following criteria: Sudan: 1. Have a material business relationship with the government of Sudan or a government -created project involving oil related, mineral extraction, or power generation activities, or 2. Have a material business relationship involving the supply of military equipment, or 3. Impart minimal benefit to disadvantaged citizens that are typically located in the geographic periphery of Sudan, or 4. Have been complicit in the genocidal campaign in Darfur. Iran: 1. Have a material business relationship with the government of Iran or a government -created project involving oil related or mineral extraction activities, or the energy, petrochemical, financial, construction, manufacturing, textile, mining, metals, shipping, shipbuilding, or port sectors of Iran, or 2. Have made material investments with the effect of significantly enhancing Iran`s petroleum sector. The SBA is not responsible for compliance with Chapter 287.135, Florida Statutes. The SBA's responsibilities are solely focused on the Protecting Florida's Investments Act and Chapter 215.473 as it relates to the identification of "Scrutinized Companies" that have prohibited business operations in Sudan or Iran. The table on the following pages provides the List of Prohibited Investments (Scrutinized Companies). This list is updated as part of the Protecting Florida's Investments Act (PFIA) and the Global Governance Mandates Quarterly Report, upon review and approval by the Trustees of the State Board of Administration. Donation Agreement DONATION AGREEMENT BY AND BETWEEN THE CITY OF MIAMI, FLORIDA AND CODE FOR AMERICA LABS, INC. THIS DONATION AGREEMENT (the "Agreement") is made and entered into as of this 28th day of May , 2026, by and between the CITY OF MIAMI, a municipal corporation of the State of Florida, whose principal address is 444 SW 2nd Avenue, Miami, FL 33130 (hereinafter referred to as "City"), and CODE FOR AMERICA LABS, INC., a foreign not for profit corporation, (hereinafter referred to as "Donor"), whose principal address is 2323 Broadway, Oakland, CA 94612 and who is authorized to do business in the State of Florida. RECITALS: A. Permitting and licensing services are key focus areas for City leadership, the nature of the services are cross -functional and require partnership from the Office of Zoning, and the Departments of Building, Resilience and Public Works, Fire -Rescue, Planning, and Code Compliance. B. Donor is a non -partisan, non -political 501 (c)(3) charitable organization that works with governmental entities to build digital tools and services, and improve policies and programs. C. Donor, in collaboration with the City, will donate in -kind services by performing exploratory data analysis, implementing Artificial Intelligence and Machine Learning ("AI/ML") policy extractions, and delivering materials for the City to utilize for training and optimizing AI/ML used in the permitting process. D. Ultimately, the in -kind services will assist in enhancing the permitting experience for City residents, improve accessibility, and facilitate building development. E. As a public benefit, Donor shall make the Donation of in -kind services, as further defined herein, at an estimated value of THIRTY-NINE THOUSAND DOLLARS AND ZERO CENTS ($39,000.00) for the in -kind services detailed above. F. The Donation will assist the City with accomplishing its objectives to reduce timelines and delay to opening a business in Miami, identify and mitigate common 1 City of Miami — Code for America Labs, Inc. Donation Agreement constraints in the process, enhance overall efficiency, and the tasks specified in Exhibit A, Partnership Proposal, incorporated herein. G. NOW, THEREFORE, in consideration of the mutual covenants and promises herein, Donor and the City agree as follows: Section 1. Recitals and Incorporations. The foregoing recitals are true and correct and are hereby incorporated into and made a part of this Agreement. The Memorandum of Understanding and Data Sharing Agreement ("MOU/DSA") Between Donor and City, attached and incorporated as (Scope of Work), attached and incorporated herein as Exhibit "A", is hereby incorporated into and made a part of this Agreement. The Insurance Requirements and Donor's Insurance Certificate, attached and incorporated as Exhibit "B", is hereby incorporated into and made a part of this Agreement. The order of precedence whenever there is conflicting or inconsistent language between documents is as follows in descending order of priority: (1) this Donation Agreement; (2) Exhibit A; (3) Exhibit B; and (4) Exhibit C; . Section 2. Donation. Donor shall donate to the City, free and clear of all liens, claims, or encumbrances, the in -kind services, materials, and deliverables described in Exhibit "A," at no charge and in accordance with the schedule and performance standards set forth therein ("Donation"). Donor shall be solely responsible for all costs of its labor, subcontractors, vendors, equipment, and expenses. Donor waives and releases any right to seek or receive payment, reimbursement, fee, set-off, or other compensation from the City for or related to the Donation. The parties acknowledge that the Donation is voluntary and constitutes no inducement for, and confers no right or entitlement to, any present or future City contract, permit, approval, or other governmental action or forbearance outside of those expressly stated in this Agreement. Donor shall perform the Donation in compliance with applicable law and shall ensure that no third -party rights are violated. To the extent the Donation includes deliverables incorporating third -party materials, Donor shall secure, at its sole cost, all rights necessary for the City's use of such deliverables for governmental purposes. The parties agree and acknowledge that the City will take certain actions and make certain decisions in reliance of Donor's commitment to timely deliver the Donation. Donor warrants that all services shall be performed in a professional, diligent, and workmanlike manner consistent with industry standards; that all deliverables shall conform to the requirements of the applicable Workplan; that the deliverables will not infringe any third -party intellectual property right; and that Donor will not deliver any virus, malware, disabling device, or hidden code. Donor shall promptly correct any nonconforming deliverable at no cost to the City. 2 City of Miami — Code for America Labs, Inc. Donation Agreement Section 3. Term. This Agreement shall commence upon the date written above upon its execution by the authorized officers and continue for a maximum of six (6) months. The City, acting by and through its City Manager, shall have the option to extend or terminate the Agreement for convenience, that is, for any or no cause. Section 4. Termination. The City may terminate this Agreement at any time at the sole discretion of the City Manager, with or without cause. Section 5. Relationship Between Parties. Donor, under the terms and conditions of this Agreement, is an independent contractor and not a City employee. As Donor is an independent contractor, Donor shall not be entitled to any employment emoluments. Access and use of City property shall be at the sole discretion of the City Manager. Donor acknowledges that such access to and use of City property does not alter Donor's status as an independent contractor. Donor shall work with the City to develop and undertake the schedule necessary to provide the Services as needed by the City. Donor acknowledges that working with the City to provide necessary scheduling for the Services does not alter their status as an independent contractor and Donor acknowledges and understands that compensation payment for their time is based upon the standards required by the IRS for payments to an independent contractor. Section 6. Indemnification. Donor shall indemnify, defend (at its own cost), save and hold harmless the City, its officers, agents, directors, employees, agencies, and instrumentalities (individually and collectively the "Indemnitees") against any civil actions, statutory or similar claims, injuries or arising or resulting from the Donation. In the event that any action or proceeding is brought against the Indemnitees by reason of any such claim or demand, Donor shall, upon written notice from the City, resist and defend (at its own cost) such action or proceeding by counsel satisfactory to the City. Donor expressly understands and agrees that any insurance protection required by this Agreement or otherwise provided by Donor shall in no way limit the responsibility to indemnify, defend, save and hold harmless the Indemnitees as herein provided. This indemnification provided above shall obligate Donor to defend, at its own expense, to and through trial, administrative, appellate, supplemental or bankruptcy proceeding, or to provide for such defense, at the City's option, for any and all claims of liability and all suits and actions of every name and description which may be brought against the Indemnitees, whether performed by Donor, or persons employed or utilized by Donor. These duties shall survive the termination, cancellation, or expiration of the Agreement. This Section shall be interpreted under the laws of the State of Florida, including without limitation and interpretation, conformity with the limitations of Sections 725.06 and/or 725.08, Florida Statutes, as applicable and as amended. Donor shall require all sub -contractor agreements to include a provision that each sub- contractor shall indemnify the Indemnitees in substantially the same language as this Section. Donor agrees and recognizes that the Indemnitees shall not be held liable or 3 City of Miami — Code for America Labs, Inc. Donation Agreement responsible for any claims which may result from any actions or omissions of Donor in which the City participated either through review or concurrence of Donor's actions. In reviewing, approving or rejecting any submissions by Donor or other acts of Donor, the Indemnitees, in no way, assume or share any responsibility or liability of Donor or sub- contractors under this Agreement. Section 7. Insurance. As a condition precedent to the City's execution of this Agreement, Donor has procured, and delivered to the City, the insurance policies and coverages in the types and minimum limits required by the City's Risk Management Department as described in Exhibit "B" and as evidenced by the certificate(s) of insurance attached thereto. Throughout the term of this Agreement (including any extension or warranty period), Donor shall maintain insurance with types, terms, and limits the same as or greater than those shown on Exhibit "B", and in any event at least equal to the requirements of the City's Risk Management Department then in effect. Prior to the expiration, cancellation, nonrenewal, or material change of any such policy, Donor shall furnish the City, without notice or demand, updated certificates of insurance (and applicable endorsements) evidencing uninterrupted coverage meeting or exceeding the foregoing requirements. Failure to maintain the required insurance is a material breach. Insurance maintained under this Section does not limit Donor's obligations under this Agreement, including its indemnification obligations. Section 8. Nondiscrimination. Donor shall not unlawfully discriminate against any person in its operations and activities or in its use or expenditure of funds in fulfilling its obligations under this Agreement. Donor shall affirmatively comply with all applicable provisions of the Americans with Disabilities Act ("ADA") in the course of providing any Services funded by the City, including Titles I and II of the ADA (regarding nondiscrimination on the basis of disability), and all applicable regulations, guidelines, and standards. In addition, Donor shall take affirmative steps to ensure nondiscrimination in employment against disabled persons. Donor affirms that it shall not discriminate as to race, age, religion, color, gender, gender identity, sexual orientation, national origin, marital status, physical or mental disability, political affiliation, or any other factor which cannot be lawfully used in connection with its performance under this Agreement. Furthermore, Donor affirms that no otherwise qualified individual shall solely by reason of their race, age, religion, color, gender, gender identity, sexual orientation, national origin, marital status, physical or mental disability, political affiliation, or any other factor which cannot be lawfully used, be excluded from the participation in, be denied benefits of, or be subjected to, discrimination under any program or activity. In connection with the conduct of its business, including performance of Services and employment of personnel, Donor shall not discriminate against any person on the basis of race, age, religion, color, gender, gender identity, sexual orientation, national origin, marital status, physical or mental disability, political affiliation, or any other factor which cannot be lawfully used. All persons having appropriate qualifications shall be afforded equal opportunity for employment. Section 9. Non -Assignment, Successors, and Assigns. This Agreement binds and inures to the benefit of the Parties and their respective successors and permitted assigns. 4 City of Miami — Code for America Labs, Inc. Donation Agreement Donor shall not assign, delegate, transfer, pledge, or otherwise convey this Agreement or any right or obligation hereunder, whether voluntarily, involuntarily, or by operation of law (including by merger, consolidation, reorganization, change in control, or sale of substantially all assets), without the City's prior written consent, which the City may withhold in its sole discretion. Any attempted assignment in violation of this Section is void. Notwithstanding the foregoing, if the Donor undergoes a statutory transaction in which the Donor does not survive and this Agreement would otherwise vest in a successor by operation of law, then: (a) the Donor (or successor) shall give the City at least 30 days' prior written notice of the transaction (or, if prior notice is legally prohibited, notice within 5 business days after closing); (b) the successor shall deliver to the City a written assumption agreement in form acceptable to the City, updated certificate(s) of insurance meeting or exceeding the insurance requirements herein, and evidence of authority to perform; and (c) within 60 days after receipt of the materials in (b) above, the City may, in its sole discretion, either consent (with or without conditions) or terminate this Agreement for convenience without penalty by written notice. Until the City elects an option under this paragraph, the successor is bound to perform by operation of law. Section 10. Ownership of Documents. Donor understands and agrees that any information, document, report, plans, budget, or any other materials which is given by the City or on behalf of the City to Donor pursuant to or under the terms of this Agreement ("City Materials") are, and shall at all times remain, the property of the City. Donor agrees not to use any such City Materials except as necessary to perform the Services under this Agreement. All software, scripts, models, documentation, and other deliverables developed specifically for the City under this Agreement (collectively, the "Deliverables") shall be owned by the City upon creation. To the extent Donor IP is embedded in any deliverable, Donor grants the City and its contractors a perpetual, irrevocable, worldwide, royalty -free license, including the right to use, host, reproduce, modify, maintain, disclose as required by law, and create derivative works for the City's governmental purposes. If any third -party license applies, such license shall not diminish the City's rights expressly granted in this Agreement. Notwithstanding the foregoing, the City hereby grants to Donor a perpetual, non-exclusive, worldwide, royalty -free license to use, reproduce, modify, create derivative works of, publish, distribute, and otherwise use the Deliverables for any lawful purpose, including use, adaptation, and implementation in connection with other projects, partners, or jurisdictions; provided, however, that Donor shall not disclose any City Materials or confidential information except as permitted under this Agreement and applicable law. Section 11. Public Records. A. Donor understands that the public shall have access, at all reasonable times, to all documents and information pertaining to City agreements, subject to the provisions of Chapter 119, Florida Statutes, and agrees to allow access by the City and the public to all documents subject to disclosure under applicable laws. Donor's failure or refusal to comply with the provisions of this section shall result in the immediate cancellation of this Agreement by the City. 5 City of Miami — Code for America Labs, Inc. Donation Agreement B. Donor shall additionally comply with Section 119.0701, Florida Statutes, including without limitation: (1) keep and maintain public records that ordinarily and necessarily would be required by the City to perform the Services; (2) upon request from the City's custodian of public records, provide the City with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in Chapter 119, Florida Statutes, or as otherwise provided by law; (3) ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the Agreement term and, following completion of the Agreement, if Donor does not transfer the records to the City; (4) upon completion of the Agreement, transfer, at no cost, to the City all public records in possession of Donor or keep and maintain public records required by the City to perform the Services. If Donor transfers all public records to the City upon completion of the Agreement, Donor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If Donor keeps and maintains public records upon completion of the Agreement, Donor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to the City, upon request from the City's custodian of public records, in a format that is compatible with the information technology systems of the City. C. Notwithstanding the foregoing, Donor shall be permitted to retain any public records that make up part of its work product solely as required for archival purposes, as required by law, or to evidence compliance with the terms of the Agreement. D. Should Donor determine to dispute any public access provision required by Florida Statutes, then Donor shall do so in accordance with the provisions of Chapter 119, Florida Statutes, at its own expense, and at no cost to the City. Section 13. Compliance with Federal, State, and Local Laws. Donor understands that agreements between private entities and local governments are subject to certain laws and regulations, including laws pertaining to open public meetings, public records, conflicts of interest, procurement procedures, record keeping, etc. Donor agrees to 6 City of Miami — Code for America Labs, Inc. All notices or other communications required under this Agreement shall be in writing and shall be given by hand -delivery or by registered, or certified U.S. Mail, return receipt requested, addressed to the other party at the address indicated herein or to such other address as a party may designate by notice given, as herein provided. Notice shall be deemed given on the day on which personally delivered; or if by U.S. Mail, on the fifth day after being posted or the date of actual receipt, whichever is earlier. Governing Law and Venue. The Agreement shall be construed and enforced according to the laws of the State of Florida. The parties hereto agree that venue for all federal, state, and local matters, if any, arising under the Agreement shall be in the applicable respective federal, state, and/or local courts located in Miami -Dade County, Florida. Each party waives any defense, whether asserted by motion or pleading, that the aforementioned courts are an improper or inconvenient venue. Moreover, the parties' consent to the personal jurisdiction of the aforementioned courts and irrevocably waive any objections to said jurisdiction. The parties irrevocably waive any rights to a jury trial. Each party shall pay its own costs and attorneys' fees. Section 16. No Waiver. No waiver or breach of any provision of the Agreement shall constitute a waiver of any other breach or of any subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in writing. Section 17. Entire Agreement and Amendments. This Agreement constitutes the sole and entire Agreement between the parties hereto. No modification or amendment hereto shall be valid unless in writing and executed by properly authorized representatives of the parties hereto. Except as otherwise expressly set forth herein, the City Manager shall have the sole authority to amend or modify this Agreement on behalf of the City. All amendments and/or modifications to this Agreement shall be in writing, executed by both Parties with the same formalities as this Agreement, and approved in advance by the Office of the City Attorney as to legal form and correctness. Section 18. Severability. Should any provision, paragraph, sentence, word or phrase contained in this Agreement be determined by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable under the laws of the State of Florida or the City of Miami, such provision, paragraph, sentence, word or phrase shall be deemed modified to the extent necessary in order to conform with such laws, or if not modifiable, then the same shall be deemed severable, and in either event, the remaining terms and provisions of this Agreement shall remain unmodified and in full force and effect or limitation of its use. 8 City of Miami — Code for America Labs, Inc. Donation Agreement Section 19. Compliance with Applicable Laws. Donor shall comply with all applicable laws, rules and regulations in the performance of this Agreement, including but not limited to licensure, registration, and certifications required by law for professional service contractors providing the services, materials, and deliverables as part of the Donation. Section 20. Titles and Headings. Title and paragraph headings are for convenient reference only and are not a part of this Agreement, and shall not be used in interpreting this Agreement. Section 21. Sovereign Immunity. Nothing contained in this Agreement is any way intended to be a waiver of the limitation placed upon the Indemnitees' liability as set forth in Chapter 768, Florida Statutes. Additionally, the Indemnitees do not waive sovereign immunity, and no claim or award against the Indemnitees shall include attorney's fees, investigative costs, pre -suit or adjusting costs, or pre -judgment interest. Section 22. Survival. The parties acknowledge that the obligations in this Agreement will survive the term, termination, and cancellation hereof. Accordingly, the respective obligations of Donor and the City under this Agreement shall survive termination, cancellation, or expiration hereof. Section 23. Counterparts; Electronic Signatures. This Agreement may be executed in counterparts, each of which shall be an original as against either party whose signature appears thereon, but all of which taken together shall constitute but one and the same instrument. An executed facsimile or electronic scanned copy of this Agreement shall have the same force and effect as an original. The parties shall be entitled to sign and transmit an electronic signature on this Agreement (whether by facsimile, PDF, or other email transmission), which signature shall be binding on the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Agreement upon request. Section 24. Default. If Donor fails to comply with any term or condition of this Agreement or fails to perform in any material way any of its obligations hereunder, and fails to cure such failure after reasonable notice from the City, then Donor shall be in default. Donor understands and agrees that termination of this Agreement under this section shall not release Donor from any obligation(s) accruing prior to the effective date of termination. Should Donor be unable or unwilling to commence to perform the Services within the time provided or contemplated herein, then, in addition to the foregoing, Donor shall be liable to the City for all reasonable costs and expenses incurred by the City in preparation and negotiation of this Agreement, as well as all costs and expenses incurred by the City in the re -procurement of the Services, including consequential and incidental damages. Upon the occurrence of a default hereunder the City, in addition to all remedies available to it by law, may immediately, upon written notice to Donor, terminate this Agreement whereupon all payments, advances, or other compensation paid by the City to Donor while Donor was in default shall be immediately returned to the City. If the City fails to comply with any term or condition of this Agreement or fails to perform in any material way any of its obligations hereunder, and fails to cure such failure after 9 City of Miami — Code for America Labs, Inc. Donation Agreement reasonable notice from Donor, the City shall be in default, which shall be treated as a termination pursuant to Section 4. Section 25. Resolution of Agreement Disputes. Donor understands and agrees that all disputes between Donor and the City based upon an alleged violation of the terms of this Agreement by the City shall be submitted to the City Manager for his/her resolution, prior to Donor being entitled to seek judicial relief in connection therewith. In the event that the amount of compensation hereunder exceeds Twenty -Five Thousand Dollars ($25,000.00), the City Manager's decision shall be approved or disapproved, as applicable, by the City Commission, whose decision shall be final. Donor shall not be entitled to seek judicial relief, recourse, remedy or to file a civil action unless: (i) it has first received City Manager's written decision, approved or disapproved, as applicable, by the City Commission if the amount of compensation hereunder exceeds Twenty -Five Thousand Dollars ($25,000.00); or, (ii) a period of sixty (60) days has expired, after submitting to the City Manager a detailed statement of the dispute, accompanied by all supporting documentation, one hundred twenty (120) days if City Manager's decision is subject to City Commission approval); or, (iii) City has waived compliance with the procedure set forth in this section by a written instrument clearly waiving compliance, signed by the City Manager. The adherence to this Section is the condition precedent to the institution of any civil action by Donor against the City. Section 26. Force Majeure. A "Force Majeure Event" shall mean an act of God, act of governmental body or military authority, fire, explosion, power failure, flood, storm, hurricane, sink hole, other natural disasters, epidemic, riot or civil disturbance, war or terrorism, sabotage, insurrection, blockade, or embargo not within the control of Donor. In the event that either party is delayed in the performance of any act or obligation pursuant to or required by the Agreement because of a Force Majeure Event as herein defined, the time for required completion of such act or obligation shall be extended by the number of days equal to the total number of days, if any, that such Force Majeure Event actually delays such party. The party seeking delay in performance shall give notice to the other party in writing, within two (2) days of the Force Majeure Event, specifying the anticipated duration of the delay, and, if such delay shall extend beyond the duration specified in such notice, additional notice shall be repeated no less than monthly so long as such delay due to a Force Majeure Event continues. Any party seeking delay in performance due to a Force Majeure Event shall use its best efforts to rectify any condition causing such delay and shall cooperate with the other party to overcome any delay that has resulted. Section 27. City Not Liable for Delays. Donor hereby understands and agrees that in no event shall the City be liable for, or responsible to Donor or any subcontractor or subconsultant, or to any other person, firm, or entity for or on account of, any stoppages or delay(s) in work herein provided for, or any damages whatsoever related thereto, because of any injunction or other legal or equitable proceedings or on account of any delay(s) for any cause over which the City has no control. The sole remedy which may be granted to Donor, in the reasonable discretion of the City Manager, following a prompt and detailed request to be officially transmitted by Donor, is an extension of time. No other recourse or remedy will be available to Donor against the City. 10 City of Miami — Code for America Labs, Inc. Donation Agreement Section 28. Use of Name. Donor understands and agrees that the City is not engaged in research for advertising, sales promotion, or other publicity purposes. Donor is allowed, within the limited scope of normal and customary marketing and promotion of its work, to use the general results of this project and the name of the City. Donor agrees to protect any confidential information provided by the City and will not release information of a specific nature without prior written consent of the City Manager or the City Commission. Section 29. No Conflict of Interest. Pursuant to City of Miami Code Section 2-611, as amended ("City Code"), regarding conflicts of interest, Donor hereby certifies to the City that no individual member of Donor, no employee, and no subcontractor or subconsultant under this Agreement nor any immediate family member of any of the same is also a member of any board, commission, or agency of the City. Donor hereby represents and warrants to the City that throughout the term of this Agreement, Donor, its employees, and its subcontractors or subconsultants will abide by this prohibition of the City Code. Section 30. No Third -Party Beneficiary. No persons other than Donor and the City (and their successors and assigns) shall have any rights as an express or implied third -party beneficiary whatsoever under this Agreement. Section 31. Truth -in -Negotiation Certification, Representation and Warranty. N/A Section 32. E-Verify Employment Verification. Donor shall E-Verify the employment status of all employees and subcontractors or subconsultants to the extent required by federal, state, and local laws, rules, and regulations. The City shall consider the employment by Donor of unauthorized aliens a violation of Section 274A(e) of the Immigration and Nationality Act. If Donor knowingly employs unauthorized aliens, such violation shall be cause for termination of the Agreement. Furthermore, Donor agrees to utilize the U.S. Agency of Homeland Security's E-Verify System, https://e- verify.uscis.gov/emp, to verify the employment eligibility of all employees during the term of this Agreement. Donor shall also include a requirement in subcontractor or subconsultant agreements that the subcontractors or subconsultants shall also utilize the E-Verify System to verify the employment eligibility of all employees of the subcontractors or subconsultants during the term of this Agreement. Section 33. Antitrust Violator Vendors. Pursuant to Section 287.137, Florida Statutes, a person or an affiliate who has been placed on the Antitrust Violator Vendors List following a conviction or being held civilly liable for an antitrust violation may not submit a bid, proposal, or reply on any agreement to provide any goods or services to a public entity; may not submit a bid, proposal, or reply on any agreement with a public entity for the construction or repair of a public building or public work; may not submit a bid, proposal, or reply on leases of real property to a public entity; may not be awarded or perform work as a grantee, supplier, subcontractor, or consultant under an agreement with a public entity; and may not transact new business with a public entity. Section 34. Anti -Human Trafficking Affidavit. Donor confirms and certifies that it is not in violation of Section 787.06, Florida Statutes, and that it does not and shall not use coercion for labor or services as defined in Section 787.06, Florida Statutes. Donation Agreement Contractor shall execute and submit to the City an Affidavit, of even date herewith, in compliance with Section 787.06(13), Florida Statutes, attached and incorporated herein as Exhibit C, "Anti -Human Trafficking Affidavit". If the Contractor fails to comply with the terms of this Section, the City may suspend or terminate this Agreement immediately, without prior notice, and in no event shall the City be liable to Contractor for any additional compensation or for any consequential or incidental damages. Code for America is a 501(c)3 nonprofit organization with a track record of conducting successful outreach and awareness campaigns to encourage residents to apply for safety net programs, and make other improvements to the user experience of safety net programs. The City of Miami's objective for this engagement is development a framework that will use machine learning and Artificial Intelligence techniques to parse text from unstructured comments to produce themes and insights related to high priority city services. This training will improve our ability to enhance the permitting and licensing experience for City residents. Together, the Parties enter into this Agreement to: • Perform exploratory analysis on dataset of unstructured comments (estimated n = 23,000); • Collaborate with City of Miami Data Team on data analysis, implementation of Artificial Intelligence / Machine Learning ("AI/ML") approaches to policy extraction from unstructured comments; and • Produce scripts and software that can be utilized by the City of Miami team with documentation to enable successful handoff. Deliverables: The activities described above are an indication of the activities we may conduct to achieve the deliverables and goals. Regardless of the activities, Code for America commits to delivering the following artifacts and materials as a result of our approach: • Python Notebook with analysis information: o A structured document used to execute code (step by step) python programming language within the appropriate environment. This will be an auditable record of how conclusions were reached, allowing city staff to access, review and/or edit the logic, and reproduce analysis at any time. • Technical documentation describing approach, results of thematic analysis and policy extraction. Staff should comprise an appropriate mix of policy, operations, and technology employees. 3. Provide contact information and resources to support qualitative and quantitative research. 4. Collaborate to launch outreach activities or improved technologies, and iterate as approved by City in support of the Project, including implementing new approaches as mutually agreed to with CfA. 5. Assist CfA in accessing and understanding City information management systems for the purpose of the Project and to achieve Project Goals. This may include, but would not be limited to, sharing and discussing planned releases, system architecture and data flows, change management processes, development and deployment workflows, and access to existing client portal test environments for CfA's use in assessment. 16 City of Miami — Code for America Labs, Inc. Based on the mutually agreed upon Workplan(s) (hereinafter "Workplan"), determine if federal approval is needed and, if so, work collaboratively to develop the request for approval and submit that request. iii. Joint Responsibilities: 1. Negotiate and execute a detailed Workplan prior to the beginning of each phase of work. a. The Workplan will include specific activities and responsibilities for each Party, timelines, communication plans, and associated staffing requirements. b. The Workplan will not address or change key terms and conditions addressed in this MOU. Any changes, including but not limited to potential costs, intellectual property, confidentiality, or other clauses of Section IV will require a mutually agreed upon amendment to the MOU. c. The Workplan will not expand the expectations, duties or access for data sharing or systems beyond the confines of the Data Sharing and Use Agreement, noted in section III.c below. Any changes to data sharing or systems access will be addressed separately via a mutually agreed upon amendment. 2. Work collaboratively to accomplish Project Goals, including attending regular meetings together and implementing mutually agreed upon changes to technology or services in support of the Project Goals. 3. Develop human -centered, technology -enabled solutions to achieve Project Goals. b. Costs and Expenses. CfA's initial efforts are being offered to City through philanthropic funding to achieve the goals of the Project; all services provided under the MOU are being provided to City at no cost. City will be responsible for any costs and expenses associated with pursuing the Project, including employee salaries. c. Confidentiality. i. Subject to Section 119, Florida Statutes, and Section 11 of the Donation Agreement (Public Records), each Party may disclose to the other certain non- public, proprietary, confidential, or personally identifiable information ("Confidential Information") in connection with this MOU and the DSA. Confidential Information includes information marked or otherwise identified as confidential at the time of disclosure, or which a reasonable person would understand to be confidential under the circumstances. ii. The receiving Party shall use Confidential Information solely for purposes of performing under this MOU and DSA and shall not disclose such information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those contained herein. The receiving Party shall protect Confidential Information using at least reasonable care. 17 City of Miami — Code for America Labs, Inc. Donation Agreement iii. Confidential Information does not include information that: (i) is or becomes publicly available through no breach of this MOU; (ii) is lawfully received from a third party without restriction; or (iii) is independently developed without use of the disclosing Parry's Confidential Information. iv. If a Party is required by law, subpoena, or public records request to disclose Confidential Information, it shall provide prompt notice to the other Party (to the extent legally permitted) and disclose only the portion legally required. v. Confidentiality obligations shall survive for three (3) years following termination; provided, however, that obligations relating to personally identifiable information, trade secrets, or other information protected by law shall survive for so long as such information remains protected. vi. Except as expressly set forth herein, no license or other intellectual property rights are granted by disclosure of Confidential Information 18 City of Miami — Code for America Labs, Inc. Donation Agreement I. DATA SHARING AND USE AGREEMENT The purpose of this DSA is to outline the terms and conditions agreed to by the Parties regarding the sharing and use of Data, and further, provides authorization for the exchange of the data containing sensitive or confidential information, proprietary City data, and/or client outcomes for the purposes of programmatic analysis, system improvements, greater outreach, improved outcomes, and research and dissemination with the goal of improving safety net programs as detailed below. 1. Data Description and Use a. Data Description i. Under this DSA, the City is disclosing information or authorizing the use of data to CfA for purposes directly connected with the purpose set forth above and in compliance with all applicable laws, regulations and contractual obligations. ii. "Data" means any information provided by the City to CfA, including data listed in the table below in section 3.b.iii. 1. At minimum, Parties agree to share aggregate data, de -identified data, and non-PII metadata (e.g., days to eligibility determination, approval rate, denial reasons) to support quantitative analysis of opportunities for impact. 2. In order to fulfill the purpose of the Project, CfA may need access to personally identifiable and confidential data which may include names, birthdays, addresses, email, phone numbers, case numbers, income, demographic data (e.g., language, household size, labor force status, primary beneficiary age, gender, race or ethnicity, pregnancy status, tribal membership, education, Veteran status), etc. b. Data Use i. CfA shall not access and use the Data except: (1) to accomplish the goals and purposes of the Project; (2) to disseminate outcomes and analysis; or (3) for administrative purposes related to data security. ii. In the event the Data provided by City contains data elements that directly identify an individual (hereinafter "Direct Identifiers"), CfA shall not use the Direct Identifiers to match or link with any other data, except as expressly specified in the Project Statement of Work or as requested in writing by the City and as is mutually agreeable. iii. Potential Project Use and Restrictions. The City and CfA have developed project categories that detail data use, restrictions, approval, authorization or release. The table at Attachment A details the types of projects that require data release and approval. 2. Data Security, Confidentiality, and Data Access a. City shall transfer data to CfA in a secure manner, such as secure file transfer protocol, an encrypted cloud -based solution, or an encrypted hard drive. b. Unless otherwise specified in writing, data shall be stored on CfA's secure data infrastructure, including CfA's owned and encrypted 19 City of Miami — Code for America Labs, Inc. Donation Agreement hardware and vetted cloud services, all of which follow established industry security best practices. CfA shall implement and maintain commercially reasonable administrative, technical, and physical safeguards for City data, including encryption in transit and at rest, multi -factor authentication for administrative access, access logging, least -privilege access, and timely remediation of material vulnerabilities. Upon completion or termination of the Agreement, CfA shall return all City data and certify in writing that all remaining copies, including those held by subcontractors, have been securely deleted except to the extent retention is expressly required by law. Data shall not be copied to other computers and shall not physically leave the CfA data infrastructure. Data shall be analyzed on CfA's data infrastructure only. Any subcontractors accessing data under this DSA will be required to do so in compliance with the provisions of this DSA and only on a device owned and controlled by CfA. c. CfA shall comply, at a minimum, with established industry security best practices for electronic information and networked devices. Further information about CfA's data security protocols are available upon request. d. CfA shall not disclose, transmit, or permit access to any City data, including de -identified, confidential, restricted, or personally identifiable data, to any subcontractor, researcher, affiliate, or other third party without the City's prior written approval in each instance. Each approved third party shall be identified by name, role, location of data access, data elements authorized, retention period, and written agreement imposing confidentiality, security, public -records, audit, breach -notification, and destruction obligations at least as protective as this Agreement. No onward disclosure shall be permitted absent a further written amendment approved by the City. CfA will notify the City of any third party contractors required to fulfill the purpose of the Project. ii. In the event the City grants permission to CfA to provide access to PII, confidential or restricted Data to a Third Party, Third Party will be required to accept the same obligations reflected in Sections 3 and 4 of this DSA. e. CfA shall strictly limit the number of individuals who have access to the data to those necessary: (1) to accomplish the Research described in Section II (a) (i) (4) above; (2) to complete mutually agreeable projects that City requests in writing; or (3) for administrative purposes related to data security (hereinafter "Authorized Users"). Any other use will be negotiated on a case -by -case basis and addressed via an amendment, as required by Section 5.a. f. CfA shall maintain a log establishing an audit trail of who has accessed the data. g. CfA shall be responsible for ensuring compliance with all data security and confidentiality protocols described in this DSA. h. CfA shall instruct all Authorized Users, about the requirements for handling any data, and about the potential sanctions for unauthorized disclosure or use of this data. CfA shall ensure that Authorized Users have been informed of the procedures they must follow to maintain 20 City of Miami — Code for America Labs, Inc. CfA shall notify the City in writing, in no event later than seventy-two (72) hours after discovery, of any actual or reasonably suspected unauthorized access to, use of, disclosure of, or loss of City data, or any security incident affecting systems used to provide the services. CfA shall immediately take all reasonable steps to contain, investigate, remediate, and mitigate the incident; preserve relevant logs and evidence; cooperate fully with the City; and provide periodic written updates until final resolution. i. The Parties acknowledge that various federal and state laws protect City's data from unauthorized disclosure, and it is the Parties' intent to ensure that the provision and use of such data between the Parties is done in compliance with those laws. 3. Data Elements City shall provide CfA with access to the data elements identified in Table 1 below, including applicable programs, access types, and authorized use cases, in accordance with this Initiative. Except for IRS and SSA data, the City shall provide such data and system access as reasonably necessary to fulfill the purposes of the Project. Any additional system access or program data, other than IRS and SSA data, shall be provided upon request and subject to the terms of this Initiative. ADDITIONAL INSUREDS a. WHO IS AN INSURED is amended to include as an Insured any person or organization described in paragraphs A. through K. below whom a Named Insured is required to add as an additional insured on this Coverage Part under a written contract or written agreement, provided such contract or agreement: (1) is currently in effect or becomes effective during the term of this Coverage Part; and (2) was executed prior to: (a) the bodily injury or property damage; or (b) the offense that caused the personal and advertising injury, for which such additional insured seeks coverage. b. However, subject always to the terms and conditions of this policy, including the limits of insurance, the Insurer will not provide such additional insured with: (1) a higher limit of insurance than required by such contract or agreement; or (2) coverage broader than required by such contract or agreement, and in no event broader than that described by the applicable paragraph A. through K. below. Any coverage granted by this endorsement shall apply only to the extent permissible by law. A. Controlling Interest Any person or organization with a controlling interest in a Named Insured, but only with respect to such person or organization's liability for bodily injury, property damage or personal and advertising injury arising out of: 1. such person or organization's financial control of a Named Insured; or 2. premises such person or organization owns, maintains or controls while a Named Insured leases or occupies such premises; provided that the coverage granted by this paragraph does not apply to structural alterations, new construction or demolition operations performed by, on behalf of, or for such additional insured. B. Co-owner of Insured Premises A co-owner of a premises co -owned by a Named Insured and covered under this insurance but only with respect to such co -owner's liability for bodily injury, property damage or personal and advertising injury as co-owner of such premises. C. Grantor of Franchise Any person or organization that has granted a franchise to a Named Insured, but only with respect to such person or organization's liability for bodily injury, property damage or personal and advertising injury as grantor of a franchise to the Named Insured. D. Lessor of Equipment Any person or organization from whom a Named Insured leases equipment, but only with respect to liability for bodily injury, property damage or personal and advertising injury caused, in whole or in part, by the Named Insured's maintenance, operation or use of such equipment, provided that the occurrence giving rise to such bodily injury, property damage or the offense giving rise to such personal and advertising injury takes place prior to the termination of such lease. Lessor of Land Any person or organization from whom a Named Insured leases land but only with respect to liability for bodily injury, property damage or personal and advertising injury arising out of the ownership, maintenance or use of such land, provided that the occurrence giving rise to such bodily injury, property damage or the offense giving rise to such personal and advertising injury takes place prior to the termination of such lease. The coverage granted by this paragraph does not apply to structural alterations, new construction or demolition operations performed by, on behalf of, or for such additional insured. F. Lessor of Premises An owner or lessor of premises leased to the Named Insured, or such owner or lessor's real estate manager, but only with respect to liability for bodily injury, property damage or personal and advertising injury arising out of the ownership, maintenance or use of such part of the premises leased to the Named Insured, and provided that the occurrence giving rise to such bodily injury or property damage, or the offense giving rise to such personal and advertising injury, takes place prior to the termination of such lease. The coverage granted by this paragraph does not apply to structural alterations, new construction or demolition operations performed by, on behalf of, or for such additional insured. G. Mortgagee, Assignee or Receiver A mortgagee, assignee or receiver of premises but only with ect to such mortgagee, assignee or receiver's liability for bodily injury, property damage or persona n advertising injury arising out of the Named Insured's ownership, maintenance, or use of a premise ' amed Insured. State or Governmental Agency or Subdivision or Politlbal Subdivisions — Permits A state or governmental agency or subdivi only with respect to such state or go injury, property damage or per or political subdivision that has issued a permit or authorization but tal agency or subdivision or political subdivision's liability for bodily �Irertising injury arising out of: 1. the following hazards in connection wtemises a Named Insured owns, rents, or controls and to which this insurance applies: a. the existence, maintenance, repair, construction, erection, or removal of advertising signs, awnings, canopies, ceHar entrances, coal holes, driveways, manholes, marquees, hoistaway openings, sidewalk vaults, street banners, or decorations and similar exposures; or b. the construction, erection, or removal of elevators; or c. the ownership, maintenance or use of any elevators covered by this insurance; or 2. the permitted or authorized operations performed by a Named Insured or on a Named Insured's behalf. The coverage granted by this paragraph does not apply to: a. Bodily injury, property damage or personal and advertising injury arising out of operations performed for the state or governmental agency or subdivision or political subdivision; or b. Bodily injury or property damage included within the products -completed operations hazard. With respect to this provision's requirement that additional insured status must be requested under a written contract or agreement, the Insurer will treat as a written contract any governmental permit that requires the Named Insured to add the governmental entity as an additional insured. Trade Show Event Lessor 1. With respect to a Named Insured's participation in a trade show event as an exhibitor, presenter or displayer, any person or organization whom the Named Insured is required to include as an additional insured, but only with respect to such person or organization's liability for bodily injury, property damage or personal and advertising injury caused by: a. the Named Insured's acts or omissions; or b. the acts or omissions of those acting on the Named Insured's behalf, in the performance of the Named Insured's ongoing operations at the trade show event premises during the trade show event. 2. The coverage granted by this paragraph does not apply to bodily injury or property damage included within the products -completed operations hazard. J. Vendor „se -NO Any person or organization but only with respect to such person or organization's liability for bodily injury or property damage arising out of your products which are distributed or sold in the regular course of such person or organization's business, provided that: 1. The coverage granted by this paragraph does not apply to: a. bodily injury or property damage for which such person or organization is obligated to pay damages by reason of the assumption of liability in a contract or agreement unless such liability exists in the absence of the contract or agreement; -. s_ b. any express warranty unauthorized by fhe Famed nsul7ed; c. any physical or chemical change in any product made intentionally by such person or organization; d. repackaging, except when unpacked solely for the purpose of inspection, demonstration, testing, or the substitution of parts under instructions from the manufacturer, and then repackaged in the original container; e. any failure to make any inspections, adjustments, tests or servicing that such person or organization has agreed to make or normally undertakes to make in the usual course of business, in connection with the distribution or sale of the products; f. demonstration, installation, servicing or repair operations, except such operations performed at such person or organization's premises in connection with the sale of a product; products which, after distribution or sale by the Named Insured, have been labeled or relabeled or used as a container, part or ingredient of any other thing or substance by or for such person or organization; or h. bodily injury or property damage arising out of the sole negligence of such person or organization for its own acts or omissions or those of its employees or anyone else acting on its behalf. However, this exclusion does not apply to: (1) the exceptions contained in Subparagraphs d. or f. above; or (2) such inspections, adjustments, tests or servicing as such person or organization has agreed with the Named Insured to make or normally undertakes to make in the usual course of business, in connection with the distribution or sale of the products. 2. K. Other Person Or Organization / Your Work Any person or organization who is not an additional insured under Paragraphs A. through J. above. Such additional insured is an Insured solely for bodily injury, property damage or personal and advertising injury for which such additional insured is liable because of the Named Insured's acts or omissions. The coverage granted by this paragraph does not apply to any person or organization: 1. who is specifically scheduled as an additional insured on another endor m nt to this Coverage Part; nor 2. for bodily injury or property damage included within the products-c-ompleted operations hazard except to the extent all of the following apply: a. this Coverage Part provides such coverage; b. the written contract or agreement described in the opcn;ng paragraph of this ADDITIONAL INSUREDS Provision requires the Named Insured to provide the additional insured such coverage; and c. the bodily injury or property damage result rifi'(yoteowork that is the subject of the written contract or agreement, and such work has not beer exch7dedi endorsement to this Coverage Part. 2. ADDITIONAL INSURED - PRIMARY AND NON-f'ON7RIBUTORO TO ADDITIONAL INSURED'S INSURANCE A. The Other Insurance Condition in the COMIERCI44, GENERAL LIABILITY CONDITIONS Section is amended to add the following paragraph: If the Named Insured has agreed in writing 'contract or agreement that this insurance is primary and non- contributory relative to an addit' naI insur n insurance, then this insurance is primary, and the Insurer will not seek contribution from t Nter insurance. For the purpose of this Provision 2., the additional insured's own insurance means insuranceiich the additional insured is a named insured. B. With respect to persons or organizations that qualify as additional insureds pursuant to paragraph 1.K. of this endorsement, the following sentence is added to the paragraph above: Otherwise, and notwithstanding anything to the contrary elsewhere in this Condition, the insurance provided to such person or organization is excess of any other insurance available to such person or organization. 3. BODILY INJURY — EXPANDED DEFINITION Under DEFINITIONS, the definition of bodily injury is deleted and replaced by the following: Bodily injury means physical injury, sickness or disease sustained by a person, including death, humiliation, shock, mental anguish or mental injury sustained by that person at any time which results as a consequence of the physical injury, sickness or disease. 4. B. NOTICE OF OCCURRENCE The Named Insured's rights under this Coverage Part will not be prejudiced if the Named Insured fails to give the Insurer notice of an occurrence, offense or claim and that failure is solely due to the Named Insured's reasonable belief that the bodily injury or property damage is not covered under this Coverage Part. However, the Named Insured shall give written notice of such occurrence, offense or claim to the Insurer as soon as the Named Insured is aware that this insurance may apply to such occurrence, offense or claim. 5. BROAD NAMED INSURED WHO IS AN INSURED is amended to delete its Paragraph 3. in its entirety and replace it with the following: 3. The insurance provided by this Coverage Part applies to Named Insureds when trading under their own names or under such other trading names or doing -business -as names (dba) as any Named Insured should choose to employ. No coverage is provided for any act, error or omission of an estate, heir, legal representative, or spouse outside the scope of such person's capacity or status as such, provided however that the spouse of a natural person Named Insured and the spouses of members or partners of joint venture or partnership Named Insureds are Insureds with respect to such spouses' acts, errors or omissions in the conduct of the Named Insured's business. 7. EXPECTED OR INTENDED INJURY — EXCEPTION FOR REASONABLE FORCE Under COVERAGES, Coverage A — Bodily Injury And Property Damage Liability, the paragraph entitled Exclusions is amended to delete the exclusion entitled Expected or Intended In and replace it with the following: This insurance does not apply to: Expected or Intended Injury Bodily injury or property damage expected or intended from the dpoint of the Insured. This exclusion does not apply to bodily injury or property damage resulting from the use of sonable force to protect persons or property. 8. Good Samaritan services rendered in an emergency and for which no payment is demanded or received. Professional health care services means any health care services or the related furnishing of food, beverages, medical supplies or appliances by the following providers in their capacity as such but solely to the extent they are duly licensed as required: a. Physician; b. Nurse; c. Nurse practitioner; d. Emergency medical technician; e. Paramedic; f. Dentist; g. Physical therapist; h. Psychologist; i. Speech therapist; j. Other allied health professional; or Professional health care services does not include any services rendered in connection with human clinical trials or product testing. LEGAL LIABILITY — DAMAGE TO PREMISES A. Under COVERAGES, Coverage A — Bodily Injury and Property Damage Liability, the paragraph entitled Exclusions is amended to delete the first paragraph immediately following subparagraph (6) of the Damage to Property exclusion and replace it with the following: Paragraphs (1), (3) and (4) of this exclusion do not apply to propertydamage (other than damage by fire, lightning, explosion, smoke or leakage from automatic fire protective sys# ms) to premises rented to the Named Insured or temporarily occupied by the Named Insured with the permission of the owner, nor to the contents of premises rented to the Named Insured for a period of 7 or fewer ecutive days.
