SETTLEMENT AGREEMENT

AND
CITY OF MIAMI DEPARTMENT OF FIRE RESCUE
THIS AGREEMENT made this 29th day of April 2021, between the State
of Florida Department of Health, an agency of the State of Florida, 4052 Bald
Cypress Way, Tallahassee, Florida 32399 hereinafter referred to as
"DEPARTMENT", and City of Miami Department of Fire Rescue, 444 SW end
Ave#io, Miami, Florida 33130 hereinafter referred to as VENDOR.
WHEREAS, on October 10, 2018, the Department authorized the Vendor
to continue providing patient movement ambulance services during Hurricane
Michael as the Department and Vendor finalized Purchase Order B44D52 for the
services or did not have an agreement in place to cover the cost of services
provided; and,
WHEREAS, Purchase Order B44D52 was issued inadvertently to the
incorrect Vendor on December 18, 2018; and,
WHEREAS, invoice # FLR-Miami-ooi, dated February 23, 2021, was
received by the Department on February 25, 2021 in the amount of $194,377.61
with supporting documentation for services performed and cost incurred during
the period of October 10, 2018 through November 28, 2018 and,
WHEREAS, when the Department processed the invoice through the
normal course of business the warrant was sent to the incorrect entity because
the purchase order in place for the period in which services were provided by the

Vendor was made to the incorrect Vendor. Warrant number 0881205 was
cancelled on March 18, 2021; and,
WHEREAS, Vendor is owed a total amount $194,377.61 for the services
provided during the period of October 10, 2018 through November 28, 2018;
and,
WHEREAS, Vendor has asserted a colorable legal claim in support of its
demand for payment of invoice # FLR-Miami-ooi in the amount of $194,377.61
and,
WHEREAS, the Department by entering into this agreement admits no
liability for payment of the work performed by Vendor beyond the terms set forth
below.
NOW, THEREFORE, in consideration of the mutual covenants contained
herein, the parties agree as follows:
1. Upon receipt of payment as provided in paragraph number 2 below,
Vendor for itself and for its attorneys, heirs, executors or
administrators, does hereby discharge the State of Florida
Department of Health and its agents, representatives, and attorneys
of and from all claims, demands, actions, causes of action, suits,
damages, losses, and expenses, of any and every nature whatsoever,
arising out of or in any way related to service performed during the
period of October 10, 2018 through November 28, 2018 and billed
through invoice number FLR-Miami-ooi for work performed in
conjunction with or on said state project, and claims asserted or

other claims that were or may be asserted in any federal, state, or
local agency or court, by or on behalf of the Vendor.
2. The Department herein agrees to submit to the Chief Financial
Officer of the State of Florida for payment the sum of One hundred
ninety-four thousand three hundred seventy-seven dollars and
sixty-one cents $194,377.61 in full and completed satisfaction of
any amounts or costs associated with the work performed by the
Vendor under invoice number FLR-Miami-oo1$194,377.61 and
any claims and invoices associated therewith, or with any other
written verbal supplementation and/or renewal thereto, including
all interests and costs and fees associated with the claim matters
referenced herein.
3. This agreement is contingent upon approval by the Chief Financial
Officer of the State of Florida. Until such approval is received the
Department has no obligation to make any payments pursuant to
this agreement.
4. The parties to this agreement further agree and covenant that this
agreement binding on the parties, their heirs -at -law, and their
assigns and successors in interest as evidenced by their signatures
and lawful executions below.
5. All terms and conditions of this settlement are fully set forth in this
document and no other material terms of settlement exist outside
this document.

DESCRIPTION OF SETTLEMENT AGREEMENT:
The Bureau of Preparedness and Response activated in 2018 to respond to Hurricane Michael at
that time our Patient Movement Unit developed a spreadsheet of Ambulance vendors of which
Miami Dade Fire Rescue was identified as one of the vendors. PO B44D52 was created for the
supplier Miami Dade County Fire Rescue to cover these services. On 2/25/2021 the invoice for
$194,377.61 was received and submitted for payment against the Hurricane Michael PO. The
warrant, 0881305, was issued on 3/3/2021. On 3/18/2021 an email was received from the City of
Miami Department of Fire Rescue alerting us that the check was cut to the wrong entity. The
Department researched and realized the purchase order in place, B44D52, to cover the incurred
expense was made with the incorrect Vendor name and FEID number. Therefore, the
Department inadvertently authorized the City of Miami Department of Fire Rescue to provide
services without a purchase order in place.

signature is not required on page 4 of the agreement. Additionally, ACA Fossler has requested that this email be

I noticed that too. FDOH was supposed to correct this and add a counterparts provision on the version they sent back to
us. It seems they haven't.
In the interest of avoiding further delay, if we add our signature page that includes the counterparts provision and they
sign afterward, they will have notice of the provision and signature.

We only use DocuSign to execute documents and to ensure document security. However, the documents may be
downloaded from DocuSign by the provider. I have also attached the documents in the email that I sent on
yesterday. Please see attached. If they are not going to use DocuSign to sign the settlement agreement, once it is pen

and ink signed, they are to return it to you. Once you receive it, email it to me and I will placed the provider's signed
version in DocuSign so the DOH signers can sign.

I just received a phone call from Lt. Fernandez my contact with the City of Miami, he wanted to see we could
provide PDF copies of the agreement rather than using DocuSign so they could route the document to through
the city's appropriate channels for approval and signature at which point they would send back to us for our
signatures. I am not familiar with the DocuSign process I also was not sure if DocuSign is DOH's required
signoff process so I have copied both of you on this email so that we can quickly determine how to resolve this
issue. If you feel like it would be easier to set up a call to discuss just let me know and I will work to get

Thank you for taking the time to speak with me earlier. As discussed, below are my comments on the agreement.
• Add Counterparts & Electronic Signatures provision: "Counterparts and Electronic Signatures. This Agreement
may be executed in any number of counterparts, each of which so executed shall be deemed to be an original,
and such counterparts shall together constitute but one and the same Agreement. The parties shall be entitled
to sign and transmit an electronic signature of this Agreement (whether by facsimile, PDF or other email
transmission), which signature shall be binding on the partywhose name is contained therein. Any party
providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed
Agreement upon request."
• Short a delegation of authority, the City Manager would be the individual with the authority to sign the
agreement. Please have them use the attached signature page. Once revised, please route for signature using
the standard routing process. Ms. Martinez in your office has gone through this a few times and would be a
good person to reach out to on the process.
