MARTIN FINE VILLAS, LLC, a Florida limited liability company ("Borrower"), 2. UNITED STATES OF AMERICA, acting by and through the Secretary of Housing and Urban Development ("HUD"), 3. HOUSING FINANCE AUTHORITY OF MIAMI-DADE COUNTY (FLORIDA), a public body corporate and politic and existing under the laws of the State of Florida ("HFA"), 4. THE BANK OF NEW YORK MELLON TRUST COMPANY, N.A., as Trustee ("Trustee"), 5. MIAMI-DADE COUNTY, a political subdivision of the State of Florida (the "County"), 6. CITY OF MIAMI, a political subdivision of the State of Florida (the "City"), and 7. FLORIDA HOUSING FINANCE CORPORATION ("FHFC") RECITALS A. Borrower entered into that certain Ground Lease between Miami -Dade County, a political subdivision of the State of Florida, and a "public housing agency" as defined in 1 #7419715v1 30364-0884 the United States Housing Act of 1937 (42 USC 1437 et seq., as amended) (in this context, the "Landlord"), dated November 18, 2016, as evidenced by that Memorandum Of Ground Lease dated June 16, 2016, recorded June 17, 2016 in Official Records Book 30118, Page 2354, and recorded June 22, 2016 in Official Records Book- 30123, Page 3009, as affected by Scrivener's Error Affidavit recorded in Official Records Book 30297, Page 1347, as amended by Amended and Restated Memorandum of Ground Lease dated March 1, 2017, recorded March 6, 2017 in Official Records Book 30445, Page 4406 (collectively, the "Ground Lease") leasing certain property located in Miami - Dade County, Florida, and more particularly described on Exhibit "A" attached hereto (the "Property"). B. Borrower constructed a new apartment community (the "Project") on the Property. C. In connection with the development of the Project with 104 units of public housing, HUD required that Borrower enter into certain agreements with regard to the public housing units (collectively the "HUD Documents"), including, without limitation, a Regulatory and Operating Agreement, a Declaration of Trust and Restrictive Covenants, and a Non - Disturbance and Attornment Agreement. The County, in its capacity as a "public housing agency" as defined in the United States Housing Act of 1937 (42 USC 1437 et seq., as amended), is a party to certain of the HUD Documents. The HUD Documents include the following: 1. Declaration of Trust and Restrictive Covenants [Operating Funds Only] by and between Miami Dade County and Martin Fine Villas, LLC, for the benefit of the United States of America, acting by and through the Secretary of Housing and Urban Development dated March 3, 2017, recorded on March 6, 2017, in Official Records Book 30445, Page 4412. 2. Non -Disturbance and Attornment Agreement by and between the United States of America, acting by and through the Secretary of Housing and Urban Development, and Martin Fine Villas, LLC, dated March 3, 2017, recorded on March 6, 2017, in Official Records Book 30445, Page 4422. 3. Regulatory and Operating Agreement for Mixed -Finance Project by and between Miami -Dade County and Martin Fine Villas, LLC, dated March 3, 2017, recorded on March 6, 2017, in Official Records Book 30445, Page 4429. 4. Unrecorded documents: (a) Mixed -Finance Amendment to The Consolidated Annual Contributions Contract with Rider and Exhibits; (b) PHA Mortgaged Transaction for Development Amendment to the Consolidated Annual Contributions Contract and Exhibits; (c) Property Management Agreement with Mixed Finance Rider; and (d) Management Plan. 2 #7419715 vl 30364-0884 D. The HFA made a loan to Borrower in an original principal amount not to exceed $12,000,000 (the "Project Loan"), the proceeds of which were used to finance a portion of the development of the Project. The Project Loan is secured by, among other things, a first mortgage (the "Project Loan Mortgage") encumbering the Property, which was assigned to the Trustee for administration of the Project Loan. In addition to the Project Loan Mortgage as described below, the following documents evidence, secure or govern the Project Loan (collectively, the "Project Loan Documents"): 1. Land Use Restriction Agreement dated as of March 1, 2017, by and among Martin Fine Villas, LLC, the Housing Finance Authority of Miami Dade County (Florida), and The Bank of New York Mellon Trust Company, N.A., as Trustee, recorded on March 6, 2017, in Official Records Book 30445, Page 4502. 2. Mortgage, Security Agreement and Assignment of Rents, Leases and Profits dated as of March 1, 2017, from Martin Fine Villas, LLC, a Florida limited liability company, as mortgagor, to the Housing Finance Authority of Miami -Dade County (Florida), as mortgagee, recorded on March 6, 2017, in Official Records Book 30445, Page 4534; and as assigned by Assignment of Mortgage and Security Documents dated as of March 1, 2017, by the Housing Finance Authority of Miami -Dade County (Florida), as assignor, to The Bank of New York Mellon Trust Company, N.A., as Trustee, as assignee, recorded on March 6, 2017, in Official Records Book 30445, Page 4596 3. UCC-1 Financing Statement by Martin Fine Villas, LLC, a Florida limited liability company, as debtor, and Housing Finance Authority of Miami -Dade County, Florida, as assignor secured party, and The Bank of New York Mellon Trust Company, N.A., as Trustee, as assignee secured party, recorded on March 6, 2017, in Official Records Book 30445, Page 4589. 4. FHFC is the holder of an Extended Low -Income Housing Agreement executed by the Borrower in favor of FHFC, recorded in Official Records Book 31092, at Page 1082 (the "Extended Use Agreement"). F. The County made a surtax loan to Borrower in the amount of $5,452,773 (the "Surtax Loan"), the proceeds of which were used to finance a portion of the development of the Project. The Surtax Loan is secured by, among other things, a second mortgage encumbering the Property (the "Surtax Loan Mortgage"). In addition to the Surtax Loan Mortgage as described below, the following documents evidence, secure or govern the Surtax Loan (collectively, the "Surtax Loan Documents"): 1. Miami -Dade County Rental Regulatory Agreement dated March 3, 2017, between Martin Fine Villas, LLC, a Florida limited liability company, and Miami -Dade County, a political subdivision of the State of Florida, recorded on March 6, 2017, in Official Records Book 30445, Page 4600; as affected by Mortgage Subordination Agreement dated as of March 1, 2017, among the Housing Finance Authority of Miami -Dade County (Florida), and The Bank of New York Mellon Trust Company, N.A., as Trustee, as senior mortgagees, Miami -Dade County, a political subdivision of the State of Florida, as subordinate mortgagee, and Martin Fine Villas, LLC, a Florida limited liability company, as mortgagor, recorded on March 6, 2017, in Official Records Book 30445, Page 4685. 2. Collateral Assignment of Leases, Rents and Contract Rights dated as of March 3, 2017, by Martin Fine Villas, LLC, a Florida limited liability company, as assignor, to Miami -Dade County, a political subdivision of the State of Florida, as assignee, recorded on March 6, 2017, in Official Records Book 30445, Page 4641; as affected by Mortgage Subordination Agreement dated as of March 1, 2017, among the Housing Finance Authority of Miami -Dade County (Florida), and The Bank of New York Mellon Trust Company, N.A., as Trustee, as senior mortgagees, Miami - Dade County, a political subdivision of the State of Florida, as subordinate mortgagee, and Martin Fine Villas, LLC, a Florida limited liability company, as mortgagor, recorded on March 6, 2017, in Official Records Book 30445, Page 4685. 4. UCC-1 Financing Statement from Martin Fine Villas, LLC, a Florida limited liability company, as debtor, in favor of Miami -Dade County, a political subdivision of the State of Florida, as secured party, recorded on March 6, 2017, in Official Records Book 30445, Page 4654; as affected by Mortgage Subordination Agreement dated as of March 1, 2017, among the Housing Finance Authority of Miami -Dade County (Florida), and The Bank of New York Mellon Trust Company, N.A., as Trustee, as senior mortgagees, Miami -Dade County, a political subdivision of the State of Florida, as subordinate mortgagee, and Martin Fine Villas, LLC, a Florida limited liability company, as mortgagor, recorded on March 6, 2017, in Official Records Book 30445, Page 4685. 5. County is the holder and beneficiary of the following Covenants pertaining to the waiver of impact fees arising from the use of the Property as affordable housing (the. "County Covenants"): (a) Covenant in Favor of Miami -Dade County Relating to Exemption from Educational Facilities Impact Fee for Elderly Housing recorded in Official Records Book 30711, at Page 2362 ("School Board Covenant"; and (b) Affordable Housing Covenant recorded in Official Records Book 30498, Page 1120 ("RER Covenant"). H. The City made a HOME loan to Borrower in the amount of $2,350,000 (the "HOME Loan"), the proceeds of which were used to finance a portion of the development of the Project. The HOME Loan is secured by, among other things, a third mortgage encumbering the Property (the "HOME Loan Mortgage"). Declaration of Restrictive Covenants for Martin Fine Villas, LLC dated as of February 23, 2017, by Martin Fine Villas, LLC, a Florida limited liability company, in favor of City of Miami, recorded on March 6, 2017, in Official Records Book 30445, Page 4657; as affected by Mortgage Subordination Agreement dated as of March 1, 2017, among the Housing Finance Authority of Miami -Dade County (Florida), and The Bank of New York Mellon Trust Company, N.A., as Trustee, as senior mortgagees, the City of Miami, a municipal corporation of the State of Florida, as subordinate mortgagee, and Martin Fine Villas, LLC, a Florida limited liability company, as mortgagor, recorded on March 6, 2017, in Official Records Book 30445, Page 4698. 3. Rent Regulatory Agreement for Martin Fine Villas, LLC dated as of February 23, 2017, between Martin Fine Villas, LLC, a Florida limited liability company, in favor of the City of Miami, recorded on March 6, 2017, in Official Records Book 30445, Page 4662; as affected by Mortgage Subordination Agreement dated as of March 1, 2017, among the Housing Finance Authority of Miami -Dade County (Florida), and The Bank of New York Mellon Trust Company, N.A., as Trustee, as senior mortgagees, the City of Miami, a municipal corporation of the State of Florida, as subordinate mortgagee, and Martin Fine Villas, LLC, a Florida limited liability company, as mortgagor, recorded on March 6, 2017, in Official Records Book 30445, Page 4698. 4. Unrecorded Documents: (a) HOME Loan Agreement (b) Promissory Note (c) Disbursement Agreement City is the holder and beneficiary of the following Covenant pertaining to the waiver of impact fees arising from the use of the Property as affordable housing (the "City Covenant"): Declaration of Restrictive Covenants for Affordable Housing Rental Developments recorded in Official Records Book 30428, Page 1065. The Project Loan Documents, HUD Documents, Surtax Loan Documents, HOME Loan Documents and other documents and covenants listed above are collectively referred to herein as the "Documents". 6 #7419715 vl 30364-0884 K. Borrower has requested that each of the parties holding mortgages or otherwise benefitting from any of the Documents described in these Recitals release that portion of the Property legally described in Exhibit "B" attached hereto (the "Release Parcel") from the lien and operation of the Documents, and each of said parties has agreed to grant such release, as hereinafter provided. AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants and undertakings set forth in this Modification and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: SECTION 1 MODIFICATIONS TO THE DOCUMENTS The above Recitals are by reference incorporated in and specifically made a part of this Modification as if fully set forth herein. 1. HUD and the County, as applicable, each hereby releases the Release Parcel from the lien and operation of the HUD Documents. 2. HFA, to the extent of any reserved rights not assigned to Trustee, and the Trustee, as applicable, hereby release the Release Parcel from the lien and operation of the Project Mortgage and the Project Loan Documents from and after the date hereof; provided, however, that the Release Parcel is released from the operation of any Document providing environmental indemnification, only to the extent that the event or occurrence giving rise to the indemnities or remedies in favor of HFA or Trustee thereunder first occurs after the date hereof. 3. FHFC hereby releases the Release Parcel from the lien and operation of the Extended Use Agreement. 4. County (acting by and through PHCD) hereby releases the Release Parcel from the lien and operation of the Surtax Loan Mortgage and the Surtax Loan Documents. 5. County (acting respectively by and though RER and the School Board, as applicable) hereby releases the Release Parcel from the lien and operation of the County Covenants. It is acknowledged and agreed that, unless exempted pursuant to applicable provisions of the Miami -Dade County Code, the Release Parcel shall be subject to applicable impact fees. 6. City hereby releases the Release Parcel from the lien and operation of the HOME Loan Mortgage and the HOME Loan Documents. 7. City hereby releases the Release Parcel from the lien and operation of the City Covenant. 8. The Project's legal description contained in the Documents is hereby deleted and replaced by the legal description attached hereto as Exhibit C. 7 ##7419715 v1 30364-0884 SECTION 2 MISCELLANEOUS 1. All recording information refers to the Public Records of Miami -Dade County. 2. Except as modified by this Modification, the Documents shall remain in full force and effect and are ratified and confirmed by the respective parties thereto. 3. This Modification shall be construed, and the obligations, rights and remedies of the parties hereunder shall be determined, in accordance with the laws of the State of Florida without regard to conflicts of laws or principles, except to the extent that the laws of the United States of America may prevail. ' 4. This Modification shall be binding upon and shall inure to the benefit of the successors and assigns of the respective parties hereto. AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants and undertakings set forth in this Modification and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: SECTION 1 MODIFICATIONS TO THE DOCUMENTS The above Recitals are by reference incorporated in and specifically made a part of this Modification as if fully set forth herein. 1. HUD and the County, as applicable, each hereby releases the Release Parcel from the lien and operation of the HUD Documents. 2. HFA, to the extent of any reserved rights not assigned to Trustee, and the Trustee, as applicable, hereby release the Release Parcel from the lien and operation of the Project Mortgage and the Project Loan Documents from and after the date hereof; provided, however, that the Release Parcel is released from the operation of any Document providing environmental indemnification, only to the extent that the event or occurrence giving rise to the indemnities or remedies in favor of HFA or Trustee thereunder first occurs after the date hereof. 3. FHFC has agreed to release the Release Parcel based upon the condition that any future transfer of the Borrower's leasehold estate or other disposition of the Borrower's interest in the Release Parcel shall contain a restrictive covenant that such Release Parcel will be used for the sole purpose of providing affordable housing in a manner consistent with the requirements of the Extended Use Agreement. Accordingly, Borrower hereby agrees that any future sale, transfer or other disposition of the Borrower's leasehold estate in the Release Parcel (or any portion thereof) shall contain a restriction that such Release Parcel (or portion thereof) shall be used for the sole purpose of providing affordable housing. Any such restriction shall not be applicable to any transfer pursuant to or in lieu of foreclosure to an entity other than the Borrower or a "related person" of the Borrower, within the meaning of the Internal Revenue Code of 1986, as amended (the "Code") or any exercise of remedies (including without limitation, foreclosure) under any mortgage encumbering the Borrower's leasehold estate in the Release Parcel; provided, however, that neither the Borrower nor any "related person" to the Borrower, within the meaning of the Code, shall acquire the Borrower's leasehold estate in the Release Parcel. It is acknowledged and agreed that, unless exempted pursuant to applicable provisions of the Miami -Dade County Code, the Release Parcel shall be subject to applicable impact fees. 6. City hereby releases the Release Parcel from the lien and operation of the HOME Loan Mortgage and the HOME Loan Documents. 7. City hereby releases the Release Parcel from the lien and operation of the City Covenant. 8. The Project's legal description contained in the Documents is hereby deleted and replaced by the legal description attached hereto as Exhibit C. SECTION 2 MISCELLANEOUS 1. All recording information refers to the Public Records of Miami -Dade County. 2. Except as modified by this Modification, the Documents shall remain in full force and effect and are ratified and confirmed by the respective parties thereto. 3. This Modification shall be construed, and the obligations, rights and remedies of the parties hereunder shall be determined, in accordance with the laws of the State of Florida without regard to conflicts of laws or principles, except to the extent that the laws of the United States of America may prevail. 4. This Modification shall be binding upon and shall inure to the benefit of the successors and assigns of the respective parties hereto.
