IN CONFLICT THEREOF, INSOFAR AS THEY ARE IN
CONFLICT; ANDCONTAINING A SEVERABILITY
PROVISION.
WHEREAS, the.. Commission finds that an emergency exists in
that the funds are necessary immediately to fund the Frail and
Elderly Day Care Program; and
WHERAS► no funds are available other than in the six accounts
described above;
Now,. THEREFORE,. BE IT ORDAINED BY THE COMMISSION OF THE CITY
OF MIAMI ► FLORIDA
Section 1. The sum. of $25,000 be and is hereby transferred
from the accounts of Extension of Recreation Program, Mechanization
Program, Police Training Program, Pol:..o '...: .3cfnion Program,
Modernization of Budgetary and Financial Procedures and Building'
code enforcement - Central Records System to the account of Douglas

Section 4. If any section, sentence, clause, phrase,
or word of thisordinance is for any reason held or declared to be
unconstitutional, inoperative or void, such holding or invalidity
shall notaffect the remaining portions of this ordinance; and it
shall be construed to have been the intent of the Commission of the
City : of Miami to pass this: ordinance without such unconstitutional,
invalid, or inoperative part therein and the remainder of this
ordinance, after the exclusion of such part or parts shall be deemed
and held to be valid as if such parts had not been included therein.
Section 5. This ordinance is hereby declared to be an
emergency measure on the ground of urgent public need.
Section 6. This ordinance shall :take effect immediately.
Section 7 . The requirement of reading .this ordinance
on two separate days is hereby dispensed with by a vote of not less
than four -fifths of the members of the Commission.

This communication is in response to your letter
of July 24, 1975 directed to Mr. William H. Scharrer of
Oscar E. Dooly Associates, Inc. regarding the above matter.
This is to advise that at a duly and regularly
called business meeting of the church on Sunday afternoon,
July 27, 1975 at 5 o'clock P.M., the church body did convene
in regular session and after full and exhaustive review of
all matters regarding the sale of the Riverside Baptist
Church propertylocated at 900 S.W. 1st Street, in the City
of Miami, the following transpired:
By standing vote the church body did approve the
sale of the church property as described in your letter of
July 24, 1975 with the exception of only one dissenting vote.
The abstract to this property is in the custody of
The People's National Bank of Miami Shores, Florida, which
bank holds a first mortgage encumbering the property. As
soon as the City Commission meets on July 31,.1975, and
assuming this offer of sale is accepted, I will order the
abstractto be brought up to date and deliver it to .the
City of Miami's Legal Department unless you adviseme to the
contrary.
If there are any questions about any of these
matters, willyou please advise.

In confirmation of our meeting of Tuesday, July 15, 1975, I submit the
following as a summary of the proposed terms and conditions that
comprise the highest offer'I could recommend, for the. City of Miatniis
purchase of the Riverside Baptist Church property:
That all buildings, furniture, fixtures, equipment, and/or
personal property listed in the inventory furnished to the
City of Miami, with the exception of the items listed below, .
located onor in the Riverside Baptist Church property the
address of which is 900 S. W. 1st Street, Miami, Dade County,
Florida, will become the property of the City of Miami under
the following purchase proposal:
For the sum of One million five hundred thousand
($1, 500, 000) dollars as the minimum base price for
the purchase of all properties located at 900 S.W.
1st Street, the City of -Miami at closing and delivery
of fee simple title, will pay a minimum payment of
Six hundred thousand ($600, 000) dollars with the
option of paying additional monies up to the total
purchase price (base) as may be available to the
City for such payment. The base price may be
adjusted at closing to reflect such negotiated upward
adjustments to include any out-of-pocket costs

in a minimum length of tithe within the parameters as
outlined above to the Riverside Baptist Church.
Itt consideration of the foregoing, the City. of Miami requests the,
Cooperation of the Riverside Baptist Church in considering the
lease to the City of Miami of portions of the property prior to
closing if mutually satisfactory agreements cati be entered into
to meet insurance, church program operation, and any other
requirements that tnay be mutually identified. The City of. Miami
in consideration of the request made by representatives of River-
side Baptist Church will agree that the church may retain the
management of the apartment facilities up to 90 days after closing
so that proper notice may be rendered to the churchts existing
tenants and so that relocation of the tenants may occur in a reason-
able mannerwith minimum disruption. As a part of its retained"
management responsibilities, the church agrees, to be completely
responsible for insuring the City of Miami against all risk,
damage and liability from the continued occupancy of these
apartments while under church jurisdiction, and to deliver same
to the City of Miami vacated and free of all encumbrances in a
broom -clean condition, within the stated 90 day period. The
church may retain all revenues derived from the rental of these
apartments until vacated and delivered to the City of Miami.
The Riverside Baptist Church agrees to pay for and deliver to the
City of Miami, evidence of clear title in the form of an Abstract
of Title purporting to be an' accurate synopsis of the instruments
affecting the title to the real property recorded in the public
records of Dade County, to the date of closing. Said Abstract
of Title shallshow the title to the property to be conveyed to be.
good and marketable. The Riverside Baptist Church agrees to
cure any defects that do not meet the requirements of title as
above specified.

It is understood that the above outlined proposal for the purchase of the
Riverside Baptist Church is subject to ratification by the members of the
Church at a duly conducted congregational meeting on July 27, 1975, and
to the approval of the Miami City Commission at their meeting of July
31, 1975.
