Third Party Access Agreement (US)
About this This third party access agreement ("TPAA"):
agreement • is between JPMorgan Chase Bank, N.A. ("Bank") and the client set forth below ( "Client")
• refers to and contains capitalized terms that are defined here or in Client's Commercial
Card Agreement, or other similar agreement ("Agreement").
• takes effect on the last date signed below.
Authorizing Client asks and authorizes Bank or Bank's service providers to transmit, process,
Third Party consolidate, and/or provide access to ("Transfer") file transmissions containing Data (as
access defined below) to the Third Party named below for the purpose of creating management
information or business reports for Client, Client affiliates, and any of Client's or Client
affiliates' employees, contractors or agents ("Permitted Purpose").
"Data" means any information about Accounts, Transactions and Cardholders connected
with Client's Program and Bank's related services. It may include personal information.
Client also authorizes Bank's or Bank's service providers to communicate directly with the
Third Party, and to work with the Third Party in order to Transfer the Data for the Permitted
Purpose.

signing as a representative of the Client and not as an individual.
I also certify that:
• our governing body has adopted resolutions or other binding measures authorizing us to sign this TPAA and act on its
content
• those measures were adopted consistent with laws and our own governance documents, have been entered into our
company records, and are now in effect.
The Client will provide evidence of these authorizations immediately upon Bank's request.
Counterparts; Electronic Signatures. This TPAA may be executed in counterparts, each of which shall constitute an original, and all
of which, when taken together, shall constitute one and the same instrument. The parties may execute this TPAA and deliver by
electronic means (including PDF), and any signature delivered by such means shall be deemed an original for all purposes. The
Parties agree to execute and deliver original signatures upon request.

Third party access terms
Public Records
Bank understands that the public shall have access, at all reasonable times, to all documents and
information pertaining to the Client's agreements, subject to the provisions of Chapter 119, Florida
Statutes, and agrees to allow access by the Client and the public to all documents subject to disclosure
under applicable laws. Bank's failure or refusal to comply with the provisions of this section shall result in
the immediate cancellation of this TPAA by the Client.
Bank shall additionally comply with Section 119.0701, Florida Statutes, including without limitation:
(1) keep and maintain public records that ordinarily and necessarily would be required by the Client to
perform this service;
(2) if required, provide the public with access to public records on the same terms and conditions as the
Client would at the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law;
(3) ensure that public records that are exempt or confidential and exempt from disclosure are not
disclosed except as authorized by law;
(4) meet all requirements for retaining public records and transfer, at no cost, to the Client all public
records in its possession upon termination of this TPAA and destroy any duplicate public records that are
exempt or confidential and exempt from disclosure requirements; and
(5) provide all electronically stored public records that must be provided to the Client in a format
compatible with the Client's information technology systems.
Notwithstanding the foregoing, Bank shall be permitted to retain any public records that make up part of
its work product solely as required for archival purposes, as required by law, or to evidence compliance
with the terms of the TPAA.
SHOULD BANK DETERMINE TO DISPUTE ANY PUBLIC ACCESS PROVISION REQUIRED BY
FLORIDA STATUTES, THEN BANK SHALL DO SO AT ITS OWN EXPENSE AND AT NO COST TO
THE CLIENT. IF BANK HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER 119,
FLORIDA STATUTES, TO BANK'S DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THE
TPAA, CONTACT THE CUSTODIAN OF PUBLIC RECORDS AT (305) 416-1800, VIA EMAIL AT
PUBLICRECORDS@MIAMIGOV.COM, OR REGULAR MAIL AT CITY OF MIAMI OFFICE OF THE
CITY ATTORNEY, 444 SW 2ND AVENUE, 9TH FLOOR, MIAMI, FL 33130. THE BANK MAY ALSO
CONTACT THE RECORDS CUSTODIAN AT THE CITY OF MIAMI DEPARTMENT WHO IS
ADMINISTERING THIS TPAA.

Obligations and
liability
Despite anything to the contrary in this TPAA or the Agreement:
• Bank will not be liable to Client for indirect, special, punitive, or consequential damages in any form
or under any circumstances, even if Bank has been advised of the possibility of such damages, and
• Client acknowledges that Bank's Transfer of Data under this TPAA is undertaken at Client's request,
direction, and in reliance on Client's authorization and, accordingly, waives and releases, and agrees
not to assert, claims against Bank arising out of or relating to Bank's Transfer of Data to the extent
Bank acts in strict accordance with Client Instructions; provided that this waiver does not apply to
Bank's negligence or willful misconduct. For purposes of this clause, "Client Instructions" means
Client's specific, documented, instructions (delivered via a mutually agreed secure channel by Client's
authorized personnel) identifying at least the data to be transferred, the intended recipient and
destination on which Bank may rely in good faith. To the maximum extent permitted by applicable law,
including Florida Statutes §768.28, Client will defend and hold harmless Bank from third -party claims,
damages, and reasonable attorneys' fees and costs to the extent arising solely from Bank's Transfer
of Data in strict accordance with Client Instructions, and not to the extent arising from Bank's
negligence or willful misconduct or actions not in accordance with Client Instructions. Nothing in this
clause waives, limits, or expands Client's sovereign immunity beyond §768.28, Florida Statutes, or
any other applicable law.
Bank will have no obligation to Transfer or continue to Transfer the Data to the Third Party if Bank
reasonably believes the Third Party does not provide adequate protection for the Data. Bank does not
have to assess the Third Party's security protocols or the Third Party's ability to adequately protect the
Data.
Authorizing
transfers
Client certifies that Client has obtained any required consents to authorize Bank or Bank's service
providers to Transfer the Data under this TPAA.
For this TPAA, Bank will deem that the Third Party's instructions or communications to Bank are made
on Client's behalf.
Giving Bank
notice
Client can revoke this authorization at any time by giving Bank 60 days' written notice through Client's
relationship manager or program coordinator team. Bank will have a reasonable period of time to act on
Client's notice after Bank receives it.
Governing law
This TPAA, and any non -contractual obligations arising from it, are governed by and consistent with the
laws of the State of Florida, without regard to its choice -of -law rules.
