City is the owner ("Owner" and/or "Seller") of that certain real property located in Miami -Dade County, Florida, and more particularly described, as follows: See Exhibit "A" attached hereto and made a part hereof (the "Property"). 2. There are no parties other than Owner in possession of, or claiming possession to, the Property, and there are no facts known to Owner which could give rise to a claim being asserted to any of the Property. 3. There is no open mortgage against the Property. 4. There have been no improvements, repairs, additions or alterations performed upon or to the Property by Owner within the past ninety (90) days for which payment has not been made; Owner has not entered into any agreement or contract with any party for the furnishing of any labor, services or materials in connection with any improvements, repairs, or additions for which payment has not been made; and there are no parties who have any claim or right to a lien for services, labor or material in connection with any improvements, repairs, additions or alterations on the Property. 5. Section 1445 of the Internal Revenue Code provides that a transferee (buyer) of a U.S. real property interest must withhold tax if the transferor (seller) is a foreign person.
