CORPORATE RESOLUTION
The undersigned Secretary of The Greater Miami Phil-
harmonic Society, Inc., hereby certifies that the fo1l_Owing
resolution was duly adopted at a special meeting of the Board
of Directors of said corporation held on March 25, 1975, duly
called upon appropriate notice with a quorum present and upon
appropriate motion, second, and majority vote:
RESOLVED: That the officers of the corporation
are hereby authorized and directed to execute
that certain agreement with Maurice Gunman and
the Maurice Gusman Cultural Center for the Per-
forming Arts, Inc., which agreement was read to
the Hoard of Directors and approved by them and
which agreement is attached hereto as Exhibit A
to this Resolution. By this Resolution the
Board of Directors of the corporation approves
the conveyance of the property known as the
Olympia Building and Gusman Philharmonic Hall
to the Maurice Gusman Cultural Center for. the
Perfol-m:i:nq Arts, Inc. , in consideration of the
items setforth in said d agreement.
By this certification the undersigned Secretary does also hereby
certify that the foregoing Resolution of the Board of Directors
was presented to the membership of The Greater Miami Philharmonic
Society, Inc., at a .special membership meeting on March 25, 1975
duly called and noticed at which a quorum was present and that
said Resolution was approved by cl majority vote of the member -
present
ship of the Society,upo.n appropriate motion and second.

heretofore delivered to us. The Southeast First National
Bank of Miami agrees to forthwith return any promissory
notes executed by the Greater Miami Philharmonic Society,
Inc. and any collateral therefore.
